IN THE AMOUNT OF $205,300.00, TO APPROVE A PROJECT CONTINGENCY IN THE AMOUNT OF $14,800.00, AND TO APPROVE A BUDGET ADJUSTMENT WHEREAS, leaking chlorinated fountain water has caused the substructure of the stairs and landing at the Fayetteville Town Center to corrode resulting in settling; and WHEREAS, on December 19, 2017, the City Council, passed Resolution No. 269-17 authorizing funding for the engineering design and construction of the necessary repairs and Olsson Associates Engineering Firm was engaged to generate the construction drawings; and WHEREAS, since the passage of that resolution the stairs have settled an additional three inches and it is important to prevent further settling as quickly as possible; and WHEREAS, staff solicited three contractors and received two bids for the project and, as time is of the essence for this repair, staff recommends awarding the contract to the lowest responsive bidder. BACKGROUND: Because of the leaking chlorinated fountain water, the substructure of the stairs and landing have corroded resulting in settlement of the stairs. Resolution 269-17 authorized the approval of a Budget Adjustment for the engineering and construction of the deteriorating Stairs and Landing at the Town Center. Olsson Associates Engineering Firm was engaged to generate the removal and replacement construction drawings. The stairs have settled 3 inches since the previous ordinance was passed. To avoid further settling, time is of the essence for this repair. Therefore, approval will allow repairs to begin next week. DISCUSSION: Staff solicited 3 contractors and received 2 bids, and one non-responsive bid. Benchmark Construction submitted the lowest bid. The stairs and landing project will include lighted stair nosing's as well as lighted hand rails that will integrate with the new fountain pool lighting. The system used is a foam support structure that is light weight (considering existing deck loads). Corrosion will no longer be a concern. BUDGET/STAFF IMPACT: A budget adjustment has been requested in the amount of 70,000. This will include a contingency of $14,800. Staff will project manage this project and observe the construction. ARKANSAS Term: Single Project: This contract executed this 21st day of August 2018, between the City of Fayetteville, Arkansas (City) and Benchmark Construction of NWA, Inc, (Benchmark) In consideration of the mutual covenants contained herein, the parties agree as follows: 1. Benchmark at its own cost and expense shall furnish all labor, materials, supplies, machinery, equipment, tools, supervision, bonds, insurance, tax permits, and all other materials and services necessary to complete work and repairs as outlined in the attached EXHIBIT A — FAYETTEVILLE TOWN CENTER STAIR RECONSTRUCTION DRAWINGS. ' 2 This turn -key project providing labor and materials shall be provided to the City for a not to exceed fee of $205,300 US Dollars. a, The City of Fayetteville shall pay Benchmark for completion of the project based on a percentage of work completed. At no point shall payment exceed the percentage of work completed, as determined by the City. b. Payments will be made after approval and acceptance of work and submission of invoice Payments will be made approximately 30 days after approval of invoice. The City of Fayetteville reserves the right to request receipts for materials purchased for the City of Fayetteville from suppliers, subcontractors, or other sources. The City of Fayetteville does not agree to any interest or penalty for "untimely" payments. c. The City shall withhold five percent (5%) retainage from all payments until project is completed in full. 3. The Contract documents which comprise the contract between the City of Fayetteville and Benchmark consist of this Contract and the following documents attached hereto, and made a part hereof: a. EXHIBIT A — FAYE17EVILLE TOWN CENTER STAIR RECONSTRUCTION DRAWINGS totaling seven (7) drawing sheets prepared and provided by the City's hired third -party Engineer, Olsson and Associates. / McGoodwin Williams and Yates, signed and dates May 23, 2018. 4. These Contract documents constitute the entire agreement between the City of Fayetteville and Benchmark and may be modified only by a duly executed written instrument signed by the City of Fayetteville and Benchmark. S. Benchmark shall not assign its duties under the terms of this agreement. 6. Benchmark, agrees to hold the City of Fayetteville harmless and indemnify the City of Fayetteville, against any and all claims for property damage, personal injury or death, arising from Rorchmark performance of City of Fayetteville, AR CONTRACT - Emergency Reconstruction of Town Center Stairs —08-03.18 Page 1 of 5 this contract. This clause shall not in any form or manner be construed to waive that tort immunity set forth under Arkansas Law. 7. Benchmark, shall furnish a certificate of insurance addressed to the City of Fayetteville, showing that he carries the following insurance which shall be maintained throughout the term of the Contract. Any work sublet, the contractor shall require the subcontractor similarly to provide worker's compensation insurance. In case any employee engaged in work on the project under this contract is not protected under Worker's Compensation Insurance,.Benclimark shall provide and shall cause each Subcontractor to provide adequate employer's liability insurance for the protection of such of his employees as are not otherwise protected. The premiums for all insurance and the bond required herein shall be paid by Benchmark, a. Workmen's Cpmpensation.: Statutory Amount b. Comprehensive General & AUtomobile Insurance: $500,000 for each person injured. c. B_ adily Injury Liability: $1,000,000 for each accident. d, Property Damage Liabilit : $1,000,000 aggregate, 8. Benchmark shall furnish proof of licensure as required by all local and state agencies 9. Freedom of Information Act: City of Fayetteville contracts and documents prepared while performing city contractual work are subject to the Arkansas Freedom of Information Act. If a Freedom of Information Act request is presented to the City of Fayetteville, the contractor will do everything possible to provide the documents in a prompt and timely manner as prescribed in the Arkansas Freedom of Information Act (A.C.A. 25-19-101 et. Seq.). Only legally authorized photo coping costs pursuant to the FOIA may be assessed for this compliance. 10. Changes in scope or price: Changes, modifications, or amendments in scope, price or fees to this contract shall not be allowed without a prior formal contract amendment approved by the Mayor and the Fayetteville City Council in advance of the change in scope, cost or fees. 11. Jurisdiction: Legal jurisdiction to resolve any disputes shall be Washington County, Arkansas with Arkansas law applying to the case. The City will not agree to be forced to mediate or arbitrate any dispute. 12. Interest char€ e!i for late payments by the Clt� The City of Fayetteville does NOT agree to any interest or penalty for "untimely" payments. The City will pay all invoices within 30 calendar days of accepted invoice. 13. Security; No later than 10 calendar days of contract award, a one hundred percent (100%) performance and payment bond shall be provided to the City after being file marked at the Washington County Circuit Clerk's Office. Benchmark shall warranty work performed under this contract for a period of one (1) full year from the date of final payment. 14. Contractor's Representations: a. _Benchmark has examined and carefully studied EXHIBIT A. b. Benchmark has visited the Site and become familiar with and is satisfied as to the general, local, and Site conditions that may affect cost, progress, performance, and furnishing of the Work. Benchmark is familiar with and is satisfied as to all federal, state, and local taws and Regulations that may affect cost, progress, performance, and furnishing of the Work. Benchmark has carefully studied all: A. Reports of explorations and tests of subsurface conditions at or contiguous to the Site and all drawings of physical conditions in or relating to existing surface or subsurface structures at or contiguous to the Site; and B. Reports and drawings of a Hazardous Environmental Condition, if any, at the Site. Contractor acknowledges that The City of Fayetteville and Engineer do not assume responsibility for the accuracy or completeness of information and data shown or - indicated in the Contract Documents with respect to Underground Facilities at or contiguous to the Site. Benchmark has obtained and carefully studied (or assumes responsibility of having done so) all such additional supplementary examinations, investigations, explorations, tests, studies, and data concerning conditions (surface, subsurface, and Underground Facilities) at or contiguous to the Site or otherwise which may affect cost, progress, performance, and furnishing of the Work or which relate to any aspect of the means, methods, techniques, sequences, and procedures of construction to be employed by Contractor and safety precautions and programs incident thereto. f. Benchmark does not consider that any additional examinations, investigations, explorations, tests, studies, or data are necessary for the performing and furnishing of the Work at the Contract Price, within the Contract Times, and in accordance with the other terms and conditions of the Contract Documents. g. Benchmark is aware of the general nature of work to be performed by The City of Fayetteville and others at the Site that relates to the Work as indicated in the Contract Documents. h. Benchmark has correlated the information known to Benchmark, information and observations obtained from visits to the Site, reports and drawings identified in the Contract Documents, and all additional examinations, investigations, explorations, tests, studies, and data with the Contract Documents. i. Benchmark has given Engineer written notice of all conflicts, errors, ambiguities, or discrepancies that Benchmark has discovered in the Contract Documents and the written resolution thereof by Engineer is acceptable to Benchmark. j. The Contract Documents are generally sufficient to indicate and convey understanding of all terms and conditions for performance and furnishing of the Work. k. Benchmark is responsible for obtaining all applicable permits; however, fees for the City issued permits shall be waived. Arkansas law (A.C.A. §§18.44-501 through 50$1,1).rohibits the Filing of any mechanics' of materialmen's liens in relation to this public construction .' project. 'Arkansas law requires, and the contractor promises to provide and file with the Circuit Clerk of Washingtoh County a bond in a sum equal to the amount of this contract, Any subcontractor or materials supplier may bring an action for non-payment or labor or material on the bond. The contractor promises to notify evkry subcontractor and materials supplier for this project of this paragraph and obtain their written apknowledgement of such notice prior to commencement of the work of the subcontractor or materials s4plier. 16. Contract Time: a. Time is of the essence: All time limits or milestones, if any, Substantial Completion, and completion and readiness for final payment as stated in the Contract Documents are of the essence of the Contract. b. The Work shall be Substantially Completed within 90 calendar days after Notice to Proceed and final completion and ready for final payment in within 115 calendar days after Notice to Proceed. 17. Liquidated Damages: The City and Benchmark recognize time is of the essence of this agreement and The City of Fayetteville will suffer financial loss if the Work is not completed within the time specified above. The parties also recognize the delays, expense, and difficulties involved in proving the actual loss suffered by The City of Fayetteville if the Work is not Substantially Completed on time. Accordingly, instead of requiring any such proof, The City of Fayetteville and Benchmark agree that as liquidated damages for delay (but not as a penalty) Benchmark shall pay The City of Fayetteville One Hundred Dollars ($100.00) for each calendar day that expires after the time specified for Substantial Completion until the Work is Substantially Complete. After Substantial Completion, if Benchmark shall neglect, refuse, or fail to ,complete the remaining Work within the time specified above for completion. 18. Pursuant to Arkansas Code Annotated §22-9-203 The City of Fayetteville encourages all qualified small, minority and women business enterprises to bid on and receive contracts for goods, services, and construction. Also, City of Fayetteville encourages all general contractors to subcontract portions of their contract to qualified small, minority and women business enterprises.
