BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAYETTEVILLE, ARKANSAS:
Section 1: That the City Council of the City of Fayetteville, Arkansas hereby approves Amendment No. 1 to
the contract with McGoodwin, Williams and Yates, Inc. in the amount of $74,016.00 for changes to the
Dinsmore Trail water main plans, construction observation and management services, and assistance with
pressure sustaining valves on the water mains.

SUBJECT: Approval of an Engineering Contract Amendment No. 1 with McGoodwin,
Williams and Yates, Inc. in the amount of $74,016.00
RECOMMENDATION:
Staff recommends a resolution approving Amendment No. 1 to the engineering contract with
McGoodwin, Williams and Yates, Inc. in the amount of $74,016.00 for changes to the Dinsmore
Trail water main plans, construction observation and management, and assistance with
pressure sustaining valves on the water mains.
BACKGROUND:
The original contract with McGoodwin, Williams and Yates, Inc. dated June 7, 2016 as approved
by Resolution 116-16 includes the Dinsmore Trail water main replacement and the Water
Master Plan Update.
DISCUSSION:
The requested amendment adds changes to the Dinsmore trail water main plans as required for
the City during subsequent to easement negotiations, adds the Construction observation and
management of the near future construction and adds additional assistance to the City
concerning pressure sustaining valves on the water transmission mains. The proposed
amendment is based upon actual hours and a not -to -exceed price.
BUDGET/STAFF IMPACT:
Funds are available in the Water System Rehabilitation/Replacement project.

AMENDMENT NO. 1
To
AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES
Between
CITY OF FAYETTEVILLE, ARKANSAS
And
McGOODWIN, WILLIAMS, AND YATES, INC.
WATER MASTER PLAN UPDATE AND DINSMORE TRAIL WATER MAIN REPLACEMENT
WHEREAS, on June 7, 2016, the City of Fayetteville, Arkansas (CITY OF FAYETTEVILLE) and
McGoodwin, Williams and Yates, Inc. of Fayetteville, Arkansas (ENGINEER) entered into an Agreement
for engineering services in connection with the Water Master Plan Update and Dinsmore Trail Water
Main Replacement (the "Project"); and
WHEREAS, for the Dinsmore Trail Water Main Replacement, the CITY OF FAYETTEVILLE has asked
the ENGINEER to perform design revisions required pursuant to negotiations with landowners after the
original design was completed; and
WHEREAS, for the Dinsmore Trail Water Main Replacement, the original Agreement included a scope
of work for Construction Phase Services but provided for fees to be established later, and the CITY OF
FAYETTEVILLE and ENGINEER are ready to establish a not -to -exceed amount at this time; and
WHEREAS, for the Water Master Plan Update, the ENGINEER has completed the original scope of
work, and the CITY OF FAYETTEVILLE is requesting additional coordination services regarding the
automated valves beyond the original scope; and
WHEREAS, the original Agreement must now be amended to set forth the additional scope of work and
compensation to the Engineer for the additional scope;
NOW THEREFORE, in consideration of the mutual covenants and Agreements herein contained, CITY
OF FAYETTEVILLE and MWY, the parties hereto, stipulate and agree that the Agreement for
Engineering Services dated June 7, 2016, is hereby amended in the following particulars:
SECTION 5 — PAYMENTS TO ENGINEER
Delete, Paragraph 5.1 and replace with the following:
5.1 The maximum not -to -exceed amounts authorized for each phase of work are described in
Appendix A. The CITY OF FAYETTEVILLE shall compensate ENGINEER based on a Unit
Price or Lump Sum basis as described in Appendix A.
APPENDIX A — SCOPE OF SERVICES
A.2 Snecific Scone of Services
In Section A2.4 "Water Master Plan Update (Project FY0363), add the following Item 13:
13. Assist the city staff with preliminary coordination for future improvements necessary
to place into service the existing automated pressure sustaining valves, including
coordination with the manufacturer's representatives, coordination with the
Arkansas Department of Health and Beaver Water District, meetings with the CITY
FY0362 & FY0363 Amendment 1 Page 1
OF FAYETTEVILLE, and preparation of a Memorandum summarizing the results
of the meetings.
A.3 Project Deliverables
In Section A3.1 "Deliverables Dinsmore Trail Water Main Replacement (MWY Project No. FY0362),"
add the following Item 4:
4. Two (2) copies of the Plans of Record
In Section A3.2 "Deliverables Water Master Plan Update (Project FY0363)," add the following Item 4:
4. Two (2) copies of a Memorandum described in section A2.4 Paragraph 13.
AA Compensation
In Section A4.1 "Dinsmore Trail Water Main Replacement (MWY Project No. FY0362)," replace
Paragraphs 1 and 2 with the following:
1. The maximum not -to -exceed amount for services described in Section A2.1 Detailed Design
and Preparation of Construction Plans and Specifications and Section A2.2 Bidding and
Preconstruction Services is $53,144.00. Clarification: This amount is $19,755.00 above the
original agreement amount.
2. The maximum not -to -exceed amount for services described in Section A2.3 Construction
Phase Services is $49,241.00.
In Section A4.2 "Water Master Plan Update (MWY Project FY0363)," replace Paragraph 1 with the
following:
1. The maximum not -to -exceed amount for services described in Section A2.4 Water Master
Plan Update is $153,708.00. Clarification: This amount is $5,020.00 above the original
agreement amount.
All other provisions of the original Agreement remain in full force and effect.
IN WITNESS WHEREOF, CITY OF FAYETTEVILLE, ARKANSAS by and through its Mayor, and
ENGINEER, by its authorized officer have caused this Amendment to be duly executed this day
of 2017.

engineering services agreement, a copy of which is attached to this Resolution, with McGoodwin, Williams
and Yates, Inc., pursuant to RFQ # 16-01, in an amount not to exceed $182,077.00 for a Water Master Plan
update and for design, bidding and construction phase services for the replacement of approximately 3,000
feet of water line on Dinsmore Trail. 1111
