BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAYETTEVILLE, ARKANSAS:
Section 1: That the City Council of the City of Fayetteville, Arkansas hereby authorizes a contract with
Verizon Wireless, pursuant to a State of Arkansas and Western States Contracting Alliance contract, a
copy of which is attached to this Resolution, for the purchase of wireless communication services in the
amounts set forth in the contract, and further authorizes the City's enrollment in the Verizon Wireless
Enterprise Messaging Access Gateway Service.

Section 1: That the City Council of the City of Fayetteville, Arkansas hereby authorizes a contract with
Verizon Wireless, pursuant to a State of Arkansas and Western States Contracting Alliance contract, a
copy of which is attached to this Resolution, for the purchase of wireless communication services in the
amounts set forth in the contract, and further authorizes the City's enrollment in the Verizon Wireless
Enterprise Messaging Access Gateway Service.

RECOMMENDATION:
Authorization to utilize competitively bid state contract SP -16-0063 through the WSCA NASPO
Value Point Cooperative (#1907) with Verizon Wireless for wireless services through June 30,
2019, renewals under the existing agreement by the State of Arkansas and NASPO, and
authorization to enroll with Verizon Wireless for Enterprise Messaging Access Gateway (EMAG)
service.
BACKGROUND:
Wireless Services: Wireless services were bid through a reputable national cooperative known
as WSCA or NASPO Value Point. The State of Arkansas signed a participating agreement for
wireless services with Verizon which can be utilized by all state agencies and cooperative
participants including cities, counties, schools (K-12), colleges and universities.
Contract SP -16-0063 was awarded to Verizon Wireless and is valid through June 30, 2019.
Similar state contracts have been approved for use by City Council including the WEX Fuel
Card, copier purchases and tires.
EMAG: The police department sends information to cell phones via text messages for calls. They
are currently accomplishing this by managing each specific carrier's text address manually. Last
year Verizon modified and limited its text address which hindered the ability for our city cell phones
to receive the full call out page. The resolution for this issue is to implement Verizon EMAG.

DISCUSSION:
The City utilizes wireless services in order to fully function for daily operations. Monthly wireless
invoices are paid by the IT Division and are charged out to each Department and Division within
the City based on usage.
Procuring wireless services through Verizon off the State of Arkansas / WSCA-NASPO contract
gives the City an opportunity to capitalize on a competitively bid multi -state purchasing
cooperative. If the City were to solicit wireless services independently, it would not encompass
enough buying power to receive a deep discount compared to what is offered on the cooperative
contract. Multiple cooperative contracts were evaluated and the WSCA NASPO Verizon
cooperative contract provides the best value for mobile service to the City.
EMAG: The Verizon EMAG service not only provides one central location to manage call out text
but will also manage the other cell carrier's text addresses. This means the Fayetteville Police
Department will no longer be responsible for updating old or discontinued text addresses which
will significantly reduce errors in receiving call out messages.
BUDGET/STAFF IMPACT:
Overall, wireless services are budgeted within each department and division and is the bulk of
the expenditure related to this item. Approximate expense in 2016 was $159,600 for wireless
services for police vehicle computers, fire vehicle computer, staff field computers, and mobile
phones for the entire City.
The EMAG service is offered free of charge for public safety and there will be no staff impact as
a result of entering into the EMAG agreement. Verizon will be paying for and installing all of the
new equipment related to implementing EMAG for the Fayetteville Police Department.

1, 55 -coin,: This addendum covers the WIRELESS SERVICES 2012-2016 lead by the State of
Nevada for use by state agencies and other entities located in the Participating State
authorized by that state's statutes to utilize state contracts.
2. Participation: All eligible purchasers within the State of A.kansas including State
Agencies, k-12, and local public procurement units (cities, counties, municipalities) are
authorized to purchase products and services under the terrrrs and conditions of this price
agreement.

1. The lags of the State of Arkansas shall govern this agreement.
2. Payments shall be submitted to the Contractor at the address shown on the invoice.
Payment shall be tendered to the coratrza.ctor within thirty (30) days of the date of
invoice, After the sixtieth (60) day froin the date of the invoice unless mutually
agreed to, interestshall be paid on the unpaid balance clue to the contractor at the
rate of one half of one percent per month in accordance with Arkansas Cade
Anuotated §19-11-224. The procuring agency shall make a good -faith effort to pay
within thirty= Q0) days after- the date of invoice.
3. Records relevant to Purchasing Entity transactions shall be subject to examination by
appropriate government authorities for a period of five (5) years from the date of
acceptance of the purchase order, provided, however, that such government
authorities shall provide thirty (30) clays ivritten notice to Contractor of its intent to
conduct such examination contemplated by,, this Section 3. The purchasing entity
shall have the right to audit billing either before or after payment during normal
business ours. Payment under this agreenient shall not foreclose the right of the
purchasing entity to recover excessive or illegal pzaymems, further, due to the highly
sensitive and proprietary nature of Contractor's records; any third party auditor
acting on behalf of the purchasing entity shall be sul3ject to prior approval by
Contractor and may be required at Contractor's sole discretion to execute
Contractor's standard Non -Disclosure Agreement prior to cxamining, inspecting,
copying or auditing Contractor's records.
4. A Purchasing Entity shall determine whether al). Products fatad. services delivered meet
the Contractor's published specifications. No payment shall be matte for any
Products or Services until the Purchasing Entity has accepted the Products Or

changes, changes in laws, rales, or regulations, relocation of offices, or lack of
appropriated funding, the State may cancel the Participating Addendum by giving
the contractor(s) - written notice of such c;jnc illation 30 days prior to the crate of
cancellation.
C_ Verizon Wireless may, at its sole disc:r°etion, extend the discounts and plans to
employees of the vlariou,s eligible entities under this Participating Addendum, but the
eligible entity shall have no liability whatsoever cancerning the equipment, services,
or the payments tbereof.
7. Vendor shall be required to provide -annual State Government custorri r_ activity
reports to tho Office of State Proc:urernent. The reports shall he provided by
Septo tuber 1 each year. The ('ontrrac�t Activity Report format must lie in N1icrc�soft
Excel format and for state agencies, it 111ust include: Customer Type, Agency Name,
Agency Pwchase Order Number, Purchase Order late, Ship Date, Invoice Number,
Product Number, Product Description, ListJM:SRP Price, Custoaner Price., Quantity,
Total Price. For authorized local government procurement units the Contract Activity
Report shall include the name of the local government procurement unit and the total
annual dollar spond..by that unit. Reports outlined in this section must be seat to:
OSPPIT'Contracts ell�-�irkansilsaav_. Nothing in this paragraph shall be construed to
require the Contractor to report on ar►yY products or services purchased by ernployees
of the eligible entities herein for which there is no governmental liability.

Verizon Wireless Pl
Plans and Associated Charges: Billing, shipping and end-user address must
be within an area where Verizon Wireless is licensed and provides service.
Charges for calls will be based on the cell sites used, which may be outside the
calling plan coverage area even when the subscriber is physically within the
coverage area. Time of the call is based on the telephone switching office that
carries the call, which may be different from the time of day shown on
subscriber's phone. Unused monthly minutes and/or Megabytes are lost, On
outgoing calls, charges start when subscriber presses SEND or the call connects
to a network, and on incoming calls, when the call connects to a network (which
may be before it rings). A call may end several seconds after subscriber presses
END or the call disconnects. Calls made on the Verizon Wireless network are
only billed if they connect (which includes calls answered by machines). Billing
for airtime and related charges may sometimes be delayed. Calls to "911" and
certain other emergency services are toll-free and airtime -free. Airtime may be
charged when dialing toll-free numbers.
Anytime Minutes: Anytime Minutes apply when making or receiving calls from a
calling plan's rate and coverage area. Coverage information is available at
www.veffzonwireless.com, Airtime is rounded up to the next full minute.
Allowance minutes/Megabytes are not transferable except as may be available
on plans with sharing. In order to gain access to coverage in newly expanding
markets, subscribers must periodically dial "228 to update roaming information
from voice or Smartphone devices; from the VZAccess Manager, go into
"Options" and click "Activation," while in the National Enhanced Services -Rate
and Coverage Area every three months. This may alter the rate and coverage
area. Automatic roaming may not be available in all areas and rates may vary.
Roaming charges may be delayed to a later bill.
Long Distance: Unlimited domestic long distance is included when calling from
the plan's rate and coverage area, unless otherwise specified in the plan.
Unlimited Messaging: Unlimited Messaging is included with- the Talk & Text
Plans and is available in the National Enhanced Services rate and coverage area in
the United States. Messaging applies when sending and receiving (i) text, picture
and video messages to and from Verizon Wireless and Non -Verizon Wireless
customers in the United States, (ii) Text, picture, and video messages sent via
email, (iii) Instant messages, and (iv) Text messages with customers of wireless
carriers in Canada, Mexico, Puerto Rico, and the U.S. Virgin Islands. Messaging is
subject to Text, Picture, and Video Messaging Terms and conditions. Premium
messages are not included. Friends & Family for Business: Calls directed to and
received from an account's listed Friends & Family numbers shall not use
Monthly Anytime Voice Minutes. For Nationwide for Business plans with 900
minutes or more or 450 minute plan with the share option can add up to ten (10)
Friends & Family numbers. Only calls from Nationwide Coverage Area to
designated domestic landline or wireless numbers (excluding Directory Assistance,
900 numbers, or customer's own wireless or Voicemail access numbers) may be
added; all qualifying lines on an account share the same Friends & Family
numbers, up to account's eligibility limits; My Verizon, My Business Account or
Verizon Enterprise Center is required to set up and manage Friends & Family
numbers.
Mobile to Mobile Calling: Mobile to Mobile Calling minutes apply when making
calls directly to or receiving calls directly from another Verizon Wireless
subscriber while in the Nationwide Rate and Coverage area. Mobile to Mobile
calls must originate and terminate while both Verizon Wireless subscribers are
within the Mobile to Mobile Calling area. Mobile to Mobile Calling is not available
(i) with fixed wireless devices with usage substantially from a single cell site, (ii)
for data usage including Push to Talk calls, Picture or Video Messaging (iii) if Call
Forwarding or No Answer/Busy Transfer features are activated, (iv) for calls to
Verizon Wireless customers using any of the global services; (v) for calls to
check Voice Mail, (vi) in those areas of Louisiana and Mississippi where the
users roaming indicator flashes, (vii) in Canada and Mexico and (viii) to users
whose current wireless exchange restricts the delivery of Caller ID And (viiii) for
incoming calls if Caller ID is not present or Caller ID Block is initiated. Mobile to
Mobile Calling minutes will be applied before Anytime Minutes.
Night and Weekend Minutes: Apply to calls made in a calling plan's rate and
coverage area only during the following hours: 12:00 am Saturday through 11:59
pm Sunday and 9:01 pm to 5:59 am Monday through Friday. If both Night and

Nationwide for Business Share Option: The Share Option is available to
businesses with a minimum of five (5) Nationwide for Business lines on the same
account with the share option. The Monthly Anytime Minutes of all lines on an
account will be aggregated, and then allocated first to the line with the highest
anytime minute usage, and then to the line with the next highest usage.
Push to Talk: Push to Talk calls may only be made with other Verizon Wireless
Push to Talk subscribers, and only from the National Enhanced Services Rate
and Coverage Areas. The Push to Talk feature can be added to plans with a
monthly access fee of $34.99 or higher.
For optimal Push to Talk performance, all callers on a Push to Talk session must
have a device that supports EV -DO Rev. A and receives EV -DO service. A Push
to Talk call is terminated by pressing END or will automatically time out after ten
(10) seconds of inactivity. While you are on a Push to Talk call, voice calls will go
directly to Voice Mail. When you are on a voice call, you can't receive a Push to
Talk call. You cannot prevent others who have your wireless phone number from
entering you into their Push to Talk contact list. Only one person can speak at a
time during Push to Talk calls. When using your phone keypad to make a Push
to Talk call, you must enter the ten -digit phone number of the called party.
Presence information may not be available for all Push to Talk contacts. The
accuracy of presence information may be affected by,the network registration
status of a Push to Talk contact. Your Push to Talk service cannot be used for
any applications that tether your phone to computers or other devices for any
purpose. Push to Talk -capable phone and plan/feature required. Push to Talk
subscribers cannot use Push to Talk or other data products and services (i.e.
Picture Messaging, Mobile Web, Get It Now, Mobile Broadband Connect, etc)
while roaming on other carriers' networks at this time.'
International Eligibility: International Eligibility requires a minimum payment
history and credit approval; a contract term and security deposit may also be
required. Failure to maintain these requirements may result in suspension of
International Eligibility without notice. You can remove International Eligibility at
any time by calling Customer Service. You are responsible for any unauthorized
use of your SIM Card and will safeguard security codes. Upon termination of

International Long Distance: You need International Eligibility to make
international calls to most countries, but you can make calls to some North

The Federal Universal Service Charge (FUSC) is a percentage of the customer's applicable monthly wireless service charges based upon an assessment rate that
changes quarterly. The rate for the quarter beginning — October 1, 2013 is 3.69% of the following items:

• Verizon Wireless Toll
• Roaming Charges
• Activation Charges
• Re -connect fees
• Landline Connect Fee

The FUSC on other separately billed interstate and international long distance charges is 15.60%
The quarterly percentage rate described above for the FUSC is applied in our billing system.
Verizon Wireless also imposes state universal service charges. These charges vary by jurisdiction and are subject to change depending on changes.in the state
universal service impositions on Verizon Wireless.
Regulatory Charge
The FCC assesses wireless carriers the costs of enforcement, policy and rulemaking. The Regulatory Fee recovers Verizon Wireless' share of these costs, as well as
some of the costs of implementing regulatory mandates, such as number portability. The Regulatory Charge is a flat charge of $0.16 per Mobile Telephone Number
(MTN) per month (excluding BroadbandAccess and Nationa!Access Plans) and is $0.02 per mobile number per month for BroadbandAccess and NationalAccess
Plans, but is subject to change over time.

be used to send messages to Verizon Wireless subscribers and to subscribers on most domestic wireless carriers (inter-
carrier messaging requires additional provisioning and is subject to message size and reporting limitations. experience by
carrier and region may cause the experience to vary). Customer agrees that it will send messages only to subscribers that
have opted in to receive -its messages by: a) establishing an opt -in process that effectively captures each subscriber's
consent to receive Customer's messages, informs subscribers of the nature and scope of Customer's messaging
campaigns and any financial obligations ("Standard Messaging Charges Apply") associated with' the messaging; b)
maintaining opt -in records for a minimum of 6 months from the date of a subscriber's opt -in consent; and c) immediately
complying with subscriber opt -out requests such as STOP, END, CANCEL, UNSUBSCRIBE or QUIT in compliance with
Mobile Marketing Association (MMA) guidelines (www.mna Iobal.com). Customer can use compatible, properly configured
SNPP, WCTP, XML, TAP, SMPP and SMTP messaging protocols, for which it is solely responsible for maintaining facilities
to monitor its messaging operations, or the EMAG portal, to send up to fifteen text messages per second to subscribers.
Provision of the EMAG service does not obligate Verizon Wireless to support variations of these protocols, whether those
variations are optional within the published protocols or authorized or unauthorized variations to the published protocols.
Customer agrees that a) its messaging will comply with applicable industry guidelines (e -g. MMA's Best Practices and
CTIA's Wireless Content Guidelines) and Verizon Wireless content (www.verizon.comlcontentpolicy) standards as they may
updated from time to time; b) it will not send messages containing executable files or links to other content or premium or
similar messages that require a subscription or surcharge; c) it will not install, deploy, or use any hardware, firmware,
software or other technology or technique to circumvent Verizon Wireless' messaging network operations protections except
as granted under this agreement; and d) it will not send any objectionable material via Enterprise Messaging or advertise,
promote, distributed or use objectionable, material in connection with Enterprise Messaging (for purposes of this agreement,
objectionable material includes, but is not limited to material that: (i) is prohibited by any applicable law, rule or regulation,
(ii) contains anything that is obscene or indecent or anything with strong sexual, explicit or erotic themes or that links to such
content, (iii) contains hate speech; (iv) contains excessive violence; (v) contains extreme profanity; (vi) contains misleading
or fraudulent claims, or (vii) promotes or glamorizes alcohol abuse, illegal drug use or use of tobacco products). Consistent
with prevailing standards in other content distribution mediums, content in this category that does not satisfy the above may
be distributed if included in the context of artistic, educational, medical, news, scientific or sports material. Customer agrees
that its use of Enterprise Messaging will comply with any applicable local, state, national and international laws and
regulations.
3. Public Safety/First Responders:—Public Safety/First Responders shall not be subject to the minimum five (5)
Government Subscriber requirement_ Additionally, for eligible Customers, Customer acknowledges and agrees that the
$0.00 Enterprise Messaging Monthly Access Plan is being provided free of charge for the purpose of public safety and
hereby agrees that it will use this plan in good faith for purposes associated with public safety activities.

4. LIMITATIONS: Wireless phones use radio transmissions which by their nature do not permit the delivery of text
messages when the wireless phone is not in range of one of our transmission sites or a transmission site of another
company that has agreed to carry our customer's calls, or if there is insufficient network capacity available to handle the
message at that moment. Evers within a coverage area, there are many factors that might interfere with the delivery of text
messages, including the subscriber's equipment, terrain, proximity to buildings, foliage, and weather. Verizon Wireless also
does not own or control all of the various facilities and communications lines between Customer's site and Verizon Wireless
Enterprise Messaging access polnl. Due to these natural and technological limitations and the limitation In the number of
messages that can be sent (up to fifteen per second), ENTERPRISE MESSAGING SHOULD NOT BE USED AS THE
SOLE MEANS TO SEND MESSAGES THAT CONTAIN INFORMATION THAT IS ESSENTIAL TO THE PROTECTION OF
LIFE OR PROPERTY, OR IS MISSION ESSENTIAL OR CRITICAL IN OTHER WAYS.
5. CUSTOMER'S ENTERPRISE MESSAGING CONTACT: Customer agrees to provide contact information including a
phone number and email address to Verizon Wireless of an Enterprise Messaging contact or contacts, who shall be
available during business hours and any other time period that Customer utilizes Enterprise Messaging for tate purpose of
assisting to resolve service matters and trouble shooting. Customer must provide written notice of changes to contact
information fourteen days prior.
6. PILOT MOBILE PHONE: Verizon Wireless shall provide Customer with one pilot mobile phone at no charge to manage
password setup and resets. Customer should safeguard the pilot mobile phone in case password resets are needed as
Verizon Wireless must rely on regular mail delivery of password resets if the phone is not available (password resets cannot
be given over the phone or sent via email). This pilot mobile phone will not be capable or making any voice calls. Customer
shall promptly notify Verizon Wireless if the phone is lost, damaged or stolen and Verizon Wireless reserves the right to
charge Customer for replacement phones.
i, TERMINATION OF SERVICE: VERIZON WIRELESS CAN, WITHOUT NOTICE, LIMIT, SUSPEND, OR CANCEL
CUSTOMER'S ACCESS TO OR USE OF THE ENTERPRISE MESSAGING SERVICE OR EMAG IF CUSTOMER
VIOLATES THE RESTRICTIONS OF THIS AGREEMENT OR FOR GOOD CAUSE which shall include, but is not be limited
to: (a) breaching this Agreement or the Customer's Government Agreement; (b) sparnming or other abusive messaging: (c)
using Enterprise Messaging in a way that adversely affects our network, our customers, or other customers; (d) allowing
anyone to tarnper with messaging applications in a manner contrary to this Agreement, (e) any governmental body of
competent jurisdiction suspends or termfnates your service or Institutes a requirement, ruling or regulation that conflicts with
this Agreement; or (f) operational or other governmental reasons.
8. DISCLAIMER AND LIMITATION OF LIABILITY: CUSTOMER AGREES THAT ENTERPRISE MESSAGING AND
EMAG IS PROVIDED ON AN "AS 1S" BASIS AND CUSTOMER'S USE OF ENTERPISE MESSAGING AND EMAG IS ITS
SOLE RESPONSIBILITY, VERIZON WIRELESS (AND ITS OFFICERS, EMPLOYEES, PARENTS, SUBSIDIARIES AND
AFFILIATES), ITS THIRD PARTY LICENSORS, PROVIDERS VENDORS AND SUPPLIERS, DISCLAIM ANY AND ALL
WARRANTIES FOR ENTERPRISE MESSAGING, EMAG OR TEXT MESSAGE DELIVERY, WHETHER EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR
A PARTICULAR PURPOSE, NON INFRINGEMENT, NONINTERFERENCE, AND THOSE, ARISING FROM COURSE; OF
DEALING, COURSE OF TRADE, OR ARISING UNDER STATUTE, VERIZON WIRELESS DOES NOT WARRANT THAT
ENTERPRISE MESSAGING OR EMAG WILL BE WITHOUT FAILURE, DELAY, INTERRUPTION, ERROR, OR LOSS OF
CONTENT, DATA, OR INFORMATION. VERIZON WIRELESS SHALL NOT BE LIABLE FOR ANY FAILURE TO PROVIDE
ENTERPRISE MESSAGING AND MAKES NO GUARANTEES THAT ANY TEXT MESSAGE= WILL BE DELIVERED.
NEITHER PARTY, NOR ITS AGENTS OR VENDORS, SHALL BE LIABLE TO THE OTHER PARTY, ITS EMPLOYEES,
AGENTS OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE
DAMAGES,
9. INDEMNIFICATION: Customer shall defend, indemnify, and save harmless Verizon Wireless and its successors,
assigns, employees, and agents, and their heirs, legal representatives and assigns from any and all claims or demands,
Including claims for bodily injury or death, or damage to property, arising from Customer's use of Enterprise Messaging or
EMAG including reasonable counsel fees and costs.
10. NO RESELLING: Customer cannot resell Enterprise Messaging services or allow third parties to use Enterprise
Messaging or access EMAG without prior written permission from Verizon Wireless.
11, SUBJECT TO CUSTOMER'S GOVERNMENT AGREEMENT: These terms supplement Customer's Government
Agreement as it relates to Enterprise Messaging and EMAG and the terms of such Agreement, are applicable to Customer's
use of Enterprise Messaging and EMAG. If there are any inconsistencies between these terms and Customer's
Government Agreement these terms shall control with respect to Enterprise Messaging.

Customer represents and warrants to Verizon Wireless that: (a) the execution, delivery and performance of this Agreement
have been duly authorized by all necessary company action of Customer to the extent applicable; and (b) the person
signing this Agreement on Customer's behalf is duly authorized to bind Customer to this Agreement. Customer further
represents and warrants that it shall use EMAG service only with enrolled subscribers and in accordance with this
Agreement and applicable industry standards.
