BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. That the City Council of the City of Fayetteville, Arkansas hereby awards RFP
#10-10 and approves a contract in an amount not to exceed $55,000.00, a copy of which is
attached as Exhibit "A," with Treadwell Institute to provide administrator services for an energy
efficiency and conservation block grant community revolving loan fund.
Section 2. That the City Council of the City of Fayetteville, Arkansas hereby approves a
budget adjustment, a copy of which is attached as Exhibit "B."

Agreement
This contract executed this /V day of [� , 2010, between the City of Fayetteville, Arkansas,
and Treadwell Institute. In consideration of the mutual covenants contained herein, the parties agree as follows.
WITNESSETH:
WHEREAS, City has previously determined that it has a need for AN ADMINISTRATOR FOR A
COMMUNITY REVOLVING LOAN FUND; and
WHEREAS, City, after soliciting competitive proposals for such services pursuant to City of
Fayetteville RFP 10-10 (herein after referred to as Request for Proposal or RFP), City has awarded this contract
to Treadwell Institute; and
WHEREAS, Treadwell Institute has represented that it is able to satisfactorily provide these services
according to the terms and conditions of the RFP, which are incorporated herein by reference, and the terms and
conditions are contained herein; and
WHEREAS, The City of Fayetteville has received a grant for such funding and Treadwell Institute
agrees to follow all conditions, regulations, and rules of such grant, and
NOW THEREFORE, in consideration of the above and mutual covenants contained herein, the parties
agree as follows:
1. Services to be Performed: Treadwell Institute hereby agrees to provide the City with
ADMINISTRATOR SERVICES FOR A COMMUNITY REVOLVING LOAN FUND, as requested and more
specifically outlined in the RFP, this agreement, and all subsequent official documents that form the Contract
Documents for this Agreement.
2. Pricing: Treadwell Institute at its own cost and expense shall furnish all labor, services, materials,
marketing, supplies, machinery, equipment, tools, supervision, bonds, insurance, tax permits, and all other
accessories and services necessary to complete items bid per RFP 10-10 as stated in Treadwell Institute's

proposal, and in accordance with specifications attached hereto and made a part hereof under RFP # 10-10, all
included herein as if spelled out word for word.
3. Time of Service: Services shall be performed in a timely manner, as specified in the RFP.
4. Term of Agreement: Services performed pursuant to this Contract shall commence upon execution of
this agreement and continue for a period of ONE (1) year, unless canceled or terminated within thirty (30) days
written notice by either party. This contract may be automatically renewed for FOUR (4) additional one (1)
year terms after the initial contract period. This option shall be exercised only if all discounts, prices, terms and
conditions remain the same, and approval is granted by the Fayetteville City Council.
5. Amendment of Contract: This Contract may be amended only by mutual agreement of the parties.
6. Assignment and Subcontracting: Treadwell Institute shall perform this contract. No assignment or
subcontracting shall be allowed without the prior written consent of the City. In the event of a corporate
acquisition and/or merger, Treadwell Institute shall provide written notice to the City within thirty (30) business
days of such notice of action or upon the occurrence of said action, whichever occurs first. The right to
terminate this contract, which shall not be unreasonably exercised by the City, shall include, but not be limited
to, instances in which a corporate acquisition and/or merger represent a conflict of interest or are contrary to any
local, state, or federal laws. Action by the City awarding a proposal to a Proposer, which has disclosed its intent
to assign or subcontract in its response to the RFP, without exception shall constitute approval for purposes of
this Agreement.
7. Cancellation: The City of Fayetteville reserves the right to cancel this Contract, without cause, by
giving thirty (30) days notice to Treadwell Institute of the intent to cancel, or with cause if at any time
Treadwell Institute fails to fulfill or abide by any of the terms or conditions specified.
Failure of the Treadwell Institute to comply with any of the provisions of this contract shall be
considered a material breach of contract and shall be cause for immediate termination of the contract at the
discretion of the City of Fayetteville.
hi addition to all other legal remedies available to the City of Fayetteville, the City reserves the right to
cancel and obtain from another source any services which have not been provided within the period of time

stated in the proposal, or if no such time is stated, within a reasonable period of time from the date of order or
request, as determined by the City.
In the event that sufficient budgeted funds are not available for a fiscal period, the City shall notify
Treadwell Institute of such occurrence and the Contract shall terminate on the last day of the then current fiscal
period without penalty or expense to the City. The City reserves the right to terminate within the thirty (30) day
notice because of budgetary issues.
8. Compensation: As compensation for Treadwell Institute providing services to the City as described
herein, the City shall pay Treadwell Institute in arrears, based on the submission of invoices for work completed
and properly authorized.
9. Permits & Licenses: Treadwell Institute shall secure and maintain any and all permits and licenses
required to complete this contract.
10. Minimum Insurance Requirements: Treadwell Institute shall maintain insurance in at least the
amounts required in the RFP throughout the term of this contract. Treadwell Institute must provide a Certificate
of Insurance in accordance with the insurance requirements listed within the RFP, evidencing such coverage
prior to issuance of a purchase order or commencement of any work under this contract. Treadwell Institute
shall ensure that any subcontractors or persons hired by subcontractors maintain the same level of insurance
coverage as Treadwell Institute.
11. Indemnification: Treadwell Institute shall indemnify, pay the cost of defense, including but not limited
to attorneys' fees, and hold harmless the City from all suits, actions or claims of any character brought on
account of any injuries or damages received or sustained by any person, persons, or property by or from the said
Treadwell Institute; or by, or m consequence of any neglect in safeguarding the work; or on account of any act
or omission, neglect or misconduct of Treadwell Institute; or by, or on account of, any claim or amounts
recovered under the Workers' Compensation Law or of any other laws, by-laws, ordinances, order of decree,
except only such injury or damage as shall have been occasioned by the sole negligence of the City of
Fayetteville. The first ten dollars ($10.00) of compensation received by Treadwell Institute represents specific
consideration for this indemnification obligation.

12. Governing Law & Jurisdiction: Legal jurisdiction to resolve any disputes shall be Washington
County, Arkansas with Arkansas law applying to the case.
13. Severability:, The terms and conditions of this agreement shall be deemed to be severable.
Consequently, if any clause, term, or condition hereof shall be held to be illegal or void, such determination
shall not affect the validity of legality of the remaining terms and conditions, and notwithstanding any such
determination, this agreement shall continue in full force and effect unless the particular clause, term, or
condition held to be illegal or void renders the balance of the agreement impossible to perform.
14. Changes in Scope or Price: Changes, modifications, or amendments in scope, price, or fees to this
contract shall not be allowed without a prior formal contract amendment approved by the Mayor and the City
Council in advance of the change in scope, cost or fees.
15. Freedom of Information Act: Documents prepared while performing city contractual work are subject
to the Arkansas Freedom of Information Act. If a Freedom of Information Act request is presented to the City
of Fayetteville, Treadwell Institute will do everything possible to provide the documents in a prompt and timely
manner as prescribed in the Arkansas Freedom of Information Act (A.C.A. §25-19-101 et. seq.) Only legally
authorized photocopying costs pursuant to the FOIA may be assessed for this compliance.
16. Documents Comprising Contract: The contract shall include this Agreement for AN
ADMINISTRATOR FOR COMMUNITY REVOLVING LOAN FUND, as well as the following documents,
which are incorporated herein by reference.
a. Appendix A: City of Fayetteville's Request for Proposal and all of its addenda and attachments
issued on or around May 24, 2010;
b. Appendix B: Treadwell Institute's Proposal.
c. Appendix C: Treadwell Institute's Certificate of Insurance as required, listing the City as an
additional insured;
If there is a conflict between the terms of this Agreement and the above referenced documents, the conflict
shall be resolved as follows: the terms of this Agreement shall prevail over the other documents, and the terms
of the remaining documents shall be given preference in their above listed order.

17. Protect Approval: The City of Fayetteville Mayor, or Project Manager shall authorize all projects for
final approval.
18. Procurement Process & City Procedures: Treadwell Institute shall follow all state, local, and federal
laws. All City policies and state laws shall be followed at all times. Treadwell Institute shall coordinate with
the City of Fayetteville Purchasing Division for all bidding and quoting requirements, procedures, etc. City of
Fayetteville Purchasing Division or Project Manager shall approve all work between Treadwell Institute and
selected parties.
19. Reporting Requirements: Treadwell Institute shall follow all reporting requirements required by the
Department of Energy and the City of Fayetteville. At a minimum, the deadlines listed below will apply to
reporting and invoicing.

c. July — September: Due October 1st
d. October — December: Due January 1st

Description
Using funds from the Energy Efficiency and Conservation Block Grant as part of the American
Recovery and Reinvestment Act (ARRA), the City is hiring Treadwell Institute at a flat 20% fee
of the total project cost, not to exceed $55,000, to administer the Community Revolving Loan
Fund. The Community RLF will provide funding to non -profits to perform energy efficiency
upgrades on their facilities while using the energy dollar savings to pay back the loan.
Treadwell Institute will identify projects, provide energy audit services, and assist non -profits
in developing the full project. Treadwell will also pursue other funding sources through grants,
foundations, etc. to bolster the Community RLF program.
Selection Process
The City issued a Request for Proposal 10-10 soliciting firms to administer the Community RLF
fund. Treadwell Institute was selected by a committee.
Budget Impact
Contract costs will be paid for exclusively by Energy Efficiency and Conservation Block Grant
funding as obtained by the City of Fayetteville in September 2009.

I. Business Organization and Experience.
Treadwell Institute is a non profit devoted to finding sustainable solutions to the built
environment. Mikel C Lolley is the Founding Executive Director with over 15 years
experience as a Design / Builder, quietly performing his own Greenovation experiments on
his own projects -- self performing all aspects as Owner / Developer / Specifier / Builder, and
most importantly, as the on-going Facility Manager.
This practical experience has allowed Mikel to be a much better predictor of how design and
construction decisions endure over time. What decisions will fail? When will they fail? How
they will fail? And, where they will fail?
Every design decision and every construction detail needs to be run through this framework.
Predicting what those decisions and details will look like after the one year warranty period,
after 5 years, 10 years, and even to the end of a 39 year depreciation schedule is the
GREENEST contribution that a design/builder can provide for any owner on any project and
for any building.
Predicting the future of how gracefully materials, equipment and technology will endure over
time is like looking into a crystal ball, and is the filter that is often conspicuously missing
from the conversations of the design professionals, and the subsequent builders.
These same building owners and facilities managers are left to contend with those short sided
decisions for the next 20 plus years, and at tremendous add cost and energy over the lifecycle
of the building.
This can and should be avoided thru more due diligence up front, more practical experience
informing the design decisions, more hands-on experience for informing the actual
execution, all aimed at fostering less embedded energy consumed repairing and maintaining
design and construction errors that cannot endure the test time.

III. Recent History.
Treadwell Institute the non-profit has been performing Energy Evaluations and Energy
Efficiency Recommendations on residential, small commercial, non-profit, and schools over
the past year and a half. Treadwell LLC has been self performing similar services on their
own buildings since 1995. Neither entity has performed services for any governmental
agency in the past.
IV. Description of similar work in past five years.
Treadwell has been calling upon non -profits over the past year and conducting the initial
Energy Survey Walk-thru's. From these survey's, Treadwell has been running Energy
Analysis software to predict the most appropriate interventions that would be most effective
in reducing energy consumption and corresponding cost saving back to the owner's. This
same software then calculates the ROl's and SIR' s for each line item of intervention or
action taken. Treadwell has been sitting on these potential projects until the incentives that
have been looming on the horizon could be collected and included in the proposals. These
incentives include the City RLF, Federal Tax Credits, Utility Company Credits, as well as
Arkansas Energy Office Tax Credits. Together these incentives are exactly what we need
given the current fragile US economy to push building owner to commit to the energy
efficiency upgrades now while these opportunities last.
Treadwell has been practicing Greenovation since the mid 90's on their own projects and has
been a pioneer in the industry of sustainability as it pertains to energy efficiency and
weatherization. It is challenging to extrapolate where the line between a conventional project
and a green project exists when employing the same intellectual property, knowledge and
experience to all projects.

VI. Program:
i. Bulk purchasing thru pre vetted and preferred suppliers for best price for most regularly
used materials such as caulk, weather stripping, insulation(s), doors and windows etc.
Regularly used materials to be maintained in a revolving inventory to mitigate
unnecessary lead time and performance issues.
Pre -vetted and preferred subcontractors for best price, (fully licensed and insured)
subcontractors for HVAC, Plumbing, and Electrical, and Insulation.
Pre -vetted and preferred subcontractors for Caulk, Paint, Carpentry etc.
ii. Identify potential facilities, contact directly their building owner's and educate them on
the City of Fayetteville Revolving Loan Fund and Energy Efficiency Program.
Conduct an Energy Survey for the existing building. Identify potential interventions that
could save energy and corresponding cost savings in their utilities for Gas, Electric,
Water, Sewer and Trash.
Plug interventions into Energy Modeling Program and rank interventions upon ROI
(return on investment) and SIR, (savings investment ratio).
iii. Direct marketing and solicitation for Non -profits to participate in this program.
Conduct a thorough Energy Survey Walk thru.
Identify and rank projects with the City that demonstrate highest potentials for energy
efficiency interventions, corresponding energy savings and corresponding cost savings to
the building owner that would go toward repaying the borrowed amount to RLF.
Perform Certified Energy Audit and develop detailed scope of work.
Solicit bid proposals from subcontractors for materials and labor.
Manage closely in the field that the implementation for the scope of work meets the
prescribed specifications to completion and final inspections prior to releasing of any
money's to subcontractors.
Work closely with non -profits to establish the payment program and reporting
requirements.
Solicit fundraising to enhance the Community RLF.

VII. Cost Proposal:
Treadwell Institute will perform the services listed above at a flat 20% fee, of the total RLF of
$275,000, for a maximum annual fee of $55,000. Any loan amount of the RLF not allocated
towards projects within the 1 -year contract duration will be refunded at that same 20%.

I have reviewed the information you provided concerning a proposal submitted
pursuant to RFP 10-10 by Treadwell Institute. It appears that Alderman Matthew Petty is
Vice -Chairman of the Board of Directors of Treadwell, and you asked whether or to what
extent this relationship may pose a conflict of interest prohibiting the City from entering
into an agreement with Treadwell.
State law prohibits city officials and employees from having any "interest" in
contracts entered with the City. Specifically, state law states that "[n]o alderman, council
member, official, or municipal employee shall be interested, directly or indirectly, in the
profits of any contract for furnishing supplies, equipment, or services to the municipality
unless the governing body of the city has enacted an ordinance specifically permitting
aldermen, council members, officials, or municipal employees to conduct business with
the city and prescribing the extent of this authority." Ark. Code Ann. § 14-42-107(b)(1).
The City of Fayetteville has enacted an ordinance defining the authority of a city
employee to contract with the City.' "An employee of the city shall be permitted to
conduct business with the city, provided the contract or job is for services, is submitted as
a competitive bid, is approved by the City Council following disclosure of the direct or
indirect financial interest of the individual employee, and the total sum payable under the
contract does not exceed $500.00." Fayetteville, Ark. Code § 34.26.
The contract at issue with Treadwell would exceed $500.00, and as a member of
the Board of Directors of Treadwell, Alderman Petty could have at least an indirect
benefit from an agreement with the City. Since this is the case, I believe the City is not
permitted to enter into an agreement with Treadwell pursuant to RFP 10-10.

Purpose
Following the July 27, 2010 City Council Agenda Session there were questions from City Council
members regarding the relationship between Alderman Matthew Petty and the Treadwell Institute
due to a memo from Assistant City Attorney, Jason Kelley that was included in the agenda packet.
The purpose of this memo is to clarify the terms of that relationship and to describe the decision -
making process for how the Treadwell Institute was selected for this contract.
Description
The deadline for RFP 10-10 Community Revolving Loan Fund was June 16, 2010. Treadwell Institute,
a local non-profit, was the only submittal for this RFP. On June 22, 2010 it was determined that
Alderman Matthew Petty was an active board member for Treadwell Institute. For clarification this
information was presented to Jason Kelley, Assistant City Attorney. Jason responded with a memo
(see City Council Agenda Packet) outlining the state law that "prohibits city officials and employees
from having any'interest' in contracts entered with the city." Mikel Lolley, Treadwell Institute, was
notified of the violation.
Since Treadwell Institute was the only submittal Mr. Lolleywas given the opportunity to address the
issue. A short time later on June 22, 2010, Alderman Matthew Petty submitted a letter of
resignation to the Treadwell Institute which was then given to city staff. Based on this letter and the
Treadwell Institute's position as the only applicant, city staff determined that the Treadwell Institute
remained a viable alternative for this project.
On June 25, 2010, the proposal from Treadwell Institute was sent via email to the RI=P selection
committee (see attached email). The committee determined that Treadwell met all of the criteria
required of the RFP and was officially selected.

SUBJECT: Change Order - Resolution 138-10 — Contract with Treadwell Institute
On August 24, 2010 the City of Fayetteville entered into an agreement with Treadwell Institute to serve as
project manager for the City's Community Revolving Loan Fund. The contract stated that Treadwell Institute
would perform the services for a flat 20% fee, of the total RLF of $275,000, for a maximum annual fee of
$55,000.
On July 15, 2011, City of Fayetteville staff, including project team members, Andrea Foren, Peggy Bell, and
myself along with Paul Becker and Marsha Hertweck decided to reduce the project total amount from $275,000
to approximately $170,000 and a maximum of three contracts. This decision was made because of the extended
amount of time it had already taken to develop this new lending program, and the anticipated time of
implementation of the three contracts with Mt Sequoyah, Chamber of Commerce, and Botanical Gardens of the
Ozarks. This change limits the total one year contract between August 24, 2010 and August 24, 2011 to
$34,000.
Because the project implementation period has extended beyond the one year contract date of August,24, 2011,
the RLF project team has agreed to extend the contract with Treadwell Institute until January 10, 2012 at a fee
of $18,333.33. This extended period will allow for the completed construction of the three contracts as well as
sufficient time to complete reporting requirements to the Department of Energy.
To date the City has paid $41,250.06 on the contract and will spread the remaining $11,083.27 over five
payments. All funding for this project comes from the Energy Efficiency and Conservation Block Grant
program through the United States Department of Energy.
Amendment to Contract for Services Executed between
The City of Fayetteville, Arkansas and Treadwell Institute
The City of Fayetteville and Treadwell Institute agree to extend the service
contract for the Community Revolving Loan Fund as identified in the contract for
services executed between the City of Fayetteville, Arkansas and Treadwell Institute and
approved by Resolution No. 138-10 of the City Council of the City of Fayetteville,
Arkansas, for a period ending January 10, 2012. The City of Fayetteville will pay a total of
$11,083.27 in five payments of $2,216.65 each to perform project management services
for this additional period. The City of Fayetteville and Treadwell Institute specifically
agree that In no event shall Treadwell Institute's compensation pursuant to the
agreement exceed a total of $55,000.00 for all services rendered.
All other terms and conditions of the existing agreement between the parties,
and not inconsistent with this amendment, shall remain in full force and effect.
