A RESOLUTION TO APPROVE AND CERTIFY THE

WHEREAS, Arkansas Western Gas Company is planning to relocate a major call center
to the former Proctor & Gamble building on Millsap which will create 80 new jobs; and
WHEREAS, in order to certify Arkansas Western Gas Company to participate in the
sales and use tax refund program, either Washington County or the City of Fayetteville, or both,
must "(s)pecify that the Department of Finance and Administration is authorized to refund local
sales taxes to the qualified business." {A.C.A. § 15-4-2706 (d)(B)(ii)}; and
WHEREAS, the City of Fayetteville or Washington County must also endorse Arkansas
Western Gas Company's participation in this state and local sales and use tax refund program;
and
WHEREAS, bond indentures prevent diversion of sales tax proceeds from the city's
bonded penny sales and use tax.
NOW, THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF FAYETTEVILLE, ARKANSAS:
Section 1: That the City Council of the City of Fayetteville, Arkansas hereby endorses
Arkansas Western Gas Company's participation in the sales and use tax refund program
authorized by A.C.A. § 15-4-2706 (d) in relation to its equipping of a new call center located at
Millsap in Fayetteville, Arkansas.
Section 2: That the City Council of the City of Fayetteville, Arkansas hereby specifies
that the Department of Finance and Administration is authorized to refund the non -bonded penny
city sales tax to Arkansas Western Gas Company for qualified equipment purchased for its

SUBJECT: Approve participation of Arkansas Westetrn Gas Company in the
Arkansas Tax Back Program
RECOMMENDATION; Approve Resolution for Arkansas Western Gas to participate in the
Arkansas Tax Back program.
BACKGROUND: Arkansas Western Gas is relocating a major call center to the former P & G
building on Milsap. As a result of the relocation, 80 new jobs will be created. More than 400
people total will work at the call center. AWG will invest more than $2,000,000 00 in new
equipment for the facility. The Arkansas Tax Back program will refund sales tax expenses to
the company on all purchases to equip the facility. A Resolution from the municipality is
required for the company to participate.

RE. Sales Tax Refund to Arkansas Western Gas Company for an
enlarged call center to be located at 655 East Millsap
Arkansas Western Gas Company is applying to use the state and local sales
and use tax refunding program authorized for eligible businesses in A.C.A.
§15-4-2706 to encourage economic development. According to Ray Boudreaux's
memo of April 151, Arkansas Western Gas Company is planning to relocate a major
call center to the old Procter & Gamble building at 655 E. Millsap Eighty new
jobs are supposed to be created there. The building will house 400 workers and
Arkansas Western Gas Company plans to invest $2 million in new equipment for
the facility.
Arkansas Western Gas Company would like to take advantage of the state
and local sales tax refund program to receive back all state sales tax and also local
sales tax (maybe) on this full $2 million. If the City council agrees to this for
economic development purposes the refund of the one penny general operating
sales tax on $2 million would be $20,000.00.
I doubt if the City of Fayetteville could authorize diversion for refund
purposes of the one penny sales tax that is pledged to pay off the bonds for the
sewer improvement project, streets, and trails. I do not know if Washington
County has also been asked to agree to authorize the refund of its local sales tax for
this $2 million equipment purchase. If so, the City of Fayetteville would lose
several thousand dollars additionally from its share of the County's one cent
operating penny.
The state law used to provide that our required Resolution had to state
"whether the municipality or county authorizes the refund of all or a part of any
(local) sales tax ...." The Legislature changed that statutory provision to require
that the city or county must authorize the refund of local sales tax. Thus, the city
or county must now also agree to give back its own sales tax if the state refunds its
sales tax.
I will check with Gordon Wilborn of Kutak Rock for the final decision about
our bond indenture on our one cent sales tax supporting our sewer, streets and trails
bonds. I have drafted the proposed Resolution to authorize refunding the operating
penny sales tax ($20,000.00), but not the bond penny

sales and use tax rate in effect at the time the financial incentive agreement was signed
by the commission.
(5) If a business plans to apply for benefits under this subsection and also plans to apply
for benefits under § 15-4-2705, the financial incentive agreement under § 15-4-2705 must
be signed within twenty-four (24) months after signing the financial incentive agreement
under this subsection.
(6) A qualified business that enters into a lease for a building or equipment for a period
in excess of five (5) years may count the lease payments for five (5) years as a qualifying
penditure for the investment threshold required for this investment incentive.
(d)(1)(A) An application for a state and local sales and use tax refund for a new and
expanding eligible husiness shall be filed with the commission contingent upon the approval of
an endorsement resolution from the governing authority of a municipality or county, or both,
in whose jurisdiction the husiness will be located.
(8) The resolution shall:
(i) Endorse the applicant's participation in this sales and use tax refund program;
and
(ii)(a) Specify that the Department of Finance and Administration is authorized to
refund local sales taxes to the qualified business.
(b) A municipality or county, or both, may authorize the refund of any sales or use
tax levied by the municipality or county but may not authorize the refund of any
sales or use tax not levied by the municipality or county in which the qualified
usiness is located.
Any eligible business that applies for a sales and use tax refund ander this
subsection shall invest in excess of one hundred thousand dollars ($100,000) in order to
qualify for the sales and use tax refund.
(2)(A)(i) A sales and use tax refund of state and local sales and use taxes, excepting the
sales and use taxes dedicated to the Educational Adequacy Fund created in § 19-5-1227
and the Conservation Tax Fund as authorized by § 19 6 484, on the purchases of the
material used in the construction of a building or buildings or any addition, modernization,
or improvement thereon for housing any new or expanding qualified. business and machin-
ery and equipment to be located in or in connection with such a building shall he authorized
by the Director of the Department of Finance and Administration.
(ii) The local sales and use tax may be refunded only from the municipality or
county, or both, in which the qualified business is located.
(13) A refund shall not be authorized for:
(i) Routine operating expenditures; or
(ii) The purchase of replacements of items previously purchased as part of a project
under this subsection unless the items previously purchased are necessary for the
implementation or completion of the project..
(3) Subject to the approval of the commission, a program participant may make changes
in a project by written amendment to the project plan filed with the commission.
(9) All claims for sales and use tax refunds under this subsection shall he denied unless
they are filed with the Revenue Division of the Department of Finance and Administration
within three (3) years from the date of the qualified purchase or purchases.
(5)(A) In order to be eligible for the benefits under this subsection, a business shall sign
a job creation financial incentive agreement under § 15-4-2705, § 15-4-2707, or subsection
(b) of this section and comply with the eligibility requirements of the incentive agreements.
(B) The financial incentive agreement under § 15-4-2705, § 15-4-2707, or subsection
(b) of this section shall be signed within twenty-four (24) months after signing the
financial incentive agreement under this subsection.
(e)(1) A new targeted business shall be eligible for a refund of state and local sales and use
taxes for qualified expenditures identified in the -project plan if:

RESOLUTION OF THE CITY OF FAYETTEVILLE CERTIFYING ARKANSAS WESTERN
GAS COMPANY, TO PARTICIPATE IN THE TAX BACK PROGRAM (AS AUTHORIZED
BY SECTION 15-4-2706(d) OF THE CONSOLIDATED INCENTIVE ACT OF 2003).
WHEREAS, in order to be considered for participation in the Tax Back Program, the local
government must endorse a business to participate in the Tax Back Program; and
WHEREAS, the local govemment must authorize the refund of local sales and use taxes as
provided in the Consolidated Incentive Act of 2003; and
WHEREAS, said endorsement must be made on specific form available from the Arkansas
Department of Economic Development; and
WHEREAS, ARKANSAS WESTERN GAS COMPANY located at 655 EAST MILSAP,

requested benefits accruing from THE PURCHASE OF EQUIPMENT

THAT:
1. ARKANSAS WESTERN GAS COMPANY be endorsed by the State of Arkansas for
benefits from the sales & use tax refunds as provided by Section 15-4-2706(d) of the
Consolidated Incentive Act of 2003.
2. The Department of Finance and Administration is authorized to refund
local sales and use taxes to ARKANSAS WESTERN GAS COMPANY.
3. This resolution shall take effect immediately.
