BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAYETTEVILLE, ARKANSAS: Section 1. That the City Council of the City of Fayetteville, Arkansas hereby approves Amendment No. 2 to the agreement for professional engineering services with Black & Veatch Corporation in the amount of $36,000.00 for construction phase services of Fayetteville Existing 36 -Inch Water Transmission Line - Rehabilitation Study. AMENDMENT NO. 2 TO AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES BETWEEN CITY OF FAYETTEVILLE, ARKANSAS AND BLACK & VEATCH CORPORATION WI-IEREAS, On April 16, 2003, the City of Fayetteville, Arkansas (CITY OF' FAYETTEVILLE) and Black & Veatch Corporation of Kansas City, Missouri (BLACK & VEATCH) entered into an Agreement for engineering services in connection with the Fayetteville Existing 36 -inch Water Transmission Line — Rehabilitation Study (the "Project"). The scope of the services for the Agreement included a Study. On September 20, 2005, Amendment No. I was issued to amend the scope of services. The scope of these services included Final Design Phase, Bidding Phase, Construction Phase, Post Construction Phase Services, and WHEREAS, BLACK & VEATCH has proceeded with these services in accordance with the scope set forth in the Agreement, and WHEREAS, CITY OF FAYETTEVILLE requests that the scope of BLACK & VEATCH 's services to be amended to provide Additional Services for Construction Phase for the Project, and NOW THEREFORE, in consideration of the mutual covenants and Agreements herein contained, CITY OF FAYETTEVILLE and BLACK & V EATCI-I, the parties hereto, stipulate and agree that the Agreement for Engineering Services dated April 16, 2003 and as modified by Amendment No. 1, is hereby amended in the following particulars: SECTION 2 - BASIC SERVICES OF BLACK & VEATCH 2.1 Construction Phase Services Add the following tasks to Appendix D of the Agreement and as modified by Amendment No. I. D.3.8 ADDITIONAL OFFICE SUPPORT SERVICES DURING CONSTRUCTION. Supplemental construction phase services include additional office support services due to the Contractors delay in meeting the original construction Substantial Completion Date, and an eleven month extension in the construction period. Additional (asks include: Fayetteville Amendment No 2.doc 1 4/1/2008 D.3.8.1 MANAGEMENT. Additional supervision and coordination of the services provided by BLACK & Veatch, including the scheduling and assignment of personnel, invoicing additional consultation and coordination with CITY OF AYETTEVILLE and monitoring of the work progress. 113.8.2 OFFICE SUPPORT. Perform additional reviews of Contractor submittals required by the construction contract documents, including the following: • Additional updated construction schedules. • Additional drawings and other shop drawings data submitted by the Contractor • Additional Contractor monthly payment applications and supporting data. D.4.8 ADDITIONAL FIELD SUPPORT SERVICES DURING CONSTRUCTION. D.4.8.1 MON'T'HLY PROGRESS MEETINGS. Participate in three additional monthly progress meetings and distribute meeting minutes. While on-site, consult with the CITY OF FAYETTEVILLE and Contractor regarding problems and/or the progress of the construction. '1.4.8.2 PERIODIC SITE VISITS. Additional site visits are anticipated by BLACK & VEATCH's Resident Engineer to observe the work being performed at Highway 412 site. The site visits will be at intervals appropriate to the stages of the construction to observe the general progress and quality of the executed work. It is anticipated that up to twenty (20) additional site visits will be required, with each site visit consisting of up to eight (8) manhours to observe the work. SECTION 4 - PERIOD OF SERVICE Modify SECTION 5.3 of Amendment No. I to include an additional 340 calendar days to the completion date for Construction Phase Services as established by the Notice to Proceed to Contractor: 5.3 The services described in this Amendment No. 2 and previous Amendment No. I are expected to be completed in accordance with the following schedule: Construction Phase Services Completed within 460 days From Notice to Proceed to Contractor by CITY OF FAYETTEVILLE Fayetteville Amendment No 2R1.doc 2 2/18/08 SECTION 6 - PAYMENTS TO BLACK & VEATCH 6.1 Compensation Delete SECTION 6.1.3 of the Agreement and replace with the following: 6.1.3 Basic Services of Amendment No. 2 For the scope of Additional Services set forth in this Amendment No. 2, including Additional Services for Final Design Phase, Bidding Phase, and Construction Phase, the CITY OF FAYETTEVILLE agrees to pay BLACK & VEATCH and on an ACTUAL COST NOT -TO - EXCEED BASIS with the upper limit as set forth herein. The total payment to BLACK & VEATCH for these Additional Services shall not exceed thirty-six thousand dollars ($36,000) except as provided for in Section 3 of the Agreement. 6.1.3.1 Subject to prior City Council approval, adjustment of the not -to -exceed upper limit may he made should BLACK & VEATCII establish and CITY OF FAYETTEVILLE agree that there has been or is to be a significant change in scope, complexity or character of the services to be performed; or if CITY OF FAYETTEVILLE decides to amend the duration of work from the time period specified in the amended Agreement for completion of work and such modification warrants such adjustment. Changes, modifications, or Amendments in scope, price, or fees to this Amendment No. 2 shall not be allowed without formal contact amendment approved by the Mayor and City Council in advance of the change in scope, cost, fees, or deliver schedule. 6.1.3.2 The CITY OF-FAYETTEVILLE agrees that BLACK & VEATCH's not -to -exceed upper limit for this Amendment No. 2 is based on the duration indicated in Section 4 of this Amendment No. 2 and if the construction period is extended that BLACK & VEATCH shall be entitled to additional compensation. 6.1.3.3 Hourly billing rates plus reimbursable direct expenses shall be used as the basis of determining payment to BLACK & VEATCH for the costs incurred by BLACK & VEATCH while providing the services described in this Amendment No. 2. Costs are, but not limited to, the salaries and benefits paid to employees engaged directly in providing the Services and profit. The hourly billing rates are included as Appendix F of Amendment No. I. Fayetteville Amendment No 2R1.doc 3 2/18/08 • 6.1.4 Delete Sections 6.1.4.2.2. of the Agreement and as modified by Amendment No. I and replace with the following: 6.1.4.2.2 Use of motor vehicles on a rental basis for assigned vehicles or on a mileage basis or rental cost basis for vehicles used for short periods. Mileage basis shall not exceed 50.5 cents per mile. All other provisions of the original Agreement and as modified by Amendment No. 1 remain in full force and effect. BACKGROUND This project involves the installation of multiple pressure sustaining/pressure reducing and flow isolation valves on the City's 36" and 42" water transmission mains in northern Fayetteville and Springdale. This work is required in order to comply with Safe Drinking Water Act provisions and Health Department regulations. The original contract with Black and Veatch, covering a corrosion evaluation study and the resulting design work, was awarded in 2003. The construction contract was awarded to Alpha Utilities in November, 2006. DISCUSSION This amendment is for additional engineering services related to the construction management of the project with Alpha Utilities to construct the 36" & 42" Existing Transmission Main Modifications. There have been delays related TO the Contractor that resulted in a suspension of the work during periods of high water usage during the summer and fall months of 2007. The Engineering fees related to construction management were based on the original contract times. The delays in the work have resulted in the City incurring additional fees from the Engineer for construction management. The additional engineering fees will be deducted from the payment due to Alpha Utilites. Therfore, the overall impact of the amendment results in a net cost to the City of zero dollars. BUDGET IMPACT There is a net zero impact on the budget.
