RESOLUTION NO. 40-08
A RESOLUTION TO APPROVE THE THIRD AMENDMENT
TO THE BY-LAWS OF THE WALTON ARTS CENTER
COUNCIL, INC.
WHEREAS, the Walton Arts Center Council, Inc.'s Board of Directors has
recommended by at least two-thirds majority an amendment to its by-laws that would allow
teleconferencing to be used during meetings of the Board.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF FAYETTEVILLE, ARKANSAS
Section 1: The City Council hereby approves the attached Third Amendment To The By -
Laws Of The Walton Arts Center, Inc. so that Board meetings may be conducted by
teleconferencing or other means of simultaneous communications and authorizes Mayor Coody
to sign such amendment.

THIRD AMENDMENT TO THE BY-LAWS
OF
THE WALTON ARTS CENTER COUNCIL, INC.
WE, THE UNDERSIGNED, constituting at least two-thirds of the membership of the
Board of Directors of THE WALTON ARTS CENTER COUNCIL, INC., at a regular meeting
of the Board of Directors, pursuant to the authority granted in Article V, Section 1, of the By -
Laws, do hereby amend the By -Laws of the Corporation as follows:
1. Article II, Section 6 shall be amended by adding the following paragraph:
Teleconferencing or any other means of communication that permits all
participants to communicate simultaneously and instantaneously may be used during meetings of
the Board. Any Director participating in a meeting by means of a communication system as
previously described shall be deemed to be present in person at the meeting.
2. In all other respects consistent herewith, said By -Laws are ratified and confirmed.

RE• Third Amendment to Walton Arts Center Council, Inc.'s By-laws
The Walton Arts Center Council, Inc. would like to be able to teleconference
in board members for meetings. The proper number of board members have
signed the proposed Third Amendment which has also been approved by the
University Board of Trustees. In order to go into effect, the Fayetteville City
Council must also approve the Third Amendment and authorize Mayor Coody to
execute the documents.
1 see no legal problems with this authorization, and so recommend we
approve this requested change.
