RESOLUTION NO. 30-07 A RESOLUTION APPROVING THE PURCHASE OF A DIGITAL MASTER CONTROL SYSTEM FROM MEDIASTAR SG IN THE AMOUNT OF $95,255.00 FOR CABLE -CASTING OF THE FAYETTEVILLE GOVERNMENT AND PUBLIC ACCESS CHANNELS. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAYETTEVILLE, ARKANSAS• Section 1. That the City Council of the City of Fayetteville, Arkansas hereby approves the purchase of a Digital Master Control System from Mediastar SG in the amount of $95,255.00 for cable -casting of the Fayetteville Government and Public Access Channels. Mediastar-SG at its own cost and expense shall furnish all labor, materials, supplies, machinery, equipment, tools, supervision, bonds, insurance, tax permits and all other accessories and services necessary to complete items bid per RFP 06-21 as stated in Mediastar-SG bid proposal, and in accordance with specifications attached hereto and made a part hereof under RFP #06-21, all included herein as if spelled out word for word. 2. The City of Fayetteville shall pay Mediastar-SG based on their bid proposal in an amount not to exceed $95,255.00. Payments will be made according to the terms of the RFP #06-21 response (11 C.) as follows: 11 C. Mediastar-SG offers 50/50 terms. A deposit equal to 50% of the total bid value (including expenses and shipping) is required at time of order, with the subsequent 50% payment being due upon completion of the installation as certified by the Mediastar-SG technician. Mediastar-SG does provide an early payment discount of 2% for the 2"d 50% payment (in other words the site may pay the balance of the contract prior to installation completion). The Contract documents which comprise the contract between the City of Fayetteville and Mediastar- SG consist of this Contract and the following documents attached hereto, and made a part hereof: A. Bid form identified as Request for Proposal 06-21 with the specifications and conditions typed thereon. B. Mediastar-SG bid proposal. With updated "COST SUMMARY" attached C. The Notice to Prospective Bidders and the Bid Tabulation, if applicable. These Contract documents constitute the entire agreement between the City of Fayetteville and Mediastar-SG and may be modified only by a duly executed written instrument signed by the City of Fayetteville and Mediastar-SG 5. Mediastar-SG shall not assign its duties under the terms of this agreement. 6. Mediastar-SG agrees to hold the City of Fayetteville harmless and indemnify the City of Fayetteville, against any and all claims for property damage, personal injury or death, arising from Mediastar-SG performance of this contract. This clause shall not in any form or manner be construed to waive that tort immunity set forth under Arkansas Law. 7. Prior to start of work, Mediastar-SG shall furnish a certificate of insurance addressed to the City of Fayetteville, showing that he carnes the following insurance which shall be maintained throughout the term of the Contract Any work sublet, the contractor shall require the subcontractor similarly to provide worker's compensation insurance. In case any employee engaged in work on the project under this contract is not protected under Worker's Compensation Insurance, Mediastar-SG shall provide and shall cause each Subcontractor to provide adequate employer's liability insurance for the protection of such of his employees as are not otherwise protected. Workmen's Compensation Comprehensive General & Automobile Insurance Bodily Injury Liability Property Damage Liability Statutory Amount $500,000 for each person injured. $1,000,000 for each accident. $1,000,000 aggregate. The premiums for all insurance and the bond required herein shall be paid by Mediastar-SG. 8. Mediastar-SG to furnish proof of licensure as required by all local and state agencies. 9. This contract may be terminated by the City of Fayetteville or Mediastar-SG with 30 days written notice. 10. Freedom of Information Act. City of Fayetteville contracts and documents prepared while performing city contractual work are subject to the Arkansas Freedom of Information Act. If a Freedom of Information Act request is presented to the City of Fayetteville, the contractor will do everything possible to provide the documents in a prompt and timely manner as prescribed in the Arkansas Freedom of Information Act (A.C.A. 25-19-101 et. Seq.). Only legally authorized photo coping costs pursuant to the FOIA may be assessed for this compliance. 11. Changes in Scope or Price: Changes, modifications, or amendments in scope, price or fees to this contract shall not be allowed without a prior formal contract amendment approved by the Mayor and the City Council in advance of the change in scope, cost or fees. Thomas, Ph.D., Public Information & Policy Advisor DATE: February 2, 2007 SUBJECT: Digital Server Automated Master Control System Recommendation A resolution approving the purchase of a Digital Server Automated Master Control System from MediaStar SG for $95,255 for cable casting of the Fayetteville Government Channel and Fayetteville Public Access Channel. Background A PEG Equipment Committee was formed in 2005, and the group meets several times throughout the yearto discuss equipment upgrade needs at the PEG Center. The committee members include Government Channel staff and management, CAT staff and management, and PEG user groups. All identified equipment needs were prioritized in 2005, and a new Master Control System was the top priority. PEG did not receive a CIP allocation in 2006 which delayed the purchase of this equipment. PEG did receive a CIP allocation for 2007 which allows for this purchase. The purchase is needed for a number of reasons. • The Amiga computers running the two bulletin boards are 14 years old and have limited memory and hard drive space and parts are getting difficult to find. • The system in use now allows human error to accidentally mix commands to the two PEG channels which causes disruptions in the on-screen programming. Similar errors also occur if the operator does not leave the software in the correct mode. • The present system does not "partition" and separate the control of the two PEG channels. This limits the effectiveness of the system. • The present system requires many manual calculations and manual data entry which not only is labor intensive but introduces human errors and causes additional disruptions in the on- screen programming. • Some of the monitors in this system are 14 years old and need replacing in order to more accurately reflect and adjust the actual picture color and quality being sent to the home television sets. • The present is not expandable in two areas. It cannot be upgraded to use Video on Demand capability which would enable customers to select video that they want to see on their home televisions sets. It is also limited to eight playback devices per PEG Channel which increases the labor of attendance and monitoring time and effort. Roughly speaking, a system needs to be upgraded or at least expanded at a minimum every ten years just to keep up with technological advances. In some ways this particular "upgrade" could better be described as an "expansion and parts replacement." The heart of the current system is the Leightronix switcher which is 14 years old but the new system will retain this switcher in order to control some of the play back devices. Current Status The City's Selection Committee chose MediaStar SG to provide equipment and training associated with this upgrade. MediaStar SG has been in the business of PEG Center and Professional Broadcast Automation systems since 1986. They have extensive experience with Automation systems in the PEG Market. This system will serve the PEG Center for many years It is an expandable system with many options currently available and being developed. MediaStar is currently configuring the system for 2 channels, however as future channels become available this can be expanded to a total of 99. This system supports many devices that are Professional Broadcast Quality and Consumer Grade. The system is capable of creating audit logs that meet FCC Standards. The system can display lower corner graphics (called "bugs") for station identification and branding purposes. The MediaStar SG system will assist the Cable Administration Department considerably. The system will collect all playback information and assemble it into a log which will save hours of labor. Error Logs will assist the Master Control Operator in diagnosing and preventing problems, a feature that has not been available before. Messages entered into the message board will be much easier as this system will allow for cut and paste creation, as opposed to the manual duplicative process used now. MediaStar SG, with its consultants will assist the PEG Center in adapting to a new system, and a fundamental change in workflow. They will also help the Center create a professional image for the 2 channels that will hold up against the Local Affiliates (ABC, PBS, NBC, CBS) on the lineup below us, and the National Networks above us (TBN, TBS, SPIKE, A&E, Discovery). The system provides for a High Definition future. A summary of how this purchase will improve PEG operations is attached. Budget Impact The price of the system is $95,255 which includes system price, shipping, installation, training, and a one-year service agreement. This purchase is a budgeted item and was included in the PEG Capital Improvements Plan. • 1 RESOLUTION NO. APPROVED By Y: SONDRA SMITH, City Clerk/Treasurer ADVANTAGES OF UPGRADING THE PEG CENTER CABLE CASTING SYSTEM (Itemized) Fayetteville's present PEG Center cable casting system was purchased in 1992. The proposed cable casting upgrade will improve the PEG Center operation in the following ways: 1. UNATTENDED AUTOMATION INCREASED The present system is able to control 16 playback devices, such as VCRs or 8 per channel, which limits unattended automation for each channel to the number of programs that can be loaded into 8 playback decks. The new system will use DVD carousels, video servers and VCRs to allow 365/24/7 cable casting with much less operator monitoring. 2. SAVES TIME AND WORK ON SCHEDULING OPERATION Presently the data that is entered into the computer that controls the switching mechanism is prepared by manually listing the programs and calculating the timing. The new system will utilize "drag and drop" software which will allow program schedules to be calculated and arranged automatically, saving time and increasing flexibility. 3. ACCURACY INCREASED BY REDUCING HUMAN ERRORS The system in use now allows human error to accidentally mix commands to the two PEG channels which causes disruptions in the on-screen programming. Similar errors also occur if the operator doe not leave the software in the "correct mode." The new system will eliminate these sources of human error and create more accurate and reliable on-screen programming. 4. SHORT PROGRAM REPETITION IMPROVED Presently it is difficult and time consuming and requires additional operator monitoring and on site attendance to play short programs to be repeated, such as station and program introductions. The new system will allow short programs to be easily melded into the schedule which will add greater variety and liveliness to the on-screen programming. 5. ADDS REMOTE OPERATION CAPABILITY The present system requires all operations to be done on site. With the new system scheduling changes, corrections and messages can be made remotely from any site using the internet. 6. MESSAGE BOARD IMPROVED The present message board system has limited capacity for including still photos, videos, and announcements at the bottom of the screen. The upgrade will greatly improve the capacity of the message board to include these items. This contract provides regular software updates, loaners, and guaranteed - parts availability for the Mediastar system. These benefits are always free with the annual support package (FSSC). System maintenance is outlined in detail during Mediastar training and in the Mediastar Operational Manual. 11. Grant and Trade -In Opportunities: A The Community Service Grant Program was re -committed by Mediastar-so in January 2006 for local communities of all sizes and tax -bases to assist in the acquisition of high-quality broadcast -grade infrastructure for channels that are used exclusively for the benefit of the community. This program also includes all federally recognized 501{c}(3) non-profit charitable organizations or government and public agencies. The Community Service Grants are applied for, one year prior to their intended use and must be used in the allocated quarter. This time frame is intended to ensure that the grant application and allocation process is taken seriously and prospective applicants have able time to apply. The proposed system for the City of Fayetteville does not qualify for Community Service Grant Program for fiscal year 2007 as this funding had not been applied for in the year prior to this RFP. All funding for fiscal year 2007 has been allocated. 11 B. Mediastar-sG does provide trade-in opportunities that can be applied toward the purchase of a Mediastar system. Channel Consulting: a) Our company has developed and implemented channel branding plans for both PEG and commercial broadcast channels. Whereas the success for commercial branding projects can be measured in increased revenue, our success with PEG channels is best measured by an increase in viewer recognition and overall viewership. In addition •viewer satisfaction is a tangible benchmark of effective channel operations. When we work with a PEG channel to improve the overall look and feel of the channel, we work closely with all stake -holders, using their input to help create a cohesive plan for how the channel should be presented to the audience.
