A RESOLUTION TO APPROVE A CONTRACT WITH STEPHENS
INSURANCE, LLC TO PROVIDE ANNUAL INSURANCE
BENEFITS, CONSULTING AND BROKERAGE SERVICES FOR
THE AMOUNT OF $50,000.00, PLUS ADDITIONAL SERVICE FEES
NOT TO EXCEED $33,130.00 AND TO APPROVE A BUDGET
ADJUSTMENT OF $46,880.00
WHEREAS, Stephens Insurance, LLC was selected through RFP 07-08 to provide Benefits
Consulting and Insurance Brokerage Services to the City of Fayetteville and its employees; and
WHEREAS, except for an extra cost web -based employee benefits enrollment, administration
and management system, the services shall be covered by its basic fee of $4,167.00 monthly ($50,000.00
annually).
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1: That the City Council of the City of Fayetteville, Arkansas hereby approves the one
year Benefits Consulting and Insurance Brokerage Services contract with Stephens Insurance, LLC
attached as Exhibit A for a base expenditure of $4,167.00 monthly ($50,000.00 annually) plus not to
exceed $33,130.00 for a web -based employee benefits enrollment, administration and management
system, and authorizes Mayor Coody to execute this contract.
Section 2: That the City Council of the City of Fayetteville, Arkansas hereby approves a budget
adjustment in the amount of $46,880.00.

Contract
This Agreement is made and entered into by and between City of Fayetteville, Arkansas, 113 W. Mountain
Street, Fayetteville, AR, 72701 and Stephens Insurance. LLC.
WHEREAS, City of Fayetteville at its Ju. y /2 2007 public meeting awarded the project
for Benefits Consultant to Stephens Insurance, LLC, and:
WHEREAS Stephens Insurance, LLC and City of Fayetteville, for the consideration hereinafter named, agree
and acknowledge that:
Stephens Insurance LLC agrees to provide all the staff, facilities, materials, equipment and labor necessary to
carry out, in good faith the complete requirements of the project specified in strict conformity with all sections of
the RFP # 07-08, hereinafter set forth, whose program services together with the Consultant's Proposal, the
Advertisement for Bids, Instructions to Proposers, General Conditions, Representations, this Agreement, and all
addenda hereto, shall form essential parts of this Agreement as if fully contained herein
Stephens Insurance, LLC agrees to commence the services included in this Contract on a date to be specified in
a written Notice to Proceed from City of Fayetteville, and shall provide such services for a period of one (1) year
after the commencement date specified in the Notice to Proceed, subject to the renewal and early termination
provisions hereof.
City of Fayetteville agrees to pay Stephens Insurance. LLC in current funds for the performance of this Contract
in accordance with the Fee Schedule, attached hereto.
Beginning on the commencement date specified in the Notice to Proceed, City of Fayetteville shall pay Stephens
Insurance. LLC twelve (12) equal monthly installments of $4,167 for the Base Services described in the Fee
Schedule. Additional Fees owed with respect to Additional Services provided (as such capitalized terms are
•defined in the Fee Schedule) shall be payable with the next monthly payment for Base Services due after receipt
of invoice. For each Additional Service requested, City of Fayetteville shall owe an amount equal to the cost
incurred by Stephens Insurance. LLC in procuring such Additional Service Attached hereto as Exhibit A is a
good faith estimate of the initial costs of Stephens Insurance. LLC in implementing the benefitsCONNECT
system, which is hereby requested by City of Fayetteville and shall be an Additional Service under this
Agreement. Stephens Insurance. LLC shall promptly respond to any documentation requests by City of
Fayetteville as necessary to allow City of Fayetteville to evaluate the services performed and accuracy of
invoices for monies due.
As part of the Base Services, Stephens Insurance. LLC shall keep City of Fayetteville personnel informed
conceming key insurance policy terms, including coverage exclusions and financial considerations.
Upon the commencement date specified in the Notice to Proceed Stephens Insurance. LLC shall begin
facilitating the implementation of benefitsCONNECT, a web -based employee benefits enrollment, administration
and management system. This service shall constitute an Additional Service under the Fee Schedule.
To the fullest extent permitted by laws, statutes, rules and regulations Stephens Insurance, LLC shall indemnify
and hold harmless City of Fayetteville, and its Officers, Directors, Employees, Agents, and other Consultants of
each and any of them from and against claims, costs, damages, losses, and expenses, including but not limited
to all fees and charges of attomeys and other professionals and all court costs, arising out of or resulting from
performance of the Work, but only to the extent caused in whole or in part by acts or omissions of Stephens
Insurance, LLC its Officers, Directors, Employees, Agents, and anyone directly, or indirectly employed by them or
anyone for whose acts they may be liable, regardless of whether or not such claim, cost, damage, loss, or
expense is caused in part by a party indemnified hereunder, except that no party shall indemnify any other party
or person for their own sole negligence. Such obligation shall not be construed to negate, abridge or reduce
other rights or obligations of indemnity which would otherwise exist as to a party or person described in this
Paragraph.
Stephens Insurance. LLC agrees to comply with the laws of the State of Arkansas, including, without limitation,
all applicable laws and regulations conceming conflicts of interest. Notwithstanding statutory exemptions or
exclusions Stephens Insurance. LLC agrees to subject itself to the jurisdiction and process of the Courts of
Washington County, State of Arkansas as to all matters and disputes arising or to arise under this Agreement
and the performance thereof, including all issues relating to liability for taxes, licenses or fees levied by the State.
Stephens Insurance. LLC irrevocably consents that any legal action or proceeding against it under, arising out of
or in any manner relating to this Contract, shall be brought in any court in Washington County, Arkansas.
Stephens Insurance. LLC hereby expressly and irrevocably waives any claim or defense in any said action or
proceeding based on any alleged lack of jurisdiction or improper venue or any similar basis.
Stephens Insurance. LLC assumes sole responsibility for completion of the work undertaken pursuant to this
Agreement. City of Fayetteville shall consider Stephens Insurance, LLC the sole point of contact with regard to
contractual matters. Subcontracting of any part of the work or service contemplated by this Agreement may not
be entered in by Stephens Insurance. LLC without prior written approval by City of Fayetteville; provided,
however, that City of Fayetteville hereby agrees to the use and/or retention by Stephens Insurance. LLC of the
following subcontractors in connection with the services to be performed hereunder.
1. Stephens Insurance, LLC will contract with Comm5 Web Systems for the licensing and support of the
benefitCONNECT system.
2. Johnston and Matthews, Inc. will be retained to install, and perform computer services in connection with,
the benefitCONNECT system.
3. Matria Healthcare will be retained to provide services in connection with UBA Wellness Works, an
Additional Service described in the Fee Schedule.
No assignment or transfer of this Agreement or any right accruing here under shall be made in whole or in part by
Stephens Insurance LLC without the express written consent of City of Fayetteville.
Freedom of Information Act: City of Fayetteville contracts and documents prepared while performing city
contractual work are subject to the Arkansas Freedom of Information Act. If a Freedom of Information Act
request is presented to the City of Fayetteville, the contractor will do everything possible to provide the
documents in a prompt and timely manner as prescribed in the Arkansas Freedom of Information Act (A C A.
25-19-101 et. Seq.). Only legally authorized photo copying costs pursuant to the FOIA may be assessed for
this compliance.
Chances in scope or price: Changes, modifications, or amendments in scope, price or fees to this contract
shall not be allowed without a prior formal contract amendment approved by the Mayor and/or the Fayetteville
City Council in advance of the change in scope, cost or fees Notwithstanding the foregoing, City of
.Fayetteville shall remain obligated to pay Stephens Insurance. LLC for its costs, as they may increase or
decrease from time to time, in procuring any Additional Service requested by City of Fayetteville.
As provided in RFP # 07-08 Stephens Insurance. LLC shall disclose all compensation received by it from any
source as a result of the marketing or placement of insurance programs for City of Fayetteville, and City of
Fayetteville shall receive an offset against fees owed to Stephens Insurance. LLC in an amount equal to any
such compensation.
A waiver by either party of any breach of the provisions hereof shall not be deemed a waiver of any succeeding
breach of such provision or any other provision of this Agreement. Should any term, provision or other part of
this Agreement be declared illegal or unenforceable, it shall be excised or modified to conform to the appropriate
laws or regulations, and the remainder of the Agreement shall not be affected but shall remain in full force and
effect.
The provisions, covenants, and conditions in this Agreement apply to and bind the parties, their legal heirs,
representatives, successors and assigns.
No modification or amendment of the terms hereof shall be effective unless written and signed by the authorized
representatives of all parties hereto
This Agreement constitutes the final and complete agreement and understanding between the parties regarding
the subject matter hereof. All prior and contemporaneous Agreements and understandings, whether oral or
written, are to be without effect in the construction of any provisions or term of this Agreement if they alter, vary or
contradict this Agreement.
Stephens Insurance. LLC and City of Fayetteville, their successors, executors, administrators and assigns
hereby agree to the full performance of the covenants herein contained.

Compensation Disclosure Notice for the State of Arkansas
Stephens Insurance, LLC will be representing the City of Fayetteville as a
benefits consultant pursuant to the RFP 07-08 Benefits Consulting and Insurance
Brokerage Services Contract executed by the parties. As part of its services
under the contract, Stephens Insurance, LLC and its representatives will, from
time to time, be representing the City of Fayetteville as a broker in connection
with insurance products. All compensation of Stephens Insurance, LLC and its
representatives in connection with such brokerage activities will be paid solely by
the City of Fayetteville as provided under the contract.

Benefits Broker Contract
Recommendation
Staff recommends approval of the attached Benefits Broker contract with Stephens, Inc. and approval of a budget
adjustment.
Background
A Request for Bids for a Benefits Broker was placed by the City Purchasing Office. In response, six bids were
received and reviewed by Committee formed for that task. The Committee was comprised of representatives from
Purchasing, Payroll, Human Resources, Uniformed employees (in this case, Fire), and the City Council (Alderwoman
Gray). The top four candidates were selected by the Committee. A day was devoted to interviews. The Committee
discussed the top two candidates and voted. Stephens, Inc. was selected as the best candidate to meet the City's
benefits needs.
Discussion
The Human Resources Division is the Division that will work the most closely with the Benefits Broker on a regular
basis. Selection was made with an eye toward greater long term efficiencies and savings, both in labor and costs.
In the short term this will involve a greater initial financial outlay than the City has made in recent years for a
Benefits Broker. But the long term benefits — especially in terms of avoiding preventable problems and providing
better benefits and service to City employees —should outweigh the short term costs. In particular, it is believed
there will be improved communications with HR staff as well as with City employees at benefits election time each
fall, which should prevent a multitude of preventable problems that have occurred in the past. There should be
tangible labor cost savings in changing annual open benefits enrollment to an electronic format, as well as greater
time saving efficiencies in day to day benefits related tasks (helping employees and providing needed data to payroll
for related payroll deductions). All other things being equal, City employee time is better spent on productive tasks
than on fixing preventable problems.
Budget Impact
Based upon a 12 month year — although we are actually already half way through the year - the initial budget impact
would be $87,630. This may end up being a lesser amount by approximately $18,000+, commensurate with the
Broker's success at negotiating with carriers concerning some one time open enrollment electronic platform costs. It
is our understanding the Broker has had past success in such negotiations.
The subsequent annual budget impact, if renewed annually by future Councils, would be $52,865.00.
RESOLUTION NO.
A RESOLUTION TO APPROVE A CONTRACT WITH
STEPHENS INSURANCE, LLC TO PROVIDE ANNUAL
INSURANCE BENEFITS, CONSULTING AND BROKERAGE
SERVICES FOR THE AMOUNT OF $50,000.00, PLUS
ADDITIONAL SERVICE FEES NOT TO EXCEED $37,630.00
AND TO APPROVE A BUDGET ADJUSTMENT OF $51,380.00
WHEREAS, Stephens Insurance, LLC was selected through RFP 07-08 to provide Benefits
Consulting and Insurance Brokerage Services to the City of Fayetteville and its employees; and
WHEREAS, except for an extra cost web -based employee benefits enrollment, administration
and management system, the services shall be covered by its basic fee of $4,167.00 monthly ($50,000.00
annually).
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1: That the City Council of the City of Fayetteville, Arkansas hereby approves the one
year Benefits Consulting and Insurance Brokerage Services contract with Stephens Insurance, LLC
attached as Exhibit A for a base expenditure of $4,167.00 monthly ($50,000.00 annually) plus not to
exceed $37,630.00 for a web -based employee benefits enrollment, administration and management
system, and authorizes Mayor Coody to execute this contract.
Section 2: That the City Council of the City of Fayetteville, Arkansas hereby approves a budget
adjustment in the amount of $51,380.00.
