DATA MIGRATION AND CONVERSION MSI Consulting Group, LLC, hereinafter referred to as MSI, hereby agrees to provide Data Migration and Conversion Services for the Fayetteville District Court, located in the City of Fayetteville, Arkansas, Washington County, hereinafter referred to as COURT. MSI can only convert electronic data transactions that were entered into the existing COURT software system. MSI cannot process manual transactions (Ex: Manual Money Disbursements & Manual Adjustments) that were not entered into the existing COURT software system. Furthermore, MSI will not be responsible for any data that is corrupt due to viruses, hardware malfunctions, or other physical acts that has damaged your existing data. The conversion price was calculated based on the estimated amount of time and resources that will be needed to complete this process. We have evaluated the current data structure of COURT to assist us in determining this conversion price. 2. PAYMENT For and in consideration of the services to be rendered by MSI, COURT shall pay and MSI shall receive, compensation as follows: The amount of $ 150,000 for the Data Migration and Conversion will be paid in two (2) installments. $75,000 is due and payable at the time of contract initiation and $75,000 is due and payable upon completion of the Data Conversion. (NOTE: This amount is Tax -Exempt Per Arkansas Law). 3. MISCELLANEOUS This is the only Data Migration and Conversion Agreement between COURT and MSI It can be modified upon written amendment, signed by an officer of MSI and an official of COURT. This agreement is governed by the laws of the state of Arkansas, except where covered by Federal Copyright Laws, and is deemed entered into at Fort Smith, Arkansas, Sebastian County, USA, by both parties. LICENSE AND LEASE MSI Consultmg Group, LLC, hereinafter referred to as MSI, grants the Fayetteville District Court, located in the City of Fayetteville, Arkansas, Washington County, hereinafter referred to as COURT, non -transferable, non-exclusive use of the Virtual Justice® Comprehensive Case Management System, Version 1.0, (Including Civil and Small Claims), hereinafter referred to as SOFTWARE Use of the SOFTWARE is in executable form only, subject to the terms and conditions set forth in this lease agreement. If COURT abides by the terms and conditions set forth herein, the term of the license shall be perpetual, subject to the following conditions as outlined below in subsequent sections. The SOFTWARE is for COURT use only and cannot be transferred or sub -let to any third party. 2. LEASE COURT may terminate this lease at any time subject to proper notice being given to MSI. COURT must give a sixty (60) day prior written notice of intent to terminate, delivered to MSI at their office address stated above. Upon termination of this lease, COURT agrees to return the SOFTWARE and documentation to MSI immediately. COURT agrees to pay the initial system setup fee and training fee prior to the start of installation and training. If COURT is converting from a previous MSI product or other vendor product, a data conversion fee will also be due prior to the start of installation. This lease agreement includes complete use of the SOFTWARE without ownership. 3. SUPPORT MSI will provide technical support as necessary and shall commence support action upon notification, by COURT, during normal business hours and shall continue with reasonable diligence COURT must provide a modem and telephone line for technical support. Assistance may be provided by regular voice telephone, by modem connection using communications software, or by sending CDs and/or diskettes by mail or shipping service. COURT is required to have adequate backup copies of all files MSI is not responsible for lost or unrecoverable database files, or for any damage to the SOFTWARE and/or database files caused by electrical storms, improper electrical wiring, water, fire, misuse, or other Acts of God. Backup media should be replaced when necessary, based on manufacture's recommendation. 4. BACK-UP OR ARCHIVE COPIES OF THE SOFTWARE All MSI products are the licensed, copyrighted, trademarked, and/or registered materials of MSI and shall not be duplicated (except for backup or archive purposes), used or disclosed in whole or in part for any purpose other than the operation of the COURT or unless written approval is obtained from MSI. MSI certifies that the SOFTWARE provided does not infringe on other patents or copyrights. 5. DOCUMENTATION OR PRINTED MATERIAL COURT may not copy, in whole or in part, any MSI program, documentation, or related materials 'furnished in printed form. Additional copies may be purchased from MSI. MODIFICATIONS COURT may not modify the SOFTWARE except as provided through programs included with the SOFTWARE. COURT may not make use of any program to disassemble or attempt to reconstruct the source code of the SOFTWARE. COURT is responsible for protection of the SOFTWARE from theft, unauthorized reproduction, or use contrary to the license provisions. 7. LIMITED WARRANTY AND LIABILITY MSI warrants that the tangible physical items of the SOFTWARE are free from known defects at the time of delivery, and that MSI has the sole right to sell such SOFTWARE The above warranty is in lieu of any other warranties, either expressed or implied MSI DISCLAIMS THE IMPLIED WARRANTY OF MERCHANTABILITY AND ANY IMPLIED OR EXPRESSED WARRANTY AND SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT OR SPECIAL DAMAGES. Both MSI and COURT agree that the SOFTWARE is not intended as "CONSUMER GOODS" under state or federal warranty laws. It is required that COURT maintain adequate backup copies of all files MSI is not responsible for lost, corrupted, or unrecoverable data. 8. ENHANCEMENTS AND UPDATES MSI may provide periodic enhancements and updates to the licensed SOTWARE which improve the performance of the SOFTWARE but do not change the basic function of the SOFTWARE Such enhancements and updates are at the sole discretion of MS1 and no set amount, number or frequency is implied MSI reserves the right to enhance, update, or change the SOFTWARE in ways which may alter the specifications and operating characteristics of future versions of the SOFTWARE. If COURT desires such updates, COURT understands it must enter into a new agreement, which may result in an increase to the original lease payment amount. To insure eligibility, COURT must abide by the terms and conditions of this license and must not have an outstanding balance owed to MSI for more than thirty (30) days. 9. TERMINATION OF THE LICENSE This license is in effect from the date of delivery, unless automatically terminated by the occurrence of any of the following events: A. COURT decides to terminate the lease agreement as outlined in the lease section. B. COURT violates any term, condition, or provision of the license. C. COURT voluntarily or involuntarily seeks any of the Chapters of the Federal Bankruptcy Act, even if discharge is sought, or ceases to exist. COURT fails to pay an MSI invoice within the invoice terms. Upon termination of the license, COURT agrees to promptly return all SOFTWARE, including all copies and reproductions thereof, as well as all documentation to MSI. 10. PAYMENT For and in consideration of the services to be rendered by MSI, COURT shall pay and MSI shall receive, compensation as follows: A. The amount of $ 11,529.25, including tax, is due and payable prior to the start of installation for the initial system setup fee and training fee. The monthly lease payment in the amount of $ 1,147.13, including tax, will be due and payable on the first day of each month for the duration of the lease agreement. COURT will receive an invoice from MSI for each monthly payment, upon completion of the SOFTWARE installation. This monthly payment amount is based on a maximum of 15 User(s) and will be increased if additional users are added at a later date. C. The cost of any program changes required by COURT will be quoted by MSI and may be accepted or rejected by COURT. 11. MISCELLANEOUS This is the only software license and lease agreement between COURT and MSI with regard to the SOFTWARE defined herein. Staff also requests approval of the proposal submitted by MSI Consulting Group, LLC to perform data conversion services from the existing City of Fayetteville's case management system to the Virtual Justice® comprehensive case management system. The lease agreement is for fifteen (15) licenses. City Council is requested to authorize the Mayor to execute the necessary documents to implement the agreements and approve a budget adjustment providing additional project funding. Background Fayetteville has utilized the existing district court case management system since 1985 and has relied upon computer hardware that was constructed in 1992 In 2002, the City initiated a software conversion project to migrate Fayetteville District Court to the existing public safety software system. This project was abandoned when it became apparent the court package associated with the public safety software was not compatible with court needs as specified by the Administration of Justice Office of the Arkansas Supreme Court. The Virtual Justice® comprehensive case management system meets the standards established by the Administration of Justice Office of the Arkansas Supreme Court and is used by over 95 district, city or municipal courts statewide. Discussion This software system has been reviewed by District Court Judge Moore and the Fayetteville District Court's staff. It is their recommendation that the City proceed with this procurement. The Fayetteville Prosecutor's Office and Fayetteville Police Department will have access to this case management system. This project is the first phase of a multi -phased project. The subsequent phases will include development of the electronic interfaces with the City's public safety software and financial software systems. It is expected to take approximately 12 months to fully implement this software and develop all of the necessary interfaces. Future contracts with MSI Consulting Group, LLC will be submitted for approval for each future phase. The agreements included in this packet will ensure that Fayetteville District Court remains current with the requirements established by the Administration of Justice Office of the Arkansas Supreme Court and changes enacted by the Arkansas Legislature every biennial legislative session. These agreements provide for comprehensive training and data conversion services. Budget Impact This project is predicted to cost approximately $245,000 to fully implement. This cost is detailed as follows: Conversion Cost $150,000 Software Lease — Initial Set-up 10,800 Monthly Lease Fee — 6 months 6,300 Server, Sequel Software, PC's, Monitors, and Printers 35,000 Contract Project Management, Sales Tax for the Software, Hardware, etc. 35,000 Contingency 7,900 Total $245,000 Existing Budget 100,000 Funding Needed $145,000 Server hardware and database software are requirements to run the new Virtual Justice® software. PC's, monitors, and printers are needed to upgrade the technology equipment used by the District Court to be more consistent with equipment used elsewhere in the City. Contract project management will provide dedicated project oversight for this critical technology improvement so the City's Information Technology staff can remain focused on technology improvements with citywide applications. We are providing you with a proposal for only the VJ application software and a separate proposal for only the data conversion. Because you are replacing another computerized court software product, data file conversion is always an issue. The process of converting the data files from your existing software product over to VJ can be complicated and must be evaluated to determine the amount of time needed to complete, the data conversion process. The price for data conversion will be quoted separately. We are very excited about our new pricing structure, giving our customers the option of purchasing or leasing the software. It is our experience that it's easier for most courts to handle a moderate initial fee, with an affordable monthly lease payment, rather than allocate a large amount to purchase the software. Also our lease option fully complies with state laws concerning lease, agreements with city and county governments. Also, with the passage of Act 1809 of 2001, money has been earmarked specifically for local court automation, thus allowing your new court software to be paid for by these increased special fees. This proposal details the prices of both the purchase and lease options. The prices include the software (purchased or leased) installation, system setup, configuration, training, on-screen help documentation, and on-screen video training tutorials, but does not include sales tax. In addition, a phone line and modem, or some alternative remote access method, will be required to allow for remote software support from the MSI offices as needed. Many of our current customers use a pre-existing phone line, a fax line, or a DSL connection for this purpose. In my conversations with Scott Huddleston, he is looking at server configurations that meet our recommendations. Also, we strongly recommend the use of Windows Terminal Services Remote Desktop usage for this system. This will allow you to keep most of your original PC workstations and use the resources of the new Windows Server 2003. This will allow you to potentially save thousands of dollars on replacing all of your existing PC workstations that may or may not be up to standards for this type of system.
