A RESOLUTION AWARDING BID #05-83 TO NORTHWEST
ROOFING COMPANY D/B/A ARKANSAS AMERICAN
ROOFING IN THE AMOUNT OF 530,977.89 FOR REPLACEMENT
OF THE ROOF OF THE ARKANSAS AIR MUSEUM HANGAR
BUILDING; APPROVING A PROJECT CONTINGENCY IN THE
AMOUNT OF $3,098.11; AND APPROVING A BUDGET
ADJUSTMENT IN THE AMOUNT OF $18,012.00.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. That the City Council of the City of Fayetteville, Arkansas,
hereby awards Bid #05-83 to Northwest Roofing Company d/b/a Arkansas
American Roofing in the amount of $30,977.89 for replacement of the roof of the
Arkansas Air Museum hangar building.
Section 2. That the City Council of the City of Fayetteville, Arkansas,
hereby approves a Project Contingency in the amount of 53,098.11.
Section 3. That the City Council of the City of Fayetteville, Arkansas,
hereby approves a Budget Adjustment in the amount of 518,012.00 to recognize
revenue from a claim paid by Travelers Insurance Co

Bid 05-83, Roof Replacement on Air Museum Re -Bid
CONTRACT
This contract, executedthiso70¢/tday of bairn2005, between the City of Fayetteville, Arkansas,

mutual covenants contained herein, the parties agree as follows:
Northwest Roofing Company at its own cost and expense shall furnish all labor, materials, supplies,
machinery, equipment, tools, supervision, bonds, insurance, tax permits, and all other accessories and
services necessary to complete items bid per bid 05-83 as stated in Northwest Roofing Company's bid
proposal, and in accordance with specifications attached hereto and made a part hereof under Bid #05-
83, all included herein as if spelled out word for word.
The City of Fayetteville shall pay Northwest Roofing Company based on their bid proposal in an
amount not to exceed $30,977.89. Payments will be made after approval and acceptance of work and
submission of invoice. Payments will be made approximately 30 days after receipt of invoice.
The Contract documents which comprise the contract between the City of Fayetteville and Northwest
Roofing Company consist of this Contract and the following documents attached hereto, and made a part
hereof:
A. Bid form identified as Invitation to Bid 05-83 with the specifications and conditions typed
thereon.
B. Northwest Roofing Company's bid proposal.
C. 1 he Notice to Prospective Bidders and the Bid Tabulation.
4. 1 hese Contract documents constitute the entire agreement between the City of Fayetteville and
Northwest Roofing Company and may be modified only by a duly executed written instrument signed
by the City of Fayetteville and Northwest Roofing Company.
Northwest Roofing Company shall not assign its duties under the terms of this agreement.
6. Northwest Rooling,Company agrees to hold the City of Fayetteville harmless and indemnify the City of
Fayetteville, against any and all claims for property damage, personal injury or death, arising from
Northwest Roofing Company performance of this contract. This clause shall not in any form or manner
be construed to waive that tort immunity set forth under Arkansas Law.
7. Northwest Roofing Company shall furnish a certificate of insurance addressed to the City of
Fayetteville, showing that he carries the following insurance which shall be maintained throughout the
term of the Contract. Any work sublet, the contractor shall require the subcontractor similarly to
provide worker's compensation insurance. In case any employee engaged in work on the project under
this contract is not protected under Worker's Compensation Insurance, Northwest Roofing Company
shall provide and shall cause each Subcontractor to provide adequate employer's liability insurance for
the protection of such of his employees as are not otherwise protected.
Northwest Roofing Company will be responsible for providing the following after approval of the contract
from the Fayetteville City Council:

a.) Workers compensation as required by Arkansas State statutes
b.) Bodily Injury: $250,000 for each person injured & $1,000,000 for each accident.
c.) Property Damage Liability: $1,000,000 aggregate
d.) General Liability Insurance as required at a minimum of $1,000,000.
The premiums for all insurance and the bond required herein shall be paid by Northwest Roofing
Company.
8. Northwest Roofing Company to furnish proof of licensure as required by all local and state agencies.
9. I his contract may be terminated by the City of Fayetteville with 10 days written notice.
10. Freedom of Information Act: City of Fayetteville contracts and documents prepared while performing
city contractual work are subject to the Arkansas Freedom of Information Act. If a Freedom of
Information Act request is presented to the City of Fayetteville, the contractor will do everything
possible to provide the documents in a prompt and timely manner as prescribed in the Arkansas
Freedom of Information Act (A.C.A. 25-19-101 et. Seq.). Only legally authorized photo coping costs
pursuant to the FOIA may be assessed for this compliance.
Changes in Scope or Price: Changes, modifications, or amendments in scope, price or fees
to this contract shall not be allowed without a prior formal contract amendment approved by
the Mayor and the City Council in advance of the change in scope, cost or fees."

SUBJECT: Approve contract with Northwest Roofing Company dba Arkansas American Roofing
for the replacement of the Arkansas Air Museum roof for $30,977.89 plus a 10%
contingency of $3,098.11 for a total project budget of $34076 and approve a budget
adjustment.
RECOMMENDATION: Approve contract with Northwest Roofing Company dba Arkansas
American Roofing for the replacement of the Arkansas Air Museum roof for $30,977.89.
BACKGROUND: Building Maintenance Division prepared the specification for the roof
replacement project. Bids were solicited and advertised and one bid was received. The project is
unusual as the roof is very steep and requires two different roof systems on the same surface. The
project requires that new decking be installed as required. The last know roof project for this
building is 30 plus years ago. Several repair jobs have been performed but the roof has deteriorated
to the point that it needs to be replaced. There is hail damage as well. The insurance company
allowed $18,012.12 towards the repair for the hail damage.
DISCUSSION: Arkansas American Roofing is well qualified to do this work and will provide the
City an excellent product. The building is an historical building and should at some future date be
converted to the original configuration and placed on the historical register. It now houses the
Arkansas Air Museum but in truth, the building is the real museum. It was constructed in the war
and due to the shortage of steel the rafters are made of wood --a real feat of engineering. The roof has
always been shingles at least to the best of our knowledge and research.
BUDGETJMESCT: The bid is within the budget amount for the project. The project is funded
with $18,012.12 from insurance and the remainder from the airport fund.

Bidder Warranty Information
'Please sign this form and submit it as a part of your bid. This form will be completed along with the
contract, after approval from the Fayetteville City Council.
By signing this form and submitting it as a part of your bid, you agree to the warranty terms stated.
Warranty Requirements:
A. Install replacement roofing in accordance with Manufacturer's specifications and details. More stringent
requirements shall govern unless they conflict with Manufacturer's warranty requirements. In this case, the
Contractor is responsible for notifying the City of Fayetteville of all such conflicts.
Installer Qualifications: A qualified firm that is approved, authorized, or licensed by roofing system manufacturer
to install manufacturer's product and that is eligible to receive manufacturer's warranty.
1. Installer must have at least five (5) years of experience installing the specified roofing systems.
2. The installer shall provide references from at least three (3) building owners for similar roofing projects.
3. Installer must maintain a full-time supervisor/foreman on the job site.
4. Foreman shall be experienced in installing roofing systems similar to type and scope required for this
Project.
Special Warranty: Manufacturer's standard form, without monetary limitation, in which manufacturer agrees to
repair or replace components of roofing system that fail in materials or workmanship within specified warranty
period. Failure includes roof leaks.
1. Special warranty includes roofing membrane, base flashings, roofing membrane accessories, roof
insulation, fasteners and other components of roofing system.
Warranty Period: Twenty (20) years from date of Substantial Completion.
Warranty shall not deprive the City of Fayetteville of other rights the City may have under other provisions
of the Contract Documents and will be in addition to and run concurrent with other warranties made by
the Contractor under requirements of the Contract Documents.
Special Project Warranty: Submit roofing Installer's warranty, on warranty form at end of this Section, signed by
Installer, covering Work of this Section, including all components of roofing system such as roofing membrane,
base flashing, roof insulation, fasteners, sheet metal flashing and other components of roofing system.
1. Warranty Period: Five (5) years from date of Substantial Completion.
2. In the first two years, the Contractor shall repair all leaks within 24 hours of notification of leak.

AND WHEREAS Roofing Installer has contracted (either directly with the City of Fayetteville or indirectly as a
subcontractor) to warrant said work against leaks and faulty or defective materials and workmanship for
designated Warranty Period,
G. NOW THEREFORE Roofing Installer hereby warrants. subject to terms and conditions herein set forth, that
during Warranty Period he will, at his own cost and expense, make or cause to be made such repairs to or
replacements of said work as are necessary to correct faulty and defective work and as are necessary to
maintain said work in a watertight condition.
This Warranty is made subject to the following terms and conditions:
1. Specifically excluded from this Warranty are damages to work and other parts of the building, and to
building contents, caused by:
a. lightning;
b. peak gust wind speed exceeding mph stated by manufacturer of shingles;
c. fire;
d. failure of roofing system substrate, including cracking, settlement, excessive deflection,
deterioration, and decomposition;
e. vapor condensation on bottom of roofing; and
f. activity on roofing by others, including construction contractors, maintenance personnel, other
persons, and animals, whether authorized or unauthorized by the City of Fayetteville.
Wien work has been damaged by any of foregoing causes, Warranty shall be null and void until such
damage has been repaired by Roofing Installer and until cost and expense thereof have been paid by the
City of Fayetteville.
Roofing Installer is responsible for damage to work covered by this Warranty but is not liable for
consequential damages to building or building contents resulting from leaks or faults or defects of work.
During Warranty Period, if the City of Fayetteville allows alteration of work by anyone other than Roofing
Installer, including cutting, patching, and maintenance in connection with penetrations, attachment of
other work, and positioning of anything on roof, this Warranty shall become null and void on date of said
alterations, but only to the extent said alterations affect work covered by this Warranty. If the City of
Fayetteville engages Roofing Installer to perform said alterations, Warranty shall not become null and
void unless Roofing Installer, before starting said work shall have notified the City of Fayetteville in
writing, showing reasonable cause for claim, that said alterations would likely damage or deteriorate work,
thereby reasonably justifying a limitation or termination of this Warranty.
During Warranty Period, if original use of roof is changed and it becomes used for, but was not originally
specified for, a promenade, work deck, spray -cooled surface, flooded basin, or other use or service more
severe than originally specified, this Warranty shall become null and void on date of said change, but only
to the extent said mange affects work covered by this Warranty.
The City of Fayetteville shall promptly notify Roofing Installer of observed, known, or suspected leaks,
defects, or deterioration and shall afford reasonable opportunity for Roofing Installer to inspect work and
to examine evidence of such leaks, defects, or deterioration.
This Warranty is recognized to be the only warranty of Roofing Installer on said work and shall not
operate to restrict or cut off the City of Fayetteville from other remedies and resources lawfully available to
the City of Fayetteville in cases of roofing failure. Specifically, this Warranty shall not operate to relieve
Roofing Installer of responsibility for performance of original work according to requirements of the
Contract Documents, regardless of whether Contract was a contract directly with the City of Fayetteville
or a subcontract with the City of Fayetteville's General Contractor.

(a) After the expiration of one (1) year following the date on which Principal ceased work on said contract it

controlling the construction hereof such limitation shall be deemed to be amended so as to be equal to
the minimum period of limitation permitted by such law.
(b) Other than in a state court of competent jurisdiction in and for the county or other political subdivision of
the state in which the project, or any part thereof, is situated, or in the United States District Court for the
district in which the project, or any part thereof, is situated, and not elsewhere.
The amount of this bond shall be reduced by and to the extent of any payment or payments made in good faith
hereunder.
