A RESOLUTION APPROVING AN AGREEMENT WITH
HOFFMAN-HENRY INSURANCE IN THE AMOUNT OF
$19,500.00 TO PROVIDE BROKER OF RECORD/BENEFITS
CONSULTING SERVICES FOR 2005-2006 WITH FOUR 1 -YEAR
RENEWAL OPTIONS.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. That the City Council of the City of Fayetteville, Arkansas
hereby approves an agreement with Hoffman -Henry Insurance in the amount of
$19,500.00 to provide Broker of Record/Benefits Consulting Services for 2005-
2006 with four 1 -year renewal options. A copy of the agreement, marked Exhibit
"A" is attached hereto, and made a part hereof.

AGREEMENT FOR BROKER/CONSULTANT AND RELATED SERVICES
This AGREEMENT executed this 1(4/, day of fiusabf , 2005, between the
City of Fayetteville, Arkansas, hereinafter called the "City" and Hoffman -Henry,
hereinafter called the "Broker/Consultant", and having an address at 10025 West
Markham, Suite 125, Little Rock, Arkansas.
IN CONSIDERATION OF THE FOLLOWING COVENANTS contained herein the
parties agree as follows:
1.0 Scope of Work
Broker/Consultant shall provide, as a minimum, professional services and
dedicated personnel necessary to perform the following:
* Develop a complete understanding of the City's current benefit plans.
* Evaluate existing insurance contracts, any self retained risk and claims history
and make recommendations concerning any changes, modifications, and/or
additions in the terms, conditions and coverage limits needed to yield a fiscally
responsible strategy for benefits management which protects the interests of the
City and its employees.
* Identify programs, products and insurers capable of meeting the City's employee
benefits needs and prepare bid specifications for markets capable of quoting for
upcoming renewals.
* When so authorized by City representatives by means of a "broker of record"
letter, approach appropriate markets on behalf of the City to obtain pricing with
respect to the program adopted by the City.
* Present for City consideration, in an understandable format, an evaluation of the
results of each solicitation, with a comprehensive financial analysis and
recommendations for selection of an insurer for each type of product.
* Negotiate on the City's behalf the details of insurance contracts with selected
carriers and audit resulting policies for accuracy of coverage, terms and
conditions, and compliance with financial arrangements and administrative
procedures acceptable to the City.
* A representative of the broker/consultant must be available for open enrollment
meetings and any other meetings deemed necessary during the year.
* Provide assistance in the form of advisory services or written reports as is
customarily expected from a professional insurance broker/consultant.

* Provide educational materials and support to City staff regarding legislative
changes that impact benefit plans, emerging plan designs, and trends within the
health care and employee benefits market.
* Provide claims adjudication support with insurance carriers on an as needed
basis for all policies.
* Produce evaluative reports on a quarterly basis tracking utilization, paid
premium, and identify/track any emerging trends.
*On an annual basis, the broker/consultant will evaluate plan designs, offer
suggestions/strategies to enhance the cost effectiveness of the benefit plans,
forecast market conditions and serve as the City's liaison with carriers during the
renewal/bidding process.
2.0 Compensation
Compensation for the scope of services outlined in the contract will be $ 16,500
per year, for the first two years of the contract, to be invoiced quarterly.
Payments will be made within 30 days of receipt of invoice.
In the event that operations change substantially by either the addition or deletion
of other operations or entities or a substantial change in the scope and nature of
the City's benefit program, the City will negotiate in good faith to revise
compensation upward or downward as appropriate.
Five (5) percent of the savings of premium over the previous year's premiums
will be shared with the Broker/Consultant. It must be a true savings and not just a
decrease in services, coverage, increased deductible, or changes to plan structure
or plan design, etc.
Broker/Consultant will disclose commissions received and will credit such
commissions against compensation hereunder. If commissions exceed agreed-
upon compensation hereunder, excess commissions will be retumed to the City if
permitted by law. Otherwise, excess commissions will be carried forward and
applied against compensation for subsequent years of this agreement.
3.0 Term of Contract
The initial term of this contract shall be for a period of one (1) year. The contract
shall be renewable by mutual consent, on an annual basis thereafter for four (4)
additional years, for a maximum total contract term of five (5) years. The
contract may be terminated by either party by giving the other party written notice
of such intent not less than sixty (60) days prior to the effective date of the
termination. In the event of termination, claims for compensation owed the
Broker/Consultant by the City shall be limited to verifiable services rendered.

4.0 Legal Compliance
The Broker/Consultant is responsible for full and complete compliance with all
applicable laws, rules, regulations and licensing requirements imposed by any
public authority having jurisdiction.
5.0 Proposer's Insurance
The Broker/Consultant must provide and maintain in force at all times during the
term of the services contemplated herein insurance for Workers' Compensation,
Commercial General Liability, Automobile Liability, and En -ors and Omissions
Liability. Such policies shall be issued by companies authorized to do business in
the State of Arkansas. Evidence of such coverage is to be submitted with contract
approval. Minimum amount for Commercial General Liability and Errors and
Omissions Liability is 52,000,000 aggregate.
6.0 Approval of Agent
The City reserves the right to require the Broker/Consultant to replace the
assigned agent with another agent of the same company if, in the opinion of the
City staff, the agent is not rendering or is incapable of rendering the quality of
service and cooperation required.
7.0 Auditable Records
The Broker/Consultant shall maintain such accounts and records in connection
with its performance of services for the City as may reasonably be required by the
City. The Broker/Consultant shall, at any reasonable time during the term and for
a period of one year following the completion of work under the contract, afford
the City's agents and auditors reasonable facilities and access for examination and
audit of its records pertaining to its performance and shall, upon request by the
City, produce and exhibit all such records.
8.0 Changes in Contract
Changes, modifications, or amendments in scope, price or fees to this contract
shall not he allowed without a prior formal contract amendment approved by the
Mayor and/or the City Council in advance of the change in scope, cost or fees.
9.0 Indemnification
The Broker/Consultant, in performing its obligations under this contract, is acting
independently and the City assumes no responsibility of liability for the

Broker/Consultant's acts or omissions to third parties, and the Broker/Consultant
shall agree to indemnify and hold harmless, the City, its officers and employees
against any and all claims, lawsuits, judgments, costs and expenses for which
recovery of damages is sought, suffered by any person or persons, that may arise
out of or be occasioned by the broker/consultant's breach of the terms or
provisions of contract, or by any negligent act or omission of the
broker/consultant, its officers, agents, cmployccs, or invitee, in the performance
of this contract; except that the indemnity specified in this paragraph shall not
apply to any liability resulting from the sole negligence of the City, its officers, or
employees. In the event of joint and concurrent negligence of both the
Broker/Consultant and the City, responsibility and indemnity, if any, shall be
apportioned comparatively in accordance with the laws of the State of Arkansas,
without, however, waiving any governmental immunity available to the City
under Arkansas law and without waiving any defense of the parties under
Arkansas law. This paragraph is solely for the benefit of the Broker/Consultant
and the City and is not intended to create or grant any rights, contractual or
otherwise, to any other person or entity.
10. Arkansas Freedom of Information Act
City contracts and documents prepared while performing city contractual work
are subject to the Arkansas Freedom of Inforniation Act. If a Freedom of
Infomiation Act request is presented to the City of Fayetteville the
Broker/Consultant will do everything possible to provide the documents in a
prompt and timely manner as prescribed in the Arkansas Freedom of Information
Act. (A.C.A. 25-19-101 et. Seq.) Only legally authorized photocopying cost
pursuant to the FOIA may be assessed for this compliance."
This contract contains the entire agreement between Broker/Consultant and the City. It
may be amended only by an agreement in writing signed by both parties.

SUBJECT: Insurance Broker/Benefits Consultant
Recommendation
Staff recommends approval of a contract with Hoffman -Henry of Little Rock, Arkansas, in the
amount of $16,500 for Broker of Record/Benefits Consulting services for 2005 — 2006 plus four
one year options to renew. The agreement also contains provisions for performance incentives
and Staff requests an additional amount of $3,000 for this purpose. If earned, the incentive
would be 5% of premium savings for any savings in premium over the last year's premium. It
must be a true savings, not just a decrease in services, increased deductible, or changes to
plan structure or plan design, etc. This additional amount will be held in the budget to order to
pay any incentive earned.
Discussion
Since 2002 the City has utilized broker/consulting services to negotiate group plan renewals,
evaluate plan design and provide independent analysis of claims history and medical cost
trends. The broker/consultant is paid a flat service fee and any commissions on policy
premiums are credited to offset the fee or rebated back to the City of Fayetteville.
Procurement Method
This firm was selected following a professional selection method which included the required
notification/advertisement process. Seven proposals were received and are listed below.

Of a I proposals reviewed, Hoffman -Henry submitted the best overall proposal. Hoffman -Henry
also included a guaranteed fee of $16,500 for the second year of service, if the City chooses to
exercise one of the four one year options to renew the contract. While the existing contract
does not include an inflation index for the third through fifth years, the City always has the option
to not renew the agreement if it is determined that the renewal cost is not acceptable to the City.
Budget Impact
Successful negotiation of insurance policies through the use of a broker/consultant has assisted
in the City's efforts to contain the cost of insurance to both the City and its employees.
This item is budgeted and sufficient funds are available within the Professional Services account
in the Human Resources program.

Part II — Concept and Solution
Hoffman -Henry feels with the past relationship between Jeff Jackson and the City of Fayetteville
we have an extremely good understanding of the City's current benefit plans and
contracts. As well we are very familiar with the City's technology capabilities thus
providing us with an immediate understanding of how to establish communication
resources.
While we are convinced of the need for immediate conversations on benefit plan designs
and current contracts we feel that this would have to be placed second on our pnonty list
if awarded the contract. Our very first task out of the gait would be to communicate with
BCBS (current health carrier) on its abilities and assurances to provide the necessary
reporting and notification procedures for the new medicare part "D" requirements
involving retiree benefit plans.
With the medicare part "D" issue resolved we would then turn our attention to the
evaluation of current plans / contracts and a thorough utilization analysis. This will
require multiple meetings with Ark. BCBS and result in a reporting session with City
officials. The sessions with City personnel will be to determine matters such as current
satisfaction levels, financial positions, willingness to consider implementing new
strategies such as HAS's and electronic enrollment strategies. Our emphasis will be on
developing a renewal strategy that can be quantified in terms of success and one that
incorporates the desires of City officials with regard to structure and economic factors.
Hoffman -Henry will identify industry emerging benefit plan design strategies and
alternative services that the City may incorporate to improve the overall offering the City
has for its employees as well as position the City in a more favorable economic position.
It will be our goal to come out of these sessions with a clear direction at which time we
will begin design of the City's bid specs for the entire benefit package for the 2006 plan
year.
We will then work with City officials to determine what segment of the more than "30"
health carriers and "70" carriers overall that we would seriously consider. If it is
determined that we would desire to go to every single market it will not be a problem in
that our technology resources allow us to handle this sort of task with ease. Through the
process of elimination we will establish the contenders from the pretenders and greatly
narrow the scope of carriers to consider. The short list selection will be based on several
grade points such as; benefit design flexibility, long range economic factors, claims
payment, customer service, provider selection technology resources, administrative
resources, and of course price to name the major components. Hoffman -Henry will make
presentations on a full and complete market evaluation and financial analysis to include
immediate and long range impacts.
This will take us through the marketing phase and into the negotiation stage of the
renewal process. Once the short list is determined Hoffman -Henry will then bring the
selected carriers to the table for interviews as needed. We will begin negotiating contract,

benefit design, and pricing issues as necessary with selected canters with a target to
obtain the most favorable benefit/economic outcome for the City.
Hoffman -Henry will make recommendations based on the outcome of the negotiation
stage, market trends, and our opinion of satisfying the City's needs and desires most
effectively. Our recommendations will be based on concise market and financial
analysis, relationship and experience with the recommended carriers. It will include but
not be limited to benefit plan designs, carriers, financial arrangements, administrative
procedures, and funding levels.
Once selections are made for the 2006 plan year we will establish a plan for:
1. auditing of contracts and premium billings
2. open enrollment procedures (i.e. electronic enrollment and reporting) with
established timelines and follow up procedures for clean up
3. eligibility and enrollment audits
This would conclude the evaluation, marketing, negotiations, selection, and open
enrollment phases of "Scope of Services".
Hoffman -Henry understands and is committed, capable, and prepared to provide as a day
to day service ongoing advisory services as needed. As well, we will provide through our
electronic platform and face to face ongoing communication and education resources in
areas such as but not limited to:
a. legislative and compliance matters
b. emerging industry and benefit plan design issues
c. industry specific trends
d. employee education & information materials
Hoffman -Henry shall proved claims adjudication assistance as needed and act as liaison
for the City with all carriers and vendors. These services will be headed by Tracy Collins
(lead CSR) and will include personal as well as electronic format solution based
procedures.
Hoffman -Henry will continue to provide on a quarterly basis evaluations and
presentations on utilization analysis and will assist in identifying and tracking emerging
trends within the City's group plan performance Our strategy will be to include industry
standard data with historically based frequency information within the group's utilization
so that the City may actually have useful information for long range planning. We will
also provide groups specific information in conjunction with industry data so that we can
begin building norms studies for ongoing use in planning and design.
Hoffman will repeat the earlier outlined evaluation, marketing, recommendations phases
on an annual basis. We will provide market forecasts each year to establish benchmarking
points as we move from one plan year to the next.

Part III — Program
Hoffman -Henry's Strategic Action Timetable is attached (see exhibit 2) and outlines a
preliminary task timetable assuming that the bid is awarded by Aug 151, 2005. Our
timeline is flexible and certainly could be amended after review with City officials.
Our plan would be to meet with City personnel to determine strategic plan for upcoming
renewal initially considering the time constraints involved. We would immediately put
into place the renewal action plan based on the outcome of sessions with City officials.
We'll move directly into marketing mode where we have relationships with over 70
carriers doing business in Arkansas and have NO restrictions from any carriers.
At the same time begin implementing our client services model.
Our client services model consists of:
I. monthly on-site service calls
2. multiple communication protocols
3. implementation of our customer service personnel tree headed by Tracy
Collins (lead CSR) with three assigned to the team
4. implementation of our electronic platform for communication, legislative &
compliance, employee education materials
