RESOLUTION TO APPROVE THE ARKANSAS STATE
HIGHWAY COMMISSION HIGHWAY — UTILITY
CONSTRUCTION/RELOCATION AGREEMENT FOR THE
WIDENING OF WEDINGTON DRIVE FROM RUPPLE ROAD TO
DOUBLE SPRINGS ROAD rN THE APPROXIMATE AMOUNT
OF $1,022,538.93 AND APPROVING A BUDGET ADJUSTMENT
IN THE AMOUNT OF $1,754,694.00
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1: That the City Council of the City of Fayetteville, Arkansas hereby
approves the Arkansas State Highway Commission Highway -Utility
Construction/Relocation Agreement attached as Exhibit A in which the City's portion of
the total estimated cost 1,754,694.00 is $1,022,538.93.
Section 2: That the City Council of the City of Fayetteville, Arkansas hereby
authorizes the Mayor to execute this Agreement.
Section 3: That the City Council of the City of Fayetteville, Arkansas hereby
approves a budget adjustment in the amount of $1,754,694.00.

THIS AGREEMENT, made and entered into this 11 day of sk— , 20Ty and
between the Arkansas State Highway Commission, acting by and through the duly authoriz representatives of the Arkansas
State Highway and Transportation Department, with headquarters at Little Rock, Arkansas, hereinafter referred to as the
"Department," and thc Fayetteville Water & Sewer of Fayetteville, Alt acting by and through its duly authorized
representatives, hereinafter referred to as thc "Owner" WITNESSETH:
The Department proposes to make highway improvements as specified under thc above referenced job
number and, thc, "Owner" will adjust or relocate its existing facilities as set out in the attached plans and cost
estimate.
The Department will participate in the cost of said adjustment/relocation to the extent that eligibility is
hereinafter established.
Payment will be made on an actual cost basis as rnutually agreed between "Owner" and "Department."
This agreement is governed by all applicable State and Federal laws, rules, and regulations including the
Arkansas State Highway Commission Utility Accommodation Policy adopted by Commission Minute Order 96-167
as amended and suppleniented, thc Federal Aid Program Guide on Utility Adjustments and Accommodation on
Federal Aid Highway Projects as amended and supplemented, and the provisions of 23 CFR § 645 as amended and
supplemented.
DESCRIPTION OF WORK: See attached "EXHIBIT A"
The Department agrees that the required adjustment is * eligible for reimbursement for thc actual cost
which is estimated to be 51,754,694.00 of which 5732,155.07 to be paid by the Department and $1,022.538.93 is
to be borne by Owner.
Owner will not commence work until authorized by the Department, and will then endeavor to
begin within 60 calendar days and complete within 240 calendar days thereafter.
On completion of said work, "Owner" is responsible for thc cleanup and restoration of the work arca
including the disposal of surplus materials and debris.
Final billing must include all supporting detail. "Owner" shall also submit one (1) set of "as -built" drawings
at this time.
Payment will be 100% of lump sum bills and 90% of actual cost bills, final 10% being released on
completion of Department's audit. Such audit shall be completed within 90 days of thc approval of the final bill.
Expenses incurred under an actual cost agreement may be billed to the Department monthly in increments
of S5,000.00 or more.

"Owner" must maintain cost records and accounts to support the agreed adjustment/relocation work. Said
records to be retained and available for inspection for a period of three (3) yeara from date of final payment
"Owner" shall be responsible for any and all hazards to persons, property, and traffic.
With kcspvtt to traffic control, owner shall adhere to the requirements of the "Manual of Unifonn Traffic
Control Devices", as amended and supplemented.
Owner shall be responsible for and shall hold harmless the Arkansas State Highway Commission, the
Department and their officers and employees from any and all claims, actions, causes of action, suits, damages,
losses or liability whatsoever, arising out of Owner's performance of the work subject to this Agreement
Notwithstanding anything hereinbefore written, neither the "Owner" nor the "Department' by execution of
this Agreement waives or relinquishes any rights which either may legally have within the limits of the Law or
Constitution, either State or Federal.

Adjust the water facilities as required to clear the highway construction by abandoning approximately
8,411 feet of existing water main (varying in sized 4" — 12") complete with appurtenances. Restore the
function of the facilities by installing approximately 8,428 feet of water main (varying in sizes 4" — 12")
complete with appurtenances. Adjust the sewer facilities as required to clear the highway construction by
abandoning approximately 803 feet of existing sewer main complete with appurtenances. Restore the
function of' the facilities as required by installing approximately 803 feet of service main complete with
appurtenances and also replacing six (6) sewer manholes. "Owner" is not adequately staffed to perform
this work; therefore, contract forces will be utilized and selected by low bid process.
"Owner" will be upgrading facilities during construction in which betterment has been addressed.
"Owner" has developed a replacement -in-kind and betterment factor for reimbursement in which the
Department concurs. This factor is to be updated based on bids and quantities actually installed.
The pro rata factor for reimbursement will be determined as follows:

Total Est. Const. Cost + Betterment = $ 1,459,386.00 = 41.26%

Highway -Utility Construction/Relocation Agreement with the AHTD
RECOMMENDATION:
The Staff recommends Council approval of the Highway -Utility Construction/Relocation
Agreement with AHTD. (Attached)
BACKGROUND
Wedington Drive is scheduled for improvcmcnts and widening by Arkansas Highway &
Transportation Department, from Rupple Rd. to Double Springs.
In order to clear thc way for thc widening project by A.H.T.D., the existing water and
sewer facilities serving this area will have to be relocated to avoid construction conflicts
with the highway facilities. Also, in addition to the necessary relocation, the Staff has
requested some over -sizing of the water mains, and fire protection improvements for this
area
Per City Council approval on January 18, 2005, McClelland Consulting Engineers, Inc.
was awarded a contract in thc amount of $54,000 for performing the preliminary
engineering services for this project.
Per City Council approval on May 17, 2005, the City executed a Highway -Utility
Agreement For Preliminary Engineering Services with the AHTD.
DISCUSSION / STATUS
Certain portions of the water and sewer facilities are presently located outside the
highway right of way, therefore, eligible for cost reimbursement from the Highway
Department. McClelland Consulting Engineers, Inc has detcrmined the percentage of the
reimbursable amounts from the Highway Department (See attached report). It is
mandatory that the AHTD Utility Relocation Agreement is signed by the City and
transmitted to the AHTD before the bid letting date of August 101h (See attached letter
from A1-11-1)).
FUNDING FOR 2005:
2005 Budget $54,000
Funds used to date $54,000
Remaining Funds $ -0-
Please be advised that since this project was submitted to the City of Fayetteville, after
the 2005 budget process had been completed, no funds have been officially budgeted for
this project. After the preliminary engineering has been completed the cost of this
project will be more accurately estimated and communicated to the Council.

I am also including a set of the latest highway plans, and right of
way maps for this job. Please review to ensure no additional
adjustment is required and that the installation of your facilities
will not conflict with the proposed construction.
NOTICE!
STORM WATER CONSTRUCTION PERMITS
Please be advised that you are required to follow all laws and
regulations concerning erosion control. The Arkansas Department of
Environmental Quality requires a Phase 11 Storm Water Construction
Permits on sites that have a "disturbed soil area" of one acre or more.
For questions or permit requirements for a Storm Water Construction
Permit, contact (ADEQ) at 501-682-0627 or at 501-682-0621.
This permit is separate from any work order, permit or approval from
the Arkansas Highway and Transportation Department.
MARKING OF UTILITIES
When any utility owner, or its assigned contractor and/or representative
is required, or requested to locate and mark the location of its
underground lines/facilities inside highway right of way on pavement,
sidewalks, curbs, gutters, structures, etc., the marks shall be made with
non -permanent materials (chalk, keel, non -permanent paint, etc.).
Failure to comply with this requirement will result in removal of the
markings by the utility owner at no expense to the Department.
