A RESOLUTION TO APPROVE THE ARKANSAS STATE
HIGHWAY COMMISSION HIGHWAY — UTILITY
CONSTRUCTION/RELOCATION AGREEMENT FOR TFIE
WIDENING OF RAZORBACK ROAD IN THE AMOUNT OF
$233,846.80 AND APPROVING A BUDGET ADJUSTMENT IN THE
AMOUNT OF 51,451,347.00
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1: That the City Council of the City of Fayetteville, Arkansas hereby
approves the Arkansas State Highway Commission Highway -Utility
Construction/Relocation Agreement attached as Exhibit A in which the City's portion of
the total estimated cost of $1,451,347.00 is 5233,846.80.
Section 2: 1 hat the City Council of the City of Fayetteville, Arkansas hereby
authorizes the Mayor to execute this Agreement.
Section 3: That the City Council of the City of Fayetteville, Arkansas hereby
approves a budget adjustment in the amount of $1,451,347.00.

State Highway and Transportation Departrent, with headquartc s at Little Rock, Arkansas, hereinafter referred to as the
"Department, • and thc Fayetteville Water & Sewer of Fayetteville, AR acting by and through its duly authorized
representatives, hereinafter referred to as the "Owner" WITNESSETH:
The Department proposes to make highway improvements as specified under the above referenced job
number and, the, "Owner" will adjust or relocate its existing facilities as set out in the attached plans and cost
estimate.
The Department will participate in the cost of said adjustment/relocation to the extent that eligibility is
hereinafter established.
Payment will be made on an actual cost basis as mutually agreed between "Owner" and "Department"
This agreement is governed by all applicable State and Federal laws, rules, and regulations including the
Arkansas State Highway Commission Utility Accommodation Policy adopted by Commission Minute Order 96-167
as amended and supplemented, the Federal Aid Program Guide on Utility Adjustments and Accommodation on
Federal Aid Highway Projects as amended and supplemented, and thc provisions of 23 CFR § 645 as amended and
supplemented.
DESCRIPTION OF WORK: See attached EXHIBIT "A"
The Department agrees that the required adjustment is * eligible for reimbursement for the actual cost
which is estimated to be S1,451,347.00 of which 51,217,500.23 to be paid by the Department and S233,846.80 is
to be borne by Owner.
Owner will not commence work until authorized by the Department, and will then endeavor to
begin within 90 calendar days and complete within 180 calendar days thereafter.
On completion of said work, "Owner" is responsible for the cleanup and restoration of the work arca
including the disposal of surplus materials and debris.
Final billing must include all supporting detail. "Owner" shall also submit one (1) set of "as -built" drawings
at this time.
Payment will be 100% of lump sunt bills and 90% of actual cost bills, final 10% being released on
completion of Department's audit. Such audit shall be completed within 90 days of the approval of the final bill.
Expenses incurred under an actual cost agreement may be billed to the Department monthly in increments
of 55,000.00 or more.

"Owner" must maintain cost records and accounts to support the agreed adjustment/relocation work. Said
records to be retained and available for inspection for a period of three (3) years from date of final payment
"Owner" shall be responsible for any and all hazards to persons, property, and traffic.
With respect to traffic control, owner shall adhere to the requirements of the "Manual of Uniform Traffic
Control Devices", as amended and supplemented
Owner shall be responsible for and shall hold harmless the Arkansas State Highway Commission, the
Department and their officers and employees from any and all claims, actions, causes of action, suits, damages,
losses or liability whatsoever, arising out of Owner's performance of the work subject to this Agreement
Notwithstanding anything hereinbefore written, neither the "Owner" nor the "Department" by execution of
this Agreement waives or relinquishes any rights which either may legally have within the limits of the Taw or
Constitution, either State or Federal.

Adjust the water facilities as required to clear the highway construction by abandoning approximately
3,704 feet of existing water maim (varying in sizes 3" — 10") complete with all necessary valves, metas,
services and appurtenances. Restore the fimction of the facilities by installing approximately 3,592 fed
of water main (varying in sizes 6" — 12") complete with all necessary valves, meters, fare hydrants,
services and appurtenances. Adjust the sewer facilities as required to clear the highway construction by
abandoning approximately 2,003 feet of existing 24 inch sewer main complete with appurtenances.
Restore the fimction of the facilities as required by installing approximately 1,779 fed of 24 inch sewer
main complete with appurtenances. "Owner" is not adequately staffed to perform this work therefore,
contract forces will be utilized and selected by low bid process.
"Owner" will be upgrading facilities during construction in which betterment has been addressed.
"Owner" has developed a replacement -in-kind and betterment factor for reimbursement in which the
Department concurs This factor is to be updated based on bids and quantities actually installed.
The pro rata factor for reimbursement will be determined as follows:

Highway -Utility Construction/Relocation Agreement with the AHTD
RECOMMENDATION:
The Staff recommends Council approval of the Highway -Utility Construction/Relocation
Agreement with AHTD. (Attached)
BACKGROUND
Razorback Road is scheduled for improvements and widening by Arkansas Highway &
Transportation Department, from 6th Street to 15th Street.
In order to clear the way for the widening project by A.H.T.D., portions of the existing
water and sewer facilities serving this arca will have to be relocated to avoid construction
conflicts with the highway facilities.
Per City Council approval on January 18, 2005, McClelland Consulting Engineers, Inc.
was awarded a contract in the amount of 522,800 for performing the preliminary
engineering services for this project.
Per City Council approval on May 17, 2005, the City executed a Highway -Utility
Agreement For Preliminary Engineering Services with the AHTD.

DISCUSSION / STATUS
Certain portions of the water and sewer facilities are presently located outside the
highway right of way, therefore, eligible for cost reimbursement from the Highway
Department. McClelland Consulting Engineers, Inc. has determined the percentage of the
reimbursable amounts from the Highway Department (See attached report). It is
mandatory that the AHTD Utility Relocation Agreement is signed by the City and
transmitted to the AHTD before the bid letting date of August 10"i (Sec attached letter
from AHTD).
FUNDING FOR 2005:
2005 Budget $22,800
Funds used to date $22,800
Remaining Funds $ -0-
Please be advised that since this project was submitted to the City of Fayetteville, after
the 2005 budget process had been completed, no funds have been officially budgeted for
this project. After the preliminary engineering has been completed the cost of this
project will be more accurately estimated and communicated to the Council.

HIGHWAY COMMISSION HIGHWAY - UTILITY
CONSTRUCTION/RELOCATION AGREEMEN T FOR THE
WIDENING OF RAZORBACK ROAD M THE AMOUNT
OF $233,846.00 AND APPROVING A BUDGET
ADJUSTMENT IN TFIE AMOUNT OF $1,451,347.00
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1: That the City Council of the City of Fayetteville, Arkansas hereby
approves the Arkansas State Highway Commission Highway -Utility
Construction/Relocation Agreement attached as Exhibit A in which the City's portion of
the total estimated cost of $1,451,347.00 is $233,846.00.
Section 2: That the City Council of the City of Fayetteville, Arkansas hereby
authorizes the Mayor to execute this Agreement.
Section 3: That the City Council of the City of Fayetteville, Arkansas hereby
approves a budget adjustment in the amount of $1,451,347.00.

reimbursement for the adjustment of your facilities on the referenced job.
This confirms the verbal authorization of August 5. 2005 to proceed with advertising for bids.
If you need additional right of way to accomplish your adjustments, you may proceed with the
acquisition of this right of way.
You are required to furnish a copy of each bid received and the bid tabulation shcct for our
review and concurrence. Should you elect to award the contract to other than the low
qualified bidder, the Department will participate only in the amount of the low bid.
No construction work should be performed until you receive a written work order from this
