FOR THE FAYETTEVILLE SENIOR ACTIVITY CENTER IN WALKER PARK WHEREAS, the taxpayers of the City of Fayetteville with assistance of private and public donors paid for the construction of the Fayetteville Senior Activity Center at Walker Park; and WHEREAS, the Council On Aging, Inc is an Arkansas Not For Profit Corporation which assisted with the design and construction of the Senior Center and had efficiently and successfully operated the Fayetteville Senior Center on Sang Avenue for many years to the great benefit of Fayetteville citizens; and WHEREAS, it is to the overall benefit of the City of Fayetteville, the Council On Aging, and Fayetteville citizens for the City to lease to the Council On Aging the premises of the new Fayetteville Senior Activity Center in consideration of the Council On Aging's operation of the Senior Center to provide recreational, cultural and nutritional services to Fayetteville citizens. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAYETTEVILLE, ARKANSAS* Section 1. That the City Council of the City of Fayetteville, Arkansas hereby approves the lease and agreement to provide services with the Council On Aging, Inc., attached as Exhibit "A" so that the Council On Aging, Inc can continue to operate the Fayetteville Senior Activity Center to provide recreational, cultural and nutritional services to Fayetteville citizens. (hereinafter "Council On Aging") is an Arkansas Not For Profit Corporation which assisted with the design and construction of the Senior Center and had efficiently and successfully operated the Fayetteville Senior Center on Sang Avenue for many years to the great benefit of Fayetteville citizens; and WHEREAS, it is to the overall benefit of the City of Fayetteville, the Council On Aging, and Fayetteville citizens for the City to lease to the Council On Aging the premises of the new Fayetteville Senior Activity Center in consideration of the Council On Aging's operation of the Senior Center to provide recreational, cultural and nutritional services to Fayetteville citizens; and WHEREAS, the City of Fayetteville, as the owner of the structure, recognizes that the Council on Aging is the current contractor of record occupying the structure, and is operating programs for Senior Citizens under the terms and conditions as established by the Area Agency on Aging and agreed to by the City. The City further recognizes that the contractor for provision of said services is subject to change as part of a selection process which will occur at periodic intervals NOW, THEREFORE, the City of Fayetteville for the consideration stated above and listed below agrees to lease the Fayetteville Senior Activity Center in Walker Park to the Council On Aging, Inc. and the Council On Aging, Inc. agrees to operate and maintain the Senior Center for the benefit of senior citizens of Fayetteville and elsewhere as more particularly described below: 1. The Council On Aging, Inc. can and shall utilize the kitchen in the Fayetteville Senior Activity Center both to provide nutritious meals to those at the Center and to seniors in the community through the Meals On Wheels or other similar programs. 2. The Council On Aging, Inc. shall operate the Senior Center with sufficient staff to maintain the premises and assist attendees at least five days a week year round during the term of this lease. • • 3. The City of Fayetteville shall be responsible to maintain and repair and replace if necessary the following major components of the Fayetteville Senior Activity Center: a. Roof, gutters and down spouts; b. Foundation, floor joists, structural walls; c. Parking lot, curbs and pavement. 4. The Council On Aging, Inc. shall be responsible to maintain the Fayetteville Senior Activity Center in a clean, sanitary and attractive condition and shall be responsible to maintain and repair and replace if necessary the following components of the Fayetteville Senior Activity Center: a. Kitchen area including fixtures and appliances; b. Plumbing fixtures and electrical outlets and fixtures; c. Flooring and carpeting; d. Interior wall surfaces; e. Windows (including replacement of any broken panes); f. HVAC system including regular replacement of air filters. 5. The term of this lease shall be from the date signed until June 30, 2004, when it expires automatically during this period the feasibility and advisability of operating the Senior Activity Center more than five days a week shall be studied by both the Council On Aging, Inc. and the City of Fayetteville. Once the issue over the number of days of operation is resolved, both parties anticipate entering into a 20 year lease with both sides having the right to terminate with one year's notice. 6. The City of Fayetteville agrees to use the Fayetteville Senior Activity Center for the operation of a senior activity center as defined by the applicable state and federal regulations as long as required by such regulations. If the City chooses to discontinue using the Senior Center as a senior activity center such that the Council On Aging, Inc. would be required to reimburse funds received from a federal or state agency, the City will reimburse the required funds either to the Council On Aging, Inc. or directly to the governmental agency. 7. The City of Fayetteville will be responsible for any insurance necessary for the structure housing the Fayetteville Senior Activity Center and the Council On Aging, Inc. shall insure all of the contents of this building as well as purchasing and maintaining in force a liability insurance policy from a company acceptable to the City for any injury or damages resulting from its or visitors' use (including foodservice) of the premises in an amount of at least $1,000,000.00 with a no-fault medical expenses rider of at least $5,000.00 per person. A copy of • • the Council On Aging, Inc.'s current insurance policy shall be provided to the Fayetteville City Clerk and a copy of any change, modification, renewal, or termination of said insurance shall be provided the City Clerk within five (5) days of its receipt. 8. The Council On Aging, Inc. shall be responsible to fully pay and keep current all utilities (gas, electric, telephone, cable, water, sewer, solid waste, etc ) necessary to properly operate the Senior Center 9. This Lease and Agreement constitutes the entire agreement between the City of Fayetteville and the Council On Aging, Inc. Any changes or modifications must be in writing and agreed to by the City Council of Fayetteville and the Board of Directors of the Council On Aging, Inc. to be effective. Background The new Senior Citizen Center that was opened for service in July of 2003 is operated by the Council on Aging. This particular non-profit agency was very active in fund raising for and the design of the current structure. The Council is a service provider at this location as well as being responsible for the operation of nine centers in Washington County. The Council on Aging (COA) has a contract with Area Agency on Aging in Harrison for providing services at the Senor Center. Area Agency on Aging, also a non- profit, contracts with a number of third -party providers for a wide range of services for seniors and also directly operates senior centers in some locations. It should be noted that some 25 years ago, the state set up eight separate Area Agencies on Aging blanketing the state. These non -profits all operate through a number of Federal and State programs set up to deliver services to seniors. Current situation The opening of the new Senior Center has given us an opportunity to develop a lease for the use of the building by the Council on Aging. The lease with the Council on Aging essentially defines responsibility for maintenance of the building, lays out terns and conditions in the unlikely case that the city should choose to discontinue use of the facility for services to seniors, and stipulates a lease period and hours of operation. That review will cover possible changes in personnel, changes in days of service coupled with a survey of the client base at the center to better ascertain areas of interest We will have the review completed by March of this year. Background The city council has requested, as part of the approval of a lease between the city and the Council on Aging, that city staff and representatives of the Council explore the feasibility of increasing the hours of operation of the new Senior Center in Walker Park. The center has been in operation since May of 2003 and it has been a tremendous addition to the services provided seniors in this area. The contract for services between the Council on Aging and the Area Agency on Aging is determined by past history and future predictions In the event that contracted services go beyond the predicted contract amounts, the services must be paid in some form by the community. The Council on Aging is a non-profit organization that receives funding from Federal, State, City and the United Way. The yearly revenues for 2003-2004 are as follows: Federal and State 49% $608,920 Contributions 44.5% $534,000 United way 3.8% $ 49,000 City 2.7% $ 32,900 The money requested from the City is used exclusively for Hillcrest Towers. Last year, the City allocation was $31,500. This year, the City allocation is $32,900. This is a $1,400 increase that will be used at the new senior center. It should also be noted that the Council on Aging provides services to 9 centers in Washington County. A key part of that service is meals on wheels as well as meals on site in 9 centers across the county. The kitchen in our Senior Center is used to provide • 1• meals for Fayetteville, West Fork, Goshen, Elkins, Greenland and Elm Springs. These meals are provided at no cost and individuals are asked to contribute to cover the cost of the meals. The center also is currently open for dances and special events on weekends. Council staff opens the center to seniors on request for various events. Current Situation The executive director of the Council on Aging has provided us with the following estimates of cost for providing additional services at the center Saturday full service (noon meal) $ 70,000 Saturday no meal $ 30,940 Sunday full service $140,000 Sunday no meal $ 61,880 We have discussed the possibility of using volunteers for opening the center with no meal preparation on Saturdays and Sundays. However, we jointly share the concern that such an approach places both the City and the Council at some risk if no oversight supervision is provided. Mrs. Linebaugh certainly shares the views of many that this wonderful center be used to its maximum capacity. However, as is true in far too many situations, the current budget constraints of this particular non-profit will require additional funding from outside sources if additional service is provided.
