A RESOLUTION APPROVING AMENDMENT NO. 10 (A) TO
THE CONTRACI WITH OPERATIONS MANAGEMENT
INTERNATIONAL (OMI) IN THE AMOUNT OF $16,416.00 TO
FUND OUT -OF -SCOPE FLOOD EMERGENCY EXPENSES
INCURRED DURING SPRING 2004; AND APPROVING A
BUDGET ADJUSTMENT IN THE AMOUNT OF $16,416.00.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. That the City Council of the City of Fayetteville, Arkansas
hereby approves Amendment No. 10 (A) to the contract with Operations
Management International (OMI) in the amount of $16,416.00 to fund out -of -
scope flood emergency expenses incurred during Spring 2004. A copy of
Amendment No. 10 (A), marked Exhibit "A" is attached hereto, and made a part
hereof.
Section 2. That the City Council of the City of Fayetteville, Arkansas
hereby approves a Budget Adjustment in the amount of $16,416.00.

TO THE
AGREEMENT FOR OPERATIONS,
MAINTENANCE, AND MANAGEMENT SERVICES
FOR THE CITY OF FAYETTEVILLE, ARKANSAS
WASTEWATER TREATMENT PLANT
THIS AMENDMENT NO. 10(A) to the Agreement for Operations, Maintenance and Management
Services for the City of Fayetteville, Arkansas Wastewater Treatment Plant dated August 16, 1994
(the "Agreement") is made effective this 23rd day of November, 2004, by and between the City of
Fayetteville, Arkansas, whose address for any formal notice is 113 W. Mountain St, Fayetteville,
Arkansas 72701 and Operations Management International, Inc., (hereinafter "OM1") with offices at
9193 S. Jamaica Street, Suite 400, Englewood, Colorado 80112.
NOW THEREFORE, The City of Fayetteville and OM1 agree to amend the Agreement as follows:
1. Record flooding during early 2004 required out -of -scope serviced by OMI relating to the
emergency flood response efforts and subsequent flood damage recovery actions.
Washington County was declared a disaster area and became eligible for FEMA assistance.
Fayetteville included the out -of -scope expenses incurred by OMI as a result of the flood
disaster in its claims, receiving a portion of this amount in direct federal and state
reimbursement.
Fayetteville must amend the 2004 contract to reflect the costs incurred by OMI and properly
distribute the FEMA funds to the cost center incurring the losses. Accordingly, the fee paid
to OMI for calendar year 2004 shall be increased by S16,416.000 to account for the impacts
of the flooding emergency that occurred during 2004 and to correct the contract values for the
costs approved and reimbursed by the Federal Emergency Management Agency (FEMJA)
relating to OMI's emergency and recovery flood costs. The fee increase reflects FEMA's
eligible cost determination of sixteen thousand four hundred sixteen dollars (S 16,416.00).
Such funds will be paid to OM1 by the City of Fayetteville on or before December 31, 2004.
This Amendment No. 10(A), together with the Agreement constitutes the entire agreement between
the Parties and supersedes all prior oral and written understandings with respect to the subject matter
set forth herein. Unless specifically stated all other terms and conditions of the Agreement shall
remain in hull force and effect. Neither this Amendment nor the Agreement may be modified except
in writing signed by an authorized representative of the Parties.

RECOMMENDATION
Fayetteville City Administration recommends approval of "Amendment No. 10 (A) to the
Agreement for Operations, Maintenance and Management Services for the City of Fayetteville,
Arkansas Wastewater Treatment Plant." This contract amendment increases the contract value by
$16,416.00 to fund the FEMA approved expenses for the flood emergency in the spring of 2004,
said change requiring a budget adjustment. This amendment increases the 2004 contract to a total
of S4,389,989.00.
BACKGROUND
The City of Fayetteville's wastewater treatment facilities suffered adverse impacts from the
Flooding in the spring of 2004, said event qualifying Washington County for emergency
assistance from state and federal agencies. FEMA's review of the flood -fighting efforts and the
damages by FEMA has documented 516,416.00 in labor, equipment and materials expenses
committed by OM1 to this flood emergency; with FEMA approving a 78% reibursement of said
amount as direct Flood recovery assistance. With the private contract operations being utilized for
the wastewater plant and pumping stations, these out -of -scope expenses must be covered by a
contract amendment. The FEMA grant will cover S 12,804.00, with water and sewer funds
providing the remaining $3,612.00. The expenses approved by FEMA, the allocation of costs and
the documentation of the damages is attached for reference.
DISCUSSION
A flood emcrgcncy required OM1 to perform out -of -scope services in the spring of 2004, said
costs being tabulated and submitted to FEMA for review and approval. Fayetteville has received
state and federal assistance for the claimed expenses that recover 78% of the total losses. The
attached contract amendment 10 (A) formally incorporates the claimed flood costs into the
contract between OMI and the City, which is the origin of the losses.

The contract amendment completes the audit path for the grant funds and adjusts the contract
value to reflect documented out -of -scope flood expenses.

FEMA representatives left the City on June 22 after having completed their assessment of damages
sustained during the April 2004 flood event. 'Me table below lists the damage location and FEMA
damage assessment as well as the cost split between FEMA, Arkansas and the City.
The City received a check today in the amount of $43,367.74 which represents the Federal and State share
of the darnage cost for all of the projects where the estimate is $53,000 or less. If the actual cost is Beater
than the estimate the City can request additional reimbursement. FEMA representatives stated that should
the City seek additional reimbursement FEMA would expect an accounting, by FEMA Project Number,
of all costs incurred on all other claims under $53,000 so that any left over money from those projects
would first be applied to fund the overrun. Projects over $53,000 will be paid in progress payments
through the Arkansas Department of Emergency Management. For the most part FEMA only reimbursed
the City for overtime and equipment usage.
