RESOLUTION NO. 100-04
A RESOLUTION TO APPROVE THE SALE OF THE
CITY OWNED ANNEX TO THE FAYETTEVILLE
PUBLIC LIBRARY FOR $551,000.00 PURSUANT TO
THE BID FROM THE FULBRIGHT BUILDING LLC
WHEREAS, on or about October 7, 2003, the City Council passed an ordinance
to exempt a potential sale of the Library Annex from the requirements of Ordinance No.
4358 "In order to ensure neighborhood compatibility and preservation of the historic
exterior of the Roberta Fulbright Library building ...,"; and
WHEREAS, the City and Library Board prepared a Request For Proposals on
April 15, 2003, for the sale of the Library and Annex; and
WHEREAS, the one proposer, Fulbright Building LLC, offered to purchase both
structures for One Thousand Dollars more than their individually appraised value; and
WHEREAS, the Fayetteville Library Board of Trustees voted to sell the
Fayetteville Public Library building to Fulbright Building LLC on June 21, 2004.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF FAYETTEVILLE, ARKANSAS:
Section 1: That the City Council of the City of Fayetteville, Arkansas hereby
agrees to sell the city -owned Library Annex to Fulbright Building LLC for $551,000.00.

HISTORY
According to Washington County records, the subject has been held in its' current ownership form for
many years. The original building was built m 1961 and an addition was made in 1969-70. To the
appraiser's knowledge, there have been no transactions involving the subject property within the past
three years.

OFFER AND ACCEPTANCE CONTRACT
1. Buyer, The Fulbright Building, LLC, offers to buy, from the
City of Fayetteville, Seller, subject to the terms and
conditions set forth herein, the following described property:
See attachment D3
2 Purchase Price: subject to the following conditions the Buyer
shall pay for the property at closing the total and cash
payment of $551,000 cash.
3 Contingent Earnest Money Deposit: The Buyer herewith tenders
a check for $ 10,000 to the City of Fayetteville ,
hereinafter referred to as Seller, as earnest money, which
shall apply on the Purchase Price. This offer of purchase is
contingent upon approval of the Fayetteville City Council and,
if they do not so approve, the earnest money deposit will be
returned to the Buyer by the Seller. If title requirements
are not fulfilled or the Seller fails to fulfill any
obligations under this contract, the earnest money shall be
promptly refunded to Buyer. If Buyer fails to fulfill his
obligations under the contract or after all conditions have
been met, Buyer fails to close this transaction the earnest
money may at the option of the Seller, become liquidated
damages to the Seller. Alternatively, Seller may assert legal
or equitable rights which it may have because of breach of
this contract.
4 Conveyance will be made to Buyer by general warranty deed,
except it shall be subject to recorded instruments and
easements, if any, which do not materially affect the value of
the property. Such conveyance shall include mineral rights
owned by Seller.
5 Seller shall furnish, at Buyer's cost a policy of title
insurance in the amount of the purchase price from a title
insurance company as selected by Buyer.
6 Seller agrees to allow Buyer, at Buyer's expense, to
survey the property. Seller agrees, at Seller's expense,
to cure any title problems which may result from any
differences between the recorded legal description of the
property and the survey description. Said title
problems, if any, must be solved prior to closing to the
satisfaction of the Buyer.
7. Taxes and special assessments due on or before closing shall
be paid by the Seller. Insurance, general taxes, ad valorem
taxes, special assessments and rental payments shall be
prorated as of closing.
8. Seller acknowledges that Buyer offers to purchase the
property as outlined in buyer's proposal and Request For
Proposal incorporated herein and made a part hereof.
9. The closing date is designated to be October 1, 2004. The
location and time of closing shall be agreed to by Seller and
Buyer.

10. Possession of the property shall be delivered to the Buyer on
the date of closing.
11. All fixtures, improvements and attached equipment are included
in the Purchase Price.
12. Risk of loss or damage to the property by fire or other
casualty occurring up to the time of closing is assumed by the
Seller.
13. This AGREEMENT shall be governed by the laws of the State of
Arkansas.
14. This AGREEMENT, when executed by both Buyer and Seller shall
contain the entire understanding and agreement of the parties
with respect to the matters referred to herein and shall
supersede all price or contemporaneous agreements,
representations and understanding with respect to such
matters, and no oral representations or statements shall be
considered a part hereof.
15. This contract expires, if not accepted, on or before July 19,
2004.

The library complex site has recently beensurveyed along with all other properties held by the
Fayetteville Public Library. The complex site was acquired via multiple transactions over the years. The
appraiser is not certain whether a separate survey or combined legal description exists for this particular

Subject: Sale of Municipal Annex adjacent to Fayetteville Public Library
Recommendation
It is our recommendation that the council accept the bid submitted for the purchase of the
referenced city owned property.
Background
Staff of the library and city worked together to prepare a request for proposal for sale of
the Fayetteville Public Library complex at 217 E. Dickson. The complex is composed of
the main library with approximately 24,000 square feet and the annex, a former
professional building, with approximately 6600 square foot. The two buildings were
connected in 1991. Both properties were listed in the Request for Proposal. As the
Council knows, the Library Board of Trustees owns the main library and the City of
Fayetteville owns the Annex. A copy of the RFP is attached.
Current Situation
The two entities received only one proposal for the respective properties. A selection
committee composed of City staff, an Alderman, Library staff, Library Trustee and a
representative of the neighborhood reviewed the proposal. After considerable discussion,
the committee unanimously recommended that the proposal from the Fulbright Building
LLC consisting of Richard Alexander, John Nock, Rob Merry -Ship, Ted Belden and John
Tyson be accepted The offer for the city portion is $551,000 and the offer for the
Library portion is $1,201,000. Attached for your review is a copy of the proposal from
the successful bidder and the offer and acceptance form.
Budget Impact
Sale of the annex will realize an amount of $551,000 to the city. These proceeds will be
placed in the city general fund unless we are instructed otherwise by Council.

DESCRIPTION OF PROPOSED USE
THE FULBRIGHT BUILDING, LLC COMPRISED OF RICHARD ALEXANDER, ROB
MERRY -SHIP, JOHN NOCK, TED BELDEN AND JOHN TYSON PROPOSES TO
ACQUIRE, REDEVELOP AND PRESERVE THE ROBERTA FULBRIGHT BUILDING AND
THE ADJOINING MEDARK BUILDING WHICH CURRENTLY SERVE AS THE HOME OF
THE FAYETTEVILLE PUBLIC LIBRARY.
IT IS THE RESPONDENT'S INTENT TO USE ITS BEST EFFORTS TO PLACE THE MAIN
LIBRARY BUILDING ON THE NATIONAL REGISTER OF HISTORIC PLACES AND TO
REDEVELOP THE INTERIOR OF THE LIBRARY COMPLEX INTO UPSCALE
PROFESSIONAL OFFICE SPACE IN A MANNER CONSISTENT WITH THE OVERALL
CHARACTER AND VISION OF ARCHITECT WARREN SEGRAVES ORIGINAL DESIGN.
THE PRESERVATION OF THE EXTERIOR FACADE OF THE BUILDING, AS WELL AS THE
EXISTING LANDSCAPING AND STREET FRONT, IS A PRIMARY COMPONENT OF THE
REDEVELOPMENT PLAN; AS SUCH, THE MAJORITY OF THE REDEVELOPMENT WILL
TAKE PLACE ON THE INTERIOR OF THE BUILDING. THE PROPOSED INTERIOR
DESIGN WILL INCORPORATE FUNDAMENTAL ARCHITECTURAL PRINCIPLES THAT
WILL DIRECTLY HARMONIZE WITH THE EXISTING EXTERIOR ELEMENTS.
IN SUMMARY, IT I5 THE RESPONDENT'S INTENT TO PRESERVE THE EXTERIOR
BUILDING ELEVATIONS, LANDSCAPING AND STREET FRONT OF THE PROPERTY AS I5.
RESPONDENTS BELIEVE THAT THE PROPOSED REDEVELOPMENT OF THE INTERIOR
SPACE AS UPSCALE PROFESSIONAL OFFICES IS COMPATIBLE WITH EXISTING ZONING
AND THE NEIGHBORHOOD, AND WILL HAVE LESS IMPACT ON THE NEIGHBORHOOD,
BY WAY OF TRAFFIC AND PARKING THAN THE BUILDINGS CURRENT USE.

THIS BUILDING WAS ORIGINALLY BUILT AS A THEATER AND OPERA HOUSE IN 1905.
OVER. TIME IT BECAME RUN DOWN AND DILAPIDATED. IN THE 1990s, LOCAL
PRESERVATIONISTS BEGAN AN EFFORT TO SAVE IT. ALEXANDER AND MERRY -SHIP
BOUGHT THE BUILDING FROM THE CITY OF FAYETTEVILLE IN 1996 FOR $20,000
AND AFTER A $1.4 MILLION RENOVATION, TURNED IT INTO AN UPSCALE OFFICE
BUILDING, WHICH REOPENED IN AUGUST OF 1998. IT WAS SOLD IN 2002 FOR
$2.2 MILLION.

SAT EMPTY FOR SEVERAL YEARS, BEFORE BEING PURCHASED IN 1998. THE TWO
STORY STRUCTURE WAS RESTORED AND CONVERTED INTO OFFICE/RETAIL LEASE
SPACE ON THE FIRST FLOOR WITH FOUR LUXURY CONDOMINIUMS ON THE
SECOND FLOOR.

CARNALL HALL IS THE SECOND OLDEST BUILDING ON THE CAMPUS OF THE
UNIVERSITY OF ARKANSAS. IT WAS BUILT IN 1905 AS A WOMEN'S DORMITORY AND
WAS MUCH LATER USED AS OFFICE SPACE AND CLASSROOMS. THE BUILDING WAS
VACATED IN 1991 AND LANGUISHED IN DISREPAIR FOR A DECADE. AFTER BEING
CHOSEN BY THE UNIVERSITY IN 2001, ALEXANDER & MERRY -SHIP BEGAN AN $8
MILLION RENOVATION PROJECT. CARNALL HALL IS NOW A BOUTIQUE UPSCALE
HOTEL AND 4 -STAR RESTAURANT. IT ALSO SERVES AS A WORKING CLASSROOM
AND LABORATORY FOR THE UNIVERSITY'S BURGEONING HOSPITALITY PROGRAM.
