A RESOLUTION APPROVING AN INTERLOCAL AGREEMENT
BETWEEN THE CITY OF FAYETTEVILLE AND THE CITY OF
JOHNSON, ARKANSAS TO GOVERN THE INSTALLATION,
OPERATION AND MAINTENANCE OF A TRAFFIC CONTROL
SIGNAL TO BE LOCATED AT THE INTERSECTION OF JOYCE
BOULEVARD AND WILKERSON STREET IN THE CITY OF
JOHNSON, ARKANSAS.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. That the City Council hereby Approves an Interlocal Agreement
between the City Of Fayetteville and the City Of Johnson, Arkansas to govern the
installation, operation and maintenance of a traffic control signal. A copy of the
agreement is attached hereto marked Exhibit "A" and made a part hereof.
Section 2. That the City Council authorizes the Mayor to sign said
Interlocal Agreement with the City Of Johnson, Arkansas.

INTERLOCAL AGREEMENT BETWEEN THE CITY OF FAYETTEVILLE
AND THE CITY OF JOHNSON, ARKANSAS
THIS AGREEMENT entered into this /9day of (lyt,L , 200/ ,
by and between the CITY OF FAYETTEVILLE, and t CITY OF JOHNSON,
ARKANSAS;
WHEREAS, the smooth and orderly flow of vehicular traffic is of mutual
interest to the City of Fayetteville and the City of Johnson; and
WHEREAS, in connection with the development of CMN Business Park,
the City of Fayetteville collected certain monies for the express purpose of
installing traffic control signals in and around the area of development; and
WHEREAS, the intersection of Joyce Boulevard and Wilkerson Street
where the signal is to be installed lies within the corporate limits of the City of
Johnson.
NOW, THEREFORE, IN CONSIDERATION of mutual promises of the
parties contained herein and other good and valuable consideration, the parties
agree as follows:
Article I
The City of Fayetteville agrees to install, operate, and maintain the above -
referenced traffic signal at no cost to the City of Johnson. The City of Fayetteville
shall retain ownership of the signal and be responsible for the payment of any
utility charges related to its operation. The City of Fayetteville shall control the
timing and coordination of the traffic signal as a part of its traffic control system,
subject to the exceptional circumstances set forth in Article III below.
Article II
The City of Fayetteville shall hold harmless the City of Johnson during all
times in which the City of Fayetteville controls the traffic signal, provided that
nothing in this Agreement shall be construed to alter, limit or otherwise
compromise that immunity afforded the City of Fayetteville or the City of
Johnson under the Constitution and Statutes of the State of Arkansas.

Article III
The City of Fayetteville agrees to provide to the City of Johnson a key or
combination required to access the traffic signal control panel for the sole
purpose of allowing the alteration of the signal pattern in response to any
emergency or public necessity.
Article IV
The City of Johnson shall hold harmless the City of Fayetteville during all
times in which the City of Johnson controls the traffic signal, provided that
nothing in this Agreement shall be construed to alter, limit or otherwise
compromise that immunity afforded the City of Johnson or the City of
Fayetteville under the Constitution and Statutes of the State of Arkansas.
Article V
This Agreement constitutes the entire understanding of the parties, and no
modification or variation of the terms of this agreement shall be valid unless
made in writing and signed by the duly authorized agents of the parties.
IN WITNESS WHEREOF, the City of Fayetteville and the City of Johnson
have executed this Agreement on or as of the date first written above.

CONSULTANT COMPENSATION
The total cost of the professional services described in the accompanying proposal for Phase
Two is $45,725. This lump -sum budget includes all direct and indirect expenses incurred by the
consultant team in performing the services. The breakdown of project cost by task is presented
below. The City will be billed monthly based on percent completion of individual tasks.

Additional services beyond those specified in the accompanying Scope of Services may be
negotiated or billed on a time and expense basis at the hourly rates provided on the Schedule of
Professional Fees and Expenses. Extra meetings attended by one professional will be billed on a
fixed -fee basis of $1,500 each, which includes all travel expenses.

SUBJECT: Interlocal Agreement (Traffic Signal) between the City of Fayetteville and
the City of Johnson
During the planning process, the City of Fayetteville required the CMN Business Park developer to make
a contribution for the purchase of equipment for five future traffic signal installations. This money is
being held in an escrow account. The City agreed to install these signals. The first traffic signal we are
going to install is located at the intersection of Joyce Blvd. and Wilkerson. This intersection is located
in the city of Johnson at the west end of Joyce Blvd. Since the intersection is not in the city of
Fayetteville, before we install the traffic signal we need to execute an Interlocal Agreement between both
entities.
1 have visited with Mayor Richard Long of Johnson and I believe we are in agreement about what should
be included in the document other than the usual legal terminology. The following is a list of what we
think should to be included:
1. The City of Fayetteville will install the traffic signal at no cost to the city of Johnson.
2. The City of Fayetteville will own, operate, and maintain the traffic signal at no cost to the
City of Johnson. This will include all utility cost.
3. The City of Fayetteville will control all timing and coordination of the traffic signal with
other traffic signals located in the area which are on our traffic signal system.

4. The City of Fayetteville will hold the City of Johnson harmless during normal operation
and at all times the traffic signal is being controlled by the City of Fayetteville.
5. The City of Johnson Police Department will have a key and access to the police panel
located on the front door of the traffic signal cabinet. This access shall be for the sole
purpose of manually controlling the traffic signal or placing the traffic signal in flash
operation while working a traffic accident, during inclement weather or other emergency
conditions.
6. The City of Johnson will hold the City of Fayetteville harmless at all times they have
control of the traffic signal either manually or by placing the traffic signal in a flashing
operation.
These are the main points that we thought should be included. I have attached a copy of the August 30,
1996 Interlocal Agreement between the City of Fayetteville and the City of Johnson for bridge project
#19630. If you need more information please give me a call at extension 228. This traffic signal will
be the first project we do this summer and anything you can do to help expedite this agreement will be
greatly appreciated.
