• RESOLUTION NO. 119-00 MICROFILMED A RESOLUTION AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A CONTRACT IN THE AMOUNT OF $37,885 WITH PURKISS-ROSE-RSI TO DESIGN AND SUPERVISE CONSTRUCTION OF A SKATE PARK AT WALKER PARK. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAYETTEVILLE, ARKANSAS: Section 1. That the City Council hereby authorizes the Mayor and City Clerk to execute an agreement in the amount of $37,885 with Purkiss-Rose-RSI to design and supervise construction of a skate park at Walker Park. B727-1988 1 • • TERMS AND CONDITIONS OF AGREEMENT BETWEEN OWNER AND ARCHITECT ARTICLE 2 OWNER'S RESPONSIBILITIES 2.1 The Owner shall provide full information regarding requirements for the Project. The Owner shall furnish required information as expeditiously as necessary 'for the orderly progress of the Work, and the Architect shall be enti- tled to rely on the accuracy and completeness thereof. 2.2 The Owner shall designate a representative authorized to act on the Owner's behalf with respect to the Project. The Owner or such authorized representative shall render deci- sions in a timely manner pertaining to documents submitted by the Architect in order to avoid unreasonable delay in the orderly and sequential progress of the Architect's services. ARTICLE 3 USE OF ARCHITECT'S DOCUMENTS 3.1 The documents prepared by the Architect for this Proj- ect are instruments of the Architect's service for use solely with respect to this Project and, unless otherwise provided, the Architect shall be deemed the author of these documents and shall retain all common law, statutory and other reserved rights, including the copyright. The Owner shall be permit- ted to retain copies, including reproducible copies, of the Architect's documents for the Owner's information, reference and use in connection with the Project. The Architect's docu- ments shall not be used by the Owner or others on other proj- ects, for additions to this Project or for completion of this Project by others, unless the Architect is adjudged to be in default under this Agreement, except by agreement in writing and with appropriate compensation to the Architect. ARTICLE 4 ARBITRATION 4.1 Claims, disputes18MldkPRitltftchalikuestion between the parties to this Agreement arising out of or relating to this Agreement or breach thereof shall be subject to and decided by arbitration in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association cur- rently in effect unless the parties mutually agree otherwise. 4.2 A demand for arbitration shall be made within a reason- able time after the claim, dispute or other matter in question has arisen. In no event shall the demand for arbitration be made after the date when institution of legal or equitable pro- ceedings based on such claim, dispute or other matter in ques- tion would be barred by the applicable statutes of limitations. 4.3 No arbitration arising out of or relating to this Agreement shall include, by consolidation, joinder or in any other man- ner, an additional person or entity not a party to this Agree- ment, except by written consent containing a specific refer- ence to this Agreement signed by the Owner, Architect and any other person or entity sought to be joined. Consent to arbitration involving an additional person or entity shall not constitute consent to arbitration of any claim, dispute or other matter in question not described in the written consent or with a person or entity not named or described therein, The foregoing agreement to arbitrate and other agreements to arbi- trate with an additional person or entity duly consented to by the parties to this Agreement shall be specifically enforce- able in accordance with applicable law in any court having jurisdiction thereof. 4.4 The award rendered by the arbitrator or arbitrators shall be final, and judgment may be entered upon it in accordance with applicable law in any court having jurisdiction thereof. ARTICLE 5 TERMINATION OR SUSPENSION 5.1 This Agreement may be terminated by either party upon not less than seven days' written notice should the other patty fail substantially to perform in accordance with the terms of this Agreement through no fault of the party initiating the termination. 5.2 If the Owner fails to make payment when due the Archi- tect for services and expenses, the Architect may, upon seven days' written notice to the Owner, suspend performance of services under this Agreement. Unless payment in full is received by the Architect within seven days of the date of the notice, the suspension shall take effect without further notice. In the event of a suspension of services, the Architect shall have no liability to the Owner for delay or damage caused the Owner because of such suspension of services. 5.3 In the event of termination not the fault of the Architect, the Architect shall be compensated for services performed prior to termination, together with Reimbursable Expenses then due and all Termination Expenses as defined in Paragraph 5.4. 5.4 Termination Expenses shall be computed as a percentage of the compensation earned to the time of termination, as follows: .1 For services provided on the basis of a multiple of Direct Personnel Expense, 20 percent of the total Direct Personnel Expense incurred to the time of ter- mination; and .2 For services provided on the basis of a stipulated sum, 10 percent of the stipulated sum earned to the time of termination. ARTICLE 6 MISCELLANEOUS PROVISIONS 6.1 Unless otherwise provided, this Agreement shall be gov- erned by the law of the principal place of business of the Arc hitee t. _ 6.2 Causes of action between the parties to this Agreement pertaining to acts or failures to act shall be deemed to have accrued and the applicable statute of limitations shall com- mence to run not later than the date payment is due the Archi- tect pursuant to Paragraph 8.4. B727-1988 3 6.3 The Owner and Architect, respectively, bind themselves, their partners, successors, assigns and legal representatives to the other party to this Agreement and to the partners, suc- cessors, assigns and legal representatives of such other party with respect to all covenants of this Agreement. Neither Owner nor Architect shall assign this Agreement without the written consent of the other. • 6.4 This Agreement represents the entire and integrated agree- ment between the Owner and Architect and supersedes all prior negotiations, representations or agreements, either writ- ten or oral: This Agreement may be amended only by writ- ten instrument signed by both Owner and Architect. 6.5 Nothing contained in this Agreement shall create a con- tractual relationship with or a cause of action in favor of a third party against either the Owner or Architect. 6.6 Unless otherwise provided in this Agreement, the Archi- tect and Architect's consultants shall have no responsibility for the discovery, presence, handling, removal or disposal of or exposure of persons to hazardous materials in any form at the Project site, including but not limited to asbestos, asbestos products, polychlorinated biphenyl (PCB) or other toxic substances. ARTICLE 7 PAYMENTS TO THE ARCHITECT 7.1 DIRECT PERSONNEL EXPENSE 7.1.1 Direct Personnel Expense is defined as the direct salaries of the Architect's personnel engaged on' the Project and the portion of the cost of their mandatory and customary con- tributions and benefits related thereto, such as employment taxes and other statutory employee benefits, insurance, sick leave, holidays, vacations, pensions, and similar contributions and benefits. 7.2 REIMBURSABLE EXPENSES • 7.2.1 Reimbursable Expenses are in addition to the Architect's compensation and include expenses incurred by the Archi- • tect and Architect's employees and consultants in the interest of the Project for:. . 1 expense of transportation and living expenses in con- nection with out-of-town travel authorized by the Owner; • . 2 long-distance communications; . 3 fees paid for securing approval of authorities hav- ing jurisdiction over the Project; • . 4 reproductions; . 5 postage and handling of documents; . 6 expense of overtime work requiring higher than regular rates, if authorized by the Owner; . 7 renderings and models requested by the Owner; . 8 expense of additional coverage or limits, including . professional liability insurance, requested by the Owner in excess. of that normally carried by the Architect and the Architect's consultants; and . 9 Expense of computer-aided design • and drafting equipment time when used in connection with the Project. • 7.3 PAYMENTS ON ACCOUNT OF THE ARCHITECT'S SERVICES 7.3.1 Payments on account of the Architect's services and for Reimbursable Expenses shall be made monthly upon presen- tation of the Architect's statement of services rendered or as otherwise provided in this Agreement. 7.3.2 An initial payment as set forth in Paragraph 8.1 is the • minimum payment under this Agreement.. 7.4 ARCHITECT'S ACCOUNTING RECORDS 7.4.1 Records of Reimbursable Expenses and expenses per- taining to services performed on the basis of a multiple of • Direct Personnel Expense shall be available to the Owner or the Owner's authorized representative at mutually convenient times. We will present an outline of our agenda for the workshops that we have successfully utilized in the past for input and refinement. We will review budgets, size of the facility, and any phasing programs. Task 2 - Data Collection We will collect available data regarding the proposed site, any as -built drawings, existing design plans, infrastructure, public input, and other information relevant to existing conditions. We will conduct a scooping session with Staff and the Committee to review key issues which include: development program, budget, operations, management, maintenance, liability, neighborhood concerns and impacts, access, etc. Task 3 - Base Map / Site Analysis A topographic survey, utility and easement research will be scheduled. Preparation of a base map will be developed based on the survey, research, and information supplied by the City. The Design Team will visit the site and develop a site analysis and inventory by looking at existing activities in the area, access, existing site conditions, surrounding land use, drop-off and pick up area, parking, grading and drainage, landscape buffering opportunities, and constraints etc. At this time, the geotechnical services will be scheduled. The geotechnical report will determine the engineering properties of the soils encountered at the site. Task 4 - Site Assessment We will develop an assessment based on our past experience that addresses trends in skate park development (such as usage impacts, access, noise, parking, litter, fencing vs. non -fencing, maintenance, etc.), past experience on existing projects, our site analysis, specific site opportunities, and constraints. We will also make recommendation regarding policies, operations, management, maintenance, security, and development. Task 5 - Public Input Meeting #1 The Design Team will facilitate an input workshop with local skaters, committee members, concerned neighbors, and City staff. The scope of work, design process, and timeline will be explained. The site analysis and site assessment will be presented as well as site opportunities and constraints reviewed. The Design Team will guide the participants through an input session in order to first review the impact and mitigation measures for the site and to develop a vocabulary of design ideas and possible components (elements) of the park. Existing examples of similar projects will be displayed to help visualize elements of the park. A design layout will be formulated from this input. Task 6 - Conceptual Plans Based on the information obtained at the first workshop the Design Team will explore functional and visual relationships of the proposed site by looking at such components as layout and orientation, safety zones, security, grading concepts, circulation of pedestrians and traffic, etc. A skate park layout or alternatives will be designed to address the proposed program. Comments and recommendations will be reviewed with staff for their acceptability, strengths, and weaknesses. Construction components, drainage devices, materials, and site amenities will be presented for review and input. Based on this input, the alternatives will be refined for the presentation at a second workshop. Task 7 - Construction Cost Estimate A complete cost analysis will be developed. Task 8 - Public Input Meeting #2 At a second workshop, the Design Team will present the conceptual plan or design alternatives with support sketches to help visualize the proposed improvements. Task 9 - Refinement of the Conceptual Plan Based on all the information obtained to date, we will finalize the design layout and budget. The plan will be rendered for presentation. Task 10 - Presentation - Public Meeting The Final Conceptual Plan and construction cost estimates will be presented to the user group and Committee for final input. As part of this meeting, we will meet with the Parks and Recreation Advisory Board and general public. All comments will be reviewed and incorporated into the final Plan. PHASE 11- CONSTRUCTION PLANS AND SPECIFICATIONS Once the final plan and budget have been approved by all the agencies, the team will develop construction documents, cost estimates, and specifications for implementation of the project. Task 4 - Bidding Process The design team will be available during the bid process to assist, review, clarify, and comment on the bids and attend the pre-bid Conference. PHASE HI - CONSTRUCTION PHASE The design team will be available during the bid process to assist, review, clarify, comment, and make recommendations on the bids. We will answer any questions that could affect bid results. We will review and approve the contractor's submittals including material submittals, shop drawings, and change orders; review contractors' pay requests, clarifications to plans and specifications; provide site visits and report on construction process. We will attend a preconstruction meeting with the awarded contractor and the Client. We will meet at thejob site and review the installation. Four (4) site meetings are included. If desired, we can offer extended services during the installation to have an experienced skate park builder on the site to work directly with the awarded contractor. We propose to provide the services requested as follows for the fees stated: • Topographic Survey $ 1,800.00 • Utility & Easement Research & Plan $ 750.00 • Grading & Drainage Plan $ 1,800.00 • Storm Water Management Plan $ 500.00 • Large Scale Development Plan $ 3,250.00 • Structural Plan Review & Comment $ 500.00 • Geotechnical Investigation $ 1, 900.00 The geotechnical investigation is to consist of 3 - 12 foot borings within the proposed skate park area; sampling of surface and subsurface materials; determine the engineering properties of the soils encountered; perform engineering analyses of soil strata based on laboratory data; and develop a written geotechnical report to include foundation recommendations and bearing capacity recommendations. The drawings for the topographic survey and civil plans will be provided in AutoCAD R14 format. We will make a diligent effort to determine the location of the utilities from the Fayetteville Parks Maintenance Staff and coordinate with other Utilities Companies to show the location of the facilities. The current funding for this project is $75,000 and was approved in the 2000 Capital Improvement Fund. Thirteen design firms expressed an interest in the Skate Park project. A selection committee, that included a representative from City Council, two citizen representatives from the Skate Park Sub -Committee, and City staff evaluated applications and decided that Purkiss Rose -RSI was the most qualified firm for our project. Purkiss Rose - RSI has worked on more than one hundred skate park projects during the last nine years. Purkiss Rose -RSI will be responsible for providing the Parks and Recreation Division with the following information and services: • • • • • • • • • Data collection and analysis Base map/site analysis Public meeting workshops (2) Public meeting presentation (1) Conceptual plans Construction cost estimates Construction plans, specifications, and documents, including the following: drainage/grading plan, skate park layout, storm water management plan, large scale development, and site amenities plan.
