A RESOLUTION AUTHORIZING THE MAYOR AND CITY
CLERK TO EXECUTE A CONTRACT IN THE AMOUNT OF
$81,800 WITH MCGOODWIN, WILLIAMS & YATES FOR AN
UPDATE OF THE CITY'S MASTER WATER SYSTEM
STUDY.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. That the City Council hereby authorizes the Mayor and City Clerk to
execute a contract in the amount of $81,800 with McGoodwin, Williams & Yates for an update
of the City's Master Water System Study. A copy of the contract is attached hereto marked
Exhibit "A" and made a part hereof.

AGREEMENT FOR ENGINEERING SERVICES
WATER SYSTEM STUDY
THIS AGREEMENT, entered into this 7I,4 day of Mci Nc4
1995, by and between the City of Fayetteville, Arkansas, herein-
after referred to as the "Owner," and the engineering firm of
McGoodwin, Williams and Yates, Inc., of Fayetteville, Arkansas,
hereinafter referred to as the "Enginee•r,"
WITNESSETH THAT:
WHEREAS, the Owner desires a water system study and the
preparation of an update of their 20 -year master plan for capital
improvements to the city's water system; and
WHEREAS, based upon evaluation of annual Statements of
Qualification received by the Owner, the Engineer was selected to
provide the engineering services required;
NOW THEREFORE, in consideration of the mutual covenants and
agreements herein contained, the Owner and the Engineer, the
parties hereto, stipulate and agree that the Owner does hereby
employ the Engineer to perform the required engineering services
as hereinafter set out and the Engineer agrees to provide said
services.
The scope of the study and other conditions of employment
are as follow.
Section I. Scope of Services
The Engineer shall provide at his own expense a suit-
able engineering staff to perform the necessary studies and
evaluations and to report his findings and recommendations to
the Owner.
The water system study will result in an update of
the existing 20 -year master plan for capital improvements.
Recommendations for improvements will be made for three time
increments: (1) immediate/short range improvements (one to five
years), (2) intermediate range improvements (six to 10 years),
and (3) long range improvements (11 to 20 years).
Recommendations for improvements will be further broken
down by area served (Fayetteville, the Growth Area, Greenland,
Farmington, etc.). Any improvements required to serve the West
Fork, Elkins, Washington Water Authority, or Mt. Olive systems
will be designated as improvements required to serve the future
needs of those systems. Greater emphasis will be placed on the
first 10 years of planning.

The study will include the following:
A. Analysis of the water system under existing conditions
(average day, maximum day, maximum instantaneous
demand, and fire flow conditions). The work includes
an update of the water system model utilizing latest
data available from the city's records.
B . Analysis of the water system under projected conditions
of population and water use (through the year 2015).
C. Identification of major low pressure areas within
the system and recommendations on mitigation of low
pressure.
D . Recommendation of future facilities to meet the needs
of outside city wholesale and retail water customers.
E . Sizing and location of future distribution and/or
transmission lines.
F. Recommendation on future line sizes in the Growth Area.
G . Evaluation of adequacy of total system storage;
recommendation on the location of new elevated storage
and new booster stations as may be required.
The following questions or issues have been identified as
being pertinent to the future development of the water distri-
bution system for the Owner. It is hereby agreed that the
Engineer will include these issues as part .of his analysis.
A. The question of the need for constructing elevated
water storage facilities in the Highland Park area
and the possibility of separating the Highland Park
pressure plane from that of the existing Mount Sequoyah
pressure plane.
8. The feasibility and desirability of constructing
elevated storage on South Mountain (Fayetteville
Country Club area).
C. The issue of continued service and/or growth of water
demands to the rural associations now purchasing water
from the Owner. The Owner will provide guidance as to
the proper approach to this issue.
D . The need for storage in the east growth area.
Deliverables under this Agreement will comprise an interim
report and a final report setting forth the Engineer's findings
and recommendations for development of the facilities needed.

The Engineer will deliver a bound report with appendices and
supplemental materials which shall include maps of the system
used in the study and a representative hydraulic model in hard
copy and electronic media format. The Owner hereby recognizes
and agrees that the use of such electronic media will be at the
Owner's sole risk and without any liability, risk, or legal
exposure by the Engineer. Furthermore, the Owner shall, to the
fullest extent permitted by law, defend, indemnify, and hold
harmless the Engineer from all claims, damages, losses, and
expenses, including attorney fees, arising out of or resulting
from the use of such electronic media.
Section II. Payment
In consideration of the performance of the foregoing
services, the Owner shall compensate the Engineer for actual time
required to perform the work by the various classifications of
employees at the hourly rates set out below plus a lump sum fixed
fee in the amount of $13,600 plus reimbursable expenses.

The Engineer agrees to keep an accurate record of the
hours of the various classifications of personnel working on
the project. The estimated cost, based on the established
hourly rates, is $68,200 (not including the fixed fee). This
estimate will not be exceeded without written authorization by
the Owner.

Payment for engineering services under this agreement
shall be made within 30 days after claim submittal by the
Engineer. Billing shall be submitted monthly and shall include
all costs accrued plus a pro rata share of the fixed fee based
on the Engineer's estimate of the percentage of work completed.
At this time, it is not anticipated that reimbursable
expenses will be incurred on this project. Reimbursable expenses
include travel costs when traveling outside of Northwest Arkansas
in connection with the project, rental expenses for special
equipment needed for completion of the work, purchase of
material, and other expenses directly attributable to the
project, including any work performed by subcontractors. The
Engineer shall charge the Owner for reimbursable expenses at
actual cost plus ten percent (10%).
Section III. Owner's Responsibilities
In connection with the project, the Owner's responsibilities
shall include, but not be limited to, the following:
A. Giving thorough consideration to all documents
presented by the Engineer and informing the Engineer
of all decisions within a reasonable time so as not
to delay the work of the Engineer.
B . Making provision for the employees of the Engineer
to enter public and private lands as required for
the Engineer to perform necessary surveys and
investigations..
C. Furnishing the Engineer such plans and records of
construction and operation of existing facilities
(including water usage data), or copies of same,
bearing on the proposed work as may be in the
possession of the Owner. Such documents or data
will be returned upon completion of the work or at
the request of the Owner.
D . Paying the costs of making necessary soundings,
borings, analyses of materials and laboratory work.
E . Providing legal, accounting and insurance counseling
services necessary for the project, if required.
F. Giving prompt written notice to the Engineer when-
ever the Owner observes or otherwise becomes aware of
events which may substantially alter the Engineer's
performance under this Agreement.

Section IV. Time for Completion
The services called for shall be completed within a period
of seven (7) calendar months after receipt of a Notice to Proceed
from the Owner, provided that no delays are encountered through
no fault of the Engineer and that the necessary data to be
furnished by the Owner is received by the Engineer in a timely
manner.
Section V. Insurance
The Engineer hereby agrees to carry the following insurance
with respect to the services he performs for the duration of this
agreement:
A. Workmen's Compensation
B. Public Liability, including Automobile Liability
C. Professional Liability
Section VI. Termination
The obligation to provide further services under this
Agreement may be terminated by either party upon thirty (30)
days' written notice in the event of substantial failure by the
other part to perform in accordance with the terms hereof through
no fault of the terminating party.

THIS AGREEMENT shall be binding upon the parties hereto,
their partners, heirs, successors, administrators and assigns;
and neither party shall assign, sublet or transfer his interest
in this agreement without the prior written consent of the other
party hereto.
IN WITNESS WHEREOF, the Owner has caused these presents to
be executed in its behalf by its duly authorized representatives,
and the said Engineer by its duly .authorized representatives, and
the parties hereto have set their hands and seals on the date
heretofore set out.

Attached is a contract amendment submitted by McGoodwin,
Williams, and Yates in the amount of $7,500.00. We requested the
amendment so that they could incorporate the appropriate portion of
the White River Rural Water System into the Fayetteville Study and
to make recommendations on improvements both within that system and
within the Fayetteville system.

AMENDMENT NO. 1 TO
AGREEMENT FOR ENGINEERING SERVICES
WATER SYSTEM STUDY
CITY OF FAYETTEVILLE, ARKANSAS
WHEREAS, on March 7, 1995, the City of Fayetteville, Arkansas (Owner), and
the engineering firm of McGoodwin, Williams and Yates, Inc. (Engineer), entered into
an agreement to provide for engineering services in connection with a water system
study and preparation of an update to the 20 -year master plan for capital improve-
ments to the city's water system; and
WHEREAS, the Owner is now considering the feasibility of assuming
ownership and operation and maintenance of a portion of the rural water system
now owned and operated by the White River Rural Water Association; and
WHEREAS, the Owner wishes to increase the scope of the water study
agreement to include certain analyses and recommendations related to the White
River Rural Water Association's system;
NOW THEREFORE, in consideration of the mutual covenants and agreements
herein contained, the Owner and the Engineer, the parties hereto, stipulate and
agree that the "Agreement for Engineering Services - "Water System Study," dated
March 7, 1995, is hereby amended in the following particulars.
Section I, "Scope of Services," is amended to provide that the Engineer
will incorporate the appropriate portion of the White River Rural Water
Association system into the distribution system model developed for the
existing Fayetteville system.
Analyses and recommendations will be made concerning the facilities
needed to serve the area in question for the design period. The
Engineer will also provide assistance and counsel to the Owner as
needed to determine the feasibility of assuming ownership of that
portion of the system.
II. Section II, "Payment," is amended to add $1,100 to the fixed fee of
$13,600 for a total fixed fee of $14,700 Further, the estimated cost of
$68,200 (not including the fixed fee) is increased to $74,600.

III. Section IV, 'Time for .Completion," is amended to provide an anticipated
completion date of December 15, 1995.
All other provisions of the original contract remain in full force and effect.
IN WITNESS WHEREOF, the Owner has caused these presents to be
executed in its .behalf by its duly authorized representatives, and the said Engineer
by its duly authorized representatives, and the parties hereto have set their hands
