A RESOLUTION AWARDING BID NO. 95-67 IN THE
AMOUNT OF $176,993 TO BUILDING, INC. FOR
CONSTRUCTING A MATERIALS STORAGE BUILDING AT
THF STREET DIVISION. AND APPROVING A BUDGET
ADJUSTMENT IN THE AMOUN1 OF $125,133.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. The Council hereby awards Bid No. 95-67 in the amount of $176,993 to
Building, Inc. for constructing a materials storage building at the street division, and the Mayor
and City Clerk are hereby authorized to execute a construction contract. A copy of the hid
tabulation and contract are attached hereto and made a part hereof.
Section 2. The Council hereby approves a budget adjustment in the amount of
$125,133 increasing Building Costs, Acct. No. 4470 9470 5804 00, Pmect No. 95074,
decreasing Use of Fund Balance, Acct. No. 4470 0947 4999 99. A copy of the budget
adjustment is attached hereto and made a part hereof.

WHEREAS, the Owner hascalled for bids for a materials storage
facility, as set out in the Plans and Specifications and approved
by the City of Fayetteville, Arkansas; and
WHEREAS, pursuant to the published calls for bids under said Plans
and Specifications, the Contractor is the lowest and best qualified
bidder for the construction of said Improvements;
NOW THEREFORE, the Contractor agrees with the Owner to commence and
complete the construction of:
Bid No. 95-67 which shall be the City Material Storage Facility,
Fayetteville, Arkansas; including all Work required for a
complete and acceptable installation, for the unit and lump sum
prices bid in the Bid Proposal, all of which become and are a part
of this Contract, the total sum thus being

dollars ($J7/ YQ3.pp), such sum being the agreed amount upon which
bonds andrliabilities are based, and at his own cost and expense
furnish all materials, supplies, labor, machinery, equipment,
tools, supervision, bonds, insurance and other accessories and
services necessary to complete the said construction in accordance
with the conditions and prices stated in the Bid attached hereto
and made Fa part hereof, and in accordance with the Technical
Specifications; the General Conditions, the Supplementary
Conditions, and in accordance with the Plans, which include all
maps, plats, blueprints, and other drawings, and written or printed
explanatory matter thereof.
The Contractor agrees to commence work under this contract within
three days of the issuance of the Notice to Proceed and totally
complete all work within forty-three (43) calendar days.
The Owner agrees to pay the Contractor in current funds for the
performance of the contract in accordance with the accepted Bid
therefor,subject to additions and deductions, as provided in the
Specifications, and to make payment on account thereof as provided
below.

As soon as is practicable after the first of each calendar month,
and in accordance with the Contract Specifications, the Owner will
make partial payments to the Contractor for work performed during
the preceding calendar month, based upon the Engineer's estimate of
work completed, said estimate being certified by the Contractor and
accepted by the Owner. Retainage shall be withheld from the
partial payments as provided by Arkansas state laws by the Owner
until final completion and acceptance by the Owner and Engineer.
The Engineer shall then issue a Final Estimate of work done based
upon the original contract and subsequent changes made and agreed
upon, if any.
Time is herebyexpressly declared to be of the essence of this
contract, And the time of beginning, manner of progress and time of
completion of :the work hereunder shall be and are essential
conditions hereof.
The Contractor agrees to commence work within. three (3) calendar
days from the date of the Notice to Proceed and to proceed with the
construction of the work and to prosecute the work with an adequate
force and in a manner so as to complete the work within the time
stipulated herein. .If the Contractor fails in completing the
contract within the time stipulated herein, the Contractor agrees
to pay the Owner, as liquidated damages the sum of one hundred
dollars ($100.00) per day for each calendar day of delay in
completion, said amounts being fixed and agreed upon by and between
the parties hereto. Because of the impracticability and extreme
difficulty in fixing and ascertaining the actual damages Owner
would in such event sustain, said amounts are to be presumed by the
parties to this contract to bethe amounts of damage Owner would
sustain. 'Said amounts of liquidated damages shall be deductible
from any amount due Contractor under the Final Estimate of said
work, after the completion thereof, and Contractor shall be
entitled to the Final Estimate less such amounts of liquidated
damages.
If the Contractor is delayed at any time in the progress of the
work by any act or neglect, of the Owner or of the Owner's
employees; or by any other Contractor employed by the Owner, or by
changes or'•dered in the work, or by strikes, lockouts, fire, unusual
delay in transportation, unavoidable casualties or any causes
beyond the Contractor's control, or by delay authorized by the
Engineer pending arbitration, or by any cause which the Engineer
shall decide to justify the delay, then the time of completion
shall be extended for suchreasonable time as the Engineer may
decide. t
No such extension shall be made for delay occurring more than seven
days before claim therefor is made in writing to the Engineer. In
the case 'of a continuing cause for delay, only one claim is
necessary. j

In the event the. Contractor abandons the work hereunder or fails,
neglects or refuses to continue the work after ten (10) days
written notice, given Contractor by the Owner or by the Engineer,
then the Owner shall have the option of 1) declaring this contract
at an end, in which event the Owner shall not be liable to the
Contractor for any work theretofore performed, or 2) requiring the
surety hereto, upon ten (10) days notice, to complete and carry out.
the contract of Contractor; and in that event, should be surety
fail, neglect or refuse to carry out said contract, 3) said Owner
may complete the contract as its own expense and maintain an action
against the Contractor and the surety hereto for the actual cost of
same, together with any damages or other expense sustained or
incurred by Owner in completing this contract, less the total
amount provided for hereunder to be paid Contractor upon the
completion of this contract.
This contract shall be binding upon the heirs, representatives,
successors or assigns of the parties hereto, including the surety.

Justification of this Increase:
The additional funding is requested to provide dry storage for
additional materials. Currently the City Street Division has
covered storage for salt and chat.' his request would provide dry
storage for salt, chat, top soil, hillside material, premix, and sand.
The increased building size is required because the location
utilizes the bulk storage stock pile site. Keeping these materials
dry will aid in a more efficient response to the Division's work
requirements.

In response to your recuest, enclosed is Arkansas Prevailing
Wage Deternination Number 95-084 establishing the minimum wage
rates to be paid on the above -referenced project. These races
were established pursuant to the Arkansas Prevailing Wage Law,
Ark. Code Ann. §5 22-9-301 cc 22-9-313(1987) and the
administrative regulations promulgated thereunder.
If the work is subject to the Arkansas Prevailing Wage Law,
every specification shall include minimum prevailing wage rates
for each craft or tvice of worker as determined by the Arkansas
Department of Labor Ark. Code Ann.§§22-9-308(b)(2). Also, the
public body awarding the contract shall cause to be inserted in
the contractoa stipulation to the effect that not less than the
prevailing hourly rate of wages shall be paid to all workers
performing work under the contract. Ark. Code Ann. §22-9-308(c).
Additionally, the scale of wages shall be posted by the
contractor in a prominent and easily accessible place at the work
site. Ark, Code Ann. §22-9-309(a).

1.5 SCHEDULE OF VALUES:

required for the work, including progress_ schedule, payment request form,
listing of subcontractors, schedule of allowance=_, schedule of
alternates, listinq of products and principal suppliers and fabricators.

Sufficient detail to facilitate continued evaluation of payment requests

1.8.2 hltterial/Fabricati.onVatues: For each unit of work: where
payment requests will be made •on account of materials or equipment
purchased / fabricated i delivered but not vet installed, show "initi.al
value" for payment request and "value added" for- subsequent stage or
stages of completion on that unit of work.
Time Coordination: In coordination of initial submittals_ and
other administrative "start-up" activities, submit schedule of values_ to
Architect / Engineer at earliest date, but in no case later- than
seven (7) days before payment request is to be submitted.
1 PAYMENT REQUESTS:
1.7.1 General: Except as otherwise indicated, sequence of progress
payments is to be regular, and each must be consistent with previous_
applications and payments. It is recognized that certain applications
involve extra requirements, including initial application, application at
times of substantial completion, and final payment application.
1.7.2 On or about the tenth day of each month, Owner will made progress
payments on account of the Contract Sum to Contractor in the amount of
ninety percent of the proportion of the Contract Sum properly allocable
to labor, materials and equipment incorporated in the work and ninety
percent of the portion of the Contract Sum properly allocable to
materials and equipment suitably stored at the site or at some other
location agreed upon in writing by the parties, up to the first day of
that month, less the aggregate of previous payments in each case. All
sums withheld by the Owner will be held in escrow.

PROCEDURES AND CONTROLS
PART 1 - GENERAL
1.1 RELATED DOCUMENTS: Drawings and general provisions of Contract,
including Division 0 and Division 1 Specifications sections, apply to
work specified in this section.
1.2 DESCRIPTION OF WORK: The type of minimum requirements for
procedures and performance or control work of a general nature include,
but are not necessarily limited to, the following categories:
Coordination,. Surveys, Limitations for use of site, Tradespeople and
workmanship standards, Inspections (tests and reports), General
installation provisions,. Cutting and patching, Cleaning and protection.
1.3 COORDINATION:
1.3.1 General: It is not possible to show on a single Drawing, or
specify in a single Section, all information pertaining to construction
of any one area of the building. Compare all of the Drawings and
Specifications and be responsible for coordinating work of various
subcontractors and trades, and avoiding interferences between
inter-relatedportions of the Work.
1.3.2 Contract Documents: -Neither the organization of Specifications
into Divisions, Sections and Articles, nor the distribution of
information on Drawings shall control or limit Contractor in dividing the
extent of work to be performed by any trade.
1.3.3 Inconsistencies: Report to the Architect any inconsistency,
interference, error or omission discovered in Contract Documents. Do not
proceed with Work without first obtaining instructions or revised
Drawings or Specifications from the Architect.
1.3.4 Equipment Connections: The Contractor (and subcontractors) shall
coordinate the connection of equipment within the building, regardless of
whether said equipmentisbeing furnished under this Contract, or whether
said equipment is being furnished by a separate supplier or
subcontractor:
• 1.4 SURVEYS AND RECORDS / REPORTS:
' 1.4.1 General: Working from lines and levels established by property
survey, and as shown in relation to the work, establish and maintain
bench marks and other dependable markers to set lines and levels for the
work at each story of construction and elsewhere on site as needed to
properly locate each element of entire project. Calculate and measure
required dimensions as shown (within recognized tolerances if not
otherwise indicated); do not scale drawings to determine dimensions.

Advise tradesmen performing the work of marked lines and levels provided
for their use: in layout of work.
1.4.2 Survey Procedures: Verify layout information shown on drawings,
in relation to property survey and existing bench marks, before

proceeding with layout of actual work. As work proceeds, check every
major element for line, level and plumb (where applicable), and maintain
an accurate surveyor's log or record book of such checks, available for
Architect's or Engineer's reference at reasonable times. Record
deviations from required lines and levels, and advise Architect or
Engineer promptly upon detection of deviations exceeding indicated or
recognized tolerances. Record deviations which are accepted (or
corrected) on record drawings.
1.5 EXISTING CONDITIONS:
1.5.1 Utility Lines: The Contractor shall carefully examine the
premises for any visible utility lines, including appurtenances for same,
which are not indicated on the drawings, but which in their present
locations and positions will interfere in any way with any of the work
called for by the drawings and/or specifications. The Contractor shall
arrange and pay for, without added cost to the Owner, the removal and/or
re-routing of such lines. Re-routing of lines shall be done so as not to
interfere with the work, and shall be subject to the Architect's
approval. In general, all work outlined in this paragraph shall be done
by the trade in whose jurisdiction it falls, but each trade shall fully
cooperate so that the work involved will proceed in an orderly manner. In
doing all work under this Contract, the Contractor shall carefully
protect all existing lines which are to be maintained temporarily in
service, or which are not to be changed, from any damage or dislocation,
and shall make good at his own expense any damage done to such lines.

1.6 LIMITATIONS FOR USE OF SITE:
1.6.1 General: In addition to site utilization limitations and
requirements shown on drawings, and indicated by other contract
documents, administer allocation of available space equitably among
entities needing access and space, so as to produce best overall
efficiency in performance of total work of project. Schedule deliveries
so as to minimize space and time requirements for storage of materials
and equipment on site.
1.7 TRADESPERSONS AND WORKMANSHIP STANDARDS:
1.7.1 General: Instigate and maintain procedures to ensure that persons
performing work at site are skilled and knowledgeable in methods and
craftsmanship needed to produce required quality levels for workmanship
in completed work. Remove and replace work which does not comply with
workmanship standards as specified and as recognized in the construction
industry for applications indicated. Remove and replace other work
damaged or deteriorated by faulty workmanship or its replacement.

1.8 INSPECTIONS, TESTS AND REPORTS:
1.8.1 General: Required inspection and testing services are intended to
assist in determination of probable compliances of work with
requirements, but do not relieve Contractor of responsibility for those
compliances, or for general fulfillment of requirements of Contract
documents. Specified inspections and tests are not intended to limit
Contractor's quality control program. Afford reasonable access to
agencies performing tests and inspections.
1.8.2 Qualification Of Testing Agencies: Except as otherwise indicated
and except where manufacturer's testing facilities are indicated as
acceptable, engage independent testing laboratories specializing in
required services' and complying with "Recommended Requirements for
Independent Laboratory Qualification" by ACIL.
1.8.3 Reports: Submit test/inspection reports, including agency's
analysis of results and recommendations where applicable, in duplicate to
Architect/Engineer: except as otherwise indicated, and submit copies
directly to governing authorities where required or requested.
PART 2. - PRODUCTS (not applicable)
PART 3 - EXECUTION:
3.1 GENERAL INSTALLATION PROVISIONS:
3.1.1 Installer's Inspection of Conditions: Require Installer of each
major unit of work to inspect substrate to receive work, and conditions
under which work will be performed, and to report (in writing to
Contractor) 'unsatisfactory conditions. Do not proceed with the work
until unsatisfactory conditions have been corrected in a manner
acceptable to Installer.
3.1.2 Manufacture's.! Instructions: Where installations include
manufactured products, comply with manufacturer's applicable instructions
and recommendations for installation, to extent these are more explicit
or more stringent than requirements indicated in Contract documents.

3.1.6 Work Conditions: Install work during conditions of temperature,
humidity, exposure, forecasted weather, and status of project completion
which will ensure best possible results for each unit of work, in
coordination with entire work. Isolate each unit of work from
non -compatible work, as required to prevent deterioration.
3.1.7 Working Adjacent Occupied Areas: When work adjacent occupied
areas occurs that generates dust, noise, fumes, or odors or other
conditions- detrimental, injurious, or otherwise bothersome to the
occupants, the Contractor shall take preventative measures, including,
but not limited to, installation of dust and miscellaneous barriers,
installation of exhaust fans or sealing of work areas, re -scheduling of
offensive work operations to off occupant -use hours, or other methods to
remedy the situation. Contractor shall comply with all requests made by
the Owner to minimize the above or similar conditions from occurring and
shall respond to such requests promptly. This will be discussed further
at the Pre -Construction Conference.
3.1.8 Enclosure: Coordinate enclosure (closing -in) of work with required
inspections and tests, so as to minimize necessity of uncovering work for
that purpose.
3.1.9 Mounting Heights: Where mounting heights are not indicated, mount
individual units of work at industry -recognized standard mounting heights
for applications indicated. Refer questionable mounting height choices
to Architect/Engineer for final decision.
3.2 CUTTING AND PATCHING:
3.2.1 General: Do not cut -and -patch structural work in a manner
resulting in reduction of load -carrying capacity or load/deflection
ratio; submit proposed cutting and patching to Architect/Engineer for
structural approval before proceeding. Do not cut -and -patch operational
elements and safety -related components in a manner resulting in reduction
of capacities to perform in manner intended or resulting in decreased
operational life, increased maintenance, or decreased safety. Do not
cut -and -patch work which is exposed on exterior or exposed in occupied
spaces of building, in a manner resulting in reduction of visual
qualities or resulting in substantial evidence of cut -and -patch work,
both as judged solely by Architect. Remove and replace work judged by
Architect to be cut -and -patch in a visually unsatisfactory or otherwise
objectionable manner.
3.3 CLEANING AND PROTECTION:
3.3.1 General: During handling and installation of work at project
site, clean and protect work in progress and adjoining work on a basis of
perpetual maintenance. Apply suitable protective covering on newly
installed work where reasonably required to ensure freedom from damage or
deterioration at time of substantial completion; otherwise, clean and
perform maintenance on newly installed work as frequently as necessary
through remainder of construction period. Adjust and lubricate operable
components to ensure operability without damaging effects.

3.4 PROJECT LIMITS:
3.4.1 Area: Contractor shall confine his operations to the area within
the project limits as indicated on the Drawings.
3.4.2. Pedestrian Traffic: Contractor shall arrange his operations in
such a manner as not to interfere with pedestrian traffic adjacent to the
project site or with vehicular traffic.
3.4.3 Obstructions: Do not close or obstruct streets, walks or other
occupied or used facilities without permission from authorities having
jurisdiction.
3.4.4 Restoration: Upon completion of Work, the Contractor shall
restore to their original condition`all areas he has 'occupied beyond the
areas where construction, paving, grading, etc., is required to be done
under this contract.

1.2 DESCRIPTION OF REQUIREMENTS:
1.2.1 Definitions: Definitions used in this paragraph are not intended
to negate the,meaning of other terms used in the Contract documents,
including such terms as, "specialties", "systems"',.. "structure",
"finishes", "accessories", "furnishings", "special construction" and
similar terms. Such terms are self-explanatory and have recognized
meanings in the construction industry.
1.2.1.1 "Products" are items purchased for
incorporation in
the Work,
regardless of
whether they were specifically
purchased for the
project or
taken from
the Contractor's previously
purchased stock.
The term
"product" as
used herein includes the
terms "material", "equipment",
"system" and
other terms of similar intent.
1.2.1.1.1 "Named .Products" are products identified by use of the
manufacturer's name for a product, including such items as a make or
model designation, as recorded in published product literature, of the
latest issue as of the date of the Contract documents.
1.2.1.2 "Materials" are products that must be substantially cut, shaped,
worked, mixed, finished, refined or otherwise fabricated, processed, or
installed to form units of work.
1.2.1.3 "Equipment" is defined as a product with operational parts,
regardless of whether motorized or manually operated, and in particular,
a product that requires service connections such as wiring or piping.
1.2.2 Substitutions: The Contractor's requests for changes in the
products, materials, equipment and methods of construction required by
the contract documents are considered requests for' "substitutions", and
are subject to the requirements specified herein. The following are not
considered as substitutions:

1.2.2.1 Revisions to the Contract documents, where requested by the
Owner, Architect or Engineer are considered as "changes", not
substitutions.
1.2.2.2 There will be no `pre -approved' or substitution approvals given
during the bidding phase.

1.2.2.4 Except as otherwise provided in the contract documents, the
Contractor's determination of and compliance with governing regulations
and orders as issued by governing authorities do not constitute
"substitutions" and do not constitute a basis for change orders.
1.2.3 Standards: Refer to Division - 1 Section, "Definitions and
Standards", for the applicability of industry standards to the products
specified for the project, and for the acronyms used in the text of the
specification sections.
1.3 QUALITY ASSURANCE:
1.3.1 Source Limitations: To the fullest extent possible, provide
products of the same generic kind, from a single source, for each unit of
work.
1.3.2 Compatibility of Options: Compatibility of products is a basic
requirement of product selection. When the Contractor is given the
option of selecting between two or more products for use on the Project,
the product selected must be compatible with other products previously
selected, even if the products previously selected were also Contractor
options. The complete compatibility between the various choices
available to the Contractor is not assured by the various requirements of
the Contract documents, but must be provided by the Contractor.
1.4 SUBMITTALS:
1.4.1 General: Prepare a product -listing schedule in a form acceptable
to the Architect / Engineer. Show names of the principal products
required for the Work, by generic name. Show proprietary product names
and the name of the manufacturer for each item listed that is to be
purchased and incorporated into the Work.
1.4.2 Submittal: Submit 3 copies of the product -listing schedule within
30 days after the date of commencement of the Work. Provide a written
explanation for omissions of data, and for known variations from Contract
requirements.
1.4.3 Architect / Engineer's Action: The Architect / Engineer will
respond to the Contractor in writing within 2 weeks of receipt of the
product -listing schedule. No response by the Architect / Engineer within
the 2 week time period constitutes no objection to the listed products or
manufacturers, but does not constitute a waiver of the requirement that
products comply with the requirements of the contract documents. The
Architect / Engineer's response will include the following:
1.4.3.1 The Architect / Engineer's listing of unacceptable product
selections, if any, containing an explanation of the reasons for this
action.
1.4.3.2 A request for additional data necessary for the review and
possible acceptance of the products and Manufacturer's listed.

1.4.4 Substitution Request Submittal:
1.4.4.1 Requests for Substitutions: Submit 3 copies of each request for
substitution. In each request, identify the product or fabrication or
installation method to be replaced by the substitution; include related
Specification Section and drawing numbers, and complete documentation
showing compliance with the requirements for substitutions. Include the
following information, as appropriate, with each request.
1.4.4.1.1 Provide complete product data, drawings and description of
products, and fabrication and installation procedures.
1.4.4.1.2 Provide samples where applicable or requested.
1.4.4.1.3 Provide a detailed comparison of the significant qualities of
the proposed substitution with those of the work originally specified.
Significant qualities include elements such as size, weight, durability,
performance and visual effect where applicable.
1.4.4.1.4 Provide complete coordination information. Include all
changes required in other elements of the work to accommodate the
substitution, including work performed by the Owner and separate
Contractors.
1.4.4.1.5 Provide a statement indicating the effect the substitution
will have on the work schedule in comparison to the schedule without
approval of the proposed substitution. Include information regarding the
effect of the proposed substitution on the Contract Time.
1.4.4.1.6 Provide complete cost information, including a proposal of the
net change, if any, in the Contract Sum.
1.4.4.1.7 Provide • certification by the Contractor to the effect that, in
the Contractor'sopinion, after thorough evaluation, the proposed
substitution will result in work that in every significant respect is
equal to or better than the work required by the Contract documents, and
that it will perform adequately in the application indicated. Include in
this certification, the Contractor's waiver of rights to additional
payment or time, which may subsequently be necessary because of the
failure of the substitution to perform adequately.
1.4.4.2 Change Order Form: Submit requests for substitutions in the
form and in accordance with procedures required for Change Order
proposals.
' 1.4.4.3 Architect / Engineer's Action: Within one week of receipt of
the Contractor's request for substitution, the Architect / Engineer will
request additional information or documentation as may be needed for
' evaluation of. the request. Within 2 weeks of receipt of the request, or
within one week of receipt of the requested additional information or
documentation, whichever is later, the Architect / Engineer will notify
the Contractor of either the acceptance or rejection of the proposed
substitution.

manufacturers are named, provide one of the products named, at the
Contractor's option. Exclude products that do not comply with
specification requirements. Do not provide or offer to provide an
unnamed product', unless the specification indicates possible
consideration of other products. Advise the Architect / Engineer before
proceeding where none of the named products comply with specification
requirements, or are feasible for use.
2.1.2.2 Non -Proprietary Specification Requirements: Where the
specifications name products or manufacturers that are available and may
not be incorporated in the Work, but do not restrict the Contractor to
thefl use of these products only, the Contractor may, at his option, use
any available product that complies with Contract requirements.
2.1.2.3 Descriptive Specification Requirements: Where the
specifications describe a product or assembly generically, in detail,
listing the exact characteristics required, but without use of a brand or
trade name, provide products or assemblies that provide the
characteristics indicated and otherwise comply with Contract
requirements..
2.1.2.4 Performance Specification Requirements: Where the
specifications require compliance with indicated performance
requirements, provide products that comply with the specific performance
requirements indicated, and that are recommended by the manufacturer for
the application indicated. The manufacturer's recommendations may be
contained in published product literature, or by the manufacturer's
individual certification of performance. General overall performance of
a product is implied where the product is specified for specific
performances.
' 2.1.2.5 Compliance with Standards Codes and Regulations: Where the
specifications require only compliance with an imposed standard, code or
regulation, the Contractor has the option of selecting a product that
complies with specification requirements, including the standards, codes
and regulations.
' 2.1.2.6 Visual Matching: Where matching an established sample is
required, the final judgement of whether a product proposed by the
Contractor matches the sample satisfactorily will be determined by the

Architect. Where there is not product available within the specified
product category that matches the sample satisfactorily and also complies
with other specified requirements, comply with the provisions of the
Contract documents concerning "substitutions" and "change orders" for the
' selection of a matching product in another product category, or for
non-compliance with specified requirements.
' 2.1.2.7 Visual; Selection: Except as otherwise indicated, where
specified product requirements include the phrase "...as selected from
the Manufacturer's standard colors, patterns, textures..." or similar
' phrases, the Contractor has the option of selecting the product and
manufacturer, provided the selection complies with other specified
requirements.. The Architect is subsequently responsible for selecting

the color, pattern and texture from the product line selected by the
Contractor.
2.1.2.8 Allowances: Refer to individual section of the specifications
and "Allowance" provisions in Division - 1 sections for an indication of

the procedures required for processing such selections.
2.2 SUBSTITUTIONS:
2.2.1 Conditions: The Contractor's request for a substitution will be
received and considered when extensive revisions to the Contract
documents are not required, when the proposed changes are in keeping with
the general intent of the Contract documents, when the requests are
timely; fully documented and properly submitted, and when one or more of
the following conditions is satisfied, all as judged by the
Architect / Engineer; otherwise, the requests will be returned without
action except to record non-compliance with these requirements.
2.2.1.1 The Architect /
Engineer
will consider a
request for
substitution where the specified

or method cannot,
be provided
within the Contract Time. However,

2.2.1.2 The Architect. / Engineer will consider a request for
substitution where thefl specified product or method cannot receive
necessary approval by a governing authority, and the requested
substitution can be approved.
2.2.1.3 The Architect / Engineer will consider a request for a
substitution where a substantial advantage is offered the Owner, in terms
of cost, time, energy conservation of other considerations of merit,
after deducting offsetting responsibilities the Owner may be required to
bear. These additional responsibilities may include such considerations
as additional compensation to the Architect / Engineer for redesign and
evaluation services, the increased cost of other work by the Owner or
separate contractors, and similar considerations.
2.2.1.4 The Architect / Engineer will consider a request for
substitution when the specified product or method cannot be provided in a
manner which is compatible with other materials of the Work, and where
the Contractor certifies that the substitution will overcome the
incompatibility.
2.2.1.5 The Architect / Engineer will consider a request for
substitution when the specified product or method cannot be properly
coordinated with other materials in the work, and where the Contractor
certifies that the proposed substitution can be properly coordinated.
2.2.1.6 The Architect / Engineer will consider a request for
substitution when the specified product or method cannot receive a
warranty as required by the Contract documents and where the contractor

certifies that the proposed substitution receive the required warranty.
2.2.2 Work -Related Submittals: The Contractor's submittal of and the
Architect / Engineer's acceptance of shop drawings, product data or

Contract documents, does not consitutite an acceptable or valid request
for a substitution, nor approval thereof.
2.3 GENERAL PRODUCT REQUIREMENTS:
2.3.1 General: Provide products that comply with the requirements of
the Contract documents and that are undamaged and, unless otherwise
indicated, unused at the time of installation. Provide products that are
complete with all accessories, trim, finish, safety guards, and other
devices and details needed for a complete installation and for the
intended use and effect.
2.3.2 Standard Products: Where they are available, provide standard
products of types that have been produced and used successfully in
similar situations�.on other projects.
2.3.3 Continued Availability: Where, because of the nature of its
application, the Owner is likely to need replacement parts or additional
amounts of a product at a later date, either for maintenance and repair
or replacement, provide standard, domestically produced products for
which the manufacturer has published assurances that the products and its
parts are likely to be available to the Owner at a later date.
PART 3 - EXECUTION'
3.1 INSTALLATION OF PRODUCTS:
3.1.1 General: Except as otherwise indicated in individual sections of
these specifications, comply with the manufacturer's instructions and
recommendations for installation of the products in the applications

PART 1 - GENERAL

1.2 DESCRIPTION OF REQUIREMENTS:
1.2.1 Definitions: Closeout is hereby defined to include general
requirements . near. end of Contract Time, in preparation for final
acceptance, final payment, normal termination of contract, occupancy by
Owner and similar actions evidencing completion of .the work. Specific
requirements for :individual units of work are specified in Sections of
Division 2 through 16. Time of closeout is directly related to
"Substantial Completion", and therefore may be either a single time period
for entire work or a series of time periods for individual parts of the
work which have been certified as substantially complete at different
dates. That time variation (if any) shall be applicable to other
provisions of this.: section.
1.3 PREREQUISITES TO SUBSTANTIAL COMPLETION:

1.3.1 General: " Prior to requesting Architect's / Engineer's inspection
for certification of Substantial Completion (for either entire work or
portions thereof), complete the following and list known exceptions in
request: In progress payment request, coincident with or first following
date claimed, show either 100% completion for portion of work claimed as
"substantially complete", or list incomplete items, value of incompletion,
and reasons for being incomplete. Include supporting documentation for
completion as indicated in these Contract documents. Submit statement
showing accounting of changes to Contract Sum.
1.3.2 Inspection Procedures: Upon receipt of Contractor's request,
Architect / . Engineer will either proceed with inspection or advise
Contractor of prerequisites not fulfilled. Following initial inspection,
Architect /, Engineer will either prepare Certificate of Substantial
Completion, or advise Contractor of work which must be performed prior to
issuance of certificate; and repeat inspection when requested and assured
that work has, been substantially completed. Results of completed
inspection will form initial "punch list" for final acceptance.
1.4 PREREQUISITES TO FINAL ACCEPTANCE:
1.4.1 General: Prior to requesting Architect's / ,Engineer's final
• inspection for certification of final acceptance and final payments, as
required by General Conditions, complete the following and list known
' exceptions (if any) in request: Submit final payment request with final
releases and supporting documentation not previously submitted and
accepted. Include certificates of insurance for products and completed
' operations where required. Submit certified copy of Architect's /
Engineer's final punch list of itemized work to be completed or corrected,
stating that each, item has been completed or otherwise resolved for

Release of Liens, AIA document G706A; Consent of Surety Company to Final
Payment, AIA Document G707. Advise Owner of pending insurance change -over
requirements.
1.4.2 Reinspection Procedure: Upon receipt of Contractor's notice that
the work has been completed, including punch list items resulting from
earlier inspections, and excepting incomplete items delayed because of
acceptable circumstances, Architect / Engineer, will reinspect the work.
Upon completion of reinspection, Architect / Engineer will either prepare
certificate of final acceptance or advise contractor of work not completed
or obligations not fulfilled- as required for final acceptance. If
necessary, procedure will be repeated.
1.5 RECORD DOCUMENT SUBMITTALS:
1.5.1 General: Specific requirements for record documents are indicated
in individual sections of these specifications. Other requirements are
indicated in General Conditions. General submittal requirements are
indicated in "Submittals" sections. Do not use record documents for
construction purposes; protect from deterioration and loss in a secure,
fire -resistive location; provide access to record documents for Architect's
/ Engineer's reference during normal working hours.
1.5.2 Record
Drawings:
Maintain a white -print set (blue -line or
black -line) of
contract
drawings and shop drawings
in clean, undamaged
condition, with
mark-up of
actual installations which
vary substantially
from the work as originally shown. Mark whichever drawing is most capable
of showing "field" condition fully and accurately; however, where shop
drawings are used for mark-up, record a cross-reference at corresponding
location on working drawings. Mark with red erasable pencil and, where
feasible, use other colors to distinguish between variations in separate
categories of work. Mark-up new information which is recognized to be of
importance to Owner, but was for some reason not shown on either contract
drawings or shop drawings. Give particular attention to concealed work,
which would be difficult to measure and record at a later date. Note
related Change Order numbers where applicable. Organize record drawing
sheets into manageable sets, bind with durable paper cover sheets, and
print suitable titles, dates and other identification on cover of each set.
1.5.3 Record Specifications: Maintain one copy of specifications,
including addenda, change orders and similar modifications issued in
printed form during construction, and mark-up variations (of substance) in
actual work in comparison with text of Specifications and modifications as
issued. Give particular attention to substitutions, selection of options,
and similar information on work where it is concealed or cannot otherwise
be readily discerned at a later date by direct observation. Note related
record drawing information and product data, where applicable. Upon
completion of mark-up, submit to Architect / Engineer for Owner's records.

1.5.4 Miscellaneous Record Submittals: Refer to other sections of these
specifications for requirements of miscellaneous record keeping and
submittals in connection with actual performance of the work. Immediately

and place in good; order, properly identified and bound or filed, ready for
continued use and reference. Submit to Architect / Engineer for Owner's
records.
1.5.5. Maintenance Manuals: Organize maintenance and operating manual
information into suitable sets of manageable size, and bind into individual
binders properly identified and indexed (thumb -tabbed). Include emergency
instructions,spare parts listing, copies of warranties, wiring diagrams,
recommended "turn -around" cycles, inspection procedures, shop drawings,
product data, and similar applicable information. Bind each manual of each
set in a heavy-duty 2", 3 -ring vinyl -covered binder, and include pocket
folders for folded sheet information. Mark identification on both front
and spine of each binder.
1.5.5.1 Unless otherwise noted, provide minimum three (3) sets of
' maintenance manuals as described above, including general construction,
plumbing, and mechanical and electrical information.

3.1 CLOSEOUT PROCEDURES:
3.1.1 General Operating / Maintenance Instructions: Arrange for each
' installer of work requiring continuing maintenance or operations, to meet
with Owner's personnel, at project site, to provide basic instructions
needed for proper operation and maintenance of entire work. Include
I. instructions by manufacturer's representatives where installers are not
expert in the required, procedures. Review maintenance manuals, record
documentation, tools,, spare parts and materials, lubricants, fuels
identification..system, control sequences, hazards, cleaning and similar
' procedures and facilities. For operational equipment, demonstrate
start-ups, shut -down, emergency operations, noise and vibrations
adjustments, safety, economy / efficiency adjustments, energy
' effectiveness, and similar operations. Review maintenance and operations
in relation with applicable warranties, agreements to maintain, bonds, and
similar continuing. commitments.
3.2 FINAL CLEANING:
3.2.1 General: Special cleaning for specific units of work is specified
' in sections of Divisions 2 through 16. General cleaning during progress of
work is specified in General Conditions and as temporary services in
"Temporary Facilities" section of this Division. Provide final cleaning of
' the work, at time indicated, consisting of cleaning each surface or unit of
work to normal "clean" condition expected for a first-class building
cleaning and maintenance program. Comply with Manufacturer's instructions
' for cleaning operations. The following are examples, but not by way of
limitation, of cleaning levels required: Remove labels which are not
required as permanent labels. Replace broken glass and damaged transparent

materials. Clean exposed exterior and interior hard -surfaced finishes, to
a dirt -free condition, free of dust, stains, films, and similar noticeable
distracting substances. Except as otherwise indicated, avoid disturbance
of natural weathering of exterior surfaces. Restore reflective surfaces to
original reflective condition. Wipe surfaces of mechanical and electrical
equipment clean, remove excess lubrication and other substances. Remove
debris and surface dust from limited -access spaces. Clean concrete floors
in non -occupied spaces broom clean.. Vacuum clean carpeted surfaces and
similar soft surfaces. Clean plumbing fixtures to a sanitary condition,
free of stains including those resulting from water exposure. Clean light
fixtures and lamps so as to function with full efficiency. Clean project
site (yard and grounds), including landscape development areas, of litter
and foreign substances. Sweep paved areas to a broom -clean condition;
remove stains, petro-chemical spills and other foreign deposits.. Rake
grounds which are neither planted nor paved, to a• smooth, even -textured
surface.
3.2.2 Removal of Protection: Except as otherwise indicated or requested
by Architect / Engineer, remove temporary protection devices and facilities
which were installed during course of the work to protect previously
completed work during remainder of construction period.
3.2.3 Compliances: Comply with safety standards and governing regulations
for cleaning operations. Do not burn waste materials at site, or bury
debris or excess materials on Owner's property, or discharge volatile or
other harmful or dangerous materials into drainage systems; remove waste
materials from site and dispose of in a lawful manner.
