RESOLUTION NO. 72-94
A RESOLUTION AUTHORIZING THF MAYOR AND CITY
CLERK TO EXECUTE A CONTRACT WITH MCGOODWIN,
WILLIAMS & YATES 1N THE AMOUNT OF $30,560.00 FOR
A TRANSFER STATION AND RECYCLABLE MATERIALS
PROCESSING FACILITY.

BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1.. The Council authorizes the Mayor and City Clerk to execute a contract with
McGoodwin, Williams & Yates, in the amount of $30,560.00, for Phase 1 of a transfer station
and recyclable materials processing facility. A copy of the contract is attached hereto marked
Exhibit "A" and made a pari hereof.

AGREEMENT FOR ENGINEERING SERVICES
Solid Waste Facility
City of Fayetteville, Arkansas
THIS AGREEMENT, entered into thisgg hh day of
June , 1994, by and between the2city of Fayetteville,
Arkansas, hereinafter referred to as the "Owner," and McGoodwin,
Williams and Yates, Inc., Consulting Engineers of Fayetteville,
Arkansas, hereinafter referred to as the "Engineer,"
WITNESSETH THAT:
WHEREAS, the Owner desires to construct a Transfer Station
and Recyclable Materials Processing Facility; and
WHEREAS, the Engineer submitted a Statement of Qualifi-
cations to provide the engineering services required for the
planning, design, and construction of this facility; and
WHEREAS, the Owner subsequently selected the Engineer to
provide these services;
NOW THEREFORE, in consideration of the mutual covenants and
agreements herein contained, the Owner and the Engineer, the
parties hereto, stipulate and agree that the Owner does hereby
employ the Engineer to perforin the required engineering services
as hereinafter set out and the Engineer agrees to provide said
services.
Section I. Scope of the Protect
The project as contemplated by the Owner consists of the
construction of a solid waste transfer station and a recyclable
materials processing facility, including offices, break room and
restroom facilities.
Section II. Scope of Engineering Services
The Engineer shall provide a suitable engineering staff
to complete the necessary studies, to perform detailed design,
to prepare plans and specifications, to provide needed services
during construction cf the project, and to provide other services
as may be directed by the Owner. The staff shall consist of
engineers, engineering technicians, inspectors and other
assistants as may be necessary to carry on the work in an
efficient and expediticus manner. The Engineer will provide
the following services.
A. Preliminary Studies
1. Perform a needs assessment/design study to assist
the Owner in determing the facilities needed. A
detailed description cf this study is included as
Appendix "A" hereto.

2. Prepare a report setting out findings and
recommendations cf the study.
B. Detailed Design and Preparation of Construction Plans
and Specifications
1. Perform the field surveys required to design the
project and prepare construction plans and
specifications.
2. Prepare final detailed design for the project.
3. Prepare detailed construction specifications and
drawings.
4. Prepare detailed cost estimates of the authorized
construction. The Engineer does not guarantee
that these estimates will not be exceeded by the
bids received for the work.
5. Establish the scope of any soil investigations,
special surveys or testing which, in his opinion,
may be required for design and arrange with the
Owner the conduct of such investigations and tests
(costs of such tests to be borne by the Owner).
6. Furnish to the Owner, where required by the
circumstances of the assignment, the engineering
data (including construction plans and specifi-
cations) necessary for applications for routine
permits and provide assistance to secure approvals
by local, state and federal authorities.
C. Bidding and Preconstruction Services
The Engineer will prepare and distribute advertise-
ments for bids, communicate with bidders as required,
provide technical interpretation of the plans and
specifications, conduct a prebid conference to provide
information to all bidders, prepare addenda as
required, attend the bid opening, tabulate bids,
provide an engineering analysis of the bids received,
make recommendations concerning award of construction
contract(s) and assist in the preparation of contract
documents. Bid tabulations and supporting documents
will be prepared and submitted to the Owner.
D. Construction Services
1. Attend the preconstruction conference scheduled by
the Owner. At the time of the preconstruction
conference, Notices to Proceed will be issued.

2. Furnish professional engineers to make periodic
visits to the site (as distinguished from the
services of a resident Project Representative) to
observe the progress and quality of the executed
work and to determine in general if the work is
proceeding in accordance with the contract
documents.
In performing these services, the Engineer
will endeavor to protect the Owner against defects
and deficiencies in the work of the contractor;
but he cannot guarantee the performance of the
contractor, nor be responsible for the actual
supervision of construction operations or for the
safety measures that the contractor takes or
should take.
3 Furnish the services of resident Project
Representatives and other field personnel for
on -the -site observation of construction and for
the performance of required construction layout
surveys. The authority and duties of such
resident Project Representatives are limited to
examining the material furnished and observing the
work done and to reporting their findings to the
Engineer.
The Engineer will use the usual degree of care
and prudent judgment in the selection of competent
Project Representatives, and the Engineer will use
diligence to see that the Project Representatives
are on the job to perform their required duties.
The required construction layout surveys will
include the establishment cf baselines for
locating the work, with a suitable number of
bench marks for site elevation references as
shown in the plans and specifications.
4. Consult with and advise the Owner; issue all
instructions to the contractor requested by
the Owner; and prepare routine change orders as
required.
5. Review samples, catalog data, schedules, shop
drawings, laboratory, shop and mill tests of
material and equipment and other data which the
contractor submits.
This review is for the benefit of the Owner to
insure general conformance with the design concept
of the project and general compliance by the
contractor with the information given in the
contract documents. It does not relieve the

contractor of any responsibility such as
dimensions to be confirmed and correlated at the
job site, appropriate safety measures to protect
workers and the public, or the necessity to
construct a complete and workable facility in
accordance with the contract documents.
6. Prepare and verify monthly and final estimates for
payments to the contractor and furnish to the
Owner any necessary certifications as to payments
to contractors and suppliers; assemble written
guarantees which are required by the contract
documents.
7. Attend, in company with the Owner's represent-
ative, a final inspection of the project. This
inspection will be for conformance with the design
concept of the project and compliance with the
contract documents. Approve in writing final
payment to the contractor.
8. Furnish to the Owner a reproducible copy of the
record drawings for the project. These drawings
will be furnished using high quality Mylar film,
or other approved material.
E. Additional Services
1. As directed by the Owner, the Engineer will
provide assistance in securing the necessary
interest in lands and rights-of-way. This work
may include securing property descriptions,
surveys, easement preparation, and assistance in
negotiations.
2. The Engineer will provide other services not
specifically set out under the above scope of
work, if required, and as directed by the Owner
and mutually agreed to by the Engineer.
Section III. Payment
In consideration cf the performance of the foregoing
services by the Engineer, the Owner shall pay to the Engineer
compensation as follows:
A. For the work set cut under Section II -A, "Preliminary
Studies," compensation to the Engineer shall be a lump
sum fee of $30,560. Payment shall be made in two
installments of $15,280 each, with the first payment
to be due 30 days after authorization to proceed from
the Owner and. the final payment to be due when the
report is submitted.

C. For any additional services required under Section
II -E, compensation shall be based on salary cost times
a multiplier of 2.2 plus reimbursable expenses. Salary
cost is defined as the cost of salaries of engineers,
draftsmen, stenographers, surveyors, clerks, laborers,
etc., for time directly chargeable to the project, plus
Social Security contributions, employment compensation
insurance, payroll taxes, medical and insurance
benefits, sick leave, vacation, bonus, and holiday pay.
The reimbursable expenses for which the Engineer
will be reimbursed shall include travel expenses
when traveling outside Northwest Arkansas in connection
with the project, rental expenses for special equipment
needed for completion of the work, purchase of
material, permit fees, and other expenses directly
attributable to the project, including any work
performed by subcontractors. The Engineer shall charge
the Owner for reimbursable expenses at actual cost plus
ten percent (10%).
Payment for engineering services under this agreement
shall be made within 30 days after claim submittal by the
Engineer. If any of the work designed or specified is suspended
for an extended pericd of time or abandoned as a result of orders
from the Owner, the Engineer shall be paid for work actually
completed; payment to be based insofar as possible upon the fees
established herein.
Section IV. Owner's Responsibilities
In connection with the project, the Owner's responsibilities
shall include, but not be limited to, the following:
A. Giving thorough ccnsideration to all documents
presented by the Engineer and informing the Engineer
of all decisions within a reasonable tine so as not
to delay the work of the Engineer.
B. Making provision for the employees of the Engineer
to enter public and private lands as required for
the Engineer to perform necessary surveys and
investigations.
C. Obtaining the necessary lands, easements and rights-
of-way for the construction of the work. All costs
associated with securing the necessary land interests,
including easement preparation, surveys, appraisals and
abstract work, shall be borne by the Owner.

D . Furnishing the Engineer such plans and records of
construction and operation of existing facilities, or
copies of same, bearing on the proposed work as may be
in the possession of the Owner. Such documents or data
will be returned upon completion of the work or at the
request of the Owner.
E . Paying the costs of making necessary soundings,
borings, analyses of materials and laboratory work.
F. Paying all plan review costs and all cost of
advertising in connection with the project.
G . Providing legal, accounting and insurance counseling
services necessary for the project, legal review of the
construction contract documents and such auditing
services as the Owner may require.
H . Furnishing permits and approvals from all governmental
authorities having jurisdiction over the project and
others as may be necessary for completion of the
project.
I. Obtaining construction bids from contractors for work
relating to the project and bearing all costs relating
thereto.
J . Giving prompt written notice to the Engineer whenever
the Owner observes or otherwise becomes aware of
any defect in the project or other evens which may
substantially alter the Engineer's performance under
this Agreement.
All drawings, specifications and documents prepared by the
Engineer under this contract shall become the property of the
Owner, to be used by the Cwner for construction purposes, upon
payment of the consideration due the Engineer hereunder. The
Owner shall not be restricted in his subsequent use of said
documents. However, the Engineer shall bear no responsibility
for such re -use unless specifically agreed to in writing.

THIS AGREEMENT shall be binding upon the parties hereto,
their partners, heirs, successors, administrators and assigns;
and neither party shall assign, sublet or transfer his interest
in this agreement without the prior written consent of the other
party hereto.
IN WITNESS WHEREOF, the Owner has caused these presents to
be executed in its behalf by its duly authorized representatives,
and the said Engineer by its duly authorized representatives, and
the parties hereto have set their hands and seals on the date
heretofore set out.

APPENDIX A - SCOPE OF WORK
SOLID WASTE TRANSFER STATION AND RECYCLING FACILITY
PRELIMINARY DESIGN REPORT
FAYETTEVILLE, ARKANSAS
Project No. Fy-245
I. EXISTING AND PROJECTED CONDITIONS
Purpose: To develop the basic information required do design a waste transfer station
and materials recovery facility (MRF).
The city will obtain and provide to the Engineer the following information:
A. Waste Generation - Estimate the total waste stream currently generated in
Fayetteville and in south Washington County. Determine the composition of the
total waste stream.
B. Existing Collection and Disposal Infrastructure - Identify existing waste haulers
and service areas, provide inventory of equipment used, and identify disposal
sites. Identify alternative landfills and current and projected tipping fees.
C. Existing Recycling Infrastructure - Identify current collection programs, methods
of collection, collection equipment used, and volumes recovered within the city of
Fayetteville and from south Washington County. Identify future, planned collection
programs and methods of collection in Fayetteville and in south Washington
County.
The Engineer will utilize the information provided by the city in the following task:
D. Project Future Waste Generation - Develop 20 -year projections of waste
quantities and composition for Fayetteville and south Washington County.
II. TRANSFER STATION DESIGN ANALYSIS
Purpose: This task will evaluate transfer station design options and will recommend the
optimal design for implementation by the city. The Engineer will perform the following
tasks:
A. Develop Transfer Alternatives - Characterize the most common loose fill
technology options, including a description of the technologies and advantages
and disadvantages of each.
B. Design Analysis - Develop two feasible transfer alternatives capable of
transferring the current and future volumes of municipal solid waste generated
within the city of Fayetteville and south Washington County. Identify the basic
design requirements and production capabilities of the two alternatives. Design
requirements would identify equipment, labor and building requirements.
Production capabilities would estimate processing capabilities and costs for
equipment, labor and operations and maintenance.
C. Findings and Recommendations - Review the design analysis and select the most
feasible design based on technical and cost considerations. The recommendation
will present assumptions and rationale.
III. MATERIALS RECOVERY FACILITY DESIGN ANALYSIS
Purpose: This task will review the city's and the county's planned recycling programs
and the initial and projected quantities of recyclables identified under Task I. Processing
options will be developed for initial operations and future, expanded operations. The
Engineer will perform the following tasks:
A. Develop Processing Alternatives - Develop two alternatives for the processing of
source separated materials delivered by front -loading commercial vehicles, dump
trucks, or compartmentalized vehicles. Materials to be recycled initially will be
OCC, aluminum, newsprint, and glass (three colors). Make both alternatives
expandable to accommodate high-tech mechanical and low-tech manual sorting
of previously specified material plus mixed paper, plastics (three varieties), and bi-
metal cans Include conversion time requirements and capital costs to expand the
MRF recycling system.
B. Design Analysis - Identify the basic design requirements and production
capabilities of each alternative. Design requirements will identify equipment, labor
and building requirements. Identify storage needs—number of bunkers, bunker
size, provisions to add new bunkers, tipping space for OCC, indoor vs. outdoor
location—placing emphasis on materials -handling ease.
C. Findings and Recommendations - Recommend the optimal processing alternative
based on cost, flexibility in the range of materials processed and methods of
delivery (co -mingled vs. segregated), reliability and expendability (both for adding
overall capacity and adding capability of sorting additional materials). The
recommendation will present assumptions and rationale.

IV. TRANSFER STATION SITE ANALYSIS
Purpose: This task will review potential sites and select two for evaluation and ranking
to determine the optimal site for the transfer station and MRF.
A. Environmental Suitability - The city will assist in this task by contacting the
following agencies for information or review for environmental suitability:
• Corps of Engineers - Flood Hazards and Wetlands
• Arkansas Game & Fish Commission - Threatened or Endangered
Species
• State Historic Preservation Officer - Historic and Archeological Sites
• Arkansas Natural Heritage Commission - Outstanding Natural Plant and
Animal Communities
The Engineer will review the above information and will also identify geologic and
soil conditions at each site, general site topography, drainage characteristics, and
prevailing wind directions which could affect adjacent properties.
B. Socio -Economic Suitability - The Engineer will review the nature and intensity of
surrounding land use, and identify impacts on adjacent or nearby properties.
C. Transportation Suitability - The city will assist in this task by providing traffic
counts at selected locations. The city will estimate the total number and types of
vehicles which will access the potential sites, and their probable route of access.
The Engineer will inventory existing conditions, determine the capability of existing
roadways servicing the site and evaluate the impact of added site traffic on
existing vehicular and pedestrian traffic.
D. Cost -Effectiveness Evaluation - The Engineer will evaluate the two potential sites
in terms of expandability, site access, building construction requirements, drainage
requirements, and other factors which will affect the cost of construction of the
facility.
E. Findings and Recommendations - Rank candidate sites based on the above
factors and recommend the optimal site.

The completion date for the Solid Waste Facility (offices. transfer station and recycling center) has
hecn extended se\ eral months from the original time allow ed in the construction contract. We have
also approved six change orders to the construction contract.
All engineering services, which includes construction inspection. is being performed by
McGoodw-in. Williams and Yates. Given the extension of time and numerous change orders.
McGoodwin has requested an amendment to their contract fix services to he provided in the future.
This amendment will give adequate time for McGoodwin to provide services during the one year
warrant) of this project. It will also allow them to continue providing inspection sen ices until the
completion of this project.
I have attached the amindment to this memorandum. Should you have any questions. please do not

Dear Mrs. Zotti:
As you are aware, Sunray Services began utilizing the transfer station in late
July, and completion of the administrative offices is scheduled around August 19.
Ninety-nine percent of the work will be complete at this point, with the remaining
work consisting of punch list items and final seeding, landscaping, etc.
Our Agreement for Engineering Services provides that compensation for
construction services shall be paid on an hourly basis, with no provision for a
"not -to -exceed" amount (see copy enclosed). However, our engineering job cost
estimate included an amount of $82,330 for this work.
Based on our latest records, the total cost for construction services through
August 11 was $78,744, leaving a balance from our original estimate of $3,586.
With the approval of Change Orders No. 1 through No. 6, the final completion
date was August 13, 1996. Obviously, additional engineering time will be required
for completion of the remaining items of work as well as preparation of Plans of
Record drawings and possible assistance during the contractor's one year warranty
period working with the contractor and the City to handle any problems which
may arise.

Assuming that this involvement would be held to an absolute minimum, we
estimate that an additional $5,000 should be set up in your budget to cover these
additional costs. We trust this meets with your approval.
We are all very proud of the new facility and have enjoyed working with
you and your staff as well as Oakridge Builders during construction of the project.

AMENDMENT NO. 11 TO
AGREEMENT FOR ENGINEERING SERVICES

WHEREAS, on June 28, 1994, the City of Fayetteville, Arkansas (Owner), and
the engineering firm of McGoodwin, Williams and Yates, Inc. (Engineer), entered into
an agreement to provide for engineering services in connection with a Transfer
Station and Recyclable Materials Processing Facility; and
WHEREAS, this Agreement was amended on February 7, 1995, to provide the
amount and method of compensation for detailed design, preparation of construction
plans, bidding, and services during construction of the project; and
WHEREAS, the estimate of fees provided by the Engineer for services during
construction, on which the Owner's project budget was set up, was $82,330; and
WHEREAS, it has been determined that an increase of $5,000 in the budgeted
amount for these services will be required to complete the project;
NOW THEREFORE, In consideration of the mutual covenants and agreements
herein contained, the Owner and the Engineer, the parties hereto, stipulate and
agree that the "Agreement for Engineering Services - Solid Waste Facility" dated
June 28, 1994, as amended on February 7, 1995, is hereby further amended as
follows:

provided to the Owner by the Engineer is hereby increased by $5,000
for a total estimated cost of $87,330.

PERMIT CONDITIONS: This permit is your authority to construct and/or operate the Solid Waste
Processing Facility set (onh in your applicatton. This permit Is issued pursuant to the provisions of
the Arkansas Solid Waste Management Act (Arkansas Code Annotated 8-6-201 et .eq.) as amended,
hereinafter called the "Act"; Regulation Number 22, Arkansas Solid Waste Management, as adopted
by the Poi!utipn Control and Ecology Commission, hereinafter called "Regulation 2T; and all other
applicable rul`e`!'and regulations of the Depanment of Pollution Control and Eoplogv, hereinafter
called "Department-, and the following terns and conditions:
1. The solid vraste transfer nation shall be constructed, maintained, and opera.ed in accordance
with the final plans, specifications and operation narrative es approved by the Cepanment and in
compliance with all applicoble provisions of the Act, Regulation 22, and all other applicable rules
and regulat ions.
2. This permit shall automatically terminate unless construction of the disposal facility has been
commenced within 180 days of the original effective date of the permit and is c'smple:ed with all
reasonable diligence; or on the expiration date shown above. The Department seall be notified in
writing when the initial construction has been completed and upon facility cion.re in order that it
may be inspected.
3. At all times the disposal facility shall be menrained in good condition ani operations shall
be under the supervision of a licensed, qualified on-site operator holding the appropriate license
class required by Regulation Number 27, Certification of Sanitary Landfill Operators. Copies of the
approved operating narrative, plans, specifications and this disposal permit shall be maintained at
the site for reference.
