RESOLUTION NO. 47-94
A RESOLUTION AUTHORIZING THE MAYOR ANI) CITY
CLERK TO EXECUTE A RENEWAL CONTRACT WITH
COMMUNITY RESOURCE GROUP. INC, IN THE AMOUNT
OF S45,000 TO PROVIDE DRIVERS FOR THE
FAYETTEVILLE TROLLEY SERVICE.

BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. That the Mayor and City Clerk are hereby authorized to execute the
contract renewal with Community Resource Group, Inc.. in the amount of $45.000 to provide
drivers for the Fayetteville Trolly Service. A copy of the contract is attached hereto marked
Exhibit "A" and made a part hereof.

AGREEMENT

TH:S AGREEMENT, entered into as of this , 1994, by
and between Community Resource Group, Inc d/b/a Regional
Transit hereinafter referred to as "Ozark" and the City of
Fayetteville, Arkansas, hereinafter referred to as "the C:ty."
WITNESSETH THAT:
Ozark and the City will mutually agree as follows:
O zark and the City will jointly provide transportation service
for the City in accordance with guidelines contained herein:
1. TYPE OF SERVICE
The service shall be open to rembers of the genera: public and
shall not be operated exclusively for any one group or
omganization. The service shall comply with requirements of
O zark's contract 1::r Arkansas Highway and Transpomtat_on
Department Section 9 Federal Transit Administration funds, as
identified in Ozark's contract. The City anderstanas that some
aspects of this service shall be subsidized by such funding.
2. ROUTE DEVELOPMENT
O zark staff will assist the City in developing the most t.me and
mileage efficsent /outing and scheduling for the service. Final
routes, stops, and time schedules will be approved by the City
Ln wmit ng prior to service being provided. Any changes .n said
routcs, stops, and time scneaules will be approved by the City
in writing.
3. VEHICLES & INSURANCE
Ozark will operate vehicles owned by the City fox semvice
provided under this agmeement. Vehicles will be operated in
accordance with routes approved by the City. In no instance
will vehicles bc operated hy the City fax services not provided
under this contmact, outside the state of Arkansas, cm outside
Ozark's Arkansas Aighway Commission operating authority area
overnigl.t, unless the City shall secure adequate insumance
covering such opemation and operate under its own authority.
Ozark's use of said vehicles shall be limited to service
provided under thin agreement unless approved by tne C.ty.

maintain the following vehicle insurance coverage on all

he paid by Ozark; Collision - $500 deductible to be paid by
Ozark. All costs of insurance shall be paid by Ozark.
The City shall be named as additional insured, and may operate
t he vehicles with its cwn employees under Ozark's insurance and
operating authority so long as those employees are first listed
with Czark's insurer.
4. MAINTENANCE & LICENSING
The City shall provide vehicle maintenance every 3,CC3 miles,
licensing, and all other oherazing costs other than those
specified :n this agreement to he provided by Ozark.
O zark shall be responsible for determining when preventive
maintenance or repair on the vel'irle needs to be scheduled, and
for alerting the City. :f necessary and approved by the City,
O nark will provide maintenance or repair, and will subsegJently
h ill the City at current rates charged to non -profits.
O zark shall no: obligate the City to pay any cost pertaining to
any aspect of this agreement without prior written
authorization.
5. DISPATCH & OPERATIONS
Each City vehicle will be equipped with a two-way radio systerr
tt, be provided by Ozark. The radio frequency will be monitored
by 07ark dispatcher from 7:0C a.m. to 5:0C p.m.
Ozark will provide spare vehicles to :nsure uninterrupted
service to the City in tLt e evenof malfunction of the assigned
ven:clefr. Spare vehicles will match the capacity of regularly
assigned vehicies when possible.
6. DRIVERS
Ozark shall provide Drivers for service operated under this
agreement who shall receive special orientation and training to
prepare them to educate passengers, in addition to Ozark's
regular Driver training. Said training shall consist prirarily
o f a set of written rraterials which shall be memorized by
Drivers for repetition to passengers, and cf a set of guidelines
for dress, benavior, and any other items designated by the City.

b) Have a satisfactory driving record based on informat:cn
documented from the Arkansas Department of Motor Vehicles, and
continue to demonstrate ability to drive the vehicle to Ozark's
satisfaction.
c) Successfully complete, and update as needed, tra:ning in
accordance with Czark's :raining :policy.
d ) Be approved by Ozark to drive, basec on the above criteria.

7. PROMOTION AND PUBLIC AWARENESS
Ozark will wcix wi,h ..he City to develop an ongoing program of
public awareness to assure that tourists and City residents know
of the service and are able to access it. It is understood that
Ozark shall not pay for any promotion or advert:sing under th:s
agreement, otter than minor_ in-house mailing and tne cost of
scbmitting public service announcements, as part of its ongoing

8. INCLEMENT WEATHER
E ither the City cr Ozark may in the case of inc:ement weatLer
and/or hazardous road conaitions cancel oi modify scheduled
t /ansportation or dispatch/backup service. The party :nit:at ng
: he cancellation or modificalion shall ne responsible for
notifying the other party. Ozark shall notify the public of any
cancellation by informing the media as soon as cancellation
becomes necessary.
9. RATE OF PAYMENT
The City agrees to provide funds to he used as local mc..tcn.ng
funds or program income, as needed, in the amounts specified
below.

10. METHOD OF PAYMENT

11. RECORDS
O zark's responsibility for record-keeping, financial and record
data computations shall be limited under this Agreement to
ridership counts, daily trip sheets, and records required by the
Arkansas Highway and Transportation Department. Maintenance
records shall he maintained by the City and shall be open to
inspection by Ozark its agents, incluchng representatives of t e
Arkansas Highway and Transportation Department upon request.

Notice as required by the terms of this agreement shall be

13. TIME OF PERFORMANCE
The term of this Agreement shall be for a period of e_ 11'
months, commencing nf the first day of May, 1994 ard end:nq on
December 31, 1994. The City shall have the option to renew this
Agreement for fwir additional one year terms. To exercise each
✓ enewal option, a written amendment to the Agreement, signed by
both parties is required. Renewal 15 wihject to br.dget
approval.
14. AGREEMENT AMENDMENTS
Th.s acireement may be rodified at any time by a memolardum
understanding with the mutual agreement of both parties.
15. AGREEMENT TERMINATION
"This agreement may be term4nated by one of the following
methods:
A. Either party may terminate this agreement upon 33 -day
notificazion; or,
B. Both parties, by their mutual consent, may terminate
this Agreement immediately.

Agreement Amendment
This MEMORANDUM OF UNDERSTANDING shall serve as an amendment to an
agreement for the provision of trolley driver services originally entered into as of April
19, 1994, by and between Community Resource Group, Inc. d/b/a Ozark Regional
Transit and the City of Fayetteville, Arkansas.
The purpose of this amendment is to exercise an option to renew the agreement for a
period of one year extending from January 1, 1995 to December 31, 1995. The terms
and conditions stated in the original agreement shall remain in place including the rate of
payment which will be $12.38 per hour for service provided.
Both parties being in agreement to the terms and conditions of this renewal agreement,
