(CENTER STREET TO SPRING STREET)
STREET AND DRAINAGE IMPROVEMENTS

THE ORIGINAL CONTRACT was made and entered into on August 20,
1990, AND THIS CONTRACT AMENDMENT NO. 11 made and entered into
this SAC day of «pJ , 1994, by and between the City of
Fayetteville, Arkadsas, hereinafter referred to as the "OWNER",
and Milholland Company, Engineering and Surveying, Consulting
Engineers of Fayetteville, Arkansas, hereinafter referred to as
the "ENGINEER",
WITNESSED THAT:
WHEREAS, the OWNER Originally desired to cooperate with
Washington County to Construct MILL AVENUE 31 feet in width from
CENTER STREET Northerly to Spring Street centered in a straight
Right -Of -Way fifty feet (50') in width through the "POORE"
property on Spring Street; AND
WHEREAS, the OWNER has AMENDED its desires several times, as
follows:
FIRST: Due to the Lack of Acquisition of the "POORE"
property by the County, Re -Design Mill Avenue from
Center Street to Spring Street with a reverse
curve to the East side of said "POORE" property on
the South side of Spring Street;

Design Center Street from Mill Avenue, Westerly
into the Existing alignment of Center Street with
College Avenue, with future plans to connect
directly into College with a ninety -degree
Intersection at Mill Avenue.
Stop Design Work at the discretion of the City;
Rough Design Mill Street grade to allow for access
into Washington County Jail Parking Lot;

WHEREAS NOW, THE OWNER desires to Re -Stake and Re -Design
Mill Avenue Centerline into Spring Street with the following
Additions and Adjustments:
1) The Construction of Center Street from Mill Avenue West
to College will not be considered;
2) Washington County Detention Center has been designated
and is in process of construction, AND the parking lots
at the North and South sides of said Center are being
modified;
3) Re -Design and Re -Stake Access to Mill Avenue to
properly route traffic into each parking lot in Item
No. 4 above;
4) Approximately 95% of Mill Avenue Control has been lost
or obliterated, AND WILL HAVE TO BE RE -CONSTRUCTED;
WHEREAS, the OWNER deemed it essential to delay and modify its
original plans, AND
WHEREAS, the ENGINEER has sufficient experienced personnel and
equipment to perform the work described in this Agreement, as
Amended,
NOW THEREFORE, in consideration of the mutual covenants and
agreements herein contained, the OWNER and the ENGINEER, the
parties hereto, stipulate and agree that the OWNER does hereby
employ the ENGINEER to perform the required engineering services
as hereinabove set out; AND the ENGINEER agrees to provide said
ADDITIONAL SERVICES.
SECTION 1: DESCRIPTION OF PROJECT AS AMENDED:
The Project for which additional engineering services are to be
provided are as follows:
PROJECT - MILL AVENUE IMPROVEMENTS FROM CENTER STREET NORTH
through the "POORE" property TO SPRING STREET, including,
but not limited to, Street and Storm Drainage Construction,
Sidewalk Construction and Provide Access to Washington
County Jail/Detention Center Parking Lots;
which are generally described as follows:
The balance of SECTION 1 AND ALL OF SECTION 2 OF THE "ORIGINAL
CONTRACT" shall remain unchanged.

SECTION 3. COMPENSATION AS AMENDED:
Compensation adjustments for the various types of services to be
provided under this contract shall be made as follows:
A. PART I: BASIC ENGINEERING SERVICES:
Compensation for Basic Engineering Services shall be a LUMP
SUM FEE amount of $23,500.00 FOR AMENDMENT NO. 1 INSTEAD OF
CONTRACT AMOUNT OF $13,500.00. This fee includes full
compensation for every item of work as described in SECTION
2, PART I. The fee is based on an estimate of the various
classifications of work at an hourly rate. The hourly rates
include direct labor costs plus allowances for indirect
labor costs, overhead, and profit.
PART I -A: RIGHT-OF-WAY ACQUISITION:
Compensation for PLATS AND DESCRIPTIONS for Right -of -Way
Easements shall be based on the hours of work actually
required. The hourly rates shall be based on charges for
the various classifications of personnel identical to those
set out under SECTION 3-D. - "HOURLY RATE PER
CLASSIFICATION".
Only work as directed by the OWNER shall be done under this
section of the contract. The AMENDED total fee shall not
exceed $500.00 per Plat INSTEAD OF THE ORIGINAL CONTRACT
AMOUNT OF $300.00.
B. PART II: BIDS THROUGH AWARD OF CONTRACT:
Compensation for "Advertisement for Bids" through "Award of
Contract" shall be a LUMP SUM FEE amount of $1,000.00 as
stated in the ORIGINAL CONTRACT.
C. PART III: CONSTRUCTION MANAGEMENT:
Compensation for Construction Management Services described
in SECTION 2, PART III.
Compensation shall be an estimated amount of $10,000.00 for
AMENDMENT NO. 1 INSTEAD OF ORIGINAL CONTRACT AMOUNT OF
$6,500.00. Compensation shall be based on charges for the
various classifications of personnel identical to those set
out under SECTION 3-D. - "HOURLY RATE PER CLASSIFICATION".

THE "ORIGINAL CONTRACT" shall
IN WITNESS WHEREOF, the OWNER has caused these presents to be
executed in its behalf by its duly authorized representatives,
and the said ENGINEER by its duly authorized representatives, and
the parties hereto have set their hands and seals on the date
heretofore set out.

A RESOLUTION AUTHORIZING THE MAYOR AND ary
CLERK TO EXECUTE: A CONTRACT AMENDMENT NO. 1
IN THE AMOUNT OF $13,900 WITH MILHOLLAND
ENGINEERING TO COMPLETE THE DESIGN AND
CONSTRUCTION MANAGMENT OF THE PROPOSED MILL
STREET EXTENSION.
BE IT RESOLVED BY THE CITY COUNCIL, OF THE CITY OF
FAYE1TEVILLE, ARKANSAS:
Section 1 That the Council hereby authorizes the Mayor and City Clerk to execute
a contract amendment no. 1 in the amount of $13,900 with Milholland Engineering to complete
the design and construction managment of the proposed Mill Street extension. A copy of the
contract amendment is attached hereto marked Exhibit "A" and made a part hereof.
