CONTRACT AMENDMENT NO. 3
FOR
ENGINEERING SERVICES
PROJECT:
STUBBLEFIELD ROAD AND MISSOURI CREEK DRAINAGE IMPROVEMENTS

THE ORIGINAL CONTRACT was made and entered into on May 24, 1989,
AND THIS CONTRACT AMENDMENT NO. 3, made and entered into on this
5:12. day of Aid& , 1994, by and between the City of
Fayetteville, Aikansas, hereinafter referred to as the "OWNER",
and Milholland Company, Engineering and Surveying, Consulting
Engineers of Fayetteville, Arkansas, hereinafter referred to as
the "ENGINEER",
WITNESSED THAT:
WHEREAS, the OWNER Originally desired to Construct STUBBLEFIELD
ROAD 31 feet in width from HAROLD STREET North and East to Old
Missouri Road centered in a Right -Of -Way fifty feet (50') in
width, AND WHEREAS, the OWNER has AMENDED its desires several
times, as depicted in AMENDMENT NO. 2, AND WHEREAS/ the OWNER has
AMENDED its desires again, as follows:
I: Develop PHASE II IMPROVEMENTS to FIRST CONSTRUCT THE
EAST END OF STUBBLEFIELD ROAD FROM THE P.C. (Point -of -
Curvature) beginning at STA. 27+21.19 to the center of
Old Missouri Road;
II: RE -STAKE lost and/or obliterated control for
Construction;
WHEREAS, the OWNER has AMENDED its desires as to the length of
the Construction of the Missouri Creek Drainage Improvements from
the new Stubblefield Road crossing North, as follows:
I: DEVELOP PHASE I IMPROVEMENTS to Delete the Proposed
Construction of Missouri Creek Earthen Channel from its
intersection with Mud Creek, South along the centerline
of existing Channel, approximately 800 L.F., as listed
on page 2 of the Contract Amendment No. 2, Item
"SECOND" Sub -Item "E";
II: RE -FURBISH CONTROL STAKING FOR CONSTRUCTION;

WHEREAS, the OWNER deemed it essential to delay and modify its
original plans, and Amend, AND
WHEREAS, the ENGINEER has sufficient experienced personnel and
equipment to perform the work described in this Agreement, as
Amended,
NOW THEREFORE, in consideration of the mutual covenants and
agreements herein contained, the OWNER and the ENGINEER, the
parties hereto, stipulate and agree that the OWNER does hereby
employ the ENGINEER to perform the required engineering services
as hereinabove set out; AND the ENGINEER agrees to provide said
ADDITIONAL SERVICES.
SECTION 1: DESCRIPTION OF PROJECT "AS AMENDED":
The Project for which engineering services are to be provided are
as follows:
PROJECT No. 1 - PHASED CONSTRUCTION OF STUBBLEFIELD ROAD
IMPROVEMENTS FROM HAROLD STREET NORTH AND EAST TO OLD
MISSOURI ROAD including, but not limited to, Street and
Storm Drainage Construction, Water Main Replacement and
Sidewalk Construction. PHASE I BEING FROM STA. 27+21.19 TO
OLD MISSOURI ROAD;
PROJECT No. 2 - MISSOURI CREEK IMPROVEMENTS as amended,
herein above;
which are generally described as follows:
The balance of SECTION 1 AND ALL OF SECTION 2 OF THE "ORIGINAL
CONTRACT" AND CCNTRACT AMENDMENT NO. 2 shall remain unchanged.
SECTION 3. COMPENSATION AS AMENDED:
Compensation for the various types of services to be
under this contract shall be made as follows:

PROJECTS No. 1 AND 2: STUBBLEFIELD ROAD AND MISSOURI CREEK
IMPROVEMENTS:
A. PART I: BASIC ENGINEERING SERVICES: (AMENDED)
DEVELOP PHASED CONSTRUCTION PLANS, Compensation
Construction Phase I shall be a Lump Sum Fee of $3,500
addition to the Original Contract and Amendment No. 2,
states the following:

Compensation for Basic Engineering Services shall be a LUMP
SUM FEE amount of $23,000.00 FOR AMENDMENT NO. 2 INSTEAD OF
CONTRACT AMENDED AMOUNT OF $11,000.00. This fee includes
full compensation for every item of work as described in
SECTION 2, PART I. The fee is based on an estimate of the
various classifications of work at an hourly rate. The
hourly rates include direct labor costs plus allowances for
indirect labor costs, overhead, and profit.
B. PART I -A: RIGHT-OF-WAY ACQUISITION:
Compensation for PLATS AND DESCRIPTIONS for Right -of -Way
Easements shall be based on the hours of work actually
required. The hourly rates shall be based on charges for
the various classifications of personnel identical to those
set out under SECTION 3-F. "HOURLY RATE PER CLASSIFICATION".
Only work as directed by the OWNER shall be done under this
section of the contract. The AMENDED total fee shall not
exceed $3,800.00 INSTEAD OF THE ORIGINAL CONTRACT AMOUNT OF
$2,000 00 and CONTRACT AMENDMENT NO. 2 AMOUNT OF $3,200.00.
C. PART II: BIDS THROUGH AWARD OF CONTRACT: (AMENDED)
Compensation for "Advertisement for Bids" through "Award of
Contract" shall be a LUMP SUM FEE amount of $1,000.00
INSTEAD OF ORIGINAL CONTRACT amount of $400.00 and AMENDMENT
NO. 2 amount of $600 00
D. PART III: CONSTRUCTION MANAGEMENT:
Compensation for Construction Management Services described
in SECTION 2, PART III, shall be as follows:
PROJECT No. 1: STUBBLEFIELD ROAD: Compensation for
Construction, Phase I shall be an estimated amount of
$8,000.00 for AMENDMENT NO. 3 INSTEAD OF ORIGINAL
CONTRACT AMOUNT OF $11,600.00. FUTURE CONSTRUCTION
PHASES SHALL BE NEGOTIATED AT SUCH TIME SERVICES ARE TO
BE PERFORMED. Compensation shall be based on charges
for the various classifications of personnel identical
to those set out under SECTION 3-D. - "HOURLY RATE PER
CLASSIFICATION".
PROJECT No. 2: MISSOURI CREEK IMPROVEMENTS:
Compensation for Construction, Phase I shall be an
estimated amount of $6,500.00 for AMENDMENT NO. 3/ AND
SHALL BE A PART OF CONSTRUCTION PHASE I of Project No.
1 above. Compensation shall be based on charges for
the various classifications of personnel identical to
those set out under SECTION 3-D. - "HOURLY RATE PER
CLASSIFICATION".

The hourly rates to be charged for the various classifications of
personnel are set out below are AMENDED from Original Contract,
as follows:

CLERK TO EX ECuTE AMENDMENT NO. 3 TO
MILHOLLAND ENGINEERING CONTRACT FOR THE
STUBBLEFIELD ROAD AND OLD MISSOURI CREEK
DRAINAGE PROJECT AND APPROVAL OF A BUDGET
ADJUsTm ENT.
BE IT RESOLVED BY THE CITY COUNC11. OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
5_es_lionA. That the Council hereby authorizes the Mayor and City Clerk to Execute
Amendment No. 3 to Milholland Engineering Contract for the Stubblefield Road and Old
Missoun Creek Drainage Project. A copy of the amendment to contract is attached hereto
marked Exhibit "A" and made a part hereof.
Section 2. The Council also approves a budget adjustment in the amount of $33,450
increasing Streeet Improvements, Acct. No. 4470 9470 5809 00 and Transfer to Sales Tax
Construction Fund, Acct. No. 1010 6600 7602 47 by decreasing Transfer from (ieneral Fund,
Acct. No. 4470 0947 6602 01 and Use of Fund Balance, Acct. No. 1010 0001 4999 99. A copy
of the budget adjustment is attached hereto and made a part hereof.
