Such real property is described in Exhibit "A" attached hereto and made a part hereof. Section 2. The Mayor and City Clerk are hereby authorized to convey real property to Habitat for Humanity of Fayetteville, AR, Inc. NOW THEREFORE, in consideration of the benefits to be derived by Fayetteville citizens from programs and services described herein as well as the mutual benefit of the City and the Corporation, the parties agree to exchange real property as described below. DESCRIPTION OF PROPERTIES 1. The Corporation has obtained title to real property generally located on South Washington Street between East Mountain and East Rock Streets. The property was acquired to construct housing affordable to low and moderate income Fayetteville citizens. The legal description of this property is provided in Exhibit "A" attached hereto. This real property will hereinafter he referred to as Parcel 1. 2. The City. through its Community Development Division, has obtained title to real property generally located on Denver Street and Haddon Street. The property was acquired to construct housing affordable to low and moderate income Fayetteville citizens. The legal description of this property is provided in Exhibit 'A" attached hereto. 'I7us real property will hereinafter be referred to as Parcel 2. A map indicating the location of the subject properties is attached hereto as Exhibit "B'. DESCRIPT]ON OF PROPERTY EXCHANGE 1. The City is acquiring property from East Mountain Street to East Rock Street as part of a street improvement project entitled "Mill Avenue Extension - South" scheduled for construction in 1995-96. Parcel 1 is part of the project area. When the Corporation learned of the project plans, they recognized that construction of housing on Parcel 1 would not he in their or a prospective buyer's hest interests. 2. Parcel 2 was acquired by the City with Community Development Block Grant funds awarded to the City by the U. S. Department of Housing and Urban Development. The purpose of the acquisition was to construct housing affordable to ]ow and moderate income Fayetteville citizens through a sub - recipient, namely the Economic Opportunity Agency of Washington County (EOA). The housing construction was not accomplished and the Agreement between the City and EOA regarding Parcel 2 and proposed activities thereon expired on December 31, 1992. 3. The City and the Corporation wish to exchange the Parcels described herein, in ]icu of payment, on the basis of equivalent cost. Both parties agree that the objectives of each as described herein may he accomplished through this exchange. 3. Each party will be responsible for payment to the Washington County Collector of 1993 and prior years property taxes, if any, on the subject properties to he conveyed and shall pay to the receiving party the proration of 1994 taxes to the date of conveyance. 4. Each party shall furnish, at their own expense, title insurance in the amount of the 55,000 for the properties conveyed. Neither party shall he required to provide appraisals and/or surveys of the properties conveyed. 6. In accordance with L. S. Department of (lousing and Urban Development regulations governing the Community Development Block Grant Program, the Corporation specifically agrees to construct housing on Parcel 2 that will he affordable to persons having ]ow to moderate income.
