HomeMy WebLinkAbout92-93 RESOLUTION• RESOLUTION NO. 92-93 S 1 A RESOLUTION AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN EASEMENT AGREEMENT BETWEEN FAYETTEVILLE VENTURES LIMITED PARTNERSHIP (HILTON HOTEL) AND THE BOARD OF TRUSTEES OF THE UNIVERSITY OF ARKANSAS (CONTINUING EDUCATION CENTER) DEFINING INGRESS AND EGRESS RIGHTS AND RESPONSIBILITIES BETWEEN THE TWO BUILDINGS, AND TO EXECUTE TWO QUIT CLAIM DEEDS CLEARING UP MINOR DISCREPANCIES DISCOVERED IN A SURVEY AT THE TIME OF SALE. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FAYETTEVLLLE, ARKANSAS: Sj. That the Council hereby authorizes the mayor and city clerk to execute an easement agreement between Fayetteville Ventures Limited Partnership (Hilton Hotel) and the Board of Trustees of the University of Arkansas (Continuing Education Center) defining ingress and egress rights and responsibilities between the two buildmgs. A copy of the easement agreement is attached hereto marked Exhibit "A" and made a part hereof. Section 2. That the Council further authonzes the mayor and city clerk to execute two quit claim deeds from Fayetteville Hotel Ventures to the City, Quit Claim Deed from the City to Fayetteville Hotel Ventures, to clear up minor discrepancies discovered m a survey at the time of sale. KOLLMEYER EASEMENT AGREEMENT THIS AGREEMENT is entered into between Fayetteville Hotel Ventures Limited Partnership, a Minnesota limited partnership ("the Partnership") and the City of Fayetteville, Arkansas, a municipal corporation ("the City"). Beginning at the S.W corner of said Block 15, thence N 0° 01' 40" E 105.38 feet to the north line of a vacated alley which is on the center line between the north 93 75331' • Easement Agreement Hotel Ventures Ltd./City of Fayetteville Page 2 • brick wall for the University of Arkansas Center for Continuing Education building and the south brick wall for the Fayetteville Hilton building; thence East along said center line between the two brick walls 155 0 feet to the west line of an alley; thence along said alley S 0` 01' 40" W 105 38 feet to the south line of Block 15, thence West 155 0 feet to the Point of Beginning; ("Continuing Education Parcel") ; and WHEREAS, the City has leased the Continuing Education Parcel to the Board of Trustees of the University of Arkansas ("the Board of Trustees") under an Agreement dated October 1, 1979, for a term of Twenty -Three years, at the end of which the Board of Trustees has an option to purchase the property; and WHEREAS, the respective properties are more particularly descnbed on a Plat -of - Survey by Northwest Engineers, Inc., a copy of which is attached hereto as Exhibit "A"; and WHEREAS, a portion of the south wall of the Hotel abuts the north wall of the CCE and access to the south entrance of the Hotel is through the Continuing Education parcel, and access to the north wall of the CCE is through the Hotel; and WHEREAS, the parties desire to grant each other certain easements and to enter into certain agreements with respect to said easements; NOW THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, receipt of which is hereby acknowledged, the parties hereby agree as follows: ARTICLE I EASEMENTS 1 1 Easement for Ingress and Earess over Continulna Education Parcel. The 93 75332 • • Easement Agreement Hotel Ventures Ltd./City of Fayetteville Page 3 • City hereby grants and creates and there shall exist in, on, and over existing walkways and hallways between the Hotel and the CCE on the first two levels of the buildings extending from the alley on the eastem edge of the Continuing Education Parcel 156.57' feet more or less to the western edge of the Continuing Education Parcel, said walkways and hallways being shown on Exhibit "A" attached hereto ("Walkways" and "Hallways"), a nonexclusive easement for (a) pedestrian ingress and egress for the benefit of the Hotel Parcel and all owners and occupants thereof, their agents, employees, guests and invitees; (b) delivery of supplies and equipment to the hotel; and (c) maintenance of the south wall of the Hotel. 1.2. Easement for Ingress and Earess over Hotel Parcel. The Partnership hereby grants and creates and there shall exist in, on, and over the building on the Hotel Parcel, a nonexclusive easement in favor of the Continuing Education Parcel for (a) maintenance of the north wall of the CCE; and (b) maintenance of the handicapped door opening devices for the exterior doors into the CCE 1.3. Use of Easements. Use of the easements granted herein shall be subject to the nght of the owners of the respective parcels to issue reasonable rules and regulations for the use and enjoyment of the easements, including but not limited to regulations reasonably restncting the hours of use. The City may omit the hours that the extenor doors into the Hallways are open, provided that the Hallways and exterior doors shall be open during the regular business hours of the CCE The City may lock the exterior doors into the Hallways as reasonably required for security to the CCE The City shall not 93 75333 Easement Agreement Hotel Ventures Ltd./City of Fayetteville Page 4 otherwise obstruct the passage through these Hallways or exterior doors without the written consent of the Partnership. 1.4. No Encroachments. The easements granted herein shall not be encroached upon by buildings or permanent enclosures which would unreasonably restnct the intended uses of respective easement; provided however, the existing structures are permitted encroachments. 1.5. Nonexclusive Easement. The parties hereto agree that the nonexclusive easements hereby granted and created are subject to the right of the party whose property is subject to the easement to use the property subject to the easement for similar or dissimilar uses or purposes. ARTICLE II MAINTENANCE OF THE EASEMENTS 2.1. The City's Responsibility. The City shall have exclusive management and control of the Walkways, Hallways, exterior doorways, and interior doorways into the CCE on the easements described in Sections 1.1. and 1.2., including the responsibility for maintenance, and shall keep the same in good, clean, attractive and sanitary condition. 2.2. The Partnership's Responsibility. The Partnership shall have exclusive management and control of the interior doorways into the Hotel from the easements described in Section 1.2., including the responsibility for maintenance, and shall keep the same in good, clean, attractive and sanitary condition. 93 75334 • Easement Agreement Hotel Ventures Ltd./City of Fayetteville Page 5 • ARTICLE III INSURANCE AND INDEMNIFICATION 3.1. Liability Insurance. The Partnership shall purchase and maintain comprehensive general liability insurance on the Hotel Parcel protecting it against such claims for bodily injury, death or damage to property occurring on, in or about the Hotel Parcel with limits in the amount of at least One Million Dollars ($1,000,000) per occurrence and One Million Dollars ($1,000,000) in the aggregate. The City and the Board of Trustees shall be named as additional insureds to the extent of their interests. The insurance policy shall include coverage for the indemnification required in paragraph 3.2. The following requirement shall be endorsed onto the policies reflecting the required insurance: Thirty (30) days pnor written notice shall be given to the City of Fayetteville in the event of cancellation, material change or non -renewal of the insurance required by an Easement Agreement entered into between the Fayetteville Hotel Ventures Limited Partnership and the City of Fayetteville, Arkansas, dated 1993. The Partnership shall deliver a certificate of insurance to the City upon request. 3.2. Indemnification. The Partnership shall indemnify and hold the City, the Board of Trustees, and the officers, officials, employees and agents of the City and the Board of Trustees harmless from any and all claims, damages, actions, losses, expenses or costs of whatever kind and nature, including without limitation, attorneys' fees, arising out of any bodily injury or property damage occurring on the Hotel Parcel except to the extent such bodily injury or property damage was caused by the negligence or wilful misconduct of the City or the Board of Trustees, or their officers, officials, employees or agents. 93 75335 • Easement Agreement Hotel Ventures Ltd./City of Fayetteville Page 6 The City and the Board of Trustees shall indemnify and hold the Partnership and its officers, officials, employees, and agents harmless from any and all claims, damages, actions, losses, expenses or costs of whatever kind and nature, including without limitation, attorneys' fees, ansing out of any bodily injury or property damage occurring on the Continuing Education Parcel except to the extent such bodily injury or property damage was caused by the negligence or wilful misconduct of the Partnership or its officers, employees, agents or officials. Provided however, this provision shall not be deemed to waive or void the City's or the Board of Trustees' immunity; and provided further that this provision shall apply to the Board of Trustees only to the extent authorized under Arkansas law. All claims for indemnification against the Board of Trustees shall be brought in the Arkansas State Claims Commission. ARTICLE IV GENERAL PROVISIONS 4.1. Reverter. Should either building on the adjoining properties be tom down or otherwise completely destroyed or demolished and in such event should the then owner or mortgagee of such building elect not to rebuild such building so that the exterior walls of the buildings cease to be abutting, the Easements created herein shall revert to their respective grantors. 4.2. Not a Public Dedication. Nothing herein contained shall be deemed to be a gift, dedication or declaration of the easements hereby created or any portions thereof, to the general public. 93 75336 Easement Agreement Hotel Ventures Ltd./City of Fayetteville Page 7 4.3. Compliance with Laws. The parties agree that the easements created or granted herein shall be used in accordance with the requirements of applicable statutes, codes, ordinances and regulations. It shall not be a breach of this Agreement for either party to take any action required to comply with such statutes, codes, ordinances or regulations. 4.4. Applicable Law. This Easement Agreement shall be construed and enforced in accordance with the laws of the State of Arkansas. 4.5. Successors and Assigns. This Agreement and the Easements created herein shall be binding upon, to the fullest extent permitted by law and equity, and shall inure to the benefit of, and be enforceable as provided herein by the parties and their respective heirs, administrators, successors and assigns, and all present and future owners. 4.6. Severability. Invalidation of any one of the covenants or restrictions contained herein by judgments or court order shall in no way affect any other provision which shall remain in full force and effect. 4.7. Captions. The captions herein are inserted only for reference, and in no way define, limit or describe the scope of this Easement Agreement or the meaning of any provision hereof. 4.8. Counterparts. This Easement Agreement may be executed in any number of counterparts, each of which shall be deemed an original. The parties agree that the City shall file one executed original of this Easement Agreement in the Office of the 93 75337 Easement Agreement Hotel Ventures Ltd./City of Fayetteville Page 8 Circuit Clerk and Ex -Officio Recorder of Washington County, Arkansas, and shall inform the Partnership of the Book and Page at which it is recorded. 4.9. Concurrence of the Board of Trustees. The concurrence of the Board of Trustees with the terms of this Easement Agreement is indicated by the signature of the Vice President for Finance and Administration of the University of Arkansas.
