A RESOLUTION AUTHORIZING THE MAYOR AND CITY
CLERK TO EXECUTE AN ENGINEERING CONTRACT WITH
CRAFTON-TULL AND ASSOCIATES IN THE AMOUNT OF
$15,150 FOR THE DESIGN AND CONSTRUCTION
MANAGEMENT OF A REPLACEMENT BRIDGE/CULVERT ON
SOUTH COLLEGE OVER TIN CUP CREEK LOCATED
BETWEEN 4TH AND 6TH STREETS AND APPROVAL OF A
BUDGET ADJUSTMENT.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. That the Mayor and City Clerk are hereby
authorized and directed to execute an engineering contract with
Crafton-Tull and Associates in the amount of $15,150 for the design
and construction management of a replacement bridge/culvert on
South College over Tin Cup Creek located between 4th and 6th
Streets. A copy of the contract authorized for execution hereby is
attached hereto marked Exhibit "A" and made a part hereof.
Section 2. That the Board of Directors hereby approves a
budget adjustment in the amount of $15,150 from the Interest
Construction Fund Account No. 4470-0947-4707.02 to increase
Contract Services Account Number 4470-9470-5315.00. A copy of the
budget adjustment for approval is attached hereto and made a part
hereof.

AGREEMENT

REPLACEMENT OF BRIDGE OVER TIN CUP CREEK
'NIS AGREEMENT, made and entered into this L GC day of
, 1992, by and between the CITY OF PAYETIE LLE, ARKANSAS,
hereinaiter referred to as the "Owner", and CRAFTON, TULL 6 ASSOCIATES,
INC. Consulting Engineers of Fayetteville, Arkansas, hereinafter referred
to as the "Engineer".
WITNESSETH THAT:
WHEREAS, the Owner desires to construct or reconstruct the bcx culvert
aver Tin Cup Creek on South College Avenue within the City of Fayetteville;
and
WHEREAS, the Engineer has sufficient experienced personnel and
equipment to perform the work described in this Agreement;
NOW THEREFORE, in consideration of the mutual covenants and agreements
herein contained, the Owner and the Engineer, the parties hereto, stipulate
and agree that the Owner does hereby employ the Engineer to perform the
required engineering services as hereinafter set out; and the Engineer
agrees t:r provide said services.
Section 1. DESCRIPTION OF PROJECT
The Engineer shall perform a:1 work and provide all services required
to develop detailed plans and specifications and to provide constructinn
management for the construction of the box culvert over Tin Cap Creek on
South College Ave-ue. The scope of work is as follows:
1. Project scoping and planning meeting with city.
2. Preparation of project budgets, contract documents and scope of
servires.
3. Perform design lield surveys, using the tnfnrmaticn as available
from prelirrf•ary surveys as feasible.
4. :':at field st.rveys and field check survey data.
5. Prepare preliminary plan sheets, based on approved preliminary
report. Submit for preliminary field review meeting with city.

6. Establish project construction ]initis based on project cross
sections.
Show exletirg right-of-way based on Fayetteville records and
prepare easement description needed for construction.
8. 'Finalize construction pians including quantities and submit to the
city for review and approval. Meet with city to review plana and
obtain final comments.
9. Prepare contract documents and project specifications.
10. Coordinate the relocation of utilities to clear the proposed
ceratruction. Design water and sewer relocations.
11. Prepnre pro,;ect rot estimates.
12. Assist city with advertising for bids, reviewing bids and making a
recnmaendnt l cr 'or award.
13. Schedule and conduct the preconstruction conference to coordinate
the rctivities of involved parties to the project.
14. Provide construction administration services in connection with
contract paperwork end general oversight of construction and
resolution o1 problems.
15. Provide resident engineering services during construction to
monitor ;progress and quality of work and measure quantities for
payment.
16. Prepare record drawings of the completed construction for city
records.
Section :. CON.PH\SAT:O?1
The basis and c,rnpe-•.a:ie:a for this contract shall be a lump sum of
$10,150.00 :or the desip.:, plan preparation, and construction administration
services. In n:ldltinn, resident observation as required will be at the
attached hourly rates not to exceed $5,000 unless approved in advance by the
Owner.
Payments shall he made on s monthly basis as the work progresses.

Section 3. GENERAL. CONSIDERATIONS
A. Termination rf Contract for Cause
If, through any cause, the Engineer shall fail to fulfill to timely and
proper manner his obligations Lnder this contract, or if the Engineer
sha:l vto:ate any of the covenants, agreements, or stipulations of this
contract, the Owner shall thereupon have the right to terminate this
contract by giving written notice tc the Engineer of such termination
and specifying the effective date hereof, at least five days before the
effective date of such termination. In such event, all finished or
urrllr.islred documents, data, studies, and reports prepared by the
Engineer under this contract shall, at the option of the Owner become
its property, and the Engineer shall he entitled to receive just and
equitable compensation under this contract for any satisfactory work
completed on such decumentc.
Notw'thsta-ging the above, the Engineer shall not be relieved of
:iabitity t•r the Owner :or damages sustained by the Owner by virtue of
any breach el the contract by the Engineer, and the Owner may withhold
any payments to the Engineer for the purpose of setoff until such time
as the exact amount of damages due the Owner frcn the Engineer is
determined.
9. Termination for (::+nve::ience of Owner
The Outer riay terminate this contract any time by a notice in writing
from t::e Ower to the Engineer. :f the contract is terminated by the
Owner :is provided herein, the Engineer will receive just and equitable
compensation under thta contract.
C. Changes
The Owner may, from tine to time, request changes in the scope of the
services :rf the Engineer to be performed hereunder. Such changes.
including any increase or decrease in the amount of the Engineer's
compensation, which are mutually agreed upon by and between the Owner
and the Engineer, shall be incorporated in further written amendments
tc this contract.
D. Personnel
1. The Engineer represents that he has, or will secure at his awe•.
expense, all personnel required in performing the services under
th:r contract. Such personnel shall not be enployees of, or have
any contractual re:atirrship with the Owner.

2. Al] the services required hereunder will be performed by the
Engineer, or under his supervision, and all personnel engaged in
the work shall be filly qualified and shall be authorized or
permitted under stare and local law to perform such services.
3. No person who i>; serving sentence in a penal or correctional
institution shall he employed on work under this contract.
E. Compliance with Local Laws
The Engineer shall comply with all applicable laws, ordinances, and
coden of the state and local government and shall commit no trespass on
any public or private property in performing any of the work embraced
by this contract.
F. Asslyi:abiliry
The Engineer shall not assign any interest in this contract, and shall
not transfer any interest in the same (whether by assignment or
ovation) without the prior written approval of the Owner; provided,
however, that claims for money due or to become due the Engineer from
the Owner under this contract may be assigned to a bank, trust company,
or other financial institution, or to a trustee in bankruptcy, without
such approval. Notice of any such assignment or transfer shall be
furnished promptly tc the owner.
C. Access to Records
The Cwner, the C. S. Department of Housing and Urban Development, the
Comptroller General of the Jnited States, or any of their duly
authorized representatives, shall have access to any books, documents,
papers and recorder of the Engineer doing work under this contract which
are directly pertinent to a specific grant program for the purpose of
making audit, examination, excerpts, and transcriptions.
N. Estimates
Since Engineer has nn control over the cost of labor, nater'als or
equipment or over the netheds of determining prices, cr over
competitive bidding or market conditions, the estimates of costs
provided aro to be made on the basis of Engineer's experience and
qualifications and present his best 'udgment. being familiar with the
industry, but engineer cannot and does not guarantee that established
costs will not vary from estimates prepared.

1 Insurance.
Engineer shall -ecure and maintain sLch insurance as will protect him
from claim under the Woramen's compensation Acts and from claim for
bodl.y injury, death or property damage which nay arise from the
performance of his services under this contract.
J. Suecesaors and Assig::n
Each party of this contract birds himself and his partners, successors,
executors, administrators and assign:: to the other party of this
contract in respert to all covenants of this contract. Eetther party
shall assign, sublet or transfer his interest in this contract without
the written rinsent of the other.
Section 4. E(;L'Al. OPPORTUS:TY PROVISIONS
huring the perl.'rrance cf this contract, the Engineer agrees an
`allows:
A. rhe Engir,er will not discriminate against any employee or
applicant for employment because of race, color, religion, sex, or
national origin. The Engineer will take affirmative action to
ensure that applicant are employed, and that employees are treated
during employment, without regard to their race, color, religion,
sex. or :rational origin. Such action shall include, but not he
limited to, the following: employment, upgrading, demotion, er
tray"rer. recruitment or recruitment advertising; layoff or
termination; rates of pay or other fords of compensation; and
selective for training, including apprenticeship. The Engineer
agrees to post in conspicuous places, available to employees and
applicants for employment, notices to be provided by the
Contracting Officer setting forth the provisions of this
nondiscrimination clause.
13. The Engineer will, in n:: solicitations or advertisements for
er.,layeee, placed by or on behalf ci the Engineer, state that all
qualified applica:•rs will receive ronaideratinn for employment
wlthaut regard 4.n race, color, religion, sex, or national origin.

Section 5. CCI:FI.iCT OF INTEREST
A. Interest of Owner
No (Alien, employee, or agent of the Owner who exercises any
function:; or responsibilities in the review or approval or in
cnnnectie- with the tarrying out of the project to which this
contract pertains shell have any personal interest, direst or
indirect, in this coat-at.t.
B. interest of Certain Federal Officials

ind no Resident Commissioner, shall be admitted to any share or
part a: this contract, or to any benefit to arise berefron.
Interest of Engineer
The Eiglreer rnvenarts that he presently has no interest and shall
not acquire any interest, direct or indirect, In the above
described project area, or any parcels therein, or any other
Interest which would conflict in any manner or degree with the
performance of his services hereunder. The Engineer further
covenants that in the performance of this contract, no person
hwi-:g any nurh interest shall be employed.
Section '. 01.1ER IROv:S10rS
:n connection with this 7roject, the Owner shall:
A. Give thorn.egh cnnsidere tion to all documents presented by the
Engineer and irfnrrn the Engineer of all decisions within a
reasonable time so as not to delay the work of the Engineer.
11. Make prnvlsinms for the employees of the Engineer to enter public
and private lands as required for the Engineer to perform
neressary prel!minary surveys and investigations.
C. Obtain the necessary lands, easements and rights-of-way for .he
construction e•1 the work.
D. Furnish the Engineer such plans and records of construction and
operatirr :r existing facilities, cr copies of same, bearing on
the proposed work a: may he fn the possession of the Owner. Such
document•• or data will be returned to the Owner uper. completicrt of
the work or u.nen the request of the Owner.

E. Pay the cost of making necessary soundings, borings, analyses of
materials and laboratory work exclusive of the Engineer's
supervision thereof.
F. :'ay al: plan review costs and all cost of advertising in
connection with the protect.
All plans and s,ecilicatinr.s prepared by the Engineer under this
contract shall become the property of the City and may be used by the City
for construction purposes upon payment of the consideration due the Engineer
hereunder for preparation of said plans and specifications.
':hes Engineer, at the Engineer's expense, shall furnish the Owner two
capie.: of "::s -built" drawings of each phase of the project.
This agreenenr s'c;,lf be binding upon the parties hereto, their
partners, heirs, successors, adnlnistrators and assigns; and neither party
shall assign, sublet or transfer his interest in this agreement withnut the
prior written consent of the other party hereto.
IN WITNESS ',.'HEREOF, the Owner has caused these present to be executed
.n its beheld by its duly authorized representatives, and the said Engineer
by its duly authorized representatives, and the parties hereto have set
their hands and s,•.cl on the date heretofore set out.
