RESOLUTION NO. 93-92
A RESOLUTION AWARDING BID 192-19 TO N.W.
ARKANSAS SHEET METAL IN THE AMOUNT OF $14,900
TO PURCHASE FIRE SAFETY EQUIPMENT FOR THE SANG
CENTER NUTRITION SITE KITCHEN FROM THE
COMMUNITY DEVELOPMENT BLOCK GRANT FUNDS AND
APPROVAL OF A BUDGET ADJUSTMENT.
BE IT RESOLVED BY TBE BOARD OF DIRECTORS OF THE CITY OF
FAYE TEVILLE, ARKANSAS:
Section 1. That the Board of Directors hereby awards Bid
No. 92-19 to N.W. Arkansas Sheet Metal in the amount of $14,900 to
purchase fire safety equipment for the Sang Senior Center nutrition
site kitchen to comply with fire safety codes. A copy of the bid
tabulation authorized for execution hereby is attached hereto
marked Exhibit "A" and made a part hereof.
Section 2. That the Board of Directors hereby authorizes
a budget adjustment in the amount of $14,900 by reallocating funds
from the Willow Street Account No. 2180-4880-5388.03, Spruce Street
Account No. 2180-4880-5388.04, Sidewalks i Streets Account No.
2180-4890-5389.04 and S. College Sidewalk Account No. 2180-4900-
5390-05 increasing the Sang Avenue Senior Center, Account No. 2180-
4920-5390.16. A copy of the budget adjustment for approval is
attached hereto and made a part hereof.

AGREEMENT
THIS AGREEMENT entered into this iGAt day of

by and between the Council on Aging, Inc., hereinafter
called the Grantee, and the City of Fayetteville, Arkansas through
its Community Development Division, hereinafter called the Grantor,
WITNESSETH:
WHEREAS, the Grantee operates an Elderly Nutrition program in
Washington County, Arkansas in which Fayetteville is located and
offers this program to eligible residents who reside within the
city limits of Fayetteville; and
WHEREAS, the Grantor acknowledges the benefits of a nutrition
program to its citizens and is interested in providing this service
to as many Fayetteville citizens as possible.
MOM THEREFORE, in consideration of the benefits to be derived
by the citizens of Fayetteville from a nutrition program, Grantor
agrees to furnish Grantee with fire safety equipment and
installation thereof at the Nutrition Site Central Kitchen for an
amount not to exceed $14,900.00. The equipment shall be acquired
according to the Grantor's policies and procedures governing
procurement. Funding for this procurement is contingent upon award
of Community Development Block Grant to the Grantor from the
Department of Housing and Urban Developnent.
1. CONDITION$ OF GRANT
A. Grantee certifies that fire safety equipment will be
utilized in conjunction with the Elderly Nutrition Program. Upon

installation, the equipment will become permanent fixtures of the
Sang Senior Activity Center located at: Lot Number One (1) in
Block Number One (1), Abe-bier's Third Addition to the City of
Fayetteville, Arkansas otherwise known as 818 Sang Avenue.
B . Grantee shall provide an Activity Report to the Grantor
as specified in paragraph 9 of the Lease Agreement between Grantor
and Grantee dated January 2, 1991.
C. Upon acquisition, title to this equipment will vest in
the Grantor.
D. The Grantee must not use this equipment to provide
services for a fee to compete unfairly with private companies that
provide equivalent services, unless specifically permitted or
contemplated by Federal statute.
E . Property records gust be maintained that include a
description of the equipment, a serial number or other
identification number, the source of the equipment, the acquisition
date, cost of the equipment, and the percentage of Federal
participation in the cost. This information will be attached to
and made a part of this agreement as soon as acquisition is
completed.
F. The Grantor will take a physical inventory of the
equipment at least every two years.
G. Grantee agrees to develop a control system to ensure
adequate safeguards to prevent loss, damage, or theft of the
equipment. Any loss, damage, or theft shall be investigated.
H . Grantee agrees to develop adequate maintenance procedures

to keep the equipment in good condition.
I. When the equipment is no longer needed for this project
or program or for other activities currently or previously
supported by a Federal agency, Grantor reserves the right to
dispose of the equipment according to the requirements contained in
24 CFR 85.32 (e).
2. GENERAL PROVISIONS
A. The Grantee agrees to comply with all Rules and
Regulations as established by the Department of Housing and Urban
Development for programs financed by the Housing and Community
Development Act of 1974 and any amendments thereof.
B. The Community Development Program has been developed to
give maximum feasible priority to activities which will benefit low
and moderate income families as defined by the U.S. Department of
Housing and Urban Development or aid in the prevention or
elimination of slum or blight.
C. Grantee will comply with the regulations, policies,
guidelines and requirements of Office of Management and Budget
Circular A-122, "Cost Principles for NonProfit Organizations."
D. Grantee will comply with Public Law 88-352 (Title VI of
the Civil Rights Act of 1964) which provides that no person in the
United Sates shall on the ground of race, color, or national origin
be excluded from participation in, be denied the benefits of, or be
subjected to discrimination under any program or activity receiving
Federal financial assistance and will immediately take any measures
necessary to effectuate this assurance. If any real property or

structure thereon is provided or improved with the aid of Federal
financial assistance extended to Grantee, this assurance shall
obligate the Grantee or, in the case of any transfer of such
property, any transferee, for the period during which the real
property or structure is used for a purpose tor which the Federal
financial assistance is extended or for another purpose involving
the provision of similar services or benefits.
F. Grantee will comply with Section 109 of the Housing and
Community Development Act of 1974 which requires that no person in
the United States shall on the ground of race, color. national
origin or sex, be excluded from participation in, be denied the
benefits of, or be subjected to discrimination under, any program
or activity funded in whole or in part with community development
funds made available pursuant to the Act.
G. Grantee will establish safeguards to prohibit employees
from using their positions for a purpose that is or gives the
appearance of being motivated by a desire for private gain for
themselves or others, particularly those with whom they have
family, business or other ties.
The United States shall be deemed to be a beneficiary of these
provisions both for and in its own right and also for the purpose
of protecting the interests of the community and other parties,
public or private, in whose favor or for whose benefit these
provisions have been provided and shall have the right, in the
event of any breach of these provisions, to maintain any actions or
suits at law or in equity or any other property proceedings to

enforce this Agreement.
IN WITNESS WHEREOF, the Grantor and the Grantee have executed
this Agreement on or as of the date first above written.
