RESOLUTION NO. 171-92 A RESOLUTION AUTHORIZING MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT BETWEEN THE CITY OF FAYETTEVILLE AND SUPERIOR INDUSTRIES INTERNATIONAL, INC. TO CONVEY REAL PROPERTY AND TO PROVIDE CERTAIN INCENTIVES FOR INDUSTRIAL AND ECONOMIC DEVELOPMENT AND APPROVAL OF A BUDGET ADJUSTMENT IN THE AMOUNT OF $230,000. BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF FAYEITEVILLE, ARKANSAS: Section 1. That the Mayor and City Clerk are hereby authorized and directed to execute an agreement between the City of Fayetteville and Superior Industries International, Inc. to convey real property and to provide certain incentives for industrial and economic development. A copy of the agreement authorized for execution hereby is attached hereto marked Exhibit "A" and made a part hereof. Section 2. That the Board of Directors hereby approves three budget adjustments decreasing Account Title: Use of Fund Balance, Acct No. 1010-0001-4999.99 increasing Account Titles: Economic Development Grant, Acct. No. 1010-660-5721.00 in the amount of $80,000; Contract Services, Professional Services, Acct. Nos. 2100-5500-5315.00 and 2100-5500-5314.00 in the amount of $130,000; and Fixed Assets, Acct. ATTEST: By. i'�L2" p 4* - City Cl rk APPROVED: • 1 • • • AGREEMENT • • WHEREAS, the City of Fayetteville, recognizing the need for continued development and economic diversification, a broader tax base, increased employment opportunities, and improved quality of life for its citizens, wishes to foster and promote the economic development of the City and its environs; and WHEREAS, the City holds record title to certain real property in the Southern Fayetteville Industrial Park; and WHEREAS, the joint Fayetteville Chamber of Commerce/City of Fayetteville Economic Development Council has procured the interest of Superior Industries International, Inc. in expanding their present facilities; and WHEREAS, the City desires to offer Superior Industries International, Inc. the incentive to grow and flourish in Fayetteville. NOW THEREFORE, THIS AGREEMENT made and entered into by and between the City of Fayetteville, Arkansas, hereinafter called "City" and Superior Industries International, Inc. hereinafter called "Superior", WITNESSETH: 1. The Arkansas Highway and Transportation Department will allow a traffic activated stop light at the intersection of State Highway 16 and Armstrong Avenue. However, due to the lack of available funding, the City shall absorb the installation cost. 2. The City shall pay $80,000.00 to connect water the facility expansion. an amount up to, but shall not exceed, and sewer lines (meter if needed) to • • 3. The City shall continue improvement of Commerce Drive to the point where a cul de sac has already been planned. 4. The City shall sell and Superior shall purchase for the sum of ten dollars ($10) and other good and valuable consideration as set forth herein that parcel as described: 5 acres, more or less, adjacent to and contiguous with the existing Superior property, out of lot 18 of the final re -plat of the Fayetteville Industrial Park dated April, 1989 as prepared by McClelland Consulting Engineers, Inc. The parties agree that said 5 acre tract shall be surveyed and a more specific description shall be provided. 5. The parties stipulate and agree that partial and substantial consideration for this agreement is the construction by Superior of an approximate 285,000 square foot expansion at its Fayetteville facility and that Superior will deed the aforementioned real property back to the City should they not construct such facility within a reasonable amount of time. Expansion Industrial Park South Conveyance of Part of Tract No. 18 In accordance with the attached Resolution No 171-92 and Item 4 of the attendant agreement, dated October 27, 1992; the City of Fayetteville agreed that Superior Industries can purchase from the City for a sum of $10.00, a 5.0 acre, more or less, parcel of land located East of Supenor's present location (Lot 21). As Supenor has City approval for the subject expansion and has, m fact, initiated construction work, this request is to have the Mayor and City Clerk execute the attached Warranty Deed which will convey the subject property. The conveyance (from the City to Superior) mvolves 100 feet of abandoned railroad right of way which separated Tract No. 21 from Tract No. 18 and 121 85 feet, more or less, of Tract No. 18. McClelland Engineers have surveyed (please see attached copy) the area to be conveyed, the description of which is used in the prepared Warranty Deed. For your information, the City acquired the land (currently a part of which is platted as Lot 18), in 1954 from Norman B. Harris and Lila Harris (h&w). The Deed is recorded in Book 464 at Page 283. Currently, County records indicate that Lot 18 is held in the name of "Sewer Improvement District #1", a part of the City of Fayetteville. For the purposes of City records, the original of the Warranty Deed, after it has been executed and recorded by the City, should be sent by the Mayor's office to: Supenor Industries International, Inc.
