RESOLUTION NO. 149A-92
A RESOLUTION AWARDING BID 92-26 TO MERRICK &
COMPANY AND AUTHORIZING THE MAYOR AND CITY
CLERK TO ENTER INTO A CONTRACT IN THE AMOUNT
OF $15,960 FOR AERIAL PHOTOGRAMMETRIC MAPPING
AND COMPILATION OF DIGITAL DATA BASE, PHASE I -
FULLY ANALYTICAL AEROTRIANGULATION.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
FAYETPEVILLE, ARKANSAS:
Section 1. That Board of Directors hereby awards Bid 92-26
to Merrick & Company and authorizes the Mayor and City Clerk to
enter into a contract in the amount of $15,960 for Aerial
Photogrammetric Mapping and Compilation of Digital Data Base, Phase
I -Fully Analytical Aerotriangulation. A copy of the contract
authorized for execution hereby is attached hereto marked Exhibit
"A" and made a part hereof.

CONTRACT
THIS AGREEMENT, made this 6th day of October , 19 92 , by
and between the CITY OF FAYETTEVILLE, ARKANSAS, herein called "OWNER", and _
Merrick & Company. 10855 E. Bethany Dr.. Aurora. CO 80014
heremafter called "Contractor".
WITNESSETH: That for and in consideration of the mutual covenants and
agreements herein set forth, the parties hereby agree to commence and complete the project
described as follows:
Aerial Photogrammetric Mapping and Compilation of Digital Data Base, Project
92008-0003, Phase I, Fully Analytical Aerotriangulation.
heremafter called the project, for the sum of Fifteen thousand mne hundred sixty dollars
and no cents
($ 15.960.00 ) to include all work in connection therewith, under the terms as
stated in the Bid Specifications, including but not limited to the General and Special Conditions
of the Contract; and at his (its or their) own proper cost and expense to furnish all the materials,
supplies, machinery, equipment, tools, supenntendence, labor, insurance, and other accessories
and services necessary to complete the said project in accordance with the conditions and prices
stated in the Proposal in accordance to the Bid Specifications, General Conditions, Supplemental
General Conditions and Special Conditions of the Contract, the plans, which mclude all maps,
plats, blue prints, and other drawings and printed or written explanatory matter thereof, the
specifications and contract documents therefor as prepared by the City of Fayetteville, and all
of which are made a part hereof and collectively evidence and constitute the contract.
The CONTRACTOR hereby agrees to commence and complete the work as specified in
a wntten "Notice to Proceed". The CONTRACTOR agrees to complete the work within delivery
schedule proposed. Time is hereby expressly declared to be of the essence of this contract, and
the time of beginning, manner of progress and time of completion of the work hereunder, shall
be and are essential conditions hereof. The CONTRACTOR further agrees to pay, as liquidated
damages, the sum of $100.00 for each consecutive calendar day thereafter.
The OWNER agrees to pay the CONTRACTOR m current funds for the performance of
the contract by making payments upon acceptable completion of each phase.
IN WITNESS WHEREOF, the parties to these presents have executed this contract m
three (3) counterparts, each of which shall be deemed an original, in the year and day fust above
mentioned.

AMENDMENT # 1
This is an amendment to the Agreement for _ Aenal Photogrammetnc Mapping and
Compilation of Digital Data Base Project 92008-0003 Phase I Fully Analytical
Aerotriangulation executed on the bth day of October , 1992 between the City
of Fayetteville, Arkansas and Merrick_& Company , for Fully Analytical
Aerotriangulation .
Additional services required are the production of one set of black & white contact prints
and perform the controLannotation The charge tor the additional services shall notexceed
$ 2.401,00
