A RESOLUTION APPROVING A LEASE AGREEMENT WITH
THE FEDERAL AVIATION ADMINISTRATION FOR 3096
SQUARE FEET OF FLOOR SPACE AND OFFICE SPACE ON
A MONTH TO MONTH BASIS WITH OPTIONS EXPIRING
SEPTEMBER, 1994, AT AN ANNUAL COST OF
$24,207.00
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. That the Mayor and City Clerk are hereby
authorized and directed to enter into a lease agreement with the
Federal Aviation Administration for 3096 square feet of floor space
and office space on a month to month basis with options expiring
September, 1994, at an annual cost of $24,207.00. A copy of the
Lease Agreement authorized for execution hereby is attached hereto
marked Exhibit "A" and made a part hereof.

and whose interest in the property hereinafter described is that of Owner

WITNESSETH: The parties hereto for the considerations hereinafter mentioned, covenant and agree av follows:
1. The Lessor hereby leases to the Government the following described premises:
Approximately 2,571 square feet of floor space in a free-standing masonry and
brick building located at Drake Field Airport, Fayetteville, Arkansas, and
otherwise known as the Flight Service Station (FSS) Building, with said space
being more particularly described in Article 9, attached hereto and made a part
hereof; and
Approximately 525 square feet of office space in a free-standing masonry and
brick building, otherwise known as the sector field office (SFO II), located at
Drake Field, Fayetteville, Arkansas, with said space being more particularly
described in Article 9, attached hereto and made a part hereof.

This lease may, at the option of the Government, be renewed from month to
month at a monthly rental of TWO THOUSAND SEVENTEEN AND 25/100 DOLLARS
($2,017.25) per month; TWENTY-FOUR THOUSAND TWO HUNDRED AND NO/100 DOLLARS
($24,200.00) per annum, and otherwise upon the terms and conditions herein
specified. The Government's option shall be deemed exercised and the lease
renewed each month for one (1) month unless the Government gives thirty (30)
days' notice that it will not exercise its option, before this lease or any
renewal thereof expires; PROVIDED, that no renewal thereof shall extend the
period of occupancy of the premises beyond the 30th day of September 1994, AND
PROVIDED FURTHER, that adequate appropriations are available from year to year
for the payment of rentals.
11. LESSOR WARRANTY:
The Lessor warrants that no person or selling agency has been employed or
retained to solicit or secure this lease upon an agreement or understanding
for a commission, brokerage, percentage or contingent fee, except bona fide
employees or bona fide established commercial or selling agencies maintained
by the Lessor for the purpose of securing business. For breach or violation

of this warranty, the Government shall have the right to annul this lease
without liability, or in its discretion to deduct from amounts otherwise due
under this lease or other consideration, the full amount of such commission,
brokerage, percentage, or contingent fee.
12. FI,TDINC RESPONSIBILITY CLASS I - II FACILITIES:
The airport owner agrees that any relocation, replacement, or modification
of any Federal Aviation Administration Class I and Class II facilities, or
components thereof, as defined below, covered by this lease during its term or
any renewal thereof made necessary by airport improvements or changes which
impair or interrupt the technical and/or operational characteristics of the
facilities will be at the expense of the airport owner; except, when such
improvements or changes are made at the specific request of the Government.
In the event such relocations, replacements, or modifications are necessitated
due to causes not attributable to either the airport owner or the Government,
funding responsibility shall be determined by the Government.

13. INTERIOR PAINTING LEASED PREMISES:
The Lessor shall repaint the interior of the leased premises not less than
once every three years of Government occupancy under this lease or any renewal
thereof.
14. HEATING. AIR-CONDITIONING. AND MECHANICAL VENTILATION:
The Lessor will furnish and maintain heating, air-conditioning, and
ventilation systems capable of maintaining temperatures inside the leased
premises in a range from a low of 65 degrees F. during the heating season to a
high of 80 degrees F. at all other times.

15. PLUMBING AND SEWAGE SYSTEM:
The Lessor will furnish and maintain reliable, operate, and safe plumbing
and sewer facilities for the leased premises. This includes, but is not
limited to, electrically operated chilled water drinking fountain, hot and
cold waterlines, hot water heat, waste lines, drains, sewer lines, vents, and
any other related appurtenances.
16. BUILDING ELECTRICAL EQUIPMENT:
The lessor will furnish and maintain the building electrical facilities
and fixtures in a satisfactory condition. This includes, but is not limited
to, main power service facilities, meter panel, branch circuits, light
fixtures, wall switches, and receptacles. All equipment furnished by the
Government will be maintained by the Government.
17. UTILITIES AND SERVICES:
The Government shall, at its own expense, contract for and shall pay all
utilities and service to the leased premises. This includes, but is not
limited to, water, natural gas, sanitary sewer, electricity, and telephone.
The Government shall also provide all replacement of light bulbs and tubes.
18. INTERFERENCE WITH THE GOVERNMENT'S OPERATIONS:
The Lessor agrees that in the event any of the Lessor's operations or
facilities located on the demised premises causes interference with the
Government's operations conducted on the leased premises, the Lessor shall,
upon being notified by the Government's Contracting Officer, make every
reasonable effort to eliminate the cause of such interference.
19. NCN-RESTORATION:
The Government shall have no obligation to restore and/or rehabilitate,
either wholly or partially, the property which is the subject matter of this
lease. It is further agreed that the Government may abandon in place any or
all of the structures and equipment installed in or located upon said property
by the Government during its tenure. Notice of abandonment will be conveyed
to the Lessor in writing.
20. INSTALLATION OF ANTENNAS. POWER CABLES. CONTROL CABLES. AND OTHER
APPURTENANCES:
The Government shall have the right and privilege to install, operate, and
maintain antenna wires and appurtenances atop necessary buildings and
structures or at other locations where deemed necessary on an airport
property, together with the right to install, operate, and maintain necessary
connecting cables and wiring, where needed, to perform the necessary linking

of facilities, provided such installations do not constitute a hazard to the
operation of aircraft when such installations have been completed. The
Government shall have the right to install, operate, and maintain such cables,
conduit, and wiring as necessary to link and connect its facilities to its
emergency standby powerplant to be used in the event of commercial power
failure to any of its facilities located on airport property.

The lessor shall maintain the demised premises, including the building
and all equipment, fixtures, and appurtenances furnished by the Lea=
under this lease in good repair and tenantable condition. except in case of
damage arising from the act or the negligence of the Government's agents
or employee& For the purpose of so maintaining said premises and
property, the lessor may at reasonable times, and with the approval of
the authorized Government representative in charge, enter and inspect
the same and make any necessary repairs thereto.
4. DAMAGE Br Fax Or Orem C*st ury
If the said premises be destroyed by fire or other casualty, this lease will
immediately terminate. In err of partial destruction or damage. so r to
render the premises untenantable, r determined by the Government, the
Government may terminate the lease by giving written notice to the
Lessor within 15 calendar days thereafter; if No terminated. no rent will
accrue to the Leaser after such partial destruction or damage; and if not so
terminated the rent will be reduced proportionately by supplemental
agreement hereto effective from the date of such partial destruction or
damage.
5 Arrsesnoae
The Government shall have the right during the =stance of this lease
to make alterations, attach fixtures, and erect structures or signs in or
upon the premises hereby leased. which fixtures, additions. or structures
e o placed in, on, upon, or attached to the rid premises shall be and
remain the property of the Government and may be removed or otherwise
disposed of by the Government. If the tare contemplates that the
Government is the sole occupant of the building. for purposes of tits
clause, the leased premises include the land on which the building is sited
e nd the building itaelf. Otherwise. the Government shall have the right to
tie into or make any physical connection with any structure located on the
property as is reasonably necessary for appropriate utilisation of the
leased spare.

A joint physical survey and inspection report of the demised premises
will be made as of the effective date of this lease, reflecting the then
present condition& and will be signed on behalf of the parties hereto.
7. CovsIAvr Acre: Co:n surer Fee
(a) The Contractor warrants that no person or agency has been
employed or retained to solicit or obtain this contract upon an agreement
or understanding for a contingent fee, except a bona fide employee or
agency. For breach or violation of this warranty, the Government shall

have the right to annul this contract without liability or. in its discretion.
to deduct from the contract price or consideration, or otherwise recover,
the full amount of the contingent he.
(b) "Bona fide agency," r used in this clause, means an sdabliahed
commercial or selling agency, maintained by a contractor for the purpose
of securing business, that neither exerts nor proposes to exert improper
influence to solicit or obtain Government contracts nor holds itself out r
being able to obtain any Government contract or contracts through
improper influence.
"Bona fide employee." r used in this clause, means • person,
employed by a contractor and subject to the cootrector'• supervision and
control as to tune, place and manna of performance, who neither exerts
nor proposes to exert improper influence to solicit or obtain Government
contracts nor bolds out as being able to obtain any Government contract
or contracts through improper influence.
"Contingent fee," as used in this clause, means any commission.
percentage, brokerage, or other fee that is contingent upon the succor
that a person or concern has in securing a Government contract.
"Improper influence," as used in this clause, means any influence
that induces or tends to induce a Government employee or officer to give
consideration or to act regarding a Government contract on any baso
other than the merita of the matter. (FAR 52.203.6) (APR 1984)
8 Grams Nor To Bor
No member of or delegate to Congress, or resident commissioner, shall
be admitted to any share or pert of this contract or to any benefit arising
from it. However, this clause does not apply to this contract to the extent
that this contract is made with a corporation for the corporation's general
benefit. (FAR 52.2031) (APR 1984)
9. Ae.marmrr O. Crwon
(a) The Contractor. under the Assignment of Claims Act, as amended.
31 USC 3727, 41 USC 15 (hereafter refereed to .a "the Act"), may assign
its rights to be paid amounts due or to become due as a result of the
performance of this contract to a bank, trust company. or other financing
institutions, including any Federal lording agency. The assignee under
such an assignment may thereafter further assign or reassign its right
under the original asergnment to any type of financing institution
described in the preceding sentence.
(h) Any assignment or reassignment authorized under the Act and
this clause shall cover all unpaid amounts payable under this contract.
and shall not be made to more than one party. except that an assignment
or reassignment may be made to one party as agent or trustee for two or
more parties participating in the financing of this contract.
(c) The Contractor shall not furnish or disclose to any assignee under
this contract any clarified document (including this contract; or
information related to work under this contract until the Contracting
Officer authoriser such action in writing. (FAR 622332-23) (JAN 1988)
10. Gasromes
(a) The right of the Contractor to proceed may be terminated by
written notice if, after notice and hearing, the agency had or designee
determines that the Contractor. its agent, or another representative —
(1) Offered or gave a gratuity (eg., an entertainment or gift) to an
officer, official. or employee of the Government; and
(2) Intended. by the gratuity, to obtain a contract or favorable
treatment under a contract.
(b) The facts supporting this determination may be reviewed by any
court having lawful jurisdiction.

14. PROW"' PATIENT
The Government will make payments under the terms and condition;
specified in this clause. Payment shall be considered as being made on the
day a check is dated or an electronic funds transfer is made.
fa) Rental payments. Rat shall be paid in arrears and will be due on
the first workday of each payment period, and only as provided for by the
lease.
(1) When the date for commencement of rent falls on the 15th day
of the month or earlier, the initial rental payment under this contract
shall become due on the first workday of the month following the period m
which the commencement of the rent is effective.
(2) When the date for commencement of rent falls after the 16th
day of the month, the initial rental payment under this contract shall
become due on the first workday of the sound month following the period
in which the commencement of the rent is affective.
(b) Interest Penalty.
(1) An interest penalty shall be paid automatically by the
Government, without request from the Contractor, if payment is not made
by the due date.
(2) The interest penalty shall be at the rate established by the
Secretary of the Treasury under Section 12 of the Contract Disputes Act of
1978 41 U.S.C. 611) that i; in effect on the payment date. anis rate is
referred to as the "Renegotiation Board Interest Rate," and it is published
in the Federal Register semiannually on or about January 1 and July 1.
The interest penalty shall accrue daily on the payment amount approved
by the Government and be compounded in 30 -day increments inclusive
from the fust day after the due date through the payment date.
(3) Interest penalties will not continue to accrue after the filing of a
claim for such penalties under the clause at 52.233-1, Disputes, or for more
than 1 year. Interest penalties of les than $1.00 nerd not be paid.
(4) Interest penalties are not required an payment delays due to
dleagreement between the Government and Contractor over the payment
amount or other roues involving contract compliance or on amounts
temporarily withheld or retained in accordance with the tenni of the

At all tunes after receipt of offers, prior to or atter acceptance of any
offers, or during any construction. remodeling. or renovation work, the
premier and the building or any part thereof, upon reasonable and
proper notice, must be scosaible for inspection by the Contracting Officer.
or by architects, engineers, or other technicians representing him, to
determine whether the essential requirements of the solicitation or the
lease requirements are met Additionally, the Government reserves the
right. upon reasonable notice, to:
(a) inspect and perform bulk sampling and analysis of suspected
asbestoecontaining materiels;
(h) monitor the air for asbestos fibers in the spas offered or under
lease as well as other areas of the building deemed necessary by the
Contracting Officer.
(c) inspect the premises for any leaks, spills, or other potentially
hazardous coalition which may involve tenant exposure to hazardous or
toric substances (e.g. PCBs);
(d) inspect the site upon which the space is offered for any current or
put hazardous waste operation. and enure that appropriate mitigative
actions were taken to alleviate any environmentally unsound activities in
accordance with Federal, state. and local regulations.

If it is discovered that PCBs, asbestos, or other hazardous materials are
present. the Government reserves the right to require the Lear, at no
cod to the Government, to remove such materials present in the building.

Government.

The Lessor shall promptly notify the Contracting Officer and the tenant
agency official of any leaks, spills, or other hazardous conditions which
involve PCBs in any area of the building.
18. FAana IN ParoeuNot
The covenant to pay rent and the covenant to provide any service,
utility, maintsnans, or repair required under this leas are dependent. In
the event of failure by the lessor to provide any of these items, the
Government may by contract or otherwise perform the service, mainte-
nance, utility, or repair, and charge to the Lessor any cost incurred by the
Government that is related to the performance of such service,
maintenance, etc.. including any admiuidretive costs, and deduct such
cost from any rental momenta. Alternately, the Government may reduce
rental payments by the corresponding value of the contract requirement
not performed. as determined by the Contracting Officer. These remedies
are not exclusive and are in addition to any other remedies which may be
available under this contract or in the law.

this contract or any cost reimbursable under this contract, was increased

subcontractor or prospective subcontractor furnished the Contractor cost

modified to reflect the reduction.

subcontract or 12) the actual set to the Contractor, if there was no
subcontract, was less than the prospective subcontract oust estimate
submitted by the Contractor, provided that the actual subcontract price
was not itself affected by defective cost or pricing data.
(c)(1) If the Contracting Officer determines under paragraph (a) of this
clause that a price or cos reduction should be made. the Contractor agrees
not to raise the following matters as a defense
(i) The Contractor or subcontractor was a sole source supplier or
otherwise was in a superior bargaining position and thus the price of the
contract would not have been modified even if accurate, complete. and
current cat or pricing data had been submitted.
(ii1 The Contracting Officer should have known that the cost or
pricing data in issue were defective even though the Contractor or
subcontractor took no affirmative action to bring the character of the data
to the attention of the Contracting Officer.
(iii) The contract was based on an agreement about the total sed
of the contract and there was no agreement about the cost of each item
procured under the contract

compliance with this clause or any rule, regulation, or order of the
Secretary of Labor, this contract may be canceled, terminated, or
suspended in whole ar in part and the Contractor may be declared
ineligible for further Government contracts, under the procedures
authorised in Executive Order 11246. as amended. In addition. sanctions
may be imposed and remedies invoked against the Contractor as provided
in Executive Order 11248, as amended, the rules. regulations, and orders
of the Secretary of labor, or as otherwise provided by law.
(10) The Contactor shall include the terms and conditions of
subparagraph (bill through (11) of this clause in every subcontract or
purchase order that is not exempted by the rules, regulations. or orders of
the Secretary of Labor issued under Executive Order 11246, as amended,

SUBJECT: Approval of Supplemental Agreement No. 2 to the current Federal Aviation
Administration Lease for Contract Weather Observer (CWO)/Sector Field
Office 11 (SFO) space.
Attached for your review is Supplemental Agreement No. 2. This agreement provides for a time
extension from February 1-28, 1995, at a rate of 5350.00/month for the Sector Field Office and
$175.00/month for the Contract Weather Observer space. This rate will be in effect for the four
weeks in February. During that time Sector Field Office personnel completed relocation to the
newly renovated space.
This agreement makes the transition from the old lease to a new lease that took effect February
16, 1995, (the date of beneficial occupancy). The new lease has already completed the review
process and has been executed It includes a rental rate of $2,159.11/month for the newly
renovated space. This rate covered the last two weeks in February. Each lease overlaps the
other by two weeks. This was requested by the Federal Aviation Administration to allow
continuity of their records and provide a two week transition time frame.
Staff recommends approval.

In reference to your letter of April 10, 1995, enclosed is the original and throe copies of the above
reference instrument Supplemental Agreement No. 2 provides for a time extension from
February 1 - 28, 1995, when the Sector Field Office (SFO -D) complete relocation to a new rental
space.
If the instrument is satisfactory, please date it an page 1, have the appropriate city official execute the
agreement, complete the corporate certificate. and return the original and two copies to the Department
of Transportation. Federal Aviation Administration, Southwest Region, Real Estate and Utilities
Branch, ASW -56, Fort Worth, Texas 76193-0056.
Regarding the temporary building for the Contract Weather Observer (CWO). we will draft a separate
lease contract to continue the present arrangement for the space at the increased rental rate of $14 56
per square foot per annum from March 1 to September 30, 1995 We request you coordinate with GE
Capital Modular Space for the extended use of the temporary building.

THIS SUPPLEMENTAL AGREEMENT, made and entered into this fday of

Faycttt Municipal Airport, 4500 S School, Box F, Fayetteville, AR 72703, for itself, its
successors and assigns, hereinafter referred to as the Lessor, and The United States of America,
hereinafter referred to as the Government, WITHNESSETH, That
WHEREAS, on October 1, 1992, the parties hereunto entered into I ease No.
DTFA07-93-L-01065, as amended by Supplcxnental Agreement No. 1, dated
September 12, 1994, for the consideration and purposes more particularly stated in said lease, as
amended; and
WHEREAS, the parties hereto mutually desire to extend the tens of the lease for an
additional one-month period as required for the Fayetteville Sector Field Office 111 to relocate to
new quarters; together with entering g into a new lease for continued occupancy of the present
temporary building by the Contract Weather Observer (CWO); and
WHEREAS, the parties agree that the same rental rate (THREE HUNDRED AND FIFTY
AND 00/100 DOLLARS (S350.00) per month for the SFO -13 and ONE HUNDRED AND
SEVENTY FIVE AND 00/100 DOLLARS ($175.00) per month for the CWO) and same terms
and conditions will remain m effect for the extended one-month period.
NOW , THEREFORE. effective February 1 1995. the panics hereto mutually agree to
amend the basic lease, as amended, in the following particulars only, VIZ:

1. The lease term shall be extended for a one-month period, commencing
February 1, 1995, and terminating February 28, 1995.
2. The present rental rate for the space occupied by the SFO -II, at THREE
HUNDRED AND FIFTY AND 00/100 DOLLARS ($350.00) per month,
and temporary building occupied by the CWO, at ONE HUNDRED AND
SEVENTY FIVE AND 00/100 DOLLARS ($175.00) per month, shall
remain in effect.
ALL OTHER TERMS AND CONDITIONS of the basic lease are hereby ratified and
except as amended hereinabove shall be and remain the same.
