APPROVING A THREE YEAR HEATING AND COOLING MAINTENANCE CONTRACT FOR THE ADMINISTRATION BUILDING, POLICE, INTERIM CITY HALL, ADMINISTRATION ANNEX AND THE NEW POLICE/COURT BUILDING. BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF FAYETTEVILLE, ARKANSAS: Section 1. That the Mayor and City Clerk are hereby authorized and directed to execute a three year contract in the amount of $13,681.00 per year between the City and Johnson Air Conditioning for heating and air-conditioning maintenance to cover all parts and labor for the Administration Building, Police, Interim City Hall, Administration Annex and the new Police/Court Building. A copy of the contract authorized for execution hereby is attached hereto marked Exhibit "A" and made a part hereof. PASSED AND APPROVED this 21st day of May , 1991. APPROV 1 ; ' 1 B ATTEST: 0 •_ E By: last City.C1 Mayor • • CONTRACT This CONTRACT executed this 1st day of June, 1991, by and between the City of Fayetteville, Arkansas, hereinafter called the "City" and Kirby Johnson, d/b/a Johnson's Air Conditioning, having its principal place of business at 1250 N. Leverett, Fayetteville, Arkansas, hereinafter called the "Contractor". In consideration of the mutual covenants contained herein, the City and the Contractor hereby agree as follows: 1. During the term of this contract, the Contractor shall maintain at all times in excellent working condition the heating and air conditioning system at each specified site, and provide without further additional cost all labor, materials, and parts necessary to keep the aforesaid heating and air conditioning system continuously operating at optimum level specifically including the periodic changing of filters; and on a quarterly basis inspect the HVAC system (consisting of, but not limited to, an examination of the coils, filters, blowers, air intake and exhaust locations). Filters will be furnished by the City. Contractor shall provide the service under this Agreement during whatever hours are necessary to assure continuous heating and air conditioning, and, to the extent possible, shall do so without disrupting the use of the Owner's premises. Service call response time will not exceed two (2) hours from time notified of equipment failure. Sites included in the agreement are the City's Administration Building, Police Department Building, Interim City Hall, City Administration Annex (K -Hog), and New Police and Court Building (Systematic). 2. The term of this contract shall be for a period of three (3) years commencing on the 1st day of June, 1991. 3. of fees For labor, material, for such contract will A. B. The new police facilities and administrative annex will not become a part of this contract until renovation of buildings are complete and heating and air conditioning systems are mechanically sound and placed in operation. 4. The City agrees to pay the total monthly sum of $771.89. Upon addition of the New Police Facilities and Administrative Annex an additional monthly sum of $368.18 will be paid, which will total a monthly payment of $1,140.07. 5. The consideration payable to the Contractor during each succeeding year shall be the amount resulting by adjusting the consideration during the previous year to reflect the percentage change (either up or down) occurring in the Consumer Price Index, U.S. Bureau of Labor Statistics, Department of Labor, Dallas Office, through comparing the Index of January 31 in the current year with the Index of January 31 in the previous year. 6. During the term of this contract, the Contractor shall at all times maintain workmen's compensation insurance as required by Arkansas Law and public liability insurance providing coverage for personal injury, death or property damage in amounts approved by the City's Purchasing Manager. Certificates evidencing the insurance required hereby shall be filed with the City's Purchasing Manager within fifteen (15) days from the execution date of this contract. 7. The Contractor agrees to indemnify. the City, and to hold the City harmless, from any and all claims for personal injury, death or property damage arising form the Contractor's negligent performance of its obligations under this contract. 8. The City shall have the right to terminate this contract at any time by giving the Contractor thirty (30) days written notice of termination. In the event of such termination, the consideration payable the Contractor shall be prorated as of the termination date. 9. The Contract documents which comprise the contract between the City and the Contractor consist of this Contract and the following documents attached hereto: a. Bid form identified as Invitation to Bid 91-11 with the specifications and conditions typed thereon. b. The Contractor's proposal #2 attached thereto identified as Heating and Air Conditioning Maintenance, Bid 91-11. 10. These Contract documents constitute the entire agreement between the City and the Contractor and may be modified only by a duly executed written instrument signed by the City and the Contractor. this with 11.
