RESOLUTION NO. 58-91

A RESOLUTION AWARDING BID 91-4 TO CINTAS
CORPORATION FOR UNIFORM RENTAL.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. That the Mayor and City Clerk are hereby
authorized and directed to execute a contract with Cintas
Corporation for weekly uniform rental for the Solid Waste, Meter,
Fleet Vehicle Maintenance, Recycling, Traffic, Building
. Maintenance, Water & Sewer, Parks and Street Departments and the
Municipal Airport in an amount not to exceed $45,577.00 budgeted
for 1991. A copy of the contract and bid tabulations authorized
for execution hereby is attached hereto and made a part hereof.

CONTRACT
This contract executed this -2nd day of April
1991, between the City of Fayetteville, Arkansas, hereinafter
called the City, and Cintas Corporation, hereinafter called the
Contractor.
Contractor shall supply uniforms in conformance with his bid
proposal submitted for Bid 91-4, attached hereto and made a part of
this contract as if spelled out word for word.
Contractor agrees to hold the City harmless and indemnify the
City, against any and all claims for property damage, personal
injury or death, arising from Contractor's performance of this
contract.
During the term of this agreement, the Contractor shall
maintain workmen's compensation insurance as required by Arkansas
law and public liability insurance providing coverage for personal
injury, death and property damage in amounts approved by the City's
Purchasing Manager. Certificates evidencing the insurance required
hereby shall be filed with the City's Purchasing Manager within
fifteen (15) days from the execution date of this contract.
Contractor shall not assign his duties under the terms of this
agreement.
The City shall pay the Contractor as set out in Bid 91-4.
Said consideration shall be payable to the Contractor on a monthly
basis as services are rendered.
The term of this agreement shall be for a period of one (1)
year commencing on April 2 ,1991, and ending on
April 1 /1992. The Contractor hereby grants the
City an option to extend this contract for up to five (5)
additional terms of one (1) year each. The City shall exercise its
option by giving the Contractor written notice at least thirty (30)
days prior to the expiration date of the existing term.
Either party may terminate this Agreement by giving the other
party written notice of termination thirty (30) days prior to the
termination date. Said notice shall be sent to the Contractor at
the last known address and shall be sent to the City addressed to
the Purchasing Manger, 113 W. Mountain, Fayetteville, AR 72701.

These contract documents constitute the entire agreement
between the City and the Contractor and may be modified only by a
duly executed written instrument signed by the City and the
Contractor.
