A RESOLUTION AUTHORIZING AN AGREEMENT WITH
NORTHWEST ARKANSAS HEALTH CENTER FOR
EXPENDITURE OF CDBG FUNDS TO PURCHASE MEDICAL
AND DENTAL EQUIPMENT AND APPROVAL OF A BUDGET
ADJUSTMENT.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. That the Mayor and City. Clerk are hereby
authorized and directed to execute an agreement with Northwest
Arkansas Health Center for expenditure of CDBG Funds to purchase
medical and: dental equipment in the amount of $27,400.00. A copy
of the agreement authorized for execution hereby is attached hereto
marked Exhibit "A" and made a part hereof.
Section 2. That the Board of Directors hereby approves a
budget adjustment in the amount of $17,500 from St. James Rehab,
Account No. 218-488-5-388.02 to increase NWA Health Clinic, Account
No. 218-491-5-390.14. A copy of the budget adjustment is attached
hereto and made hereof.

AGREEMENT
THIS AGREEMENT entered into this _ _ ,_ day of c A
19 q by and between the Northwest Arkansas Free Health Center
hereinafter called the Grantee, and the City of Fayetteville,
Arkansas through its Community Development Division, hereinafter
called the Grantor, WITNESSETH:
WHEREAS, the Grantee operates the Northwest Arkansas Free
Health Center in Washington County, Arkansas in which Fayetteville
is located and offers this program to eligible residents who reside
within the city limits of Fayetteville; and
WHEREAS, the Grantor acknowledges the benefits of a health and
dental program in which services are provided free of charge to
eligible citizens and is interested in providing these services to
as many Fayetteville citizens as possible.
NOW THEREFORE, in consideration of the benefits to be derived
by the citizens of Fayetteville from a health and dental program,
Grantor agrees to furnish Grantee with medical and/or dental
equipment for an amount not to exceed $27,400.00. Grantor shall
acquire this equipment according to its' policies and procedures
governing procurement. Funding of this procurement is contingent
upon award of Community Development Block Grant to the Grantor from
the Department of Housing and Urban Development.
1. CONDITIONS OF GRANT
A. Grantee shall use the equipment in conjunction with the
Northwest Arkansas Free Health Center. The equipment will be used

at the Health Center site presently located at: 10 S. College,
Fayetteville, Arkansas or at any new Fayetteville location as
determined by the Center Board of Directors. Grantee will notify
Grantor of new location 30 (thirty) days in advance.
B . Grantee shall provide an Activity Report to the Grantor
on or before the 15th of each month which documents (i) the number
of adults and children participating in the Clinic; (ii) age,
gender, and racial characteristics (if volunteered) of
participants; and (iii) family income.
C. Upon acquisition, title to this equipment will vest in
the Grantor.
D . The Grantee must not use this equipment to provide
services for a fee to compete unfairly with private companies that
provide equivalent services, unless specifically permitted or
contemplated by Federal statute.
E . Property records must be maintained that include a
description of the equipment, a serial number or other
identification number, the source of the equipment, the acquisition
date, cost of the equipment, and the percentage of Federal
participation in the cost. This information will be attached to
and made a part of this agreement as soon
completed.
F. The Grantor will take a physical
equipment at least every two years.
G . Grantee agrees to develop a
adequate safeguards to prevent loss,

as acquisition is
inventory of the
control system to ensure
damage, or theft of the
equipment. Any loss, damage, or theft shall be investigated.
H. Grantee agrees to develop adequate maintenance procedures
to keep the equipment in good condition.
I. When the equipment is no longer needed for this project
or program or for other activities currently or previously
supported by a Federal agency, Grantor reserves the right to
dispose of the equipment according to the requirements contained
in 24 CFR 85.32 (e).
2. TIME OF PERFORMANCE
This Agreement applies to equipment purchased with grant funds
on or before December 31, 1991. Any funds remaining from the above
referenced grant amount after that date will revert to Grantor.
3. GENERAL PROVISIONS
A. The Grantee agrees to comply with all Rules and

Regulations as established by the Department of Housing and Urban
Development for programs financed by the Housing and Community
Development Act of 1974 and any amendments thereof.
B. The Community Development Program has been developed to
give maximum feasible priority to activities which will benefit low
and moderate income families as defined by the U.S. Department of
Housing and Urban Development or aid in the prevention or
elimination of slum or blight.
C. Grantee will comply with the regulations, policies,
guidelines and requirements of Office of Management and Budget
Circular A-122, "Cost Principles for NonProfit Organizations."
D. Grantee will comply with Public Law 88-352 (Title VI of

the Civil Rights Act of 1964) which provides that no person in the
United Sates shall on the ground of race, color, or national origin
be excluded from participation in, be denied the benefits of, or
be subjected to discrimination under any program or activity
receiving Federal financial assistance and will immediately take
any measures necessary to effectuate this assurance. If any real
property or structure thereon is provided or improved with the aid
of Federal financial assistance extended to Grantee, this assurance
shall obligate the Grantee
or, in the case of any transfer of such
property, any transferee, for the period during which the real
property or structure is used for a purpose for which the Federal
financial assistance is extended or for another purpose involving
the provision of similar services or benefits.

F. Grantee will comply with Section 109 of the Housing and
Community Development Act of 1974 which requires that no person in
the United States shall on the ground of race,
color, national
origin or sex, be excluded from participation in, be denied the
benefits of, or be subjected to discrimination under, any program
or activity funded in whole or in part with community development
funds made available pursuant to the Act.
G. Grantee will establish safeguards to prohibit employees
from using their positions for a purpose that is or gives the
appearance of being motivated by a desire for private gain for
themselves or others, particularly those with whom they have
family, business or other ties.
The United States shall be deemed to be a beneficiary of these

provisions both for and in its own right and also for the purpose
of protecting the interests of the community and other parties,
public or private, in whose favor or for whose benefit these
provisions have been provided and shall have the right, in the
event of any breach of these provisions, to maintain any actions
or suits at law or in equity or any other property proceedings to
enforce this Agreement.
IN WITNESS WHEREOF, the Grantor and the Grantee have executed
this Agreement on or as of the date first above written.

This amends the Agreement dated August 6, 1991 with the
Northwest Arkansas Free Health Center (Grantee) and the City of
Fayetteville through its Community Development Division (Grantor),
WITNESSETH:
WHEREAS, under the Agreement the Grantee was awarded
$27,400.00 for procurement of medical and/or dental equipment; and
WHEREAS, the Grantee procured such medical and/or dental
equipment for a total cost of $22,435.13; and
WHEREAS, the Grantee has requested use of remaining grant
funds in the amount of $3,556.95 toward payment of gas, electric,
water and sewer costs associated with the operation of the
Northwest Arkansas Health Clinic during 1992; and
WHEREAS, the Grantor has determined that payment of
operational costs is an eligible activity of the Community
Development Block Grant Program under regulations found at 24 CFR
570.201(b)(2) and that this Amendment does not substantially change
the purpose, scope, location, or beneficiaries of the original
activity.
NOW THEREFORE, with this Amendment the Grantor shall award the
funds to the Grantee in the amount and for the purposes stated
herein. Payment of funds will be made in a manner agreeable to the
Grantee.
