SAWYERS TO PROVIDE PROGRAMMING SUPPORT THE CITY'S COMPUTER SYSTEM AND PERSONAL COMPUTER TRAINING, INSTALLATION, AND SUPPORT. BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF FAYETTEVILLE, ARKANSAS: Section 1. That the Mayor and City Clerk are hereby authorized and directed to execute a contract with Nancy S. Sawyers to provide programming support the City's computer system and personal computer training, installation and support. By: //7,4-1,7 Mayor ATTEST: • By ern4A) • PROFESSIONAL SERVICES CONTRACT This PROFESSIONAL SERVICES CONTRACT is entered into between the City of Fayetteville, Arkansas, hereinafter called the "City", and Nancy S. Sawyers, Social Security MY iRoute 4, Box 23, Huntsville, AR 72740, hereinafter called the "Contractee", to assist the Data Processing Manager in providing on-going programming and personal computer training and support to the City. Programming requirements will include "fixes" to existing software and new applications as assigned from time -to -time by the Data Processing Manager. A weekly PC training schedule for City employees will be developed for DOS, WordPerfect, Lotus 1-2-3, and other applications as needed. DEVELOPMENT OF NEW APPLICATIONS Services rendered for special projects for the development of new application systems shall be paid at a special rate to be determined at the time of assignment of the special project. Contractee shall retain ownership and marketing rights in relation to the new application systems developed by the Contractee. All special projects for development of new application systems shall be covered under a supplemental attachment to this contract. The City shall receive unqualified use of all new application systems developed under this contract without a license fee charge. Contractee shall have use of the City's computer facilities for development purposes. EXHIBIT A Professional Services Contract: Nancy Sawyers Term of Contract The term of this CONTRACT shall be for a twelve (12) month period from the date of this contract. Termination of Contract This CONTRACT may be terminated for cause at any time without prior notice. This CONTRACT may be terminated without cause by the Contractee after fifteen (15) days prior written notice to the City. This CONTRACT may be terminated without cause by the City after thirty (30) days prior written notice to the Contractee. Renewal of Contract This contract will automatically renew at the end of the original contract term unless prior notice is given as required in the "Termination of Contract" section of this contract. Payment of Fee The City shall pay to the Contractee, and the Contractee agrees to accept as full payment for the professional services furnished under this agreement the sum of $24,840.96; such sum to be paid to Contractee by payment of $2,070.04 once a month by the 10th of the month for the current month.
