BE 1.T RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
FAY ETTEV IIJ.E , ARKANSAS:
Section 1. That the Mayor and City Clerk are hereby
authorized and directed to execute a contract with Northwest Oil
Co., Inc. for the purchase of regular and unleaded gasoline. A
copy of the contract authorized tor execution hereby is attached
hereto :narked Exhibit "A" and made a part hereof.

CONTRACT
THIS CONTRACT, executed this with day of March, 1990, by and
between The City of Fayetteville, hereinafter called the CITY and
Northwest Oil Co., Inc., hereinafter called the SUPPLIER.
WITNESSETH:
1. The CITY has called for bids for the purchase of unleaded
gasoline in exact accordance with the CITY'S specifications in Bid
#89-60 which documents are incorporated by reference and attached
hereto and made a part of this contract as Attachment (A).
2. The SUPPLIER'S proposal in accordance with the CITY'S
specifications has been accepted by the CITY of Fayetteville Board
of Directors at their regular meeting March 20, 1990.
3. TERM of this contract is for one year from date executed
above.
4. This contract may be terminated with (30) thirty days
written notice of either party.
5. SUPPLIER agrees to carry at his own cost and expense
Vehicle Liability and Property Damage Insurance and Workman's
Compensation Insurance. In no way will the CITY be responsible in
case of accident.
6. SUPPLIER will begin delivery as set up by City Shop
Personnel. City Shop Personnel have no more than (30) Thirty days
from date of this contract to set up first delivery.
7. SUPPLIER shall furnish fuel of an accepted Commercial
Grade with a minimum of 87 Octane Rating.
8. The unit prices named in the SUPPLIER'S proposal shall
remain effective throughout the term of this contract.
9. Base rate billed monthly by SUPPLIER shall be an average
of the daily price as furnished by CITGO PETROLEUM VIA EASYLINK
with no regard to daily pumping rate.
10. SUPPLIER'S alternate fuel source facility shall be FAST
TRAX CITGO, 2817 No. Garland, Fayetteville, Ar. as specified in
SUPPLIER'S proposal.

11. Applicable taxes charged shall be as set forth by State
and Federal Statutes.

PROVISIONS
A. Price Information must be received on a daily basis by
Supplier and made available for verification by City Personnel
at any given time.
B . Tank measurements must be taken by Supplier on a timely basis
to prevent fuel outages.
C. Deliveries must be provided within 1 hour after notification
o f outage in case of emergency or unusual work load changes.
D . City owned Pumping Equipment is to be maintained by Supplier
on a timely basis.
E . Verification of Octane Rating / Quality is to be furnished to
the City when requested.
F. Fuel will remain the property of the Vendor until such time
as it is pumped into an appropriate vehicle/storage container/
equipment as furnished by the City through Metered Equipment.
G . Billing will be on a monthly basis with final gallonage
determination based on City Pump Equipment Meter readings.
H . Monthly Billing rate shall be an average of the daily price
as furnished by the agreed Price Structure Supplier with no
regard to daily pumping rate.
Storage tanks shall be tested for moisture content by Supplier
prior to each delivery of fuel. Test results shall be made
available immediately to Shop Personnel if above acceptable
level. Determination of acceptable level shall be at the
discretion of City Personnel.
J . Supplier shall maintain separate pumping facilities available
for service on call 24 hours per day -7 days per week in case
o f Emergency Conditions at City Facilities. Such Off Site pump
facilities shall comply with Storage Conditions as previously
outlined.
K . Anticipated Weather conditions which may affect City
Operations shall be taken into consideration for planned fuel
deliveries. Tanks shall be filled as necessary to prevent any
shortages which could be caused by adverse weather conditions.
