HomeMy WebLinkAbout201-90 RESOLUTION• RESOLUTION NO. 201-9n A RESOLUTION ESTABLISHING A CITIZENS' AIRPORT BOARD TO ASSIST IN THE OPERATIONS OF THE FAYETTEVILLE MUNICIPAL AIRPORT. WHEREAS, the Chamber of Commerce and the City of Fayetteville desire to form a task force to operate under specific guidelines; and WHEREAS, the parties have compromised an airport board and airport commission under the city manager form of government; and WHEREAS, the City of Fayetteville and the Chamber of Commerce desire to provide for its citizens a safe and dependable system of air transportation service for the movement of people and goods; and WHEREAS, the future needs of the citizenry for such services can best be met by establishing an airport board to assist in operations of the municipal airport. NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF FAYETTEVILLE, ARKANSAS: Section 1. The Board of Directors hereby authorize the creation of an Airport Board to function under the specific rules and regulations as stated in the General Policies and Procedures for the Fayetteville, Arkansas Airport Board hereby attached hereto marked Exhibit "A" and made a part hereof. • PASSED AND APPROVED this 18th day of December SATTEST: '' -By MAi t- City C • , 1990. By: Gl�i�i�����" Mayor • • • GENERAL POLICIES AND PROCEDURES FOR THE FAYETTEVILLE, ARKANSAS, AIRPORT BOARD I. AIRPORT BOARD PURPOSE. It is the intention of the City of Fayetteville to seek both general and technical citizen input and assistance in Drake Field Airport functions through the formation of an Airport Board. II. GENERAL POLICIES AND PROCEDURES. The Airport Board which shall be hereafter created, shall function in accordance with the following policies and procedures. Provided, however, that should a conflict exist between the provisions hereof and state statute or ordinances specifically addressing a particular board, the specific statute or ordinance shall apply to the extent of said conflict. 1. MEMBERSHIP. The Airport Board shall be created by and adopted by a majority vote of the elected Board of Directors. The Board of Directors may eliminate or modify the Airport Board creation when the majority of the City Board of Directors shall deem it to be in the best interest of the City of Fayetteville to do so. The Airport Board shall not be considered or construed to be the creation of a commission under state statute regarding the creation of autonomous committees or commissions. The Airport Board shall consist of five (5) citizens who are qualified electors of the City of Fayetteville. (a) At least one of the five members shall be fully experienced in aviation, holding some type of pilot aeronautical rating. (b) The City Manager shall serve as an ex officio member of the Airport .Board; serving in an advisory capacity to the Airport Board. (c) If there is not any citizen experienced in aviation holding some type of pilot's aeronautical rating who is available or willing to serve on the Airport Board, then the City Board may waive this requirement. (d) No member of the Airport Board shall engage financially in any aeronautical enterprise while a member of the Airport Board. 2. APPOINTMENT. Airport Board members shall be appointed by the City Board of Directors in accordance with the following: • • (a) The Airport Board members shall be appointed by the City Board of Directors using the nominating procedure for all .City Board Committee appointments. They shall be confirmed by a majority vote of the elected members of the City Board of Directors. (b) The Airport Board first appointed and confirmed, shall serve for terms of one (1), two (2), three (3), four (4), and five (5) years each, to be designated by the mayor. (c) Upon the expiration of their respective terms, their successors shall be •appointed by the City Board for a term of five years. No Airport Board member shall be eligible to serve more than two terms (full or partial) in succession. 3. REMOVAL. Any Airport Board member appointed by the Board of Directors may be removed at any time by a majority of the elected members of the City Board of Directors. The City Manager may also remove from office any Airport Board member upon approval by the Board of Directors (§14-47-101 et seq.) 4. OFFICERS. At the first meeting following the appointment of members, the Airport Board shall elect from among its membership a chairperson, vice -chairperson, and secretary. The officers shall serve two-year terms. No member shall serve more than two consecutive two-year terms as chairperson withoutinterruption of at least a two year period. (a) The chairperson is the principal officer and will preside at all meetings and shall rule on all matters of procedure regarding the order of business, motion, voting, etc. He or she shall appoint the necessary committees to establish the goals and meet the objectives of the Airport Bocrd. The chairperson shall have a vote in all matters of business. (b) The vice -chairperson will serve in the same capacity as the chairman in the event the chairman is absent or in the event of his or her inability or refusal to act. (c) The secretary shall keep the official minutes of the Board meetings in one or more books provided for that purpose. He or she shall insure that all notices are given as required by law, and shall be the official custodian of the records of the Airport Board. The • • • • • secretary shall perform the duties ordinarily performed by the secretary of a corporation and such other duties as may be delegated by the Airport Board. 5 AUTHORITY OF AIRPORT BOARD. The Airport Board appointed under the aforementioned appointment procedures shall have limited authority to operate, improve, extend and maintain Drake Field with the approval of the City Manager in accordance with §14-47-101 et seq. 6. SCOPE OF AUTHORITY. Proposed policy or procedures revisions, deletions or additions or other issues relative to the Airport Board scope of authority initiated by the general public, the Board of Directors or city staff should be referred to the Airport Board prior to any further action on such matter whenever possible and feasible. The Airport Board shall consider all matters referred and shall submit a recommendation to the City Manager to be placed on the next City Board agenda if necessary. In cases of a clear and present danger to the public health and safety, the City Manager, appropriate city staff member or the Board of Directors may take such action as necessary to alleviate the danger and shall contact the Airport Board by telephone and advise its members of the emergency and that extraordinary measures were deemed necessary.. (a) The authority of expressly limited responsibilities and and nothing herein interpreted to: the Airport Board is to the specific duties contained herein shall be construed or (1) grant the Airport Board authority over the operation of any department, division, office, officer, or employee of the city except as may be requested by the City Manager or Board of Directors in special and specific circumstances. (2) diminish the authority of the City Board of Directors over' funding, operations, fixed assets, indebtedness, budget, and other areas as applicable under Arkansas law. (3) diminish the responsibility of the City Manager in resolving conflicts which may arise over what specific items may be within the scope of authority of the Airport Board. • • 7. FINAL AUTHORITY. Recommendations of the Airport Board shall not be final. All decisions of such Board are subject to final consideration by the Board of Directors or City Manager as appropriate or required by resolution, ordinance or statute. Provided, however, it is the intention of the Board of Directors that all items within the scope of authority of the Airport Board be submitted to said Airport Board for consideration and recommendation prior to submission •to the Board of Directors for those matters which require Board action except in the case of emergency matters as defined in paragraph 6 above. 8. CITY STAFF SUPPORT. The City Manager shall designate certain city staff members to provide administrative support to the Airport Board as may now or hereinafter be created. The City Manager will ensure that the personnel assigned provide adequate administrative and secretarial assistance and conduct such research or supply such information as may be necessary in Airport Board's decision-making process. Airport Board members or officers shall not issue any direct order to city staff members. All requests for assistance shall be made via the City Manager or by a change of policy which is subject to Board of Directors approval. 9. REPORTS. (a) The Board shall cause to be prepared and submit monthly reports to the City Manager concerning Airport performance as established in the Annual Budget and Work Program, and also concerning the revenues and expenditures of the airport. (b) The Airport Board shall have the authority to develop a suggested annual and long term work program and operating budget to be submitted to the City Board of Directors and/or the City Manager at the date set by the City Manager each year for the subsequent year. (c) The Airport Board shall also recommend priorities for capital improvements and means for financing same, and shall prepare an annual progress report on Airport management, operations, improvements, and related properties and facilities to the Board of Directors. The scope of the aforementioned report is subject to review and change by the City Manager and/or Board of Directors. (d) The Airport Board shall prepare and render such other reports as may be determined by the City Manager or City Board of Directors. • • 10. AIRPORT MANAGER. The airport manager shall be the chief administrative officer of the airport department and responsible directly to the City Manager for directing and supervising the daily operations of the airport. He or she shall attend all Airport Board meetings. 11. MEETINGS. (a) The Airport Board shall meet once each month at Drake Field Airport. (b) Special meetings may be called by the chairman or any three of the Airport Board members at any time after 24 hours' prior written notice designating the time and place of such meeting. (c) All requirements of the laws of the State of Arkansas concerning notice of meetings shall be met. (d) At a regular meeting, any business may be conducted by the Airport Board, whether or not indicated on the proposed agenda. At a special meeting, only such business as is specified in the notice may be considered. (e) A quorum shall consist of any three Airport Board members. In the event a quorum is not formed, the meeting will be adjourned until such time as a quorum is available. All actions of the Airport Board shall be upon a vote of not less than a majority of the members present. All Airport Board members, including the chairman, but excluding the ex officio member, shall be entitled to vote upon all matters. (f) When requested by a member of the general public, the secretary, or any Airport Board member, shall make known to the Airport Board any item of concern of any comment, suggestion or otherwise affecting the operation of the airport. 12. CONFLICT OF INTEREST. No member of the Airport Board shall be directly or indirectly be personally interested in any contract to which the airport is a party, with exception of T -hangar contracts. 13. AIRPORT OPERATIONS MANUAL. (a) The Airport Board will review all existing standard operating procedures (SOP) concerning • • the operation, use and control of the airport. After such review, and thereafter from time to time, the Airport Board will submit to the City Manager for approval SOP's as necessary or desirable for the efficient operation, use and control of the airport. A copy of the SOP's will be kept in the office of the airport manager and be available for inspection by the general public and the employees of the airport during the normal business hours. (b) The Airport Operations Manual shall consist of at least but not limited to all City Administration and Airport policies and procedures approved by the City Board of Directors and City Manager. 14. COMPENSATION. Airport Board members shall receive no compensation for service on the Airport Board; provided, however, that such reasonable expenses, which are incurred as a direct result of a member's serving on the Airport Board, shall be paid in accordance with the City's travel and training reimbursement policy. Any such expenses must be approved by the City Manager prior to being incurred. Local travel to and from meetings is not an eligible expense for reimbursement.
