A RESOLUTION AUTHORIZING REIMBURSEMENT OF
EXPENSES RELATED TO THE POSITION OF
CONSTRUCTION MANAGER FOR THE WALTON ARTS
CENTER PROJECT.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
Section 1. That the Board of Directors hereby authorizes
reimbursement of $30,000 (a budgeted item) to cover the city's
portion of the expenses associated with the position. of
construction manager position for the Walton Arts Center Project.

Dear Bob:
I am pleased that you'll be joining our 'staff and look
forward to August 1 when you'll be with us full time. This
letter is to confirm for us both that we agree on the terms
of your employment.
The attached job description will be the basis for our
working arrangement. Please note that I have removed from
the description the conditions of employment for candidates
electing to be independent contractors since that does not
apply.
Unless you amend and initial changes for my consideration,
the following comments and agreements reflect our discussions
and expectations:
-you will begin work in a part-time capacity
(approximately half-time) on July 25, 1990; full time on
August 1. Basis of compensation for the part-time portion
of your work will be $16.00 per hour.
-it is in both of our best interests to make your
departure from City Hall a smooth transition; we will,
therefore, remain somewhat flexible and willing to support
your work in making that transition as painless as possible.
-you will at all times represent to the best of your
ability the interests of the Arts Center Council. While
final inspection remains the responsibility of our architect,
you will concern yourself with construction and financial
issues about which the Council and I should be informed;
and, you will make every effort to inform and assist us in
bringing each problem that arises to satisfactory resolution.
-you realize that at your salary level, the funds for the
position you fill will be exhausted in approximately eighteen
months. Furthermore, we have discussed that salary increases
during the life of this position are highly unlikely.
-as part of this position, you will assist in preparing
for moving our office operations to larger quarters. This
may include but is not limited to:
-plans -construction oversight -actual move -in
-bids -funds acquisition -lease arrangements.

- you will as appropriate, assist in research and
application of various computer hardware, peripherals and
software to help streamline and automate the work of this
organization.
- you are willing to help with other areas as those needs
become evident.
- the part-time week (end of July) that you work will
focus on reading, creating your own files, studying plans
and generally familiarizing yourself with our total project.
-you will become an employee of the Arts Center Council
with full benefits available to you.
- your salary will be. $33,000 annually plus our share of
the costs of our benefit programs.
- since you asked last Saturday, I've given some thought•'
to the value of our retirement plan for persons filling jobs
of short duration. Yes, if you request it, we will pay you,
as additional, taxable compensation, the same 6% that we
would have contributed to your retirement plan.
I will be away from the office July 5-31, 1990. During that
period, please make an appointment with Peggy Wilkins, our
Office Manager for the purpose of completing the paper work
for each part of our compendation plan. Compensation
information related to your position has been transferred to
Peggy.
Again, Bob, I look forward to having you on our staff. I
know you'l add a lot to our team's ability to complete this
pro'ect f• Northwest Arkansas in exemplary fashion.

JOB DESCRIPTION
TITLE: Construction Manager
REPORTS TO: The Arts Center Council through
the Executive Director
GENERAL POSITION DESCRIPTION:
The Construction Manager will fulfill for the Owner Article 4,
Section 4.4 (Owner's Responsibilities) of the 1987 Edition of the
Standard Form of Agreement Between Owner and Architect and the
"General Conitions of the Contract" in AIA document A-201. In
part, these read: "The Owner shall designate a representative
authorized to act on the Owner's behalf with respect to the
Project. The Owner or such authorized representative shall render
decisions in a timely manner pertaining to documents submitted by
the Architect in order to avoid unreasonable delay in the orderly
and sequential progress of the Architect's services."
The Construction Manager will fulfill similar duties for the Owner
with the General Contractor.
The position of Construction Manager for the Arts Center Council
in no way alters or supercedes the written requirements for project
supervision and inspection by the Architect, the Architectural firm
and/or representative(s), the General Contractor, the sub-
contractors, or their respective representatives. Neither the
Architect nor the General Contractor are third party beneficiaries
of this position or contract.
SPECIFIC: POSITION DESCRIPTION (INCLUDES BUT IS NOT LIMITED TO:)
1) With the Executive Director, coordinate and facilitate
communication between Architect, Owner, and General Contractor:
a) review architectural plans,
b) inspect construction site and all work in progress on the
construction project,
c) maintain progress reports (as required),
d) review, update and advise Owner,
e) exercise any/all rights and responsibilities of Owner
under any of the construction contracts, amendments and change
orders negotiated.,
f) review all proposed changes and change orders to the
project as recommended by the Architect and recommend appropriate
action to Owner on modifications and changes,
g) analyze alternative courses of action for unforeseen
conditions (work stoppages, materials shortages, etc.) and
recommend action to Owner,

h) take action to protect Owner's interests in emergency
situations,
i) with Architect and General Contractor, inspect completed
project and oversee preparation of punch list for finalizing work.
2) Oversee construction budget:
a) oversee preparation of detailed financial projection
schedule and overall development budget,
b) 'use best efforts to recommend and effect cost savings
wherever possible,
c) maintain budget projections adjusted by each modification
approved,
d) review and recommend appropriate action on all
construction project related payment requests.
3) Manage administration of construction project:
a) review paperwork for field changes and take or recommend
to Owner. appropriate action,
b) review paperwork for change orders and take or recommend
to Owner appropriate action,
c) attend meetings (including as required, those of the Arts
Center Council, the contractor/architect/sub-contractor's
construction meetings, etc.) regarding the construction project,
its completion, occupancy and related issues,
d) submit bi-monthly written reports to Owner to include but
not be limited to:
-progress on work,
- revisions to schedule,
- revisions to budget,
- other appropriate recommendations, comments and
insights,
e) coordinate mechanical system tests and start-up schedules,
f) accept and review equipment manuals, warranties &
guarantees for equipment installed in the project.
4) Other duties as assigned.

GENERAL INFORMATION
The Arts Center Council, acting as agent for the City of
Fayetteville and the University of Arkansas, will build and manage
the Walton Arts Center. The employee who is responsible for
implementing programs, managing staff and resources in order to
maximize the positive effects of the Center and to oversee its
construction is the Executive Director. The Construction Manager
will report to the Arts Center Council through the Executive
Director.

Interviews will be scheduled as soon as possible.
The'position will remain open until an appropriate candidate
is selected. Work will begin as soon as possible after selection.
POSITION TERMINATION:
Whether the successful applicant is hired as an independent
contractor or an employee of the Arts Center. Council, periodic
performance reviews (detailed later) will be in effect. The
position of Construction Manager is expected to terminate after
the duties described herein are complete, work on the construction
project is at or near completion and on a date set by the Owner.

Conditions of employment for employees of the Arts Center Council:
A Human Resources Manual is being developed. After adoption of
those policies, the position of Construction Manager will come
under the terms of that plan. Until adoption of the formal
policies, the following will apply:

The time through the 180 day review is considered a trial period
for the employee to demonstrate proper attitudes and abilities
for the position.
Health/Life/Disability Insurance and a retirement plan as
provided other Arts Center Council employees will be made
available
