A RESOLUTION AUTHORIZING THE PURCHASE OF THE
PARKING LOT WEST OF THE INTERIM CITY HALL
&IILDING.
BE 1T RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
FAYE7TEVILLE, ARKANSAS:

OFFER AND ACCEPTANCE CONTRACT
1 Buyer, the City of Fayetteville, offers to buy, subject to
the terms and conditions set forth herein, the following
described property:
All of Lots Three (3) and Four (4) and part of
Lots Two (2) and Five (5) and Seven (7) all in
Block Thirty-two (32) of the Original Town
(City) of Fayetteville, Arkansas, and being
more particularly described as follows, to -
wit:
Beginning at a point which is West 100 feet of
the Northeast (NE) corner of said Block
Thirty-two (32). thence West 126.00 feet;
thence South 325.00 feet; thence East 126.00
feet, thence North 325.00 feet to the point of
beginning, containing 0.94 acres, more or
less.
2. Purchase Price: subject to the following conditions the
Buyer shall pay for the property at closing the total and
cash payment of $214,500.00 cash.
3. Contingent Earnest Money Deposit: The Buyer herewith tenders
a check for $1,000.00 to Northwest Service Corporation, an
Arkansas Corporation hereinafter referred to as Seller, as
earnest money, which shall apply on the purchase price. This
offer of purchase is contingent upon approval of the Board of
Directors of the City of Fayetteville, Arkansas and, if they
do not so approve, the earnest money deposit will be returned
to the Buyer by the Seller. If title requirements are not
fulfilled or the Seller fails to fulfill any obligations
under this contract, the earnest money shall be promptly
refunded to Buyer. If Buyer fails to fulfill his obligations
under the contract or after all conditions have been met,
Buyer fails to close this transaction the earnest money may
at the option of the Seller, become liquidated damages to the
Seller. Alternatively, Seller may assert legal or equitable
rights which it may have because of breach of this contract.
4 Conveyance will be made to Buyer by general warranty deed,
except it shall be subject to recorded instruments and
easements, if any, which do not materially affect the value
of the property. Such conveyance shall include mineral
rights owned by Seller.
5. Seller shall furnish, at Buyer's cost a policy of title
insurance in the amount of the purchase price.
6. Taxes and special assessments due on or before closing shall
be paid by the seller. Insurance, general taxes, ad valorem
taxes, special assessments and rental payments shall be
prorated as of closing.
7. The closing date is designated to be no later than sixty (60)
days after acceptance of this offer by the Seller. If such
date of closing falls on a weekend or holiday, it will be
held the following working day.
Possession of the property shall be delivered to the Buyer on
the date of closing.
9. All fixtures, improvements and attached equipment are
included in the purchase price, including but not limited to,
the automatic gate currently affixed to the property.

1G. Risk of loss or damage to the property by fire or other
casualty occurring up to the time of closing is assumed by
the Seller.
11. This AGREEMENT shall be governed by the laws of the State of
Arkansas.
12. This AGREEMENT, when executed by both Buyer and Seller shall
contain the entire understanding and agreement of the parties
with respect to the matters referred to herein and shall
supercede all price or contemporaneous agreements,
representations and understanding with respect to such
matters, and no oral representations or statements shall be
considered a part hereof. /

KNOW ALL MEN BY THESE PRESENTS: That I, Dr. Charles Brewster Paddock, of the City of
Fayetteville, Washington County, Arkansas, being of sound mind and disposing memory
and realizing the un-certainty of life and the certainty of death, and being desirious
of making dispositition of my property which God in his Wisdom has seen proper to bless
me with, do hereby make, publish and declare this to be my Last Will and Testament,
in manner and form following:
ITEM FIRST:
I ddsire:.e that so soon as covenient after my death, that all my just debts and
funeral expenses be first paid out of the proceeds of my estate by my Executrix hereinafter
named.
ITEM SECOND:
I give, devise and bequeath unto my son, Charles Samuel Paddock and unto my daughter,
Mary Grace Paddock Wakefield, the sum of One Dollar ($1.00) each, to be paid out of the
proceeds of my estate by my said Executrix.
ITEM THIRD:
I give, will, devise and bequeath unto my beloved wife, Minerva B. Paddock, for her
absolute use and control, all of the rest of my estate, real, personal or mixed of whatso-
ever kind and wheresoever the same may be located, which I may die seized and possessed of;
with full power and authority to collect any and all debts due me by any person or persons,
with fulipower to sue for if necessary; and I also give my said wife, Minerva B. Paddock,
full power to use, sell or dispose of any and all of my personal and real property or any
other property that I may die seized and possessed of, whether described herein or not;
and to make good and legal deed or deeds of conveyance to any real estate that I may die
seized and possessed of, without any process of law; she having the right and authority
to sell or dispose of same in any manner as to her may seem best, either at private or
public sale.

DESCRIPTION: The following described real estate situated in Washington County,
State of Arkansas, to -wit:
(Among other lands) All my undivided interest: A part of Block Thirty two (32) in
the original town of Fayetteville, beginning on the North line of the said Block 100
feet West of the Northeast corner, and running thence West 110 feet, thenee South to
the boundary line of the Block; thence East 110 feet; and thence North to the place
of beginning, being the Lot described in the Will of Mary B. Paddock as her home, 211
West Mountain Street, between West Mountain and Rock Street.
This conveyance is made by me, Charles Samuel Paddock, to the grantee, my mother, as posi-
tive evidence of the fact that I affirm the deed I executed to the same property on Sept-
ember 11, 1919, which was filed for record on September 11, 1919 in Book 186 Page 236,
Washington County deed records. The earlier deed was made to my mother and to my father
Charles B. Paddock, by the entirety, but my father has since died which explains why my
mother is the sole grantee of this deed. The earlier deed was made after my disabilities
of miniority had been removed, and I execute this present instrument to eliminate the
possibility of any question of that earlier deed.
HABENDUM: Unto the said Minerva B. Paddock, her heirs and assigns, forever.
COVENANTS: 'Grantor will forever warrant and defend the title to the said
lands against all legal claims whatever.

WHEREAS, the undersigned, Ellis Shelton, being the duly appointed, qualified and
acting personal representative of the Estate of Nellie K. Skelton, deceased, late of Wash-
ington County, Arkansas, on the 4th day of August, 1967, filed his petition in the Pro-
bate Court for Washington County, Arkansas, for the sale of certain real estate here-
inafter described, for the purpose of paying claims filed against said estate and for the
purpose of paying the expenses of administration, and that on said date the Court set
the 23rd day of August, 1967, as the time and place for hearing of said petition as re-
quired by law, and directed that each of the heirs and devisees of said estate be noti-
fied of the time and place of hearing, provided by said order; and,
WHEREAS, at the time and place set for said hearing, to -wit, the 23rd day of August,
1967, notice having been given as directed by said Court and as required by law, the
Court found that it was necessary to sell the real estate hereinafter described for the
purpose of paying claims filed against said estate and for the purpose of paying expenses
of administration and ordered said personal representative to sell said property at pub-
lic auction, for credit upon payment of 50% of the purchase price with the balance being
payable in three (3) equal monthly installments with interest at 6% per annum, to be sold
for not less than three -fourths (3/4) of the appraised value thereof, said property having
been duly appraised by three (3) residents of the county who were duly qualified and
familiar with the value of real estate in the vicinity, and the said appriasement having
been filed as required by law; and,
WHEREAS, pursuant to said order said personal representative duly sold the property
hereinafter described at public auction to Frank W. Lewis and Bertha Lewis as trustees
under a trust agreement dated the 5th day of August, 1964, at and for the sum of $10,000.00
said sum being paid in cash at the time of said sale, and said sum being the highest -and
