A RESOLUTION AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A LEASE WITH EDD CAUDLE d/b/a AIRWAYS FREIGHT FOR REAL PROPERTY AT THE FAYETTEVILLE MUNICIPAL AIRPORT. BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF FAYETTEVILLE, ARKANSAS: e That the Mayor and City Clerk are hereby authorized and directed to execute a lease with Edd Caudle d/b/a Airways Freight for real property at the Fayetteville Municipal Airport. MICROFILMED , • August , 19 87 , , hereinafter called Freight, hereinafter WHEREAS, Liessor is the owner of an airport known as Drake Field in the. City of Fayetteville, Arkansas, hereinafter referred to as the "Airport"; and WHEREAS, Lessee is engaged in the air freight business; and __ • „- WHEREAS, Lessor is willing to lease to Lessee a portion of the Airport premises. NOW, THEREFORE, in consideration of the mutual covenants and conditions of this agreement, the parties agree as follows: 1. Lessor leases to Lessee, and Lessee leases from Lessor for Lessee's sole andexclusive use for and during the term hereinafter provided, an 18' x 58' tract of land located at the Airport and more particularly specified as shown on Exhibit "A" attached hereto and made. a.paft 'hereof, plus a customer parking area located directlli" in front of and across from Lessee's building. 2. Lessee has constructed on the demised premises described in paragraph 1 above one building 18' x 58' in size. Lessee agrees that the westernmost edge of said building shall front on the existing fence line. 3. The term of this Lease shall begin on the 1st of August, 1987_, and shall end on July 31, 19 88 . Lessee agrees to pay Lessor monthly rent of $ 280 00 1 payable in advance. In the event an air freight facility is constructed at Drake Field, this Lease shall terminate. Lessor agrees to lease to Lessee available space in the new facility. The terms of any lease for space shall be negotiated by Lessor and Lessee. 6. Lessee agrees to pay not limited to, electricity, service. for all utilities, including but gas, water, sewer, and sanitation • 7. Lessee agrees not to discriminate against any worker, employee, or applicant because of race, creed, color or national origin. -8.tr-CeiosEeTiasccb-that-if---TTtheradministratoror-the-rederar Aviation Agency or the Director of the State Department of Aeronautics. or any other governmental office or body having jurisdiction over the enforcement of the obligations of Lessor in connection with federal or state airport aid shall make any orders, recommendations, .or suggestions restricting the perfor- mance by Lessee of its obligations under this Agreement, Lessee shall have the option of promptly complying therewith, at the time or times when and to the extent Lessor may direct, or Lessee shall have the option of cancelling this Lease. Lessee shall at all times keep and hold.Lessor harmless from any and all claims and demands, losses and expense arising out of, or connected with, Lessee's operations, or as a result of anything claimed to be done or omitted to be done by Lessee, provided Lessor shall in each instance give Lessee prompt written notice of any such claim or demand; and Lessor shall cooperate with Lessee in the investigation of such claim. 10. Lessee agrees not to assign, transfer, sublease, pledge, or otherwise encumber or dispose. of this Lease, or permit any person or persons, company or corporation to occupy the demised premises without the written consent of Lessor, which consent t.,,Ititwflshall,not_betunreasonably withhelthby-Lessor. t 11. Either party may terminate this Lease by giving the other party thirty (30) days advance written notice of termina- tion. 12. Lessee shall maintain in full force and effect at all times during the term of this Lease fire and extended insurance providing coverage in a minimum amount of $500,000. Said in- surance policy shall list Lessor as an additional insured. Lessee shall provide Lessor with a certificate of insurance evidencing such coverage.
