TO EXECUTE A SERVICE AGREEMENT WITH MOTOROLA COMMUNI-
CATIONS AND ELECTRONICS, INC. FOR THE CITY'S NEW
800-MHZ RADIO SYSTEM.
BE TT RESOLVED BY THE BOARD OF DIREC1ORS OF THE CITY OF FAYETTEVILLE,
ARKANSAS:
That the Mayor and City Clerk are hereby authorized and directed
to execute a service agreement with Motorola Communications and Elec-
tronics, Inc. for the City's new 800-MHZ Radio System. A copy of
the service agreement authorized for execution hereby is attached
hereto marked Exhibit "A" and made a part hereof.

ON HIGHWAY LOCATION AND DESIGN

The Arkansas State Highway Commission and the city of Fayetteville are
planning the reconstruction of North Street from Willis Avenue to Gregg Avenue
in Fayetteville. The work contemplated generally consists of widening the
existing roadway to four lanes with curb and gutter. Plans showing location
and design features of the contemplated work and information relative to the
Environmental Assessment are available for public inspection at the office of
the District Engineer, Arkansas State Highway and Transportation Department,
4019 Towson in Fort Smith and in the office of the City Manager, 113 W. Mountair
in Fayetteville.
Any interested citizen in the vicinity of said route may request that a
public hearing be held regarding this proposed location and design and the econc
effect of such construction by submitting a written request to the District
Engineer, Arkansas State Highway and Transportation Department, P. 0. Box 1424,
Fort Smith, Arkansas 72901, on or before the 12th day of December, 1986.
In the event such request is received, a further notice of the date,
time and place of the hearing will be published.

Motorola certainly appreciates the opportunity to work with the City of Fayetteville
on servicing their Motorola Smartnet Systems. Our previous discussions concerning
a Motorola Service Agreement centered on priority service of the system, and
included all parts and labor exclusive of Acts of God, abuse or misuse of the
equipment. We have also stated that a Motorola Service Agreement would include
quarterly preventative service inspections on the Central Site and on the Centra
Comm II. All other equipment would receive one annual service inspection. This
agreement gives the City an unlimited number of service calls on all units.
Motorola will provide local service for the City. We do request a 30 day notification
of acceptance in order that we may fully gear up to meet the response and turn
around times specified in this letter.
Motorola will provide the following response times: Public Safety Fixed Equipment
including the Central Site and Centra Comm II 4 hours, 24 hours a day, seven
days a week. We will not guarantee a turn around time on the Centra Comm II
without a Spare Centra Comm II Module Kit. This kit is necessary to assure the
City of continued communications in the event of a Hi Tech board failure. All
other Fixed Equipment will beserviced on an 8 to 5 Monday through Friday basis
with an 8 hour response time. These units will be serviced on location when at
all possible. All mobiles and portables will be delivered by the City to our Service
Center. Mobile turn around time will be 5 days, however, Motorola will provide
one spare mobile for public safety in order to limit down time. Portable turn
around time will be 5 days. Turn around times are exclusive of abuse, misuse,
Acts of God, firmware or software problems. Failure to meet the turn around
time will lead to credit to City for the amount of down time for the radio involved.
Motorola does not desire any problems in the cases of abuse, misuse of equipment
or Acts of' God. When such questions arise and before repairs are started, a meeting.
will be called by the Service Center and the questions will be resolved by mutual
agreement.

This letter is made part of the attached Service Agreement listing the radios
covered and the cost per unit in the agreement. The monthly price is $3,446.15
plus applicable taxes. However, if there is any time in which the City believes
that we are not meeting the terms and conditions of this agreement, a written
notice will be issued to Motorola stating the .shortcomings with a 30 day period
to correct the deficiencies. If Motorola fails to meet the deadline, the City may
give a 30 day written notice to cancel the agreement.
We certainly appreciate this opportunity to quote the City of Fayetteville, and
look forward to working with you in the future.
