HomeMy WebLinkAbout57-85 RESOLUTIONNIL • • • RESOLUTION NO. 57-85 SCANNED A RESOLUTION AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A LEASE AGREEMENT WITH INTERIM DEWATERING SERVICES FOR THE FURNISHING OF A BELT PRESS AT THE POLLUTION GDNTROL PLANT. BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE QTY OF FAYETTEVILLE, ARKANSAS: That the Mayor and City Clerk are hereby authorized to execute a lease agreement with Interim Dewatering Services for the furnishing of a belt press at the Pollution Control Plant on a temporary basis. A copy of the lease agreement authorized for execution hereby is attached hereto marked Exhibit "A" and made a part hereof. CONTRACT • This Contract, made and entered into this ..10th day of June. , 19.85., by and between the City of Fayetteville, Arkansas, hereinafter called the LESSEE and Interim Dewatering Services _Inc: . . . . . 1 of Monroe/ Connecticut hereinafter called the LESSOR: WITNESSETH: The LESSOR, in consideration of the sum to be paid him by the LESSEE and of the covenants and agreements herein contained, hereby agrees at his own proper cost and expense to do all the work and furnish all the materials, tools, labor, transportation, and all equipment and appurtenances to the extent of the Proposal made by the LESSEE, dated the 20th. day of May , 19.85, all in full compliance with the Specifications referred to herein. The Request for Proposals, and the signed copy of the Proposal, are hereby referred to and by reference made a part of this Contract as fully and completely as if the same were fully set forth herein and are mutually cooperative therewith. In consideration of the performance of the work as set forth in these Specifications, the LESSEE agrees to pay to the LESSOR the amounts bid in the Proposal as adjusted in accordance with the Specifications, or as otherwise herein provided, and to make such payments in the manner and at the times provided in the Specifications. The LESSOR agrees to furnish the temporary dewatering equipment and set-up complete within the time specified herein and to accept as full payment hereunder the amounts computed as determined by the Specifications and based on the said Proposal. The LESSOR agrees to remedy all equipment failures due to no fault or neglect of the LESSEE in the equipment provided under this Contract for the lease period, and further agrees to indemnify and save the LESSEE harmless from any costs encountered inremedying such defects. LESSOR By /24 Title Vice President, Engineering *As stated in our original Proposal No. 05-127-85 dated May 20, 1985, YWC/IDS could meet, a June 10, 1985 start-up of the Fayetteville unit, assuming timely award of the Contract. YWC/IDS was informed June 5, 1985 that we were awarded the Contract in a telephone call from representatives of CH2M Hill. We have already made arrangements for shipping the unit to Fayetteville on Monday, June 10, 1985. It will arrive on- site on or about Tuesday, June 11, 1985, and will then be immediately connected and started up. Installation will be completed during the week of June 10, 1985. YWC/IDS Contracts start from the date of arrival of the equipment, and it is therefore suggested that the Contract initiation date be kept at June 10, 1985.
