A RESOLUTION AUTHORIZING THE MAYOR AND CITY CLERK
TO EXECUTE MODIFICATIONS TO LEASE PGREEMENTS WITH
AIR MIDWEST SKYWAYS, INC. AND METRO AIRLINES,
INC.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF TUX CITY OF FAYETTEVILLE,
ARKANSAS:
That the Mayor and City Clerk are hereby authorized and directed
to execute modifications to lease agreements with Air Midwest Skyways,
Inc., and Metro Airlines, Inc. Copies of the modifications authorized
for execution hereby are attached hereto marked Exhibits "A" and "B"
and made a part hereof.

MODIFICATION OF LEASE AGREEMENT
This AGREEMENT made this 5th day of March
1985, by and between the City of Fayetteville, Arkansas, hereinafter
called "Lessor", with Air Midwest Skyways, Inc., hereinafter called
"Lessee".

WHEREAS, Lessor and Scheduled Skyways, Inc., entered into a lease
agreement dated May 6, 1979, which lease has been modified by subsequent
agreements and is incorporated herein by reference thereto; and
WHEREAS, Scheduled Skyways, Inc., has merged with Air Midwest
--Skyways, Inc.; and_
WHEREAS, the parties desire to further modify the aforesaid lease
agreement.
NOW, THEREFORE, THE PARTIES MUTUALLY AGREE AS FOLLOWS:
1. The Lessee in the aforesaid lease agreement is hereby changed
from Scheduled Skyways, Inc., to Air Midwest Skyways, Inc., a Kansas
Corporation.
2. Paragraph 2(C)2 of said lease is m dified by amending the
first sentence to read:
1,290 square feet of space known as the airline gate area.
3. Paragraph 2(C)3 of said lease is modified by amending the
first sentence to read:
240 square feet of space known as the baggage claim area.
4. The second paragraph following the subtitle "Landing Fees"
in Exhibit "B" to said lease is modified to read as follows:
The number of arrivals scheduled to land at the airport
during therronth multiplied by the applicable maximum certified
landing weight for each aircraft scheduled to be operating,
as shown by Lessee's timetable, shall determine the weight
for which the monthly payment shall be made. The minimum
fee for any scheduled landing shall be $5.625.
5. All provisions of the lease are incorporated herein and
are hereby nullified to conform herewith but in all other respects
are to be and shall continue in full force.

IN WITNESS WHEREOF, the parties have executed this Modification
of Lease on the day and year first above written.

MODIFICATION OF LEASE AGREEMENT'
This AGREEMENT made this 5th day of March , 1985,
by and between the City of Fayetteville, Arkansas hereinafter called
"Lessor" and Metro Airlines, Inc., hereinafter called "Lessee".
WHEREAS, the parties have entered into a lease dated January
5, 1982, which lease is incorporated herein by reference thereto;

WHEREAS, the parties desire to modify said lease.
NOW, THEREFORE, THE PARTIES MUTUALLY AGREE AS FOLLOWS:
1, Paragraph 2(B)2 of said lease is modified by amending the
first sentence to read:
906 square feet of space known as the airline gate area.
2. Paragraph 2(B)3 of said lease is modified by amending the
first sentence to read as follows:
240 square feet of space known as the baggage claim area.
3. The second paragraph .following the subtitle "Landing Fees"
in Exhibit "B" to said lease is modified to read:
The number of arrivals scheduled to land at the airport
during the month multiplied by the applicable maximum certified
landing weight for each aircraft scheduled to be operating,
as shown by Lessee's timetable, shall determine the weight
for --which= the monthly -payment -shall- be -made. ' The- minimum -
fee for any scheduled landing shall be $23.40. Lessee agrees
that if the landing fees paid to Lessor in 1985 do not exceed
the landing fees paid to Lessor in 1984 by $14,976, Lessee
shall pay Lessor the amount necessary to reflect a $14,976
increase. Said amount shall be paid on or before January
15, 1986.
4. All provisions of the lease are incorporated herein and
are modified to conform herewith but in all other respects are to
be and shall continue in full force.
