A RESOLUTION AUTHORIZING THE MAYOR AND CITY CLERK
TO EXECUTE AN AGREEMENT FOR ENGINEERING SERVICES
WITH SUMMERLINE ASSOCIATES, INC. FOR A STUDY OF THE
LAKE FAYETTEVILLE DAM.

BY IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
That the Mayor and City Clerk are hereby authorized and
directed to execute an agreement for engineering services
with Summerline Associates, Inc. for a study of the Lake
Fayetteville dam. A, copy of the agreement authorized for
execution hereby is attached hereto, marked Exhibit "A",
and made a part hereof.

AGREEMENT FOR ENGINEERING SERVICES
THIS AGREEMENT, entered into this ; 17th
day of APRIL , 1984, by and between the City
Arkansas, hereinafter referred to as the "City" or
the engineering firm of Summerline Associates, Inc
referred to as the "Engineer;"
WITNESSETH THAT:

WHEREAS, the City has determined that a Phase II Dam Study
should be carried out in relation to the Lake Fayetteville Dam;
and
WHEREAS, the Engineer has demonstrated his ability and
desire to carry out such a study;
NOW THEREFORE, in consideration of the mutual covenants and
agreements herein contained, the City and Engineer, the parties
hereto, stipulate and agree as follows:
Section I - Scope of the Project
The work covered by this agreement is limited to those
engineering services needed to implement a modified Phase II
Dam Safety Inspection Study of the Lake Fayetteville Dem.
Included as part of this Section is the Engineer's Proposal
dated February 6, 1984 and a letter dated February 24th, 1984
from the Engineer containing some modifications to the original
Proposal.
Section II - Scope of Engineering Services
Engineer shall perform the following professional services:
1. Consult with Owner to clarify and define Owner's
requirements relative to the Assignment and review
available data.
2 Advise Owner as to the necessity of Owner's providing
or obtaining from others special services and data
required in connection with the Assignment (which
services and data Engineer is not to provide here-
under but on which Engineer may rely in performing
services hereunder), and act as Owner's representa-
tive in connection with any such services or others;
3. Provide •analysis of Owner's needs with evaluations
and comparative studies of prospective solutions;

4. Prepare a Report of Engineer's findings and
recommendations, furnish four copies to Owner
and present it in person and review it with
Owner.

Section III - Owner's Responsibilities
The Owner shall:
1. Provide all criteria and full information as to
Owner's requirements and designate a person with
authority to act on Owner's behalf on all matters
concerning the Assignment;
2. Furnish to Engineer all existing studies, reports
and other available data and services of others
pertinent to the Assignment, and obtain additional
reports and data as required, and Engineer shall be
entitled to rely upon all such information and
services in performing services hereunder;

Section IV - Period of Service
Engineer shall start performing services hereunder within
ten days after receipt of Owner's written authorization to
proceed, which shall not be given later than 45 days after the
date of this Agreement; and will complete such services and
submit the Report within four (4) months thereafter.
Section V - Payment
Payment for services performed under this Agreement shall
be:
1. A lump sum of $ 23,900 is hereby established for all

work except the Geotechnical Engineering.

A maximum fee of $ 21,000 is hereby established for the
Geotechnical portion of the work. The fee may be less and
would depend on the actual number of borings required. The
fee adjustment would be based on the unit prices for the
Geotechnical work as shown in Attachment A of Engineer's letter
dated February 24th and made a part of this Agreement.
In no case shall the total fee for work under this contract
exceed $ 44,900.00.
2. Engineer shall submit monthly statements of services
rendered and Reimbursable Expenses.
3. Engineer's above charges are on the basis of prompt
payment of bills rendered and continuous progress of
the work on the Assignment until submission of the
Report.
4. If Owner fails to make any payment due Engineer for
services and expenses within thirty days after
receipt of Engineer's bill therefor, the amount due
Engineer shall include a charge at the rate of .83%
per month from said thirtieth day, and in addition
Engineer may, after giving seven day's written notice
to Owner, suspend services under this Agreement
until Engineer has been paid in full all amounts due
for services and expenses.
Section VI - Cost Control
Opinions of probable construction cost, financial evaluations,
feasibility studies, economic analyses of alternate solutions
and utilitarian considerations of operations and maintenance
costs prepared by Engineer hereunder will be made on the basis of
Engineer's experience and qualifications and represent Engineer's
best Judgment as an experienced and qualified design professional.
It is recognized, however, that Engineer does not have control
over the cbst of labor, material, equipment or services furnished
by others or over market conditions or contractors' methods of
determining their prices, and that any utilitarian evaluation of
any facility to be constructed or work to be performed on the
basis of the Report must of necessity be speculative until
completion of its detailed design. Accordingly, Engineer does not
guarantee that proposals, bids or actual costs will not vary from
opinions, evaluations or studies submitted by Engineer to Owner
hereunder.

- Section VII - Miscellaneous
1. All documents prepared by Engineer pursuant to this
Agreement are instruments of service in respect of
the facility that is to be constructed. They are
not intended or represented to be suitable for reuse
by Owner or others in extensions of the facility
beyond that now contemplated or on any other facility.
Any reuse by Owner without written verification or
adaptation by Engineer for the specific purpose
intended will be at Owner's sole risk and without
liability or legal exposure to Engineer.
2 The obligation to provide further services under
this Agreement may be terminated (a) by Owner with
or without cause upon seven days written notice to
Engineer and (b) by Engineer for cause upon seven
days' written notice to Owner. In the event of any
termination, Engineer will be paid for all services
rendered to the date of termination, all reimbursable
expenses and termination expenses.
3. Owner and Engineer, and the respective partners,
successors, executors, administrators, assigns and
legal representatives of each are bound by this
Agreement to the other party to this Agreement and
to the partners, successors, administrators, assigns,
and legal representatives of such other party in
respect of all covenants, agreements and obligations
of this Agreement.
4. Nothing herein shall be construed to give any
rights or benefits hereunder to anyone other than
Owner and Engineer.
5. This Agreement (consisting of 5 pages) and
attachments thereto constitute the entire Agreement
between Owner and Engineer. The Attachements, made
a part of this contract as though fully copied herein,
consists of:

A and B which contain Engineers Fee Proposal.

IN WITNESS WHEREOF, the City has caused these presents to
be executed in its behalf by its duly authorized representatives,
and the said Engineer by its duly authorized representatives,
and the parties hereto have set their hands and seals on the
date heretofore set out.

Dear Mr. Bunn:
We are pleased to submit herein our proposal for performing consulting
engineering services for the City of Fayetteville in connection with
the Lake Fayetteville Dam.
As you know, our firm performed the safety inspection of the dam on
July 9, 1979 for the State of Arkansas and the Little Rock District
Corps of Engineers; so, we are quite familiar with it. Our proposal
is based on the assumption that the same team would be involved as
before for hydraulics, geotechnical and structural engineering.
Also, included herein is information concerning specialized experience
of the firm for this type of work, an organizational chart showing the
personnel responsible for the various specialties and their qualifica-
tions, a proposed work outline, and information on previous projects
and clients of the firm.
We appreciate the opportunity to submit our proposal and look forward
to the possibility of meeting with you further in this regard.

FIRM'S SPECIALIZEDEXPERIENCE
Summerlin Associates, Inc. is a general civil engineering consulting
firm practicing in civil and structural engineering, land surveying,
and planning. The firm consists of sixteen people, six of whom are
graduate engineers that include four registered professional engineers.
with Masters' of Science Degrees in Civil Engineering. The remaining
personnel consist of draftsmen, engineering technicians, surveyors,
construction inspectors, and office administrative personnel. Resume's
of some of the key personnel and descriptions of their qualifications
are included in another section of this proposal.
The firm was formed nine years ago by James C. Summerlin, and has
experienced successful growth since that time, producing over 700
projects in eight states and one foreign country. These projects have
consisted of dams and flood control projects, bridges, culverts, and
drainage improvements, streets'and roads, structural design of buildings,
water supply and sewer facilities, pollution control projects, traffic
and parking improvements, and planning and feasibility studies. The
firm is diversified, therefore, and feels that this is important in
its ability to adequately relate to client's needs and provide quality
services.
The firm has provided a considerable amount of professional engineering
services in connection with dams, lakes, spillways, earthwork and major
drainage projects. Services for this type of work have been contracted
with the Arkansas Soil and Water Conservation Commission, Little Rock
District Corps of Engineers, U. S. Forest Service, Tulsa District Corps
of Engineers, and the Oklahoma Water Resources Board. The work has involved
the Phase 1 Dam Safety Inspections of over seventy (70) dams in Arkansas

and Oklahoma, the inventory upda4 of several hundred in Arkansas, and
, -
,the preparation of Construction Plans and Specifications for a major
environmental project at the Pine Bluff Arsenal involving dams, reten-
tion ponds, channels, and diversion structures.
The Team's personnel are very familiar with the physical characteristics
of the Lake Fayetteville dam, having performed the Phase I Dam Safety
Inspection of it in 1979. The inspection involved the preparation of
field surveys, visual inspection of the dam's soils, structure and area
geology, hydraulic and hydrologic analysis, and the preparation of a
report. Back up data on this information is still maintained, which would
be useful in the preparation of the Phase II Study.
The Team's personnel are imminently qualified for this project, as
evidenced in their resume's shown in another section of this report.
Briefly and generally, some characteristics to be noted are as follows:
Project Manager James C. Summerlin, P. E. - Has participated in
the inspection and analysis of over 70 dams in
Arkansas and Oklahoma and performed the engineering
design of several major earthwork and drainage
projects.
Project Geotechnical Engineer - Edward K. Anderson, P. E. - Formerly
Chief of the Soils and Foundations Branch of the
Little Rock District Corps of Engineers. Has par-
ticipated in the design and inspection of numerous
federal and non-federal dams around the State of
Arkansas for many years.
Project Hydrologist and Hydraulics Engineer - Mizanur Rahman, P. E.
- Mr. Rahman performed the hydraulics/hydrologic
analysis of the Fayetteville Lake Dam for the Phase
1 Inspection and Study, and has also analyzed other
dams in the are. He is therefore (quite knoWledge-
able of the area hydrology and the particular hy-
draulics associated with this dam.
