A RESOLUTION AUTHORIZING THE MAYOR AND CITY CLERK
TO EXECUTE A CONTRACT WITH ALBERT SKILES d/b/a
SOLAR DESIGN FOR THE ARCHITECTURAL DESIGN OF A
STRUCTURE FOR CHILDREN'S HOUSE AND SCAN.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF FAYETTEVILLE,
ARKAIAS:
That the Mayor and City Clerk are hereby authorized and directed
to execute a contract with Albert Skiles d/b/a Solar Design for the
architectural design of a structure for Children's House and SCAN
at a total fee of five thousand five hundred dollars ($5,500.00).
A copy of the contract authorized for execution hereby is attached
hereto marked Exhibit "A" and made a part hereof.

CONTRACT
THIS CONTRACT executed this
day off,¢icey,o4 _ , 1984,
between the City of Fayetteville, Arkansas hereinafter called "the
City" and Albert B. Skiles and Robert W. Bowen, d/b/a Solar Design
Architects, hereinafter called "the Architect".
IN CONSIDERATION OF THE MUTUAL COVENANTS CONTAINED HEREIN, the.
City and the Architect hereby agree as follows:
1. The Architect shall perform the following services for the
City in connection with the design and construction of a structure
for Children's House and SCAN which structure is to be located on
City -owned property at the Water and Sewer Operations Center adjacent
to Cato Springs Road:
(a) Prepare preliminary design plans;
(b) Prepare working drawings and specifications and assist
in the taking of competitive bids for construction;
and
(c) Make periodic visits to the construction site to determine
if work is generally proceeding in accordance with
working drawings and specifications.
2. For services rendered by the Architect, the City shall pay
the Architect the following sums:
(a) The sum of $2,000.00 upon completion of the preliminary
design phase;
(b) The sum of $2,500.00 upon completion of the working
drawings and specifications and competitive bidding
phase; and
(c) The sum of $1,000.00 upon completion of the construction
supervision phase.
3. The City shall have the right to terminate this contract
upon completion of any of the aforesaid three phases by giving the
Architect seven (7) days written notice of termination. Said notice
shall be mailed to the Architect's regular mailing address by certified
mail, return receipt requested. In the event of termination, the
Architect shall be paid for the work completed in. accordance with
the fee schedule set out above.

4. The work to be performed by the Architect during the preliminary
design phase shall consist of the following:
(a) Prepare plans showing interior and exterior design;
said plans shall be furnished on 22" or 24" x 36" sheets.
(b) Prepare construction cost estimate.
5. The work to be performed by the Architect during the working
drawings and specifications phase shall consist of the following:
(a) Submit the preliminary design to the City and incorporate
any changes requested by the City;
(b) Prepare working drawings and specifications; and
(c) Assist the City in advertising for, evaluating, and
awarding a construction contract through the competitive
bidding process.
6. The work to be performed by the Architect under the construction
management phase shall consist of the following:
(a) •The Architect shall make periodic visits to the site
to familiarize himself generally with the progress
and quality of the work and to determine in general
if the work is proceeding in accordance with the contract
documents. On the basis of his on-site observations
as an architect, he shall endeavor to guard the City
against defects and deficiencies in the work of the
Contractor. The Architect shall not be required to
make exhaustive or continuous on-site inspections to
check the quality or quantity of the work. The Architect
shall not be responsible for construction means, methods,
techniques, sequences or procedures, or for safety
precautions and programs in connection with the work,
and he shall not be responsible for the Contractor's
failure to carry out the work in accordance with the
contract documents.
(b) Prepare periodic estimates of work completed by the
Contractor and compute payments due the Contractor.
7. All plans, working drawings, specifications, and other documents
prepared by the Architect under this contract shall be the property
of the City for its own use only and shall be delivered to the City
upon completion or termination of this contract.
8. The City shall have the following responsibilities:
(a) To provide the Architect with all requested information
regarding the City's requirements for the project;
(b) ,To designate a representative authorized to act in
the City's behalf with respect to the project.

9. The City shall reimburse the Architect for the following
expenses:
(a) Actual expense of reproductions, postage and handling
of drawings and specifications at the completion of
each phase for the City's review, approval and use
in bidding.
10. The Architect's preliminary plans, working drawings, and
specifications:shall conform to the Southern Standard Building Code,
the Arkansas Fire and Safety Code, §504 Federal Handicap Access Standards,
Day Care Services License Requirements, Arkansas Deparnt of Health
Rules and Regulations, and the Fayetteville Zoning Ordinance
11. The City, the U.S. Deparlment of Housing and Urban Development,
the Comptroller General of the United States, or any of their duly
authorized representatives shall have access to any books, documents,
papers and records of the Architect doing work under this agreement
which are directly pertinent to a specific grant program for the purpose
of making audit, examination, excerpts, and transcriptions.
12. Architect shall secure and maintain such insurance as will
protect him frau workmen's compensation claims and frau claims for
bodily injury, death or property damage which may arise frau the per-
formance of his services under this contract.
13. The Architect shall not discriminate against any employee
or applicant for employment because of race, color, religion, sex
or national origin. The Architect shall take affirmative action to
insure that applicants are employed, and that employees are treated
during employment, without regard to their race, color, religion,
sex or national origin. The Architect shall, in all solicitations
or advertisements for employees placed by or on behalf of the Architect,
state that all qualified applicants will receive consideration for
employment without regard to race, color, religion, sex, or national
origin.
14. No officer, employee or agent of the City who exercises
any functions or responsibilities in the review or approval or in
connection with the carrying out of the project to which this contract

pertains shall have any personal interest, direct or indirect, in
this contract.
15. The Architect shall not have or acquire any interest, direct
or indirect, in the project and shall not employ any person having
such interest.
16. The Architect, at the Architect's expense, shall furnish
the City two (2) copies of "as -built" drawings of the project.
17. This contract shall be binding upon the parties hereto and
upon their successors and assigns; provided, neither the City nor
the Architect shall assign or transfer his interest in this contract
without the prior written consent of the other party.
18. IN %RI S WHEREOF, this contract has been executed on the
