A RESOLUTION AUTHORIZING THE MAYOR AND CITY CLERK TO
EXECUTE A CONTRACT WITH J. K. TURNER AND ASSOCIATES
FOR PREPARATION OF A DETAILED SET OF SPECIFICATIONS
FOR FUND MANAGEMENT COMPUTER SOFTWARE.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
That the Mayor and City Clerk are hereby authorized and
directed to execute a contract with J. K. Turner and Associates
for the preparation of a detailed set of specifications for
fund management computer software. A copy of the contract
authorized for execution hereby is attached hereto, marked
Exhibit "A", and made a part hereof.

AGREEMENT•
This Agreement executed this day of /)((24 (.4,
1982, between the City of Fayetteville, Arkansas, hereinafter
called the City, and J. K. Turner & Associates,. Ific.".`1"1 r01
hereinafter called the Consultants.
WHEREAS, the City desires to retain a computer consultant --
to prepare a detailed set of specifications for a fund
management computer software system; and
WHEREAS, the purpose of this agreement is to set forth

the terms and conditions under which the Consultant will
prepare said specifications.
NOW, THEREFORE, in considerationof the mutual covenants
contained herein, the City and the Consultant agree as follows:
1. The Consultant shall prepare a detailed set of
specifications for a fund management computer software
system for the City. Said specifications shall be a
comprehensive document stating in detail the features
desired, the volume of data to be processed, the menus
expected for operator interface, the report types and formats,
and the general flow desired.
2. The services required of Consultant under this
Agreement shall be performed by Dr. Abram L. Winters.
3. For services actually rendered by Dr. Abram L.
Winters, Consultant shall be paid at the rate of Thirty-five
($35.00) Dollars per hour. Consultant's estimated time
for completing the services required hereunder is sixty (60)
hours. The City shall not be liable for payment for services
rendered in excess of sixty. (60) hours, unless such additional
services are first authorized in writing by the City.
Consultant's fee shall be payable in a lump sum upon submission
to the City of Consultant's detailed specifications.

4. Consultant shall render all services and submit
all written findings and recommendations required under this
Agreement by the J6:1- day of

5. Consultant shall secure and maintain such insurance
as will protect Consultant from claims under the Arkansas
Worker's Compensation Act and from claims for bodily injury,
death,-orproperty-damage which may arise from the performance
of Consultant's services under this Agreement.
6. Neither party shall assign or transfer his interest
in this Agreement without the prior written consent of the
other party.
7. This Agreement shall be binding upon the parties
hereto and upon their partners, successors, executors,
administrators and assigns.
8. The provisions hereof represent the entire agreement
between the parties. This Agreement may be altered, amended,
or rescinded only by a duly executed written agreement.
IN WITNESS WHEREOF, the"parties have executed this
Agreement on the date first above written.
