A RESOLUTION AUTHORIZING THE MAYOR AND CITY CLERK TO
EXECUTE A CONTRACT WITH MCGOODWIN WILLIAMS & YATES, INC.,
FOR ENGINEERING SERVICES FOR A STEP II WASTE WATER STUDY.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
OF FAYETTEVILLE, ARKANSAS:

That the Mayor and City Clerk are hereby authorized
and directed to execute a contract with McGoodwin, Williams,
& Yates, Inc., for engineering services for a Step II Waste
Water Study. A copy of the contract authorized for execution
hereby is attached hereto marked Exhibit "A" and made a part
hereof.

AGREEMENT FOR ENGINEERING SERVICES
THIS AGREEMENT, entered into this ;to day of 44,5105
1981, by and between the City of Fayetteville, Arkansas, hereinafter referred to
as the "City," and the engineering firm of McGoodwin, Williams and Yates, Inc.,
of Fayetteville, Arkansas, hereinafter referred to as the "Engineer;"
WITNESSETH THAT:
WHEREAS, the City has had a Sewer System Evaluation Survey (SSES) conducted
on its sewer system to determine needed rehabilitation work; and
WHEREAS, the City has determined that the cost-effective rehabilitation work
should be completed at the earliest practicable time; and
WHEREAS, engineering services are required to prepare detailed design and
plans and specifications for the rehabilitation of the sewer system; and
WHEREAS, the Engineer has satisfactorily completed previous engineering
assignments for the City, and the City desires to employ the Engineer for the
work set out herein;
NOW THEREFORE, in consideration of the mutual covenants and agreements herein
contained, the City and the Engineer, the parties hereto, stipulate and agree as
follows:
Section I. Scope of the Project
The work covered by this agreement is limited to those services needed to
prepare detailed design and plans and specifications for the cost-effective sewer
system rehabilitation as set out in the May, 1980 "Final Report of the Sewer
System Evaluation Survey in City of Fayetteville, Arkansas," by McCullough
Associates, Inc.
Section II. Scope of Engineering Services
The Engineer shall provide at his own expense a suitable engineering staff
to perform the necessary field surveys and to perform detailed design and prepare
plans and specifications. The engineering staff shall consist of engineers,
inspectors and other assistants as may be necessary to carry on the engineering
work in an efficient and expeditious manner.
Based upon the preliminary engineering studies set out in the above referred
to final report of the SSES, and upon approval of project financing and authori-
zation by the City, the Engineer will provide the following services.
1. Perform the necessary field surveys required to design the project
and prepare construction plans and specifications.
2. Prepare final design for the project.

Prepare detailed construction specifications and contract drawings.
4. Prepare detailed cost estimates of the authorized construction.
The Engineer shall not be required to guarantee that these
estimates will not be exceeded by the bids received for the work.
5. Establish the scope of any soil investigations, special surveys or
testing which, in his opinion, may be required for design, and
arrange with the City the conduct of such investigations and tests
(cost of such tests to be borne by the City).
6. Furnish to the City, where required by the circumstances of the
assignment, the engineering data necessary for applications for
routine permits and approvals by local, state and federal
authorities.
7. Furnish to the City all necessary copies of approved plans, specifi-
cations, notices to bidders and proposal forms.
8. Prepare legal descriptions of lands required for construction of
the project, including descriptions needed for easements and those
required for fee simple purchases.
Section III. Payment
In consideration of the performance of the foregoing services by the
Engineer, the City shall pay to the Engineer as full compensation for such
services the amounts as hereinafter set out.
1. For engineering services through detailed design and preparation of
construction plans and specifications, compensation shall be based
on a "cost plus fixed fee" method of payment. Cost shall mean gross
salary, salary times a multiplier to cover actual overhead and other
indirect costs, plus reimbursable expenses at actual cost. The
multiplier to cover actual overhead and other indirect costs shall
be changed annually on January 1 and shall be based on audited
indirect costs incurred by the Engineer during the previous fiscal
year. The current multiplier is 1.22.
Reimbursable expenses shall include travel expenses for the Engineer's
employees when traveling outside of Northwest Arkansas in connection
with the project and other expenses directly attributable to the
project, including work performed by any subcontractors.

For any additional services required and authorized by the City
which are not included in the above scope of services, compensation
shall be based on an amount equal to 1.2 times the Engineer's
actual cost.
Payment for engineering services under this agreement shall be made within
15 days after claim submittal and certification by the Engineer. Statements
shall be accompanied by adequate itemization to fully indicate the basis of the
charges.
If any of the work designed or specified is suspended for an extended period
of time or abandoned as a result of orders from the City, the Engineer shall be
paid for work actually completed; payment therefor to be based insofar as possible
upon the fees established herein.
Section IV. Subcontracting
The Engineer agrees to make positive efforts toward accomplishing the
Environmental Protection Agency Region VI goal for Minority Business Enterprise
(MBE) participation by subcontracting a portion of the work to a minority owned
firm.
Additionally, if desired by the City, the Engineer agrees to subcontract to
a local engineering firm, or firms, a portion of the work in an amount which
when added to the amount of any MBE contract will not exceed 50 percent of the
total contract amount This provision is conditioned upon the following:
1. The firm's having the necessary expertise to perform the services
required.
2. Negotiating a satisfactory contract with terms and conditions in
the best interests of the City.
3. Such firm's accounting records being acceptable to EPA.
Section V. Other Provisions of the Contract
In connection with the project, the City's responsibilities shall include,
but not be limited to, the following:
1. Giving thorough consideration to all documents presented by the
Engineer and informing the Engineer of all decisions within a
reasonable time so as not to delay the work of the Engineer.
2. Making provision for the employees of the Engineer to enter public
and private lands as required for the Engineer to perform necessary
preliminary surveys and investigations.
3. Obtaining the necessary lands, easements and rights of way for the
construction of the work. The cost of all property descriptions
and surveys, appraisals and abstract work shall be borne by the
City.

Furnishing the Engineer such plans and records of construction and
operation of existing facilities, or copies of same, bearing on
the proposed work as may be in the possession of the City. Such
documents or data will be returned to the City upon completion
of the work or at the request of the City.
5. Paying the cost of making necessary soundings, borings, analyses
of materials and laboratory work.
6. Paying all plan review costs and all cost of advertising in
connection with the project.
7. Providing legal, accounting and insurance counseling services
necessary for the project, legal review of the construction
contract documents and such auditing services as the City or
cooperating federal or state agencies may require.
Furnishing permits and approvals from all governmental authorities
having jurisdiction over the project and others as may be
necessary for completion of the project..
9. Giving prompt written notice to the Engineer whenever the city
observes or otherwise becomes aware of any defect in the project
or other event which may substantially alter the Engineer's
performance under this agreement.
10. All drawings, specifications and documents prepared by the
Engineer under this contract shall become the property of the
City, to be used by the City for construction purposes,
upon payment of the consideration due the Engineer hereunder.
The Engineer may retain reproducible copies of all documents
for his files and further use
It is anticipated that the project will be partially funded by a grant-in-aid
from the federal government acting through the Environmental Protection Agency.
The Environmental Protection Agency has certain requirements that must be
included. Consequently, the Engineer agrees to perform the services and comply
with the provisions set forth in 40 CFR Part 35 Subpart E Appendix C-1 attached
hereto and made a part of this agreement.
The Engineer agrees to commence work within 30 days of authorization to
proceed and to have all work under the Step 2 grant completed within six months
of the date of authorization, provided, however, that delays imposed on the
Engineer by the City or delays incurred in fulfilling Minority Business Enterprise
participation requirements or any delays to provide for state or federal reviews
shall not be included in the time limit stipulated.
This agreement shall be binding upon the parties hereto, their partners,
heirs, successors, administrators and assigns, and neither party shall assign,
sublet or transfer his interest in this agreement without the prior written
consent of the other party hereto.
IN WITNESS WHEREOF, the City has caused these presents to be executed in
its behalf by its duly authorized representatives, and the said Engineer by its
duly authorized representatives, and the parties hereto have set their hands
and seals on the date heretofore set out.
