FOR ENGINEERING SERVICES FOR THE RELOCATION OF A TWELVE INCH SEWER MAIN ON U.S. HIGHWAY 71 BETWEEN JOHNSON ROAD AND ARKANSAS HIGHWAY 112. BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF FAYETTEVILLE, ARKANSAS: That the Mayor and City Clerk are hereby authorized and directed to execute a contract with McGoodwin, Williams and Yates, Inc. for engineering services for the relocation of a twelve inch sewer main on U.S. Highway 71 between Johnson Road and Highway 112. A copy of the contract authorized for execution hereby is attached hereto marked Exhibit "A" and made a part hereof. (hereinafter called the Engineer) and the City of Fayetteville, Arkansas, (hereinafter called the Owner). WITNESSETH THAT: WHEREAS, the Owner owns and operates the Sanitary Sewerage System in the City of Fayetteville, Arkansas; and WHEREAS, the Arkansas State Highway Carmission plans to relocate approxi- mately 5.7 miles of Highway 71 beginning at the Highway 71 By-pass in Fayetteville and.extending north to Arkansas State Highway 68 west of Springdale, including construction of an interchange at the Highway 71 By-pass in Fayetteville; and WHEREAS, the construction of said interchange will conflict with an existing sanitary seiner line owned by the City of Fayetteville; and LtTIIEREAS, in order for said highway to be constructed, it will be necessary for the Owner to relocate said facilities; and WHEREAS, in order to determine the extent of said relocation and to prepare plans and specifications for same, it is necessary for the Owner to retain the -2- services of a consulting engineer; and WHEREAS, the -Engineer has sufficient.experienced personnel and equipment to perform the work described in this Agreement; NOW THEREFORE BE IT RESOLVED THAT, in consideration of the covenants and agreements hereinafter to be performed by the parties hereto and the payments hereinafter agreed to be made, it is mutually agreed as follows: SECTION 1. PRELIMINARY The Engineer is designated by the Owner and is hereby authorized to: (A) Make preliminary investigations, preliminary surveys, and establish other data as is required to make cost estimates and recommendations to the Owner relative to the work required. (B) Make final surveys, prepare final cost estimates, prepare detailed plans and specifications and submit same to the Arkansas Department of Health and the Arkansas State Highway and Transportation Depart- ment for their review and approval. (C) Advise the Owner as to areas of the project where it appears that construction activity will take place on private property, and therefore will require preparation of easement legal descriptions and plats for easement acquisition. In some instances it may be necessary'to conduct detailed land surveys to obtain the information necessary to write the legal descriptions and prepare the plats. In such cases, the Engineer will advise'the Owner of this need. As a part of thepreliminary engineering, the Engineer will be responsible for writing the legal descriptions and preparing the plats for easement acquisition, but will not be responsible for performing any necessary land surveys. -3- (D) Assist the Owner in the advertisement and receipt of bids and the awarding of construction contracts. SECTION 2. LAND SURVEYS Under Paragraph C, Section 1, it is set out.that the Engineer will advise the Owner as to locations where, in the Engineer's judgment, land surveys should be conducted for the purpose of establishing right of way and/or preparation of tract plats needed for easement acquisition . After the Engineer has fulfilled the above described responsibility, the Owner may elect, with approval of the Arkansas State Highway and Tiansportation Department, to direct the Engineer to perform certain land surveys and to prepare certain tract maps, As directed by the Owner, the Engineer will perform the following work: 1, Furnish or obtain the services of a "Registered Land Surveyor" as necessary to provide detail property surveys. 2. Prepare tract maps as may be required. SECTION 3, OTHER WORK Any additional preliminary engineering services required which are out- side the scope of this contract and authorized in writing by the Owner and the Arkansas State Highway and Transportation Department will be done by the Engineer. SECTION 4. ITE67S TO BE FURNISHED BY THE OWNER The Owner agrees to furnish the following: (A) Access to all available maps or other data relative to the portion of the utility system involved in the project, (B) Right -of -entry from property owners to permit necessary field surveys. (C) Land record research'to determine the apparent land owners, -4 - descriptions of the land owners' properties, subdivision plats,' and other data that may be required in order to write:any required easement legal descriptions and prepare plats for easement acquisition. (D) Excavations as needed to determine elevation and/or locations of underground utilities when same cannot be determined by any other procedure. (E) pay all plan review costs and all costs of advertising in connection with the project. SECTION 5. OOMPENSATION - PRELIMINARY ENGINEERING (A) Basis of Fee The Engineer agrees to provide the necessary personnel required to furnish preliminary engineering services as set out in Section 1 of this contract at the following established base salary hourly rates, plus 29 percent for payroll expenses and plus 86 percent of total payroll costs for general overhead expenses. 4 -Man Survey Grew $23.60 Registered Land Surveyor $12.00 Engineer . . . $15.00 Technician . . . . . . $ 9.50 Draftsman $ 6.50 Clerical . . . . . . $ 8.50 The Engineer agrees to keep accurate records of the hours of the various persons working on the project and to make available to the Owner supporting documentation of the time required. The Engineer agrees to a fixed fee of $1,600.00 and a maximum fee not to exceed $17,728.29,.including fixed fee. Job No. 4834) Project Engineer and duly authorized representative of the firm of yjCGpC3win William and Yates, Inc. whose address is 909 Rolling Hills Drive, Fayetteville, Arkansas 72701 an, except as expressly stated and described herein, neither I nor the McGoodwin, Williams and Yates, Inc. has, in connection with its itract for preliminary engineering services with the City of Fayetteville, Arkansas entered into pursuant to provisions of anagreement between the aforementioned utility owner and the Arkansas State Highway and Transportation Department as a part of Federal Aid Project (a) employed or retained for a commission, percentage, brokerage, contingent fee, or other consideration, any firm, company, or person, other than a bona fide employee working solely for me or the aforementioned consulting firm, to solicit or secure the contract, or (b) agreed, as an expressed or implied condition for obtaining the award of the contract, to employ or retain the services of any firm, company, or person in connection with the carrying out of the contract, or (c) paid, or agreed to pay, to any firm, company, organization, or person, other than a bona fide employee working solely for me or the aforementioned consulting firm, any fee, contribution, donation, or consideration of any kind for, or in connection with, procuring or carrying out the contract. (Statement and explanation of exception, if any): I acknowledge that this certificate is to be furnished to the State Highway and Transportation Department and the Federal Highway Administration, in connection with the aforementioned project involving participation of Federal -aid highway funds, and is subject to applicable State and Federal laws, both criminal and civil.
