A RESOLUTION AUTHORIZING AND DIRECTING THE MAYOR AND CITY
CLERK TO EXECUTE A CONTRACT WITH R. L. POLK AND COMPANY FOR THE
PURCHASE OF "PROFILES AND CHANGE".
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
FAYETTEVILLE, ARKANSAS:
That the Mayor and City Clerk be, and they hereby are,
authorized and directed to execute a contract with R. L.
Polk & Company for the purchase of "Profiles and Change".
A copy of said contract, marked Exhibit "A", is attached
hereto and made a part hereof. �/�

AGREEMENT FOR PROPhSSIONAL SERVICES

THIS AGREEMENT, made and entered into this _ day of
1.97, by and between the City of Fayetteville, Arkansas
(hereinafter "Purchaser"), and R.L. Polk & Co., a Delaware
.corporation (hereinafter "Contractor"),
W I T N E S SETH:
WHEREAS, the Contractor has a source of statistical data obtained from two
of its City Directory Canvasses for a geographic area consisting of the City of
Fayetteville Arkansas
completed on May 24 , 1975 and May 22 197_6_, and the capa-
bility of compiling said statistical data by census tract using an address coding
guide (hereinafter "Guide"); and
WHEREAS, the foregoing has enabled the Contractor to develop and produce an
urban statistical information package entitled PROFILES OF CHANGE (hereinafter
"Profiles Package") consisting of statistical tables, small -area profiles and
rank order reports, map series and management digest more fully described in
Exhibit "A" attached hereto and made a part hereof; and
WHEREAS, the Purchaser wishes to acquire the Profiles Package subject to all
of the terms and conditions hereinafter set forth,
NOW, THEREFORE, the Purchaser and the Contractor mutually agree as follows:
1. Materials to be Provided. The Contractor shall provide the Purchaser
with the Profiles Package pertaining to the geographic area described above and
including approximately 9,400 housing units.
2. Purchase Price. The Purchaser shall pay the Contractor the sum of
$4,00.0* , plus any applicable state and local taxes, upon receipt of the
Profiles Package accompanied by a proper invoice therefor.
3. Contractor Services in Connection with Preparation of the Coding Guide
In order to compile, by census tract, the specific information to be contained in
the Profiles Package, the Contractor shall perform the following services:
(a) Update the address coding guide used in connection with the 1970
census by adding address ranges as needed to account for the ad-
dresses included in the Contractor's City Directory canvass re-
cords but not found in the 1970 address coding'guide. Contractor
will include in the updated Guide any corrections to census tract
designations or address ranges which it discovers in the process
of the aforementioned updating procedures, or which arc made known
and submitted in writing by Purchaser within three weeks of execu-
tion of this Agreement. In the event that Contractor needs addi-
tional information to identify certain address ranges by tract in
order to complete the Guide, such information shall be supplied by
Purchaser on request.

A. Time of Performance by Contractor. The Profiles Package shall be fur-
nished to Purchaser within 90 days from the date of the execution of this Agree-
ment or within 90 days from the date the current -year computer tape to be used
in compiling the Profiles Package becomes available, whichever date is the later
to occur. If delay in the performance of this Agreement is occasioned by cir-
cumstances above and beyond the control of Contractor, including but not limited
to labor disputes, wars, national disasters or other calamity the time for
performance under this Agreement shall be extended for a period equal to the du-
ration of the delay.
S. Warranty. The Contractor warrants to the Purchaser that the information
provided in the Profiles Package is as accurate, correct, current and complete as
may be achieved using the source data, processing methods and procedures for pre-
paring Coding Guides normally employed by the' Contractor. This warranty is in lieu
of all other warranties and in no event shall the Contractor be liable for special
or consequential damages.
6. Additional Terms and Conditions. This Agreement is subject to and incor-
porates herein by reference any provisions required by law or regulation to be
attached hereto and entitled "Additional Terms and Conditions".
7. Entirety of Agreement. This Agreement embodies the entire Agreement be-
tween the parties hereto and may be waived, amended or supplemented only in wri-
ting executed jointly by the Purchaser and Contractor.

chaser with ten (10) reduced -size (8-1/2 x 11 -inch) copies (9 bound and one un-
bound) of reports showing for each tract its counts and ranking among all tracts
in the City according to 55 items within the following categories:
1. Current counts
2. Gross change
3. Net change
4. Key indicators - rates
5. Key indicators - change
6. Secondary indicators
Also included is a summary report showing rankings for all factors, and for
all tracts.
III. Computer -printed Maps - Contractor will furnish the Purchaser with ten (10) re-
duced -size (8-1/2 x 11 -inch) copies (9 bound and one unbound) of the following:
• 1. 260 maps displaying tract statistics and percentages selected from the
Statistical Tables.

2. 63 maps showing small -area rankings by selected subjects from the Rank Order
Reports.
IV, Management Digest - Contractor will furnish the Purchaser with ten (10) re-
duccd-size (8-1/2 x 11 -inch) copies (9 bound and one unbound) of reports con-
sisting of the following three sections:
1. City-wide overview, consisting of 12 key indicators of status and
change, and a comparison of selected counts with those of the
1970 census.
2. A selection of 31 key maps which provide a perspective on neighborhood
characteristics.
3. A summary of key indicators (also in the Statistical Tables, Table V6000) which
provides highlights of both status and change, city-wide, and by small -area.
4. A one-page summary for each small -arca showing current characteristics
and significant change.

ADDENDUM TO AGREEMENT BETWEEN
THE PURCHASER AND CONTRACTOR DATED , 197 .
8. Additional Material to be Provided. In addition to those
materials included in the Profiles Package described in Exhibit "A" to
this Agreement, the Contractor shall furnish to the Purchaser the
following:

Magnetic computer tape(s) containing address -by -
address statistical records of the basic information
from which the items described in Exhibit "A" have
been compiled.
Specifications of the tape(s) are as follows:

9. Price of Additional Items. The Purthaser shall pay the Contractor
the sum of $ 200* upon receipt of the aforementioned tape(s) accom-
panied by a proper invoice therefor.
10. Limitations on Access to and Use of Tape(s) and Disclosure of
Information Contained Therein. The Purchaser hereby agrees to take all
reasonable and necessary precautions to insure that:
(a) The tape(s) and information contained therein will be
used only for ordinary and reasonable purposes properly
within the function of the Purchaser and not be made
available in any manner or form for commercial purposes;
(b) Access to the tape(s) and disclosure of the information
contained therein will be given only to Purchaser per-
sonnel to whom access or knowledge of such information
is required for its proper use.

WHEREAS, the Contractor has a source of statistical data obtained from two
